FIXED FEE CONTRACT REVIEW SERVICE ADDLESHAW GODD ARD Understanding the extent of each parties’ contractual obligations, risks and entitlements is fundamental to procuring, building and operating successful construction projects in the GCC or anywhere else in the world. Traditionally law firms service their clients by identifying an appropriate standard form contract and amending that contract to reflect the client’s and the relevant project’s needs. The law firm will then assist the client through the negotiation of the contract and associated documents, such as bonds, warranties and guarantees, to arrive at a fully negotiated contract and associated documentation. Whilst we offer that service, we recognise that in the GCC it can be very difficult to negotiate certain contracts in this manner. More often than not contractors and consultants find themselves in position where their ability to negotiate the terms of the contract is limited, or in some cases non- existent, and, therefore, they may have to take on risks which in other jurisdictions they would seek to exclude from their contracts. As a result, many of our clients in the GCC have asked for a different, more commercial, approach to contract review and negotiation. We have listened to these clients and are pleased to offer a fixed fee contract review service whereby: we will review the draft contract and up to two associated documents (e.g. bonds or guarantees); we will provide a report identifying the key risks in the contract and suggest amendments to the contract and/ or practical measures to mitigate those risks where possible; we will attend one follow up meeting or phone call with our client to discuss our report; and we will perform these services for the fixed fee of AED 25,000. This service ensures that our clients have the information they need to address any significant risks that the contract may impose, whether by focussing on negotiation of those key terms, by adopting risk mitigation measures or by pricing for those risks. Correct contract administration is essential for the timely and cost-effective delivery of construction projects. However, all too often construction contracts are drafted in such a way as to make correct contract administration difficult or virtually impossible.

In order to assist our clients in understanding how to administer complex construction contracts, we are pleased to offer a fixed fee contract administration guide service whereby:

► we will review the contract and associated documents;

► we will produce a practical guide which sets out how to administer that contract, presented in a user-friendly format, for example by using process flow-charts to set out variation and claims procedures and identifying key risks;

► we will attend one follow up meeting or phone call to clarify any elements of the guide; and

► we will perform these services for the fixed fee of AED 30,000.

This service ensures that our clients have the information they need to manage their contracts effectively and efficiently. In addition, our clients will have the confidence that if they follow the procedures in the administration guides, their contractual rights and entitlements should remain protected and the prospects of a dispute reduced.
