Discount Structure

We offer a variety of discount arrangements tailored to our customers' varied purchasing habits. Generally, we have a category for every customer; however, the following stipulations govern in each case: • No discount is offered to any customer whose account is past due at any Flowerwood location. • Any item marked "net" on an invoice is not discountable. • At most levels, there is an incentive for early payment. As a convenience, we will honor early discounts when payment is received at one of our offices within ten days of invoice date. • For volume discounts, sales volume calculations are based on our fiscal year which starts on October 1st and ends September 30th. Invoice subtotals for all Flowerwood facilities are used for these calculations. Levels are determined by the greater of current or prior year fiscal sales. Discount increases which occur during the current year apply only to subsequent invoices. • The discount program is available at all Flowerwood locations. • No cash discount available on credit card payments.

Conditions of Sale

This price list is intended for nursery trade only. The prices herein supersede all previous prices and are subject to change without notice. All prices listed or quoted are F.O.B. nursery of origin. Normal business hours are 7 a.m. - 4 p.m. (CST) Mon.-Fri. Orders are accepted only on the following conditions: 1. Any order may be cancelled or delayed without liability to seller. 2. Orders are accepted subject to availability of stock at time of delivery. 3. Orders are subject to current pricing at time of shipment. 4. Minimum order for pickup or delivery is $1500.00. Any orders less than the minimum may be subject to a 25% handling charge. 5. Flowerwood Nursery, Inc. will exercise care to have all plants true to name and description. Nevertheless, we give no warranty, expressed or implied, as to variety, or the productivity, salability, or livability of nursery stock we sell. Liability in all cases is limited to the purchase price. No liability is assumed by seller for delay or failure to deliver caused by any reason or contingency. 6. Buyer acknowledges that any person who signs the delivery document is authorized to sign it. 7. Shortages and damages en route must be claimed at the time of delivery and noted on our delivery document. 8. Flowerwood grows and sells many plant varieties that are patented or trademarked. These patents or trademarks are noted on our price list and labeled accordingly. They must be resold with the appropriate plant patent or trademark labels attached. Any asexual reproduction or distribution of these varieties without prior consent from the patent owner constitutes a violation of federal law and may be subject to lawsuit. The use of a Flowerwood trademark without prior consent is prohibited. Pick up orders are accepted on the following conditions: 1. Pickup orders must be called in at least 24 hours in advance. 2. No orders will be scheduled for pickup on Saturday, Sunday, or holidays. 3. Orders not picked up as scheduled are subject to a restocking fee of 27.5%. 4. Call nursery of origin to schedule an appointment time for pickup.

Normal terms call for cash at time of delivery or pickup. All new customers are required to complete an application to obtain a customer number. Issuance of this number does not imply approval of credit. Please allow at least fourteen days after we receive your application for processing. If a customer account is inactive for 1 year, it will be deleted and a new application must be submitted. A fi rm, which seeks credit terms, may contact a sales representative for a credit application and information. The following terms apply to those who have established credit with us. All credit invoices are due within 30 days of purchase date. A late payment charge of 1.5% per month on past due balance will be assessed on any overdue account. Should this rate exceed the state mandated maximum lawful rate, that maximum rate shall apply. The location of the buyers designated billing offi ce will determine which state law applies. All payments on past due accounts will be initially applied to service charges due, and thereafter to invoice balances. Buyer agrees to pay reasonable attorneys fees and other cost incurred in the collection of past due accounts. Flowerwood Nursery Inc. may not accept orders from customers whose accounts are past due. Flowerwood Nursery Inc. offers a discount for payment received by our offi ce within 10 days of invoice date. We also offer a volume discount program based on a buyer’s purchases for the previous and current fi scal year. Our fi scal year runs from Oct. 1 through Sept. 30. Please contact a sales representative for details. PLEASE NOTE: Any and all applicable discounts will be forfeited on past due accounts.
