2. Collection & Onsite procedures

2.1 Collection can only be made once cleared funds are received and the full invoice is paid. Please advise Manheim of your removal and collection arrangements and all Contractor forms including SWMS and JSA, including insurance details are to be submitted to:

2.2 The Buyer’s Work Method Statements must address the legal and legislative obligations associated with higher risk activities such as (but not limited to) confined space, work at heights and lifting (carnage). Generally, work methods must be compliant to the requirements of the Work Health and Safety Act 2011 (Qld) and local Aurizon Safety Management System requirements. All Assets that are considered High Risk must be in accordance with complying with the contractor procedures and authorised by Aurizon and it Site Services Division. Safe Work Method Statements (SWMS) or Job Safety Analysis (JSA) documentation must be completed, submitted and approved by Aurizon Site Services Division prior to work commences on the site. 2.3 Prior to commencing work on site a complete list of employees, sub-contractors engaged for work on site, must be provided to Manheim and Aurizon.

2.4 When arriving on site each day you must complete the security requirements prior to entering and leaving the site.

2.5 The Purchaser(Primary contractor) must establish that engaged sub-contractors have appropriate Competence (qualifications and experience;

and Insurance (Public Liability and Workers Compensation) All contractor and sub contractors must comply with the 2004 OH&S Act

and 2007 OH&S Regulations

2.6 The purchaser must ensure that engaged sub-contractors:

a. Maintain in the premises in which they work in a safe and healthy manner for themselves, Aurizon, Manheim and employees or visitors to the site.

b. Employ safe tools and systems of work to do a job;

c. Electrical power tools and leads are regularly inspected and tagged in accordance with AS3760

d. Where ladders are to be used they must be of a suitable type for the task and be properly secured before use. Scaffolding must be erected by a licensed scaffolder or rigger.

e. Barricades must be supplied by the contractor and erected around excavations or to prevent access to areas where persons are working overhead.

f. Compressed gas cylinders must be securely mounted in a trolley or must be securely fastened in a vertical position.

g. Comply with appropriate standards

h. Raise any issue that is or may become a health, safety or environmental concern with Aurizon if related directly or indirection to Aurizon or Manheim.

2.7 The contractor shall keep on site during all working hours a “Competent Person” thoroughly familiar with the class and character of the work to be performed. He/she shall have and be deemed to have full authority to receive all instruction in relation to the safe conduct of the work.

2.8 All workers and sub-contractors must wear PPE including Hi-visibility clothing that must cover body, arms and legs, Hard Hat, Steel Cap Boots, Safety Glasses in designated areas at all times whilst on site.

2.9 Contractors must supply their own personal safety equipment eg Eye Protection, respiratory protection, hearing protection, gloves, safety helmet and must wear the equipment in designated areas and otherwise as appropriate.

2.10 Smoking is not permitted at any time, within any part of this site only in designated or signed areas.

2.11 No person under the influence of drugs or alcohol will be permitted on site.

2.12 Contractors shall not engage in any form of harassment whilst on site.

2.13 Children are not permitted on or within this site.

3. Health, safety and environment

3.1 In performing its obligations under this Agreement, the Buyer (or a representative of the Buyer) must comply with:

a. all directions given by the Seller (or a representative of the Seller) in connection with health, safety and the environment;

b. the Seller’s standards, policies and procedures, including the Seller’s occupational health and safety policies, code of conduct and drug and alcohol policy, while on the Seller’s premises or interacting with the Seller’s personnel; and

c. all Laws and Standards which apply to the removal of Sale Items relating to health, safety and the environment.

3.2 The Buyer acknowledges the Sale Items may have at some period of time been treated with a Hazardous Chemical.

3.3 The Buyer must ensure all waste from the cleaning of the Sale Items is disposed of away from the Delivery Place in accordance with applicable Laws and Standards.

3.4 The Buyer must not clean the Sale Items down at the Delivery Place and must ensure that any Hazardous Chemical (if any present) on the Sale Items are disposed of in accordance with applicable Laws and Standards.

3.5 The Buyer acknowledges that the Sale items may contain residual sand, pressurised air tanks and the Seller is not required to clean or purge the Sale Items.

Contractor procedures

3.6 If the Sale Items have fuel tanks, then the Buyer must not use any hot cutting when removing the fuel tank.

3.7 All injuries are to be reported to Aurizon immediately. Accident Incident Report forms are to be completed each time.

3.8 The contractor shall provide a Specific Safety Management Plan for dismantling and demolition works for review by the Aurizon Project Manager and Site Services prior to commencing any work on site.

3.9 All personnel working on the project shall have a Safety Induction.

3.10 Prior to commencing any work onsite:

a. The contractor shall keep all permits on site at all times during the execution of the work;

b. On any electrical cables or piped energy services, the contractor shall obtain a written clearance permit and complete any required isolations. All work shall comply with the conditions and directions contained in the clearance permit and isolation procedures.

c. For Hazard Zones, Confined spaces and Designated Gas Zones existing and or created by the contractors works, the contractor shall obtain a written clearance permit, complete and required isolations or control measures and obtain an appropriate gas monitor.

d. Contractors must not open or enter any electrical switch room or cubicle unless they are an A Grade Licensed Electrician.

3.11 Contractors must keep the work area tidy and remove all rubbish generated from the site.

3.12 The buyer is responsible for any damage to the removal place/sale location

3.13 The buyer is not permitted to sell any Sale Items at the removal place/sale location.

3.14 The removal of items will be from Monday to Friday only and nominally between the hours of 7am and 4pm unless otherwise agreed by Aurizon site representative.

4. mobile plant Standards

4.1 Contractor vehicles are permitted on site for setting down and picking up of tools and equipment.

All contractors driving or operating Powered Mobile plant or machinery which requires Certificates of Competency eg Forklift trucks, Boom Lifts Cranes must hold all necessary certificates which must be produced on demand.

4.2 Powered mobile plant brought to the site must be fitted with the following safety equipment:

a. Forklifts, flashing lights, reversing beeper, warning horn Boom and scissor lift flashing lights, motion alarm, warning horn Road Registered Vehicles, Hazard Lights

b. All road registered vehicles, other than cars, car derivatives and delivery vans (where there is good visibility for the driver must also be fitted with reversing beepers.

5. Contaminants

5.1 The purchaser must make their own assessment of any potential contamination or contaminants that may be present on the sale items that may affect the health and safety of their workers or other and/or environmental responsibilities.

Terms & Conditions of Expressions of Interest

SUBmISSION OF EXpRESSION OF INTEREST AND NOTIFICATION

1. Form: All Offers must be in writing, display the correct Expression of Interest number and contain all other information required. The submission of an Offer constitutes acceptance of these Terms and Conditions. An Offer may not be withdrawn.

2. Closing Time: Offers closes at 5.00 pm AEST on Friday 14th June 2013

3. Lodging: Offers must be lodged at Manheim by one of the following means:

4. Seller’s Discretion: The highest or any Offers will not necessarily be accepted. The Seller or the Agent may withdraw any Goods from sale.

5. Delays: Neither the Seller nor Agent will be liable for or take any responsibility for Offers not received by the Expression of Interest Closing Time for any reason, including (but not limited to) industrial disputes, electronic or technical difficulties.

6. Notification: The successful Offeror (Purchaser), if any, will be notified by email or fax using the contact details provided in the successful Offer within 5 business days of the closing date specified. Unsuccessful Offerors may not be notified.

pAYmENTS, TITLE TO AND RISK IN THE GOODS

7. All Offers and payments are to be expressed in and paid in $A (Australian).

8. Full payment must be received by the Agent in the form of cash, bank cheque or EFT within 5 Business Days of notification of the Purchaser’s success. Bank cheques should be mailed to the attention of the person and postal address detailed in clause 3.

9. All payments being made direct to the bank by cash or EFT must go to the Agent’s Bank Account.

10. Ownership of the Goods passes when the Agent receives notice of clear title and clear funds on the full payment for the Goods. The Purchaser is only entitled to possession when this occurs. On the transfer of the Goods, the Seller warrants clear title to the Purchaser.

11. Unless otherwise stated the Goods will be available for collection by the Purchaser following receipt of full payment, by appointment only, from the location at which were available for inspection. All goods must be cleared from the collection location within 30 Business Days of the receipt of full payment unless prior arrangements have been made with the Agents. Storage fees may apply for a late collection.

12. The Purchaser must arrange for the collection of the Goods using appropriate vehicles and equipment which comply with all applicable laws, including occupational health and safety and road safety related laws and codes. If the Purchaser’s vehicle or equipment is, in the reasonable opinion of the Seller or Agent, considered to be unsafe for the purpose or otherwise in breach of relevant laws, the Seller or Agent may refuse to allow the Goods to be collected and any consequent cost, loss or damage, including storage fees where applicable, will be at the Purchaser’s expense.

Removal of the lots will be at the purchases expense and must meet Aurizon Contractor Procedures Refer to Appendix 1 Site Contractors Procedure – Foundry and Pattern Marking Workshop” and will require and is not limited to the following to be undertaken:

• ASafeWorkMethodStatementorJobSafetyAnalysismustbe provided for the removal of high risk assets and approval obtained from the Aurizon Foundry Site Services team prior to commencement of the decommissioning or removal of assets. Refer to the “Site Contractors Procedure – Foundry & Pattern Making Workshop”.

• Allsitecontractorsinvolvedintheremovaloftheassetswillberequired to attend a site induction.

• ThepurchasermusthaveappropriateinsurancesincludingPublicLiability of $10m and Workers Compensation Insurance.

13. All Goods shall be at the Purchaser’s risk from the time of notification that their Offer has been successful and title has been transferred.

14. Neither the Seller nor the Agent shall be responsible for any damage to property or injury to or death to persons incurred during the removal of purchased Goods.

TAXES, CHARGES AND FEES

15. All bid prices are GST inclusive.

16. At the time of final payment for the Goods, the Purchaser will be required to pay a Buyers Administration Fee of 11% of the Offered price inclusive of GST. Note this Fee is in addition to the successful Offer price of the Goods.

17. All cost associated with the purchase of the Goods, including but not limited to, duties, taxes, item removal, transport, decommissioning and storage cost, are to be paid by the Purchaser.

EXCLUSION OF WARRANTIES, DESCRIpTION, CONDITION, SUITABILITY OF THE GOODS

18. All Goods having been made available for inspection prior to the closing of the Expression of Interest, any description of the Goods (including any photographs or other depictions) is provided for guidance only and on the strict understanding that:

a) All Goods having been made available for inspection are deemed that they have been inspected by or on behalf of the Offeror. All Goods are Offered for sale “as is where is” that is in their current state of repair and condition, with all defects and faults (if any) latent, patent or otherwise.

b) The Goods are used goods and will be subject to wear and tear and other possible damage or faults. The Offeror must satisfy themselves by inspection or otherwise as to all aspects of the Goods including their condition and fitness and suitability for any purpose intended by the Offeror.

c) Where the Goods are comprised of multiple items then any description and photos are of necessity general and cannot necessarily be considered to be a representation of the whole.

d) Offerors should satisfy themselves as to the accuracy of all information by their own inspection. No error or mis-description shall vitiate the sale and the Offeror shall be bound to take delivery of the Goods sold without allowance or abatement in price. Any deficiency in the quantity described shall not vitiate the sale, and neither the Agent nor the Seller shall be bound to deliver more than is in their possession.

e) To the full extent permitted by law and notwithstanding the contents of or any description given in any catalogue, advertisement, website or other material issued by the Agent or Seller in relation to the Goods:

i. No express or implied condition, warranty or guarantee is made or given in relation to those Goods as to their condition, quality, and fitness for purpose, merchantability or compliance with description.

ii. Neither the Seller nor the Agent will be liable for any loss damage cost or expense suffered or incurred by the Purchaser arising out of the purchase of the Goods.

iii. Where any description of Goods, including any photographs, includes a reference or depiction as to the inclusion of specific features, then unless expressly stated no warranty or reassurance is given that the specific features are fitted, complete, functioning or fit for the purpose for which they were designed.

f) The Offeror will independently verify any information which is important to its purchasing decision; and

g) Subject to all applicable laws, any liability of the Agent shall be limited to a refund or credit of the charge made for services (i.e. not the full price of the Goods) provided by the Agent.

OCCUpATIONAL HEALTH AND SAFETY AND GENERAL LEGAL REQUIREmENTS

No representation or warranty as to compliance of Goods

19. In relation to any general regulatory compliance and any risk presented by the Goods to health or safety and, and subject to any laws:

a. Unless otherwise specifically stated in writing by the Agent neither the Seller nor the Agent warrant that the Goods comply with the requirements of any relevant legislation, code of practice, Australian or International Standard.

b. where the Goods may be used in a workplace and it is reasonably practicable to do so the Agent has requested the Seller to:

i. Provide and display a statement with those Goods to indicate their present condition including hazards to health or safety.

ii. Supply where relevant certificates, operations manuals, service history and any other relevant records (collectively “Records”) required by occupational health and safety laws etc. which may exist for the Goods.

c. no warranty or assurance is given by the Seller or the Agent as to the accuracy and completeness of any statement or certificates, operations manuals, service history and any other relevant records provided to the Purchaser pursuant to paragraph (b) above; and

d. the Offeror acknowledges and accepts their own legal responsibility to ensure that the Goods comply with all regulatory requirements before use, including under occupational health and safety legislation and other safety related legislation (for example electrical and gas). Without limiting the generality of the legal obligations this includes the conduct of a risk assessment of the Goods by a competent person and any necessary measures to ensure compliance before the Goods are installed, commissioned or used.

Registrability of vehicles, vessels, plant or equipment

20. Where the Goods comprise registrable vehicles, vessels, plant or equipment then unless specifically stated in writing by the Agent:

a. Those Goods are sold as unregistered; and

b. No warranty or representation is made that the Goods are in a condition, or are capable of being put into a condition which will allow such registration.

GENERAL

21. Upon any Offeror failing to comply with any of the above conditions any money deposited in part payment shall be absolutely forfeited and all Goods uncleared may be resold and the deficiency (if any) on such resale, together with all cost and charges consequent upon such resale, shall be made good by the defaulter at this sale.

22. Potential purchaser’s wishing to inspect the Goods will be required to comply with QR National site access requirements.

INTERpRETATION

22. Headings are for guidance only and are not part of the Terms and Conditions.

23. Terms have the following meaning:

“Agent” Means Manheim Australia ABN, 97090535505 110 Lamington Avenue Eagle Farm QLD 4009

“Business Days” Means Monday to Friday inclusive but excludes a day that is in whole or part observed as a public holiday in the State or Territory in which the sale process is being managed, that is the State or Territory of the mailing address in clause 3 of these Terms and Conditions.

“Goods” Means the Goods the subject of this request for Expression of Interests.

“Seller” Means the person selling the Goods the subject of this request for Expression of Interests.

“Offer” Means the amount being submitted by the Offeror in response to the Tender or Expression of Interest

“Offeror” Means the person submitting an off for Tender or Expression of Interest for the purchase of the Goods.

“purchaser” Means the Offeror who has been informed by the agent that their Offer was successful
