3. Statement from the Chairman of the Board and the Executive Director

In 2006, the World Fuel Cell Council and Fuel Cell Europe went through a transition year to stabilise the financial situation of the organisation,refocus its activities and re-organise its operations to take future challenges forward with a focus on European activities in short to mid term.

We are very pleased that Fuel Cell Europe has been able to stabilise its financial record after significant efforts to limit expenditures. With themembership support, 2006 has allowed us to establish a presence in Brussels under the responsibility of Patrick Maio, whom will act asexecutive director starting 1 January 2007. The World Fuel Cell Council has also decided to refocus its activities on the European arena and wenow have a thorough plan to execute. You will find the detailed priorities of this plan in the section 6 of this document. We will intensify ourefforts to raise European Parliament, Commission and national governments awareness about fuel cell technologies and applications. We willintensify our cooperation with other industries, regional authorities, associations and NGOs.

The fuel cell industry has to make a lasting commitment to inform and communicate openly with the wider industrial, political, financial and

scientific communities. Fuel Cell Europe embeds this commitment in its core mission and objectives.

In 2007, energy will be high on the European agenda and we are prepared, with your support, to take an active role in the political debate,starting with the discussions on the European energy policy, the European Strategic Technology Plan and the Joint Technology Initiative onFuel Cells and Hydrogen, which we hope will be launched in the course of the year.

We count on your active involvement to help us accelerate the development and deployment of fuel cell technologies across Europe.

4. Achievements in 2006: Activities month after month

January: Patrick Trezona represents Fuel Cell Europe in Hydrogen and Fuel Cell Technology Platform (HFP) Implementation Panel in working group

Portable Power and Early Markets.

Fuel Cell Europe organises a workshop on Commercialising Fuel Cells with specific focus on micro-CHP and backup systems for telecomsapplications.

February: In response to a decision taken by the Board, the Executive Team undertakes a strategic review of Fuel Cell Europe goals and activity and

takes action to reduce operating costs

March: The Executive Team puts forward recommendations to the Board, including a report on the stabilisation of the financial situation and

strategic re-focus of Fuel Cell Europe on policy matters in Brussels Patrick Trezona produces first draft document for the HFP ''Portable Power and Early Markets'' working group review.

April: Fuel Cell Europe contracts HINICIO and appoints Patrick Maio to lead Fuel Cell Europe's government related activities in Brussels acting asDirector European Affairs

May: Coordination meeting between Fuel Cell Europe, European Hydrogen Association and Technology Platform. Patrick Maio represents Fuel Cell Europe in HFP Implementation Panel, in working group cross-cutting issues.

June: Fuel Cell Europe meets with Gonzalez Finat, Director, DG TREN, European Commission. Fuel Cell Europe launches first monthly eNewsletter. Fuel Cell Europe and EHA bring members (MTU, Air Products, Hydrogenics) along to present their applications for stationary power

production for new European Parliament buildings in Luxembourg. Fuel Cell Europe meets with European Hydrogen Association and COGEN Europe to review cooperation strategy.

July: Board meeting reviews Fuel Cell Europe strategy for 2006-2007 and launches new lobbying campaign on FP7 and the JTI coordinated by

Patrick Maio. Fuel Cell Europe presents positions on its future role and objectives concerning the JTI at EC-JTI preparatory meeting.

Fuel Cell Europe meets with Region Pas-de-Calais, France, to discuss regional strategy on hydrogen and fuel cells. Fuel Cell Europe submits joint position on FP7 and meets with Angel Perez Sainz, Head of Unit Energy conversion & distribution systems.

September: Fuel Cell Europe releases joint position paper on FP7 to 54 Members of the European Parliament. Fuel Cell Europe visits European Parliament in Strasbourg and meets with MEPs J. Buzek, G. Chichester, P. Busquin, V. Prodi, A. Vidal

Quadras, P. Rbig, T. Manders, A. Wijkman, J. Leinen, R. Guidoni, H. Mintz in Strasbourg and Brussels. Fuel Cell Europe meets with the Bellona Foundation to review FP7 priorities and positions on fuel cells and hydrogen. Board meeting reviews progress on lobbying campaign on FP7 and emphasises the need to support the JTI kick off.

October: Fuel Cell Europe sponsors the HFP General Assembly and exhibits with a booth presenting fuel cell applications and a series of posters. Fuel Cell Europe submits the European Fuel Cell Application Road-show project proposal for EC funding in the Intelligent Energy Europe

programme. Fuel Cell Europe submits revised text for the section on ''Portable Power and Early Markets'' in the October draft HFP Implementation Plan. Fuel Cell Europe Brings Japanese Delegation to Europe. myFC AB joins as new member.

November: Fuel Cell Europe meets with MEPs Vittorio Prodi, Giles Chichester and Philippe Busquin. Fuel Cell Europe meets with European Energy Forum to review activities in 2007 and organisation of a dinner debate with MEPs. Fuel Cell Europe participates in conference on Energy & Climate Change organised by European Parliament Greens / EFA group. Fuel Cell Europe signs deal with Euractiv.com to expand visibility of the fuel cell industry towards European media and policy makers. Fuel Cell Europe prepares briefing paper and is interviewed for the study on "Alternative Technology Options for Road and Air Transport" for

the STOA-Panel of the European Parliament. Arcotronics joins as new member.

December: Fuel Cell Europe meets with Wiktor Raldow, Head of Unit Energy conversion & distribution systems, DG Research, European Commission. Fuel Cell Europe contracts HINICIO for 2007 and appoints Patrick Maio to act as executive director, starting 1 January 2007.

Fuel Cell Europe sends letter to German Chancellor Angela Merkel to draw attention of the German government on fuel cells and hydrogen. Fuel Cell Europe, the US Fuel Cell Council, Hydrogen & Fuel Cells Canada and the Fuel Cell Commercialization Conference of Japan

release results of industry survey commissioned to PriceWaterhouseCoopers. Fuel Cell Europe enters into extensive discussion with HFP Secretariat on demonstration targets for ''Portable Power and Early Markets'' in

the December HFP Implementation Plan to ensure that these define adequate production volumes.

5. Strategic priorities and activities in 2007

In 2006, the World Fuel Cell Council and Fuel Cell Europe went through a transition year to stabilise the financial situation of the organisation,refocus its activities and re-organise its operations to take future challenges forward. In 2007, Fuel Cell Europe will aim to expand its outreach inBrussels and in Europe and the General Assembly has set three main priorities to focus on:

Priority 1: European Advocacy

1. Developing joint positions and presenting the interests and views of Fuel Cell Europe members on key European dossiers affecting fuelcells: The European Energy Package, FP7, JTI, HFP, Cogeneration directive, CARS21 (Timing: on-going)

2. Participation in HFP panels to represent Fuel Cell Europe small members (Timing: on-going)

3. Dinner debate with European Energy Foundation to discuss the role of fuel cells as clean energy technology options (Timing: 24 April 2007)

4. Visit of several advanced fuel cell production facilities with Members of the European Parliament (Timing: Q2-Q3 2007)

5. Training / presentation session for start-up companies and established players at the European Investment bank (Timing: Q3-Q4 2007)

Priority 2: Foster Internal & External Communications

1. e-Newsletter presenting News f rom Brussels, Policy Developments, News from Members, Business Opportunities, International News,Major Events (Timing: Monthly)

2. Email alerts for specific issues of importance to members (Timing: on-going)

3. Topical teleconferences (Timing: as needed)

4. Upgrade and simplification of the complete website and members-only section (Timing: Q1-Q2 2007)

5. Expanding Fuel Cell Europes membership and external outreach (Timing: on-going)

6. Fuel Cell Europe communication campaign on the European Energy Review via Euractiv.com (Timing: January-February 2007)

Priority 3: Stimulating early markets:

1. Channelling early market opportunities within the HFP Implementation Plan, JTI and wider European programmes such as IEE and CIP

(Timing: on-going)2. Support to position projects on portable power / micro-fuel cells for EC funding (Timing: Q1 2007)

3. Engaging with the International Network of Cities interested in purchasing hydrogen fuel cell buses (Timing: on-going)

4. Presentation at the General Assembly of the Assembly of European Regions possibilities of projects to be undertaken with regions (Timing:21 March 2007)

5. Professional workshops: European Fuel Cell Application Road-show (Timing: Q3 2007 and Q4 2008)

6. Organisational changes

In order to reinforce the executive team and streamline the activities of Fuel Cell Europe, the Board and Annual General Meeting held on 4

October 2006 approved the following management structure:

1. A Member is appointed to represent the Board to ensure that the organisation is run in a way that is consistent with the best interests ofthe Members. The position is voluntary and part-time. The person is nominated by the Board and chairs the Board. Current / proposedand agreed incumbent: Mr. Jean Marc Tixhon.

2. A person with a recognised profile, appropriate to represent Fuel Cell Europe externally vis--vis high level decision makers, toundertake: Presentations at key conferences Facilitate access to and assist lobbying efforts directed at government (EU and national), politicians (especially MEPs); regional

authorities / agencies (e.g. London, NRW, Hamburg); industry and media. Plan and moderate workshops

Advise on overall strategic direction / supervision of the organisation. The position is part-time, to be used on an 'as needed' basis. The person is appointed by the Board. Title: Senior Adviser and Honorary President (title appropriate for external outreach) Mr. Marcus Nurdin was proposed and agreed.

3. A general manager (acting as Executive Director) will be responsible for the execution of the strategy, the running of the organisationand day-to-day management including acting as Director, European Affairs as well as responsibility for execution of all internal projects. Located in Brussels, the position is part-time and paid and appointed by Board. Title: Executive Director. It was proposed and agreed that a contract for management services is signed with the company Hinicio, under which Mr. Patrick

Maio would perform the role of Executive Director.

4. The Secretary General reports to the Executive Director and is responsible for: communications with Members and external audiences;contact/ consensus building with national/regional bodies; membership of advisory bodies (e.g. HFP) and other administrative duties. The person is appointed by Board; current / proposed and agreed incumbent: Mr. Patrick Trezona.

Arcotronics

Arcotronics Fuel Cells s.r.l. is an Italian company located in Sasso Marconi (Bologna) part of the multinational Arcotronics Nissei industrialgroup, a world leader in the production of metallised plastic film capacitors and machinery for the production of capacitors, batteries, andmetallised film. Arcotronics Fuel Cells began its own business with the acquisition of Roen Est S.r.l., a company born in collaboration withdivision of ENEA (National Agency for the Energy and Environment). Arcotronics Fuel Cells focuses on the development and marketing of

integrated systems for the production of electrical energy based on solid polymer fuel cells (PEFC), for applications in industry, transportation,civil, and aerospace. Its technology is based upon laminated elementary cells MEA (Membrane Electrode Assembly) that operate atatmospheric pressure fed by pure or reformed hydrogen. The cell, called MEGA (Membrane Electrode Gasket Assembly) is patented.Arcotronics Fuel Cells has developed two fully integrated units: PENTA and ELECTRUM. ELECTRUM is a 1kW field test product line ofhydrogen power modules for portable UPS applications.
