1. GALLAGHER COMMAND CENTRE

Gallagher Command Centre is the server soware for Gallagher's security integraon plaorm.

It is a powerful security management tool, providing the plaorm for integrang access control and security funcons includingcomprehensive access control and cardholder management, alarms management, intruder alarm monitoring, photo idencaonand a range of interfaces for sharing cardholder and event data with third party applicaons.

Residing on a selecon of Microso® Windows® operang systems, the soware incorporates a SQL Server 2008 Express databasewith the opon to select SQL Server 2005, 2008, or 2008 R2 databases. SQL Server 2005/2008/2008 R2 database (not includedwith the Gallagher Command Centre server) is recommended for systems meeng any of the following condions:

100 or more Controllers•three or more operator Workstaons•system has high transacon rates (more than 50,000 events per day)•

The purchase of the server soware includes a one-year Gallagher Soware Maintenance Agreement. The customer needs tocomplete the SMA document and return this within 60 days of licence creaon to take advantage of this entlement. Please referto Appendix 1 for more informaon.

1.2 GALLAGHER COMMAND CENTRE - LICENSES

SMA and one-o soware upgrade price calculaons include the full site license (including oponal licenses, soware features,and soware interfaces). Refer to Appendix 1 for more details.

Gallagher Command Centre Site License - C201900

The Site License is required to run Gallagher Command Centre and requires the following Licenses and Soware Opons to bespecied using the Gallagher Command Centre Soware Conguraon Form (see security-support.gallagher.co).

1.0 Software Maintenance and Software Upgrades

1.1 Gallagher System - Upgrades

Gallagher is commied to an R&D program for the introducon of new features and improving the quality and performance of theGallagher system. As such, new soware releases will be made at regular intervals. Customers can elect to take advantage ofthese soware releases as they are released through comming to Soware Maintenance, or via one-o Soware Upgrades.

Implicaons for Soware Maintenance and Soware Upgrades

Upgrading SitesGallagher strongly recommends that to ensure system performance, when a new Command Centre version is installed, everythingon the system (including all Controllers and devices) have their soware upgraded at the same me (unless specically instructedotherwise by Gallagher). If a soware upgrade is only paral, funconality may be impaired and system performancecompromised. Site should also consider the supported operang plaorms for the target version of Command Centre and theserver and/or work staon hardware required to run that operang plaorm. See 1.3 Supported Gallagher Command CentreVersions and Operating Platforms.

One-Time-Programmable (OTP) Field DevicesPlease refer to the document tled “One-Time-Programmable And Downloadable Code Devices” (included in thisAppendix) for informaon relang to products that have on-board OTP chips.

Third Party DevelopmentGallagher maintains the interface plaorms that it has developed to enable third party interfaces for example, the XMLdatabase ulity for cardholder data, event and status data.

1.3 Supported Gallagher Command Centre Versions and Operang Plaorms

Background

This document refers to "operang plaorm" as opposed to "operang system". This is because Gallagher uses Microso SQLServer as the database engine. The version of SQL Server is ed to the version of operang system. Gallagher policy takes intoaccount the Microso policy on operang plaorm upgrades and the Gallagher version release program.

Whenever a signicant change is made to the operang plaorm, it demands of Gallagher, a regression test and consequentsoware changes to maintain compability with the latest version of that operang plaorm. It should be noted that signicantdevelopment and tesng resources are required to provide support for Gallagher products to operate on mulple operangplaorms, compared with a single operang plaorm.

The meframe from Microso releasing their latest version to market and the customer-driven request for Gallagher to besupported on the latest operang system can vary depending on the customer percepon of the stability of the operangplaorm.

This support includes minor release versions falling within this range. A major release isindicated by a change to the version number up to the rst decimal place, e.g. v7.0x, v6.1x & v6.0x represent dierentmajor versions.

Technical support will be provided on a 'best endeavours' basis and will be chargeable for versions prior to the last sixmajor releases. A purchase order will be required in advance. For clarity, if the current major release is v7.0x thenchargeable technical support would apply to v4.2x and earlier.

•

Gallagher will choose the supported operang plaorm(s) best suited for each version of Command Centre based onour experience and knowledge as a Cered Microso Developer. Refer to each Command Centre version releasenotes for that version's list of supported operang plaorms.

•

The cost for operang plaorm upgrades required to support new versions of Gallagher Command Centre is theresponsibility of the customer.

•

Alternave language operang plaorms and subsequent versions will be considered as being equivalent to a newoperang plaorm version for each local variant.

•

Gallagher reserves the right to recommend a site upgrade to a version of Command Centre, (and/or version of the operangplaorm), which is currently under full soware support per the above policy in order to resolve performance anomalies apparenton that site.


1.4 One-Time-Programmable (OTP) and Downloadable Code Devices

“Embedded code” is dened as soware that is burnt onto one-me-programmable (OTP) chips during manufacturing or eldservice processes. It is required to support on-board processes such as establishing communicaons and online status. AllGallagher hardware devices that communicate (excluding Controllers) have embedded code on OTP chips for this purpose.

In some Gallagher products embedded code also includes soware that supports higher level funcons, for example, respondingto instrucons received from the Controller. We refer to these products as ‘OTP eld devices’. These devices include, but are notrestricted to:

As part of our R&D program, Gallagher endeavours to retain compability throughout the system however there may beoccasions where an incompability occurs between the Controller and OTP eld devices. The following policy relates to thesupport Gallagher will provide to customers:

Gallagher will provide informaon relang to compability between Command Centre version releases and OTPhardware in its Release Documentaon.

•

Where there are compability requirements involving OTP eld devices, the responsibility to upgrade these elddevices rests with the customer. If chip replacement is required as part of the upgrade process, Gallagher will typicallyundertake to swap-out the customer’s boards to have them reworked with the new embedded code. The price to thecustomer in this scenario will be the cost of reworking the boards, and any associated on-site costs.

•

This policy excludes the maintenance of code on any hardware products (including those that support downloadable code) wherethe product becomes obsolete, not upgradable or a core component of the board such as the chip becomes not upgradable inwhich case, the customer may need to purchase new boards.

If either of these situaons arise, the customer should discuss opons including nancial consideraon with their GallagherChannel Partner.


1.5 C201890 - Soware Maintenance

By comming to Soware Maintenance, a customer will benet from all soware releases made during the SowareMaintenance Period. This includes downloadable soware upgrades for their:

Gallagher Command Centre•Gallagher Controllers (6000, 3000 and 5000GL)•Field devices supporng downloadable code•Features for which the customer is licenced•

FIRST YEAR’S SOFTWARE MAINTENANCE INCLUDED WITH THE PURCHASE OF GALLAGHER COMMAND CENTREThe rst year’s Soware Maintenance is included with the purchase of Gallagher Command Centre.

The rst year of Soware Maintenance will commence from the date the licence was created by Gallagher. This oer excludescustomisaons.

Where changes are made to the site licence during the rst year (e.g. oponal features and licences are added), these willautomacally be included with the customer’s exisng Soware Maintenance for the remainder of the rst year’s SowareMaintenance (excluding customisaons).

Soware Maintenance: SECOND AND SUBSEQUENT YEARSFor the second and subsequent years, the standard renewal process and Soware Maintenance pricing policy (based on the fullsite licence) applies.

Annual pricing for Soware Maintenance is calculated at 20% of the current RRP (as published by Gallagher) of the customer’s fullsoware licence including:

If the site licence is amended during the period of Soware Maintenance (i.e. further licences and/or oponal features areadded), the price for the amendment will be calculated on a pro rata basis for the remainder of the Period of SowareMaintenance. MULTI-YEAR FIXED PRICE SOFTWARE MAINTENANCEMul-year xed price Soware Maintenance is available by agreement with Gallagher. Contact your Gallagher BusinessDevelopment Manager for more informaon.

CUSTOMISATIONSAny customisaons that were developed and tested by Gallagher will be included in Soware Maintenance at 20% of the cost ofthat customisaon as determined by Gallagher. Customisaons covered under Soware Maintenance will be upgraded on an ‘asrequired basis’. Please contact Gallagher to conrm ming and availability or for more informaon.

SOFTWARE MAINTENANCE PRICING EXAMPLEIf the site licence RRP is $10,000, then the annual price to the customer for the Soware Maintenance is: $10,000 * 20% = $2,000.If the customer has a customisaon worth $4,000 also included in their Soware Maintenance, an addional $800 ($4,000 * 20%)will be added to their annual Soware Maintenance price.

3.0 Gallagher Orders, Returns and Warranties Policy

3.1 Placement of orders, Acceptance of Shipment, and Cancellaons

3.1.1 Placement of orders

3.1.2 Quotaons

Gallagher may from me to me provide quotaons for special and/or project pricing. A quotaon will be generated with aquotaon reference number. The quotaon reference number must be quoted at the me of order for special pricing to be validfor the order. If the quotaon number is not supplied with the Purchase Order, standard pricing will apply to that order.

3.1.3 Large Orders

Where a large order is ancipated Gallagher recommends that the quotaon system is used to manage stock provisioning.Gallagher can best ensure stock availability by entering quotaons for large orders into the Gallagher order system together witha percentage likelihood assessment, and the date by which the product is expected to be required.

3.1.4 Conrmaon of Order

Gallagher Outbound Logiscs will enter your order into our system and send you an Order Conrmaon. On all OrderConrmaons please check that the following informaon is correct:

part numbers, quanty, and pricing•your Purchase Order number•delivery address details•your requested delivery date and the target Gallagher delivery date•

An order will be considered as accepted by Gallagher only once Gallagher has provided a wrien Order Conrmaon. An ordercannot be cancelled or modied once the Order Conrmaon has been sent, other than as stated in this document, without theprior wrien consent of Gallagher. Please note that Gallagher may refuse to accept an order where there is a dispute relang tothe state of the Channel Partner's account with Gallagher.

3.1.5 Delayed Delivery

In the event that delivery of Gallagher manufactured product is delayed for 30 days aer the agreed delivery date the ChannelPartner may, by noce to Gallagher, cancel the order for the products in respect of which delivery has been delayed. Orders for





third party product can only be cancelled if agreed in wring by Gallagher.

For large orders or me crical orders please refer to 3.1.3 Large Orders. Gallagher will use its best endeavours to comply withrealisc delivery dates requested and unless agreed and conrmed via the Order Conrmaon, the delivery date cannot beguaranteed. Gallagher will not be liable for any loss or damage caused to or by the Channel Partner through any delay in deliveryof the order by Gallagher.

3.1.6 Delivery

Delivery of the Products will be deemed to take place when the order is delivered to the delivery address shown on the OrderConrmaon where freight is Gallagher care. Where the Channel Partner’s own freight provider is being used delivery and riskshall pass to the Channel Partner upon collecon of the goods from Gallagher point of dispatch.

3.1.7 Acceptance of a shipment from Gallagher

The Channel Partner is responsible for checking that the product received is as per their order and has arrived undamaged. If ashipment has been damaged in transit at a point where freight was Gallagher care, it is the Channel Partner’s responsibility tonofy Gallagher and provide informaon necessary for Gallagher to make a claim on the Freight Company. Failure to provide thisinformaon could result in delays in the claim process or rejecon of the claim by the Freight Company. The Channel Partner isrequired to obtain a Returned Goods Authority (RGA) for any damaged product which is being returned to Gallagher. Contact yourlocal Gallagher oce and obtain an RGA as described in 3.1.8 Return Goods Authority (RGA).

3.1.8 Return Goods Authority (RGA)

The RGA number is the reference number used to idenfy all product/s returned to Gallagher by a Cered Channel Partnerregardless of the reason why the product is returned. Before you dispatch any products back to Gallagher, contact GallagherOutbound Logiscs and they will issue you with a Gallagher RGA document. Please complete all requested informaon on thisdocument. Mulple part numbers and quanes can be included in a single RGA. For each package being returned:

A copy of the Gallagher RGA document must be included inside the packaging along with the product/s, and•The RGA number must be marked on the outside of the packaging, and•If RGA numbered packages are then placed into an outer carton, all RGA numbers must be marked on the outside ofthe outer carton.

•

A Gallagher “Customer Fault Report” form must be completed and aached to each faulty product prior to being returned toGallagher for repair or replacement. The “Customer Fault Report” form is available from the following places:

Any return package/shipment that is received by Gallagher without a RGA will be held by Gallagher unl the RGA process hasbeen completed and the appropriate fault report and purchase order have been received by Gallagher. Gallagher will advise thesender of this.

The cost of freight for returning product to Gallagher Outbound Logiscs is the responsibility of the Cered Channel Partner,with the excepon of incorrectly supplied product as described in 3.1.9 Gallagher Sends Incorrect Shipment.

3.1.9 Gallagher Sends Incorrect Shipment

If the product received does not match your purchase order, please contact Gallagher Outbound Logiscs as soon as possible. Theincorrectly supplied products should be returned to Gallagher within 20 working days of being shipped from Gallagher. Forincorrectly supplied products a restocking fee will not be charged and the freight will be paid by Gallagher. If the incorrectlysupplied product is returned later than 20 working days, a restocking fee will be applied. Before returning any product, contactyour local Gallagher oce and obtain a RGA number as described in 3.1.8 Return Goods Authority (RGA).

3.1.10 Cered Channel Partner Places Incorrect Order

If a Gallagher manufactured product is incorrectly ordered by the Channel Partner, it must be returned within 20 working daysaer the product was shipped from Gallagher in order to receive a credit. Third party supplied product can be returned only ifagreed in advance and in wring by Gallagher.

All products must be returned in an unused state with the original packaging intact and include any documentaon and peripheralparts [if applicable]. Gallagher will not accept the return of used equipment for credit. A restocking fee will apply to all incorrectlyordered products and all freight costs to the point of origin are to be paid by the Channel Partner.

The restocking fees for return products are:

5% of the invoiced price where the product does not require rework before it is returned to stock•20% of the invoiced price where the product or packaging requires rework before it is returned to stock.•

If the products are received by Gallagher later than 20 working days aer the date the RGA number was issued, a restocking fee of20% of the invoiced price will be applied to all products being returned.

No returns of incorrectly ordered products will be accepted later than 3 months aer the date that the goods were dispatchedby Gallagher.

Before returning any product, contact your local Gallagher oce and obtain an RGA number as described in 3.1.8 Return GoodsAuthority (RGA).

3.1.11 Cancellaon

Cered Partners may cancel a Gallagher accepted order [for standard products] by sending a wrien request for a cancellaon 5working days, or more, prior to the Gallagher conrmed shipping date as recorded on the Order Conrmaon.

For orders that have already been shipped, please see3.1.10 Certified Channel Partner Places Incorrect Order.

For orders cancelled less than 5 working days before the conrmed shipping date, a wrien request for a cancellaon must besent to Gallagher Outbound Logiscs. A handling fee of 5% of the product’s invoiced price will be applied at Gallagher’s discreon.

Orders for non stocked items (made to order or purchased to order) and/or third party products cannot be cancelled unlessagreed in wring by Gallagher. Restocking fees for third party products will be determined at Gallagher discreon consideringthe circumstances.

3.2. Warranty Returns

All faulty products, for which a warranty claim is being made, must be returned to Gallagher within 20 working days of the issue ofthe RGA (see 3.1.8 Return Goods Authority Number (RGA)).

3.2.1 Advanced Replacement including for Warranty

If a Channel Partner returns a faulty Gallagher manufactured product and needs an urgent replacement, the Channel Partner canrequest that an Advanced Replacement for the appropriate part to be sent to them. The Channel Partner must provide Gallagherwith a Purchase Order as per the Serviced Parts price list prior to the replacement part being dispatched by Gallagher. Thereturning product will be checked before any credit is given for a valid warranty claim.

If the returned product is found not to be faulty or the warranty claim is invalid [see Warranty Policy] then the Channel Partnerwill be charged as per the Serviced Parts price list.


Before returning any product, contact your local Gallagher oce and obtain an RGA number as described in 3.1.8 Return GoodsAuthority Number (RGA). A purchase order will be required to cover this transacon.

3.3 Gallagher Serviced Part Advance Replacement Program

Gallagher has implemented a program for Advance Replacement of faulty Gallagher manufactured products with ‘Serviced Parts’.The objecve is to improve our repair service to achieve immediate replacement of goods returned for repair. This service isavailable for the Australia, New Zealand, North America, South Africa and UK regions. For Gallagher Cered Channel Partners inthese regions, this simplied process:

What are Serviced Parts?Serviced Parts are products that have been returned from the eld and have been serviced through Gallagher repair processes.They are updated to the latest manufacturing standards, including the latest version of rmware[1]. For readers, the plasc fasciais also checked against aesthec standards.Serviced Parts are made available to replace a faulty product in an exisng installaon, so that all the items included with a newproduct should not be required. Serviced Parts do not include: Installaon Notes, terminaon resistors, screws, product labels,mounng base plates, cables, cabinets, or all connector plugs.

Pricing of Serviced PartsThe part number for a serviced part is usually the same as a new part, but with an “S” sux e.g. C200190S GALLAGHERCONTROLLER 5000GL [SERVICED]. Please refer to your Gallagher Serviced Parts price list for the parts currently available.

Before returning a faulty part to be exchanged for a serviced part, contact your local Gallagher oce and obtain a RGA number asdescribed in 3.1.8 Return Goods Authority (RGA). At the same me you will need to provide Gallagher with a purchase order tocover the Standard Price of the serviced part or module.


3.4 Repair and Return: Fixed Price

Gallagher previously oered a hardware repair service based on me and materials. This service is no longer available and hasnow been replaced by Repair and Return: Fixed Price.

Gallagher oers a hardware repair service based on xed price for each dierent part number. This service is called “Repair andReturn: Fixed Price”. Each faulty product needs to be returned to Gallagher.

Before returning any product, contact your local Gallagher oce to obtain an RGA number as described in 3.1.8 Return GoodsAuthority (RGA) and provide contact details for the contact person. The Channel Partner must provide Gallagher with a PurchaseOrder as per the Repair price list at the same me as the RGA is requested.

A Gallagher “Customer Fault Report” form must be completed and aached to each faulty product prior to being returned toGallagher. The “Customer Fault Report” form is available from the following places:

A copy is included with SERVICED and returning products repaired by Gallagher.•On the Gallagher Security Technical Support website. This version can be lled out on line.•Paper copies and email copies are available from Gallagher NZ Repairs upon request.•Booklets of the forms are available to order from Gallagher. Please use part number (3E2972).•

Notes:

Performance Based Discounts are not applicable to xed price repairs.•When the faulty product is technically evaluated and found to be beyond economic repair, it will not be repaired butwill be returned at the Channel Partner’s expense or disposed of locally, as directed by the Channel Partner. Minimumcharges will apply.

3.5 Warranty

3.5.1 Hardware Warranty

Gallagher hardware products are warranted to the original purchaser to be free from defects in materials and workmanship forthe product warranty period. Gallagher will, at its sole discreon, repair, replace (with idencal or similar product), provide credittowards future purchase of Gallagher product to the equivalent purchase price of, or refund, any hardware product found to bedefecve during the warranty period. Exclusions under secon [3.5.4 Warranty Exclusions] apply.

For all repairs performed on hardware product during the original warranty period, the warranty shall expire at either the end ofthe warranty period applicable to the original hardware product or 90 days aer shipment of the replacement serviced part or therepaired part, whichever is later.

Warranty on serviced parts or modules, and Repair and Returns, is 90 days from the date they are shipped from Gallagher.Gallagher warrants that the repairs will be free from defects in materials and workmanship, and will operate in generalaccordance with their product specicaon.

Before returning any product, contact your local Gallagher oce and obtain a RGA number as described in 3.1.8 Return GoodsAuthority (RGA) and 3.2.1 Warranty Returns.

3.5.2 Gallagher Hardware Warranty Periods

The following Warranty Periods apply to Gallagher manufactured hardware:

Lifeme WarrantyGallagher T10, T11 and T12 readers are covered by a Lifeme Warranty.

Two Year WarrantyAll other Gallagher manufactured hardware, is warranted for a period of 24 months from the date sold by the Cered ChannelPartner, or 27 months from the date of manufacture, whichever occurs sooner. Also see 4.2.1 Warranty Returns.

3.5.3 Soware Warranty

Gallagher warrants that CD-ROMs / DVDs will be free from defects in material and workmanship, and the soware will operate inaccordance to Gallagher specicaon for the current release version. The warranty period for the soware products shall be 90days from the date the soware licence le enabling the features was issued.

Gallagher does not warrant that the funcons contained in the programs of its soware products will meet the Channel Partner’s


or customer’s requirements, or that the operaon will be uninterrupted or error free. Gallagher’s sole obligaon in respect of thesoware products warranty is to use its reasonable endeavors to correct or replace the program so that it performs in accordancewith Gallagher’s specicaons. Gallagher does not warrant any third party soware developed using Gallagher ApplicaonProgramming Interfaces.

Before returning any product, contact your local Gallagher oce and obtain an RGA number as described in 3.1.8 Return GoodsAuthority (RGA).Refer to the Gallagher Software License Terms and Conditions.

3.5.4 Warranty ExclusionsGallagher hardware and soware product warranes exclude the following:

1. Product modied or altered without Gallagher’s wrien authorisaon.

2. Product which has not been used in accordance with Gallagher’s documentaon, installaon or operang instrucons.

3. Product which has been subjected to condions not in accordance with those specied in Gallagher technical productspecicaons, or to unusual electrical or physical stress, re, lightening, Force Majeure, neglect, contaminaon by insect orvermin, misuse, abuse, improper storage, tesng or connecons, power or air condioning failure, hazardous or unreasonableuse, or servicing by any third party not authorized by Gallagher to perform such work or servicing.

4. General wear and tear on all readers, cards and transponders is specically excluded from warranty claims. General wear andtear includes fading or discolouring due to extended exposure to natural elements (e.g. moisture, UV, salt, sand etc.).

5. Product no longer covered under the applicable warranty period.

6. Freight costs to return a product to Gallagher.

7. Installaon, maintenance or service costs relang to a warranty claim.

8. Any incidental or consequenal costs associated with the failure of a Gallagher product under warranty.

9. Product returned to Gallagher in an un-testable state unrelated to the warranty claim (e.g. Reader wiring cut o at the readerbase, Controllers missing connectors unrelated to a fault etc).

Where product is submied under warranty claim and its condion or circumstances exclude it from warranty as per the aboveWarranty Exclusions list, Gallagher will charge based on either 3.4 Repair and Return: Fixed Price or 3.3 Serviced Part AdvancedReplacement Program above depending on the service chosen.

3.5.5 Warranty and Service/Replacement of Products Supplied by a Third Party

Third party products sold by Gallagher (dened for warranty purposes as those products listed below) are covered by warrantyterms based on the respecve manufacturer terms. The warranty coverage period for the following third party products (unlessotherwise mandated by local warranty laws) are:

Cards and Transponders: 1 Year from delivery of order•Morpho Access Range: 2 Years from delivery of order•Nedap AVI Range: 6 Months from delivery of order•Salto: 2 Years from delivery of order•Aperio: 2 Years from delivery of order•Moduteq - D10, D21 Sensors, 1 Year from delivery of order•

All third party products returned under warranty should be returned to your regional Gallagher oce/distributor. Beforereturning any product, contact your local Gallagher oce and obtain an RGA number as described in 3.1.8 Return GoodsAuthority (RGA).

The service and repair of third party products shall be via the third party’s processes and service levels. Regular Gallagherreplacement, service, repair and return for Gallagher manufactured products shall not apply.


4.0 Key Device Policy

Command Centre Licensing

Gallagher licenses the use of its Command Centre product via key devices. A key device can be any controller permanentlyinstalled and communicang with the Command Centre server. Each site can have one or two key devices. The key devices areidened in the license le at the me of purchase from Gallagher.

Key Device Failure

Should a key device fail or be removed from the site for any reason an alarm will be raised in Gallagher Command Centre. Note:Prior to Command Centre v7.00, only the last key device being removed from the system causes an alarm. From v7.00 and anylater version, any key device being removed will generate an alarm. When the last key device is removed, if the license le is notupdated or the key device returned, aer an elapsed period of me the system will become read-only.

License Updates

When Gallagher is requested by a Channel Partner to update the key devices in a site license le, due to failure or removal of thekey device from that site, Gallagher requires that the key device is sent back to the nearest Gallagher regional sales oce within30 days. Should the Channel Partner not be able to return the key device then Gallagher reserves the right to invoice the ChannelPartner for the full cost of the site’s Gallagher Command Centre soware based on the price list in eect at the date of invoice.Before returning any product, contact your local Gallagher oce and obtain an RGA number as described in 3.1.8 Return GoodsAuthority (RGA).

Note: Out of warranty licence key devices cannot be repaired and/or returned to the customer. They can only be replaced. Thefaulty key device must be returned to your nearest Gallagher sales oce listed in 3.1.8 above.
