1. PRICING & TERMS:Opening Orders Prepaid (Visa/Mastercard),Subsequent Orders (Subject to credit approval) - Net 30. Taxesor any other governmental imposed costs that serve to increasethe cost o goods will be charged as extra. I any payment owedto Seller is not paid when due, interest o 2.0% per month, or 24%per year will be charged rom the date on which it is due until it ispaid. Should original invoice include discounts o any kind, Sellershall have the option to revise the invoice at the ull price within theoriginal invoice dating. Return Check ee o $30.00 will apply. Buyershall be liable or all expenses, including attorneys ees, relating tothe collection o past due amounts.

2. MINIMUM ORDER: $350.00. $25 ee will apply to opening ordersunder $350.00 (Minimum Re-order $150.00).

3. FREIGHT, TITLE & RISK OF LOSS: Shipments are made F.O.B.Sellers shipping point. Title o goods transer to Buyer at F.O.B.shipping point. Goods in transit at risk o Buyer. The Buyer isresponsible or all additional reight charges resulting rom reusedshipments and will be subject to a 25% restocking ee. Any claimsor shortages or damages suered in transit shall be submitted bythe Buyer directly to the carrier. While Seller will use all reasonablecommercial eorts to maintain the delivery date acknowledged orquoted by Seller, all shipping dates are approximate. Seller reservesthe right to make partial shipments. Seller shall not be bound totender delivery o any Goods or which Buyer has not providedshipping instructions.

5. CANCELLATIONS, EXCHANGES AND RETURNS: Orders orgoods, accepted by Seller, are non-cancelable, except with 30 daywritten consent. All other cancellations are subject to a 10% ser-vice charge. Backorders less than $150 will be cancelled. All itemsnot shipped will be considered cancelled unless re-ordered or rein-stated by mail, ax, email or telephone. No exchanges or returns willbe accepted without Sellers written authorization and unless claimsor such exchanges or returns are made within 30 days ater receipto shipment. Final decision on all such matters shall rest with Seller.

6. DEFECTIVE MERCHANDISE: All claims or deective merchan-dise must be accompanied by a return goods authorization numberprovided rom Seller. Seller reserves the right to have deectivemerchandise returned reight collect to St. Clements, Ontario. Mer-chandise returned without prior authorization will not be accepted

and remains the responsibility o the Buyer. Return authorizationissued by Seller must be noted on any documents which accom-pany returned goods or debit memos.

7. LIMITED WARRANTY: Seller warrants that the Goods will beree rom deects in material and workmanship under the normaluse, service and maintenance or (1) one year (unless otherwisespecifed by Seller in writing) rom the date o shipment o thegoods by Seller. This is the sole and exclusive warranty given bySeller with respect to the goods and is in lieu o and excludes allother warranties, express or implied, arising by operation o law or

otherwise, including without limitation, merchantability or ftor a particular purpose whether or not the purpose or usebeen disclosed to Seller in specifcations, drawings or otherand whether or not Sellers products are specifcally desigand/or manuactured by Seller or Buyers use or purpose. warranty does not extend to any losses or damages due to miaccident, abuse, neglect, normal wear and tear, unauthomodifcation or alteration, or improper installation, maintenanapplication.
