Notice is hereby given, in accordance with Section 108 and Section 110 of the

Companies Act, 2013 ('the Act') read with Rule 20 and Rule 22 of Companies

(Management and Administration) Rules, 2014, as amended ('Management Rules')

from time to time, for seeking approval of the members of Goldiam International

Limited (the Company) by way of a Special Resolution for the following businesses

set out hereunder through Postal Ballot by voting through electronic means only

('remote e-voting'):

Approval of Buy-back of equity shares of the Company

In accordance with the terms of General Circulars, the Company has emailed the

Postal Ballot Notice along with Explanatory Statement on September 13, 2021.The

notice is being sent to all members/beneficiaries whose names appear in the Register

of Members/Record of Depositories as on Cut-off-date/Specified date Friday,

September 10, 2021. The voting rights of the members shall be reckoned in the

proportion to their share of the paid-up equity share capital as on Friday, September

10, 2021. A person who is not a member on the aforesaid date to treat this notice for

information purpose only.

In accordance with the terms of General Circulars, hard copy of the Postal Ballot

notice along with Postal Ballot forms and prepaid business reply envelope will not

be sent to the members for Postal Ballot. The communication of the assent or dissent

of the members would take place through the remote e-voting system only.

The Postal Ballot Notice is also be available on the Company's website

www.goldiam.com, websites of the Stock Exchanges i.e. BSE Limited (BSE) and

National Stock Exchange of India Limited (NSE) at www.bseindia.com and

www.nseindia.com respectively, and on the website of LIIPL- https://

instavote.linkintime.co.in/

The Board of Directors of your Company has appointed Mr. Rajnikant Shah,

Practicing Company Secretary, Mumbai, as the Scrutinizer for conducting the Postal

Ballot process in a fair and transparent manner.

The Company has engaged the services of Link Intime India Private Limited (LIIPL)

for providing e-voting facility to all the Members of the Company. Members are

requested to note that the voting period will commence from Tuesday, September

14, 2021, IST at 9.00 a.m. and end on Wednesday, October 13, 2021, IST at 5.00

p.m. The e-voting module shall be disabled by LIIPL for voting thereafter.

In case of any query and/or grievance, in respect of voting by electronic means

Members may refer to the Help & Frequently Asked Questions (FAQs) and Instavote
