Preamble:
Government of Gujarat has established the Climate Change Department vide GAD
notification read at Sr. No. (1) with a vision to integrate climate change perspectives
within its activities. This is the first State Government in Asia to have such an exclusive
Climate Change Department. This Department is acting as nodal Department for the
purpose of maximum utilization of Green technology leading to Climate Change
Adaptation and Mitigation strategies as defined in the State Action Plan on Climate
Change (SAPCC). Therefore while dealing with policy issues related to Green technology,
this Department is also aiming to generate revolving fund for this purpose under the
framework of "Climate Change Fund of Gujarat". In the budget of this Department a
provision is being made for this purpose as continuous item under Demand No. 108, CLC-
1 Climate Change Trust Fund since FY 2010-11.
Recommendations were obtained from various Stakeholders in developing strategies
related to Climate Change Fund of Gujarat (CCFG), based on which it is proposed to
establish the Climate Change Fund of Gujarat with following resolution:
Resolution:
The Climate Change Fund of Gujarat shall work under administrative control and guidance
of Climate Change Department. The CCFG shall be registered under the Societies
Registration Act 1860 and abide by following Memorandum of Associati~n.
1. Name:
The name of the society shall be "Climate Change Fund of Gujarat" here in after
shall be referred to as "CCFG", unless the context otherwise requires.

3. Definitions:
In this memorandum and rules made thereunder, unless the context otherwise
requires;
I. "The Central government" shall mean and include, the Government of India;
II. "The State government" shall mean and include, the Government of Gujarat;
Ill. "Governing body" means the governing body of the Climate Change Fund of
Gujarat, headed by Chairperson {Chief secretary of Gujarat);
IV. "Executive committee" means the Executive committee as mentioned in
memorandum of association, consist of persons selected by the Governing body
of Climate Change Fund of Gujarat;
V. "Administrative Body" means the administrative committee mentioned in the
memorandum of association consist of persons selected by the executive
committee of CCFG for the purpose of administrative requirements for the fund
execution
VI. "Board Member" shall mean and include, the members of the Governing body for
the purpose of acts or things to be done by the governing body;
VII . "Chairperson" means the chairperson of the "Governing body" and "Executive
committee" separately;
VIII. "Board Advisory Member" means a member of governing body in memorandum
of association empowered to provide advisory help to the governing body for
relevant subject matter;
IX. "Member Secretary" means the member of Governing body of "CCFG" as may be
nominated by the Governing body among its members from time to time;
X. "Executive Member" means a member who is empowered to take operational and
management decision within the executive committee;
XI. "Committee Member" shall mean and include, the members of the Executive
committee for the purpose of acts or things to be done by the Executive
Committee;
XII. "Financial Advisor" means the member of executive committee who will provide
financial advice for screening of project proposals and administer the financial
matter of CCFG;
XIII. "Advisory Member" means the member of executive committee who is not a
government officer of state/central government but appointed as expert in the
relevant field either via academic research or NGO association or subject matter
expert;
XIV. "Technical Member" means the member of executive committee for technical
assistance to the body;
XV. "Finance Member" means the member of executive committee for financial
assistance to the committee;

XVI. "Administrative Member" means the member of executive committee for
liasoning, technical assistance and administrative help to the committee;
4. Establishment of CCFG:
4.1 The 'CCFG' shall function as an independent society under 'The Societies Registration
Act 1860' for financing climate change adaptation & mitigation projects in every sector
along with other climate change initiatives, capacity building programs and monitoring &
evaluation works.
4.2 The 'CCFG' shall be having perpetual succession and a common seal.
4.3 The 'CCFG' will have to comply to all rules and regulations stipulated in 'The Societies
Registration Act 1860' and any other applicable Rules/ Regulations/ Acts of Government
of Gujarat & Government of India.
5. Aims and Objectives of CCFG
5.1 A charitable institution to provide financial assistance in form of 'Grant' to
governmental, non-governmental & private organizations for development and
implementation of projects focusing on climate change mitigation and adaptation.
5.2 To support various international commitments by India on climate change agenda at
state level.
5.3 CCFG shall screen, formulate and approve financing of project proposals related to
climate change initiatives in Gujarat state.
5.4 To finance and promote programmes addressing climate change in order to achieve
all the mission under NAPCC and objectives of SAPCC in consonance with India's
Nationally Determined Contributions (NDCs) and Sustainable Development Goals (SDGs)
at State Level.
5.5 Financing climate change mitigation and adaptation projects, climate change
vulnerability projects, awareness generation, capacity building programs and R&D.
5.6 To raise grants, loans, advances or money on deposits or otherwise from central/ state
government including national level finance corporation or from national or international
institutions , bilateral or multilateral cum development agencies, financial institutions,
banks or cooperatives , private donors local bodies , statutory organisations and such
other institutions and agencies on such terms as may be considered appropriate and
subject to guidelines or directions issued by the state government from time to time.
5.7 To do all possible other acts and things conducive for the attainment of the above
objective in the most efficient manner possible and such other activities which are
relevant to fulfil the objectives of the CCFG.

5.8 To prioritise projects and programmes identified under the State Action Plan on
Climate Change (SAPCC) of Government of Gujarat.
6. Funds:
6.1 The "CCFG" shall function with an initial fund of Rs . . SO Lakh (INR 50,00,000); a
separate bank account of CCFG shall be opened in a nationalised bank.
6.2 The "CCFG" shall be entitled to receive grant, donation, contribution, subscription,
bequests, loan, or contingency;
6.3 The Member Secretary of Governing body shall hold and stand possessed of the said
amount of Rs. SO Lakh (INR 50,00,000) herein after called the "CCFG Fund" which
expression shall include further additions, the conversions thereof and /or the
investments for the time being of the same and /or the investments or conversions of
such accumulation, additions and accretions thereof and the dividends, interest and /or
any other income of the said CCFG fund and subject to the powers and provisions
declared and contained herein after;
6.4 Before commencement of every year Climate Change Fund of Gujarat will get its
annual budget estimates approved by its Governing Body;
6.5 Land, Office and equipment's may be transferred to Climate Change Fund of Gujarat
at value, terms & conditions as may be decided by the State Government;
6.6 The investment of 'CCFG' or the interest and income thereof or any part there of shall
always be kept in the name of "Climate Change Fund of Gujarat11 in scheduled banks as
may be decided by the Governing body from time to time;
6.7 At any point of time CCFG will have to be complied to RBI guidelines published from
time to time. If the CCFG fund size increases by INR 50,00,00,000 the CCFG shall appoint
a fiduciary management agency like Nationalised or Private or Co-operative Banks or any
agency authorized by RBI to manage finance and disburse funds for CCFG.
6.8 'CCFG' shall disburse funds only as per 'Disbursement Guidelines of CCFG.
6.9 The books of accounts of CCFG shall be audited annually by an independent auditor
or practicing Chartered accountant.
7. Governing structure of CCFG:
7.1 Governing Body
7.1.1 The Governing body shall consist of 7 members and there shall not be at any time
less than 7 members or more than 10 members. As per section 1 of 'The Societies
Registration Act 1860' there should be at least seven member in the governing board of
the society registered under The Societies Registration Act 1860. Page 4 of 7
7 .1.2 The 'Chief Minist er of Gujarat' w ill patron (mentor) the 'Climate Change Fund of
Gujarat ' and the Governing body shall consist of fo llowing first members:

The Board Members shal l be appointed by the Government of Gujarat from amongst the
person under the above listed criteria. However, the state government may reconstitute
the 'Governing Body' at any time, if so required.
7 .2 Executive committee:
7.2.1 The Executive committee shall consist of 9 members or more.
7.2.2 The Executive committee shall consist of the fol lowing first m embers;

The members of executive committee may be appointed by the Governing body from
amongst the person having background of management, finance, technical,
administration and legal matters. However, the governing body may reconstitute the
executive committee at any time, if so require.
The executive committee with approval from governing body shall appoint administrative
members for operation of CCFG on need basis. The administrative members shall have
background of management, finance, business, technical, administration and legal
matters as per requirement.
This is issued after concurrence of Finance Department note dated 10/06/2018 on this
Department's even number file.
