Government of Kerala invites Request for Proposal (RFP) from competent
Individuals/Institutions/Agencies/Organisations/Firms/Consortium for
conducting detailed study and preparing Detailed Project Report (DPR) for
carrying out Habitat Enrichment Works in the animal enclosures being
constructed in the Thrissur Zoological Park, a project funded by Kerala
Infrastructure Investment Fund Board (KIIFB).

sufficient Technical Competence, expertise and experience in this field and

05.00PM. Bid security will be Rs 50,000/- (Rupees fifty thousand only). Bid

Online tenders/bids are to be accompanied with a preliminary agreement
executed on Kerala Stamp paper worth Rs.200/-, the draft of which is available in the
RFP document. Tenders/bids received online without the scanned copies of relevant
documents and preliminary agreement will not be considered and shall be summarily

PART II
GENERAL INFORMATION
1. Background
1.1 Brief project overview
The Kerala Forest Department is establishing a Zoological Park of international
standards in 136.86 hectares of forest land at Puthur about 12 kilometres from
Thrissur Town. Animals presently housed in the Thrissur Zoo will be shifted to the
Zoological Park. The animal collection plan also includes procurement through
exchange or otherwise of animals presently not in the collection of Thrissur Zoo.
Basic design of the Animal Exhibits in the Zoological Park is done by shri. Jon Coe,
world famous zoo designer from Australia through Jon Coe Design-Idea Design
Consortium. Detailed Master Plan and Master (layout) Plan and detailed design of
individual animal exhibits have been approved by Central Zoo Authority. The
Ministry of Environment, Forest and Climate Change has issued Forest Clearance and
the Kerala State Environment Impact Assessment Authority has issued Environmental
Clearance for the Project. This project is funded by Kerala Infrastructure Investment
Fund Board (KIIFB), a company under Kerala Finance Department for funding major
infrastructure projects in the State. Thrissur Forest Development Agency, a registered
Society of forest dependent communities is the Special Purpose Vehicle (SPV) for
implementing the Project. The Executing Agency for civil works relating to animal
exhibits is Central Public Works department (CPWD).
Twenty three animal exhibits are being constructed in the Zoological Park. The
details of animal exhibits are the following;
1. Biodiversity Centre- A building having three levels for housing reptiles,
amphibians, nocturnal animals etc and having aquarium, terrarium etc.
2. Great Aviary for housing different categories of birds.
3. Enclosure for Gharial and Mugger.
4. Enclosure for Deers-1
5. Enclosure for Deers-2
6. Enclosure for Deers -3
7. Enclosure for Nilgiri Langur
8. Enclosure for Lion Tailed Macaque
9. Enclosure for Leopard
10. Enclosure for Tiger
11. Enclosure for Lion
12. Enclosure for Indian Gaur
13. Enclosure for Hippopotamus
14. Enclosure for Zebra, Eland and Ostrich
15. Enclosure for Sloth Bear
16. Enclosure for Himalayan Black bear
17. Enclosure for Nilgiri Tahr-1

The enclosures have been designed following “landscape immersion technique” such
that the visitor would sight the animal as if in the same landscape giving a feel of
sighting the animal in the wild. Kraals are camouflaged with green barriers. So also
the moats of the enclosures. The animal exhibits are located in the foothills of three
contiguous hillocks in a ring pattern extending 4 kilometers. Visitor paths are located
in the lowermost level. Animal exhibits are at the next higher level. Beyond the
exhibits are forested hill slopes. So the landscape setting is such that the visitor views
the animals at a slightly elevated angle with forest in the background. This landscape
is deliberately created to instil a sense of respect and veneration to the animals in the
visitors so that the message of wildlife conservation is effectively driven home.
The Recognition of Zoo Rules 2009 stipulates that every zoo shall make special
efforts to enrich the environment of the enclosure to meet the species specific
behavioural requirements of the animals in accordance with the standards specified by
the Central Zoo Authority. Further the animal enclosure in the Zoo should not only be
safe and secure for the animals, animal keepers and visitors, but should also have
requisite space for free movement, exercise and expression of natural behaviour by
the animals. Wild animals spent considerable time and energy for finding and
processing food, building nests and defending their territories. Most of their time is
spent in these activities in the wild. It has become necessary to provide alternative
methods of stimulating natural foraging behaviour to meet both the mental and
physical needs of the captive animal. Enrichment can promote species-typical
behaviour by providing the animals with a complex and unpredictable environment
as being encountered in their natural habitat in the wild.
Environmental enrichment is defined as the provision of stimuli which promote
the expression of species-appropriate behavioural and mental activities in an under-
stimulating environment. The environment of an exhibit encompasses all the living
and non-living things of that exhibit and all the interactions of the living things.
Enrichment refers to the act of making something better by the addition or increase of
some desirable quality or ingredient.
Environmental enrichment is an animal husbandry principle that involves
change to enhance the quality of captive animal’s life or environment necessary for
optimal psychological and physiological wellbeing and providing opportunities for
expression of appropriate naturalistic or wild behavioural pattern. The goal of
environmental enrichment can be achieved by providing stimuli that increase the
number or range of species-specific behaviour, increased positive utilisation of the
captive environment, preventing or reducing the frequency of abnormal behaviours
such as stereotypes and increasing the individual’s ability to cope with the challenges
of captivity. This would also invoke an awe-inspired respect for nature in the visitors.
In this context it is worthwhile to mention the recommendation of the Committee of
Zoo Experts appointed by the Government of India for suggesting measures to
improve various operations forming part of zoo management that “enclosures in a zoo
should be sufficiently large to give fullest opportunity for expressing breeding rituals
like chasing, providing opportunities to explore their environment and withdrawal
areas. Species-specific environmental enrichments thus add a level of much needed
complexity in the enclosure that encourage animals to express a more diverse and
species-typical behaviour repertoire.
There are many types of enrichment practices that involve manipulating the
environment in which the animals live for providing behavioural stimuli. In this
context the important components of environmental enrichment can be summarised
below:
1. Keeping animals in compatible small groups.
2. Providing adequate three-dimensional space for exercising the normal
movement patterns like walking, flying, climbing etc.
3. Providing suitable substrate to facilitate the animals to satisfy their digging,
burrowing and exploratory instincts.
4. Providing suitable trees, shrubs and bushes in the enclosure to provide the
animals opportunities for climbing, swinging, feeding, clawing, playing,
rubbing the antlers etc. Since trees take substantial time in growing to required
size, during the interim period, appropriately sized logs/branches of trees could
be used to meet the behavioural needs of the animals.
5. There should be provision of alternative enclosures for the ungulates living in
large social groups, bears and primates so that the animals could be shifted
from one enclosure to the other to facilitate recovery of vegetation.
6. Burrows, dens etc could be constructed to facilitate the animals to hibernate or
to take shelter during extreme weather conditions.
7. Planting grass and reeds for providing cover area for the animals.
8. Fixing mud pots, tree hollows, bamboo baskets etc to meet nesting and egg
laying needs of birds.
Environmental enrichment can be broadly classified as follows:
1. Physical enrichment: Modification to the physical environment of an enclosure
may be of a permanent or temporary nature. Addition of novel items can
stimulate natural behaviour.
2. Space: There should be provision to increased utilisation of three-dimensional
space of the enclosure.
3. Artefacts: An artefact is any object an animal can interact with. The most
commonly used artefacts are live and dead trees, trunks, branches, and ropes.
Artefacts can be added to the enclosure or removed from it moved to add
novelty, create new locomotive pathways and encourage exploratory
behaviour. Non-stationery furniture serves to add unpredictability to
locomotion.
4. Pools:-Pools are provided for swimming and mud is provided for wallowing.
5. Substrates: A variety of substrates may be provided for tactile stimulation or
digging.
6. Manipulable objects: These are objects which are changed frequently to
stimulate investigatory behaviours. Providing several types of manipulable
objects allows animals to choose from them.
7. Feeding enrichment techniques: Novel food items are those that are not part of
the usual captive diet of the species but will not cause nutritional disorders if
used on a non-daily basis.
8. Feeding enrichment devices: They are useful for animal welfare purpose.
9. Smell: The use of different fragrances to encourage animals to smell different
places in an enclosure encourages exploratory behaviour.
10. Auditive enrichment: Using different sounds to attract the attention of an
animal is part of the training in rehabilitation programmes.
11. Enrichment to meet physiological needs: The temperature and humidity of an
enclosure need to be maintained at the appropriate levels. The photo period
conditions must be such as to stimulate natural behaviour of each species.
12. Social Enrichment/Social Grouping: Captive social grouping should resemble
those observed in the wild.
1.2 With a view to meet the above objectives, the SPV has decided to appoint
competent Individuals/ Institution/ Agency/ Organization/ Firms/ Consortium
(hereinafter referred to as “Consultant”) with experience in developing/ establishing
eligible/similar projects cited above for preparing DPR for captive animal enclosure
enrichment works through a competitive and transparent bidding process. The
schedule of selection process is given in Table-1 of Annexure-I
1.3. The Chief Executive Officer, SPV, for Thrissur Zoological Park Project invites
proposals (hereinafter referred to as Request for Proposal or “RFP”) from qualified
“Consultants” for conducting detailed study of the engineering drawings for the
construction of animal enclosures in Thrissur Zoological Park for preparing Detailed
Project Report (DPR) along with ready to tender BOQ for carrying out
environment/habitat enrichment works in the animal enclosures under construction.
The details of procuring entity & venue of bid opening are given in Table-
2 of Annexure-I.
1.4 Accordingly, bids from Consultants satisfying the following criteria are invited
through the E-procurement portal of Government of Kerala:

1.4.1. Should have a minimum of 5 years’ experience in the field of providing
consultancy services including developing and executing habitat enrichment works in
the exhibits of wild animals in Zoological Park / Animal Rescue Centre/ Zoo and
Museum/Biological Park or Nature Theme Parks/Wildlife Parks/Aquarium
including preparation of Master Plan, DPR and ready to tender BOQ for State and
Central Government Agencies or reputed organisations in India or abroad. The Firm
should have completed at least one Eligible or Similar Projects during the last five
years of 2014-15 to 2018-19.
In this context,
Eligible Project is one in which the Firm has successfully completed the project of
habitat enrichment works in the exhibits of wild animals in Zoological Park /
Animal Rescue Centre/ Zoo and Museum/Biological Park including preparation of
Master Plan, DPR and ready to tender BOQ for State and Central Government
Agencies or reputed organisations in India or abroad
Similar Project is one in which the Firm has successfully completed the project of
natural landscaping including terrestrial and aquatic elements using natural and
artificially created exhibits in Nature Theme Parks, Wildlife Parks, Aquarium etc.
including preparation of Master Plan, DPR and ready to tender BOQ for State and
Central Government Agencies or reputed organisations in India or abroad
1.4.2. Should have an Expert in Wildlife Biology who would act as Team Leader for
this Consultancy having post graduate degree in Zoology, Wildlife Biology/Forestry
or equivalent discipline with minimum five years experience in planning and
executing habitat enrichment works in Zoological Park / Animal Rescue Centre/ Zoo
and Museum/Biological Park including preparation of Master Plan, DPR and ready to
tender BOQ supported by a Zoo Manager, Landscape Architect and Civil Engineer
having qualification and experience given in Table-4 of Annexure-I in planning,
designing, costing and executing works similar to those involved in habitat
enrichment.
1.4.3. Should have an annual turnover of not less than Rs. 20 lakhs from consultancy
services of eligible/similar/related projects in each of the last three financial
years viz 2015-16,2016-17 and 2017-18 or at least Rs. 60 lakhs in total for these
years.
In this context, related project is one involving landscaping based project
involving eco-friendly constructions and works involving supplementing and
manipulating natural landscape features including created features.
RFP documents can be downloaded from the e-procurement portal of
Government of Kerala and the official website of Kerala Forest Department from 01-
08-2019 onwards.
3. Brief description of the selection process
The SPV will adopt a two stage selection process (collectively the “Selection
process”) in evaluating the RFP comprising technical and financial bids. The selection
of the Consultant will be made on the basis of Quality-cum-Cost Based Selection
(QCBS) method.
In the first stage, a preliminary technical evaluation will be carried out. Based
on this evaluation, a preliminary short list of tenderers shall be prepared and
published. The tenderers in the preliminary short list shall be called for power point
presentation wherein all the members of the proposed team of the Consultant shall be
present. Performance in the presentation will be reckoned in determining the final
technical scores. The highest technical bid will be assigned a score of 100 (One
Hundred) points and the scores of other bids will be proportionately assigned.
The tenderers who secure the cut off score in the Technical Bid will be included
in the final shortlist.
In the second stage, the financial bid of the finally shortlisted firms will be
opened and a financial evaluation will be carried out. The lowest financial bid
will be assigned a score of 100 (One Hundred) points and the scores of other bids
will be proportionally assigned. A weightage in the ratio 50:50 will be assigned for
the technical and financial bids, respectively. Proposals will finally be ranked
according to their combined technical and financial scores. The tenderer with the
highest combined score will be the first ranked tenderer (hereinafter referred to as the
selected tenderer) who shall be called for negotiation, if necessary, while the second
ranked tenderer will be kept in reserve.
4. Amendment of RFP
If it becomes necessary to revise any part of this RFP or if additional data are
necessary for an exact interpretation of provisions of this RFP prior to the due date for
receipt of proposals, notification will not be published through newspapers and further
changes will be updated only on the website of Kerala Forest Department and e-tender
website of Government of Kerala. The SPV reserves the right to extend the due date
for accepting bids to accommodate such interpretations or additional data
requirements.
5. Cost of Proposal
The tenderer shall be responsible for all the costs associated with the preparation
and submission of their proposals and their participation in the selection process
including subsequent negotiations, visits to the SPV, project site, etc. The SPV will
not be responsible or in any way be liable for such costs, regardless of the conduct or
outcome of the selection process.
6. Discussion Format
The SPV reserves the right to conduct discussions, either oral or written, with
those tenderers determined by the SPV to have submitted reasonably viable proposals
for being selected for award. The SPV also reserves the right to issue clarifications to
resolve minor issues in the RFP and to call for additional information, if required at
any stage, for evaluation purposes.
7. Period of Contract
The term of the contract of engagement/appointment as Consultant is for a
period of three months (3 months) for submitting DPR and required documents on
mutually agreed terms and this period shall commence from the date of signing of the
agreement. Services of the Consultant shall be rendered to the SPV during the
implementation phase of the project as and when required and on the demand of the
SPV. The contract can be terminated by either party with a notice period of 15 days
(fifteen days). However, if the SPV is of the view that any act of fraudulence or
malfeasance has been committed by the tenderer selected as the Consultant and it is in
the public interest to abrogate the contract, then the SPV has the right to reduce the
above notice period to 7 days (seven days) within which the Consultant has to wind
up its operations and hand over all relevant documents, data, etc. to the SPV.
PART III
RESPONSIBILITY
8. General Responsibility
8.1 The Consultant shall
8.1.1. Act in a fiduciary capacity for the SPV within the scope of the work undertaken
by it and shall disclose all conflicts of interest as and when they arise;
8.1.2. Not receive any consideration by way of remuneration or compensation or in
any other form from any person or entity other than designated under the Agreement,
in respect of any activity done in relation to the projects and products for which
service is provided;
8.1.3. Maintain an arms-length relationship between its activities as a consultant and
its other activities;
8.1.4. Ensure that there is no conflict of interest in all its activities. If the Consultant,
its holdings or subsidiary company secure any contract from the
Department/Government for any Similar Services and in such instance shall ensure
that in case of any conflict of interest between such activities and the activities under
this contract, such conflict of interest shall be disclosed to the SPV and a written “
no objection” secured from the Department/Government.
8.1.5 Not divulge any confidential information which has come to its knowledge about
the Department, Government or public or private agencies with which it has to interact
pursuant to the Agreement, without taking prior permission except where such
disclosures are required to be made in compliance with any law for the time being in
force. The data or information generated as part of this assignment shall be the sole
property of the SPV and the Consultant shall not share, divulge or use it for any other
purpose without the prior approval of the SPV in writing;
8.1.6. Not enter, on its own accord, into transactions which are advantageous to itself
or which are offensive to the interests of the SPV in consequence to its advice given
to the SPV.
8.1.7 Follow Know Your Client procedure as may be specified by Government from
time to time;
8.1.8 Abide by the code of conduct as may be specified;
8.1.9 Provide independent advice and work under the scope of the Agreement,
safeguarding the interests of the Government of Kerala and the SPV to the best of its
ability;
8.1.10 Disclose all material information about itself including its business, relevant
disciplinary/regulatory history, the terms and conditions on which it offers
advisory/consultancy services, affiliations with other intermediaries and such other
information as is necessary to take an informed decision on whether or not to avail its
services;
8.1.11 Disclose any consideration by way of remuneration or compensation or in any
other form whatsoever, received or receivable by it or any of its associates or
subsidiaries for any distribution or execution of services or products in respect of
which the advice is provided;
8.1.12 Before recommending the services of any intermediary disclose any
consideration by way of remuneration or compensation or in any other form
whatsoever, received or receivable by the Consultant from such intermediary for any
purpose pursuant to the implementation under the Agreement, if the SPV desires to
avail the services of such intermediary;
8.1.13 Disclose to the SPV its holdings or position, if any, in any intermediary, for
providing any similar Services or products which are subject matter of its advice;
8.1.14 Disclose to the SPV any actual or potential conflicts of interest arising from any
connection to or association with any provider of similar services, including any
material information or facts that might compromise its objectivity or independence in
the carrying on of the advisory and consultancy services to the SPV; and
8.1.15 Maintain a core team consisting of Expert in Wildlife Biology as Team Leader
supported by Zoo Manager, Landscape Architect and Civil Engineer during the entire
period of contract.
PART IV
SCOPE OF SERVICES & DELIVERABLES
9. Responsibility as Consultant
9.1. The Consultant is expected to conduct detailed study of the Engineering
drawings for all the Animal Enclosures being constructed in the Thrissur
Zoological Park and develop and submit a Detailed Project Report (DPR) together
with Master Plan and ready to tender Cost Estimates (BoQ) for providing near
natural habitat environment to the wild animals to be kept in the exhibits taking
care of the ecology, biology and behaviour of animals in the wild. In addition the
Consultant shall provide consultancy services to the SPV during the project
implementation period. By and large the consultant shall undertake the following
activities, though not necessarily limited to it; i. A point of contact shall be established in Thrissur for liaison with the SPV.
ii. Demand Assessment for the project
iii. Consultation with the Project Team, Executing Agencies, Consultants and
other stakeholders.
iv. Carry out detailed study of the engineering drawings of each enclosure
approved by the Central Zoo Authority of India.
v. Preparation of detailed layout plan including detailed components of each
animal enclosure together with cost estimates for different components
vi. Architectural and structural Design drawings, together with design
interpretation drawings and construction level drawings for each
component together with 3D views..
vii. Construction level drawings should have sufficient details to permit
contractors to carry out the construction work effectively, without
ambiguity.
viii. Type of materials used in the construction of each component, their
specification and source of collection. Maximum care is to be taken to
employ naturally occurring materials for developing the components.
ix. Prepare standard specifications for all works ensuring highest standards of
quality.
x. Detailed costing and rate analysis following the DSR rates wherever
applicable. For items for which such standard Schedule of Rates are not
available, estimates shall be prepared based on market rates.
xi. Preparation of Bill of Quantities.
xii. Construction Methodology.
xiii. Preparation of Request For Proposal (RFP) document for procuring
competent and experienced Agency for executing the work.
xiv. Arranging periodic visits during the execution period for quality
assessment and course correction and for certifying satisfactory
completion.
9.2. The Tenderers can put forth and incorporate any innovative suggestions which
suit the objective of the Project within the broad frame work of the Central Zoo
Authority guidelines over and above the components described hitherto.
10. Project Key Personnel
10.1 The specification of duration of service required from the project personnel
deployed by the Consultant for the assignment/services to the SPV is provided
in Table-3 of Annexure-I.
10.2 The specification of required minimum qualification, professional experience &
eligible/similar experience of the project personnel is provided in Table-
4 of Annexure-I.
10.3 Assignment specific qualifications and experience
10.3.1 Qualification and Experience of Project Personnel:
Curriculum Vitae (CV) of the Project Personnel shall be submitted in Form
No. 4 given in Annexure-II. Regarding the evaluation of the CVs of each individual,
it is the responsibility of the tenderer to produce sufficient documentary evidence of
qualification, relevance of experience, specialisation, etc. as may be required for
proper evaluation thereof and assignment of relevant scores. In case of any missing
documents, corresponding marks will be awarded based on the best judgement of the
Evaluation Committee constituted for the purpose. Therefore, it is recommended that
the tenderers shall make themselves fully aware of the evaluation criteria and ensure
to produce proper and sufficient supporting documents.
During the contract period the Consultant shall maintain its original proposal
without any change, including the availability of the Key Personnel, the proposed
rates and the total price.
10.3.2. Consultant’s Technical Competence:
References of completed Projects to demonstrate Consultants technical
experience in eligible/similar assignments shall be furnished in Form No.3
given in Annexure-II.
10.3.3. Financial Competence:
Average Turnover of the Consultant from eligible/similar/ related
projects/ Services for the last three years shall be furnished in Form No. 5
11. Payment Schedule
11.1 The payment to the Consultant shall be made as shown below;
20% of the agreed amount on submitting the habitat enrichment plan for all
animal enclosures together with preliminary drawings and rough cost estimates
30% of the agreed amount on submission of the detailed architectural and
structural drawings of the components in each animal enclosure along with
final layout plan of each enclosure based on the basic engineering drawings
issued to the Consultant.
30% of the agreed amount on submission of the detailed interpretation
drawings and construction level drawings, detailed cost estimates as per
DSR/Market together with detailed specifications of work, specification of
materials to be used and the source of materials and 3D views of each
component and the RFP document for procuring Agencies for executing the
work.
The balance amount 20 % shall be paid at the time of completion of the
execution of the work in the field.
11.2. Each stage payment is to be preceded by approval of the same by the
Evaluation Committee constituted by the SPV.
11.3 The SPV shall not be responsible for providing any financial support except as
per the payment schedule afore mentioned. Any other expenditure like travelling,
staying, communication, boarding and lodging etc. for the consulting team stationed at
the place of assignment shall be borne by the Consultant itself.
In case of non- compliance of contract clauses and poor performance of the
team, a penalty of up to 5% (five percentages) of the tender amount shall be levied
from the Consultant. Further the SPV may forfeit the security deposit, if deemed fit.
Generally non- completion within time limit will be considered as poor performance.
(See paragraph 16.13).
PART IV
GENERAL TERMS & CONDITIONS OF
SUBMITTING PROPOSALS
12. EMD and Tender processing fee
12.1 A non refundable tender processing fee of Rs.4000/- as per tender
procedure as given in the designated E-tender portal shall be payable by the
Tenderers at the time of submission of bid.
12.2 The Tenderer shall furnish non-interest bearing bid security, which will be Rs
50,000/- (Rupees fifty thousand only) and which shall be paid in a single
transaction using the on-line modes specified in the www.etenders.kerala.gov.in portal.
Bids not accompanied by the prescribed bid security and tender processing fee shall
be disqualified and rejected.
13. Technical Proposal
In order to be eligible for Technical qualification, the Proposals should include
the following items given in ANNEXURE II with sufficient documentary support for
the claims made therein:-
1. Letter of Proposal in Form No.1.
2. Details of Tenderers Operation including details of Partners/Board of
Directors/Governing Body of the Firm and details of Staff and Consultants
working with the Firm in Form No. 2and the details of the professional
experience together with relevant documents attested/notarised.
3. Detail of experience of the Firm in executing Eligible/Similar Projects in
Form No. 3 together with copies of completion certificate attested/notarised.
4. Curriculum Vitae and Project specific experience of Project Personnel in Form
No. 4 together with copies of certificates of educational qualification and
experience certificate attested/notarised.
5. Statement of Financial Competence of the Firm in Form No.5together with
copies of Income Tax Returns and Balance Sheet and Profit and Loss Accounts
for last three years attested/notarised.
6. Preliminary Agreement in the format given in Annexure IV in stamp paper
worth Rs 200/-
7. Format of declaration by the tenderer in Annexure VI that they are not having
any connection directly or indirectly with the Forest department’s/SPV’s
employees who are in charge of this work, should be signed and attested in the
declaration form attached and uploaded.
8. MoU for Consortium in the format given in Annexure VIII.
9. Joint Deed of Undertaking for consortium in the format given in Annexure IX
14. Instructions for submitting Proposals:
14.1 The tenderer shall submit the bid online only through the e-GP website of Government
of Kerala (www.etenders.kerala.gov.in) as per the procedure laid down in for e-submission as
defined in the website. Performance security and bid processing fee are to be remitted
through the e-payment facility in the e-tender portal. The tenderer may download complete
set of bid documents from the e-tendring portal. The tenderer shall fill up the technical bid
format in various Forms in Annexure II, fill up the same, attach copies of necessary
certificates, duly sign with seal on all the pages of the tender documents, scan the
copies and upload the same using the Digital Signature Certificate. In addition to
the above, the tenderer shall upload a complete set of bid documents with NIT and
sections containing Part I to Part IV and Annexures I to IX after signing all pages as a
token of acceptance of all bid conditions and in the absence of complete set of bid
documents, the submitted bid shall be treated as non-responsive and will be rejected
by the SPV. Tenderers alone will be responsible for submission of defective tenders
and such tenders are liable to be summarily rejected.
14.2. The financial bid should be directly entered in E-procurement portal. The
tenderer shall submit the financial proposal in the format given in Form No. 6 or in
any modified form as appearing in the E-tender portal. The amount quoted in
Financial Bid /Bill of Quantities (BoQ) should be in Indian National Rupee in
inclusive of GST and other taxes. Tax will be deducted at source as per the provisions
of Income-Tax Act prevailing at the time of payment
14.3. Hardcopies of the following documents included in the Technical Bid should be
submitted to the O/o the Chief Executive Officer, SPV for Thrissur Zoological
Park,Puthur.P.O, Near Kurisumoola, Thrissur -680014 through speed post so as to
reach on or before the Technical Bid opening time.
14.3.1. Copy of e-payment receipt towards remittance of Bid Processing Fee and Bid
Security,

15. Evaluation of Bids:
15.1 The Technical Evaluation will be done on the basis of the Criteria given in
Annexure III.
15.2 The decision of the Evaluation Committee shall be final with respect to any
subjective factor in the assessment of quality of the Bid.
16. Other terms and conditions:
16.1 Conditional Bids are not acceptable.
16.2 The SPV reserves the right to negotiate the bid price with the first ranked
tenderer.
16.3 Mere issue of RFP document does not qualify the tenderer for appointment. The
tenders from the tenderers who do not comply with the Eligibility Criteria specified in
the RFP document will be rejected.
16.4 The submission of tender implies that Tenderer has read the contents of RFP
document and the Letter of Proposal. Submission of a tender shall imply that the
Tenderer has accepted all the terms and conditions mentioned in this RFP document
and the terms and conditions of the appointment.
16.5 Proposals of any Tenderer who does not accept the conditions contained in the
RFP documents is liable to be rejected.
16.6 The SPV reserves the right to accept / reject any or all of the tenders and cancel
the selection process at any stage without assigning any reason.
16.7 The SPV at its sole discretion can reject Partial Tenders, Conditional Tenders and
other procedurally defective Tenders.
16.8 Power of Attorney authorizing the person to sign all the documents pertaining to
this tender shall be submitted in Technical Bid Cover. Only the authorized signatory
should submit the tender
16.9 The tenderers have to familiarize themselves with the location of the Project for
which the DPR has to be submitted and should have a clear idea of the plan of action
(see para. 9 of the RFP).
16.10 Agreement : The successful tenderer, immediately, on receipt of the
proceedings order from the authority concerned, should return a marked copy duly
acknowledged as a token of acceptance and should execute an Agreement in Kerala
Stamp Paper for an amount notified by Kerala Registration department in the
prescribed format (ANNEXURE VII) within 15(fifteen ) days from date of receipt of
the proceedings order for the due fulfillment of the contract and shall have to pay all
stamp duty, lawyer’s charge and other expenses incidental to the execution of the
agreement. If the tenderer fails to execute the Agreement in time then the Bid Security
shall be forfeited and the Contract cancelled. In addition, it will also entail the
penalties as deemed fit by the Kerala Forest Department or the SPV and blacklisting
the Consultant.
16.11 Deadline for submission of the DPR
The selected tenderer has to submit the final DPR within three months from the
date of signing the agreement complying all the stages in the payment schedule.
16.12 Penalty: In case the successful tenderer fails to submit the DPR as per the
agreement within the specified time, penal provisions shall be attracted. Contract
period will be extended for a further period of one month charging penalty @ 1% of
the total value of the contract. In case the contract is not completed during the above
extended period, the SPV shall terminate the contract and rearrange the work in a
suitable mode at the risk and cost of the successful tenderer. This will entail forfeiture
of the security deposit. The cost of making alternative arrangement will also be
recovered from the tenderer.
16.13 No representations for enhancement of rate once accepted will be considered.
16.14 Any attempt on the part of the tenderers or their agents to influence the SPV in
their favour by personal canvassing will disqualify the tenderer.
17. E-Tendering:
17.1 All proposals are accepted only through online E-Procurement mode via the E-
Procurement portal of Government of Kerala, for which the Tenderers should obtain
Digital Signature Certificate from any of the Empanelled Certifying Authorities as
mentioned in the E-Procurement portal.
17.2 After registering with E-Procurement Portal, in case of any difficulties in
downloading RFP document, tenderers may contact the persons whose contact details
are given in the e-Procurement Portal or the RFP document. For technical assistance
regarding E-Tender visit the website https://etenders.kerala.gov.in for further
guidance.
17.3 Tenderers may consider the time involved in payment of Bid Security and
submission of proposals through E-Procurement Portal. The E-Procurement portal
screen becomes unavailable immediately after the last date and time mentioned in the
RFP document for submission of proposals. The SPV shall not be responsible for any
delay or technical problems in submission of proposals.
17.4 Tenderers may consider the banking transaction time for online transfer of Bid
security amount and bid processing fee. The SPV shall not be held responsible
for non-payment/non transfer of Bid security and Tender Processing fee on time or for
any technical difficulties, bank holiday etc., that may occur during the entire
transaction.
18. Performance Security:
The successful / selected tenderer shall furnish Performance Security equivalent to
5% of the total value of the contract rounded to the nearest rupee in the form of Bank
Guarantee in the form given in Annexure V from any nationalized/scheduled banks in
India along with the signing of the contract. The Performance Security should remain
valid for a period of 60 days beyond the date of completion of all contractual
obligations.
18.1 If the successful tenderer fails to deposit the security and execute the agreement
as stated above, the bid security deposited by him will be forfeited to the SPV and the
contract retendered at the defaulter’s risk. Any loss incurred by the SPV on account of
the retender will be recovered from the defaulter who will however not be entitled to
any gain accruing thereby.
18.2 The Performance Security deposit will be released only after the successful
completion of the contract period. But in the event of the Consultant causing any
damage to the SPV, the SPV shall be entitled to deduct out of the deposits or the
balance thereof, the amount of such damage. The same may also be deducted from
any other sum, which may be due at any time from the SPV to the successful tenderer.
19. Liquidated Damages:
The SPV reserves the right to sue and recover from the Consultant for liquidated
damages the extent of losses and expenses, if any, incurred by the SPV, apart from
forfeiture of Performance Security, on account of any wrong / illegal / malafide advice
given by the Consultant.
20. Dispute Settlement:
Agreement on this assignment shall be governed by, construed and interpreted in
accordance with the Laws in India. Any disputes, difference or claim arising out of or
in connection with or in relation with this Agreement which is not resolved amicably
between the SPV and the Consultant shall be referred to a Committee consisting of the
Addl. Chief Secretary, Forest & Wildlife Department and the Principal Chief
Conservator of Forests & Chief Wildlife Warden and the disposal of this Committee
shall be final and binding on the Parties.

1. The successful tenderer shall undertake to conduct detailed study and submit the DPR
including Master Plan and Cost Estimates up to the level of satisfaction of the Authority

2. No representation for enhancement of rates once accepted will be considered.

this agreement, as nearly as can be foreseen; but they are merely indications that may be
required for general guidance of tenderer. In the event of his inability to complete the
work, or to offer a suitable alternative to the satisfaction of the SPV, the SPV is at liberty
to execute the work with any agency/ individual and in case the rate is in excess of the
tendered rate to deduct the difference of cost from the successful tenderer's bills or his
security deposits, as the case may be. The successful tenderer shall not however be
entitled to the excess, if any, of the tendered rate over such amount.
4. In case the successful tenderer fails to complete the task tendered for by him within the
time provided for delivery of the same or in case the successful tenderer commits any
breach of any of the covenants, stipulations and agreements herein contained, and on his
part to be observed and performed, then and in any such case, it shall be lawful for the
SPV (if it shall think fit to do so) by an order in writing to put an end to this contract, and
in case the SPV shall have incurred, sustained or been put to any costs, loss, damages or
expenses by reason on this contract having been so put an end to or in case any difference
in price, compensation, loss, costs, damages, expenses or other money shall then or at any
time during the continuance of this contract be payable by the successful tenderer to the
SPV under and by virtue of this contract, it shall be lawful for the SPV from and out of
any amount for the time being payable or owing to the successful tenderer from the SPV
under or by virtue of this successful tenderer or otherwise to pay and reimburse to the
SPV all such costs, loss, damages and expenses they may have sustained, incurred or
been put to by reason of this contract having been so put an end to as aforesaid and also
all such difference in price compensation, loss, costs, damage, expenses and other moneys
as shall for the time being be payable by the successful tenderer aforesaid.
5. Every notice hereby required or authorized to be given may be either given to the
successful tenderer personally or left at his residence or last known place of abode or
business, or may be handed over to his agent personally or may be addressed to the
successful tenderer by post at his usual or last known place of abode or business, and if so
addressed and posted, shall be deemed to have been served on the successful tenderer on
the date on which in the ordinary course of post, a letter so addressed and posted would
reach his place of abode or business.
6. All payments to the successful tenderer will be made in due course as indicated in the
RFP. The Chief Executive Officer, SPV for Thrissur Zoological Park , Kerala Forest
Department, shall effect payment to the tenderer for the work as per the schedule of work
execution agreement from the account of the SPV for Thrissur Zoological Park on due
dates.
7. The successful tenderer shall not assign or make over the contract or the benefits or
burden thereof or any part thereof to any other person or persons or body corporate. The
successful tenderer shall not underlet or sublet to any person or persons or body corporate
the execution of the contract or any part thereof without the consent, in writing, of the
SPV. The SPV shall have absolute power to refuse any such request for consent and such
consent (if given) at any time, if they are not satisfied with the manner in which the
contract is being executed and no allowance or compensation shall be made to the
successful tenderer or the sub-successful tenderer, upon such rescission. Provided always
that if such consent be given at any time, the successful tenderer shall not be relieved
from any obligation, duty or responsibility under this contract.
8. In case the successful tenderer becomes insolvent or goes into liquidation or makes or
proposes to make any compromise with his creditors for the settlement of his debts, or
carries on his business or the successful tenderer under instruction on behalf of his
creditor, or in case any receiving order or orders for the administration of his estate are
made against him, or in case the successful tenderer shall commit any act of insolvency or
in case in which, under any clause or clauses of this contract, the successful tenderer shall
have rendered himself liable to damage, amounting to the whole of his security deposits,
the contract shall thereupon, after notice given by the Chief Executive Officer, SPV for
Thrissur Zoological Park, Kerala Forest Department, to the successful tenderer be
determined; and the Chief Executive SPV for Thrissur Zoological Park , Kerala Forest
Department may complete the contract in such time and manner and by such person as
the SPV shall think fit. But such determination of the contract shall be without any
prejudice to any right or remedy of the SPV against the successful tenderer or his sureties
in respect of any breach of the contract committed by the successful tenderer.
9. All expenses and damages caused to the SPV by any breach of all or any of the terms of
this contract by the successful tenderer shall be paid by the successful tenderer to the SPV
and may be recovered from him.
10. The security deposit shall, subject to the conditions specified herein, be returned to the
successful tenderer within three months after the successful completion of the contract,
but in the event of any dispute arising between the SPV and the successful tenderer, the
SPV shall be entitled to deduct out of the deposit or the balance thereof, until such dispute
is determined, the amount of such damages, costs, charges and expenses as may be
claimed, the same may also be deducted from any other sum which may be due at
anytime from the SPV to the successful tenderer.
11. The successful tenderer hereby declares that the DPR, Master Plan and Cost Estimates
submitted to the SPV under this contract shall be of the best quality and workmanship and
shall be strictly in accordance with the specifications and particulars contained
/mentioned in the copy of the order mentioned in clause 3 hereof and that notwithstanding
the fact that the SPV may have inspected and found that the work is not in conformity
with the required standards or not to conform to the description and quality stated in the
order aforesaid (and the decision of the SPV in that behalf will be final and conclusive)
the SPV will be entitled to reject the said DPR and connected documents or such portion
thereof as may be discovered not to conform to said description and standards. The
successful tenderer shall if so called upon to do, rework on the DPR; or such portion
thereof as is rejected by the SPV. Otherwise the successful tenderer shall pay to the SPV
such damages/ loss as may arise by reason of the breach of the conditions herein
contained. Nothing herein contained shall prejudice any other right of the SPV in that
behalf under this contract or otherwise.
12. The terms and conditions given in this agreement and or the order referred to in clause 3
above, shall supersede all the terms and conditions contained in the tender / quotation
submitted by the successful tenderer or in the covering letter forwarding the said tender /
quotation.
13. Even in cases where no alternate via media are arranged for the completion of the Work
the proportionate portion of the security deposit based on the cost of the work carried out
at the rate shown in the tender of the defaulter shall be forfeited and balance only shall be
refunded. If the recoverable amount is higher than the security deposit, the balance shall
be recovered under the Revenue Recovery Act.
14. “The courts situated at the place where the headquarters of the SPV is situated viz,
Thrissur alone will have jurisdiction to entertain civil suits pertaining to this contract.”

Financial Securities, in the event the Proposal is accepted by the Employer, resulting

NOW THEREFORE, THIS DEED Witnesses as Under:
1. That in consideration of the Award of the Contract by the Employer
to M/s………………….. (the Tenderer i.e LM), we, the aforesaid
Tenderer (LM) and the Associate(s), will jointly and severally be
responsible in accordance with the Contract to Owner for successful
Construction of the work for <name of work> as well as performance
of the Contract, fully meeting the guaranteed parameters required as per
the Contract Specification.
The Tenderer (LM) along with the Associate(s) shall have
responsibility of the work of <name of work>for entire term of the
contract.
Without prejudice to the generality of the undertaking in paragraph
1.0 above, the manner of achieving the objective set-forth in
paragraph 1.0 above shall be as follows:
a) M/s……………… (name of the Lead Member / Associate(s)
having Technical Qualification Requirement as per the Instructions to
Tenderers shall be required to furnish the details and to advise and
provide necessary technical assistance to M/s……………… (the
Tenderer i.e. LM) for the work for <name of work>, Lead Member / All such Associate (s) further shall depute their
technical experts from time to time to the Work site to facilitate successful
performance for the work of for <name of work>, as stipulated in the aforesaid
Bidding Documents. Other Associate(s) shall also render all the assistance during the
period of contract.
b) The Lead Member / Associate(s) will be responsible to deliver the
work of for <name of work>, in accordance with the Tenderer’s
consent.
c) In the event, the Lead Member / Associate(s) and the Tenderer (LM)
fail to demonstrate successful performance of the work <name of
work>, as set forth in the Bidding Documents, the Associate(s) and the
Tenderer (LM) will be jointly responsible for taking proper corrective
measures.
d) Implementation of modifications to the work <name of work>, if
required, shall be the joint responsibility of the Associate(s) & the
Tenderer (LM). e) The Lead Member / Associate(s) will be fully
responsible for the quality of all the work and timely completion as per
the Contract.
f) However, the Lead Member / Associate(s) having the qualification requirement in
terms of Instructions to Tenderers of NIT, shall have exclusive responsibility for the
work of for <name of work>, as per the tenure specified in this JDU.

We, the Tenderer(LM) and the Associate(s) are fully aware that for
non- fulfillment of any of the obligations towards <name of work>,
the Employer is free to take up the matter either with the Lead
Member and/ or any or all of the Associate(s) as per the
Employer’s convenience. 3.0 This Joint Deed of Undertaking shall be construed and interpreted in accordance
with the Laws of India. The High Court of Kerala shall have exclusive jurisdiction in
all matters arising there under.
4.0 We, the Tenderer (LM) and the Associate(s), undertake not to revoke this Undertaking
for the full term of the Contract and further stipulate that the undertaking herein contained
shall terminate upon satisfactory completion of such period or the subject work.
5.0 In case of award, the Tenderer (LM) & his Associate(s) shall furnish a Financial
Security in favour of the Owner from any reputed commercial bank as indicated in the
NIT. The value of such Financial Security and Contract Performance Guarantee shall
be guaranteed towards the faithful performance/ compliance of this Joint Deed of
Undertaking in accordance with the terms & conditions specified herein. The
guarantee shall be unconditional, irrevocable and valid as stipulated under the
Contract. The guarantee amount shall be payable to Owner on demand without any
demur, reservation, protest or contest.
6.0 That this Deed will form an integral part of the Contract awarded to the Tenderer
(LM) on acceptance of its Proposal and shall be operative from the date of the Contract
coming into force.
