1. INTRODUCTION

1.1 Name of the work.

Conducting computer based online examinations of candidates at various places in the State of Maharashtra for selection to various professional educational courses.

1.2 About the State ‘'COMMON ENTRANCE TEST CELL (CET CELL)”. The State CET Cell is established by the Department of Higher & Technical Education, Government of Maharashtra, under the Maharashtra Unaided Private Professional Educational Institutions (Regulation of Admissions and Fees) Act 2015 to conduct the Common Entrance Test for determination of merit for the purpose of admissions into various courses run by Professional Educational Institutions through a single window system. 2. Definitions

In this Contract, the following terms shall be interpreted as indicated below:

i. “Bidder/ Service Provider” shall mean the successful bidder to whom the contract has been awarded and with whom the Tendering Authority signs the contract for rendering of goods and services.

ii. “Contract” means the agreement entered into between the Tendering Authority and the Vendor, as recorded in the document signed by the parties, including all the attachments and appendices thereto, and all documents incorporated by reference therein.

iii. "Competent Authority" means the Commissioner, CET Cell

iv. “The Contract Price” means the price payable/receivable to the Successful Bidder under the Contract for the full and proper performance of its contractual obligations.

v. “The Goods” means all the materials, which the Bidder is required to supply/provide to the Tendering Authority under the Contract;

vi. “Services” means services ancillary to the conduct of various CET’s and other obligations of the Vendor covered under the Contract.

vii. “Day” means a working day.

viii. “Tendering Authority” means The Commissioner, State CET Cell.

ix. “CET CELL” means The Maharashtra State Common Entrance Test Cell.

x. “Trial Test” means the practice test undertaken by the registered candidates through the dedicated websites/portal for various CET’s before actually undertaking the online test in order to get familiar with the test pattern and process.

xi. “Pilot Test” means the test conducted at specified sample centers in the specified cities to verify the satisfactory performance of the complete end to end systems developed by the vendor for conduct of computer based online CET’s.

xii. “Equipment” means all the software and hardware and other machines required for conduct of online examinations.

3. SCOPE OF WORK The State CET cell is proposing to conduct the State Level online Common Entrance Tests (CET’s) in various cities/towns across the State for selecting suitable candidates for admission in to Graduate/Post-Graduate Programmes in various professional Educational institutions in the State of Maharashtra. The question papers setting/content development will be done by the CET-CELL The work of conducting exams will be awarded for three years i.e. 2016 to 2018. 3.1 Sequence of activities :

The following are few listed activities to be carried out by the Bidder so as to conduct the exams. Apart from these activities the Bidder has to perform all required activities and conduct the examinations as per instructions with utmost confidentiality. In short the bidder has to do all acts and deeds to conduct the computer based online examination in a smooth way. The following are few points enlisted shortly to understand the bidder the nature and scope of work. Beyond these points the bidder has to think, plan and execute the exam in a defined manner. A) Preliminary activities :

i. To design, develop, maintain and operate a separate portal linked to the website of CET-CELL for information of candidates.

ii. To design, develop and upload the various application forms of various examinations on the portal.

iii. To receive the online applications and registration of it with facility to upload 1) Photo, 2) Signature, 3) Documents/Certificates, etc.

iv. To receive the payment (through payment Gateway and Bank Challan) from the candidate and deposit the same with the CET-CELL as per the instructions.

v. Providing demo/trial test link for online examinations to the candidates for their practice.

vi. Processing of applications regarding number of candidates, locations of exam centers.

vii. The service provider has to have a data center fully equipped to handle the expected volume of work.

viii. There should be help desk/call center support available /accessible during working days and office hours to the candidate to enable them necessary information / clarification regarding the CET.

ix. To ensure the confidentiality through out the process of online examination at all stages.

B) Preparation for examination:

a. The Bidder should prepare a process map of all the activities associated with the conduct of online exam of various subjects.

b. To provide software and training / user manual to set question paper, encrypt the question paper and view the question paper.

c. Identification of exam centers as per no. of candidates registered in a given town/ cities.

d. Preparation of admit cards and make it available for downloading to the registered candidates and also send by mail to the candidates.

e. Prepare a physical layout of the exam center as per the strength of the candidates which shall include the networking structure.

f. To confirm the facilities required at the center for conduct of online CET with required internet / intranet / server connectivity at the centres including hard and softwares.

g. To design and develop alternate systems in case internet connectivity is not stable, including networking and servers at the examination centers.

h. Preparation of examination centers such as cleaning the computer system, conducting mock tests one day prior to the date of examination, auditing network, arrange resources such as UPS, Generator Set, Biometric Devices, CCTV, web cams etc.

i. Provide facilities such as drinking water, Toilets/wash room, Lighting system, fans/AC, etc. at exam centre.

j. Provide attendance sheet with photograph and signature of the candidate.

k. Appoint invigilators, supervisors and auxiliary staff. The invigilators shall be technically competent and well trained to conduct such exams. One invigilator for batch of 20 candidates shall be appointed.

l. Display of seating arrangements/plan at the entrance of the center.

m. To fix minimum two CCTV camera’s in each exam room/hall to cover entire process of examination.

n. The Bidder should provide 10% extra computer terminals available at each centre.

o. The Bidder should have capacity to conduct exam of minimum 20,000 students in a single slot / session at Mumbai, Pune, Aurangabad and Nagpur.

C) Execution of the Exam:

a. To receive the encrypted question paper as per time scheduled at the

control center and transfer the same through a secured network as per the time scheduled to the exam centers.

b. Identification and registration of the Candidate at the center along with the biometric and webcam procedure.

c. Admitting the candidate in the exam hall / room and allocation of a computer terminal.

d. To develop the system to dyecrypt the question paper at the examination centre only after the first student login at any examination centre.

e. Start of examination on time.

f. Supervision of the test will be the entire responsibility of the Bidder, however CET-CELL reserve the rights to appoint Observers for regular/surprise/flying checks.

g. The service provider will be responsible for prevention of unfair practice at each center. Unfair practice, if any, be brought to the notice of CET-CELL immediately.

h. Conduct of re-exam/remedial action on account of unfair practice at the center or due to any technical short coming of the system will be the sole responsibility of the bidder.

i. The bidder should maintain the audit trail of the candidates online activities during examination

j. End of examination in time. The software shall have facility to allow extra time for persons with disability as per norms.

k. Establishing a central control room to monitor the activity of the exam.

l. The legal issues relating to Bidder arising from the conduct of the examination will be the sole responsibility of the Bidder.

m. Adequate civil security (Other than Police) measures at all levels during the entire process of online examinations will be the sole responsibility of the Bidder.

n. The bidder should have facility of deploying mirror servers while conducting computer based online examination at each test centre.

o. The bidder should have experience in conducting multiple subject exams in single session/ slot.

p. The Bidder should have capacity to resolve issues/problems associated during peak load period of the online computer based examinations.

D) Post Exam activities:

a. Sending the question and response to all candidates by email as per the time scheduled.

b. To display the questions and answer key.

c. Receive the online complaints/objections from the candidates as per time scheduled and forward to CET-CELL with proper verification and reply.

d. To process the result as per final answer key.

e. To published the result (Score Card) on the portal and mail to all candidates.

E) Post Result Activities:

a. To assist the CET-CELL in replying RTI applications.

b. To assist the CET-CELL in various Court cases.

c. To maintain the entire data for one year.

d. To handover the data and source code of online application system to the CET-CELL.

e. To provide result analysis as per instructions.

However, actual schedule will be worked out from time to time. 2) This projection may increase by 10% every year. 3) The Number of examinations may vary from time to time due to change in

Government of Maharashtra Policy. 4) For the year 2016-17, exams mentioned at Sr. No. 1 and 2 will be

conducted offline by Department. 5. Handing over the Question Paper Sets

5.1 The process of handing over of the question paper sets by the Competent

Authority to the bidder is a crucial task so as to maintain the secrecy and confidentiality. This process will be defined from time to time so as to complete it in order. The bidder has to provide required secured software to conduct the process of handing over paper sets smoothly.

5.2 The entire responsibility of secrecy and confidentiality will be of bidder once the question paper is handed over electronically.

5.3 Leakage of question paper shall be considered as serious default on the part of bidder and will be liable for all consequences including criminal proceedings.

6. Bidding System (Two Bid e-Tender System) The Bidder has to submit e-Tender in two envelop e-Tender system.

7. Eligibility of a Bidder. 7.1. Technical Qualification:

i. The Bidder may be a Government Organization / PSU / Societies / Associations / partnership firm, Pvt. Limited Company or limited Company registered under Indian Laws and working in the field of conducting online examination.

ii. Consortium is not allowed.

iii The Bidder should have conducted such type of exam with question paper setting for various State Government / GOI / PSU / Government undertaking, etc for the purpose of admissions to various colleges or for recruitment in last three years with following minimum eligibility.

iv. The number of candidates/students whose exam is conducted should not be less than 50,000 for the last three years. The work completion certificates / letters from the client to that effect should be submitted in the technical envelop

v. The bidder must have conducted exam of candidates/students of minimum 20,000 in a single slot/session anywhere in India at any time in the last three years. The work completion certificate / letter to that effect from the client is mandatory.

vi. The Bidder should have a certificate for providing fool proof information security in computer based online examination as per the provisions of Information Security Management Standards issued by the Competent Authority i.e. ISO 27001 certificate.

vii. The bidder should have provisions of 256 bytes encryption for data transfer and the system to decrypt the data at examination center.

viii. The bidder should submit the authority letter for signing the bid as an authorised signatory.

ix. The technical bid should not contain any price information.

7.2 Financial Qualification:

i. The Bidder should have a minimum annual turnover of at least Rs. 25 Crores in the preceding financial three years.

ii. The bidder should be a profit making entity after all tax paid for preceding financial year.

8. Submission of Tenders: 8.1 Papers to be submitted in e-Envelop-1 (Technical Envelop)

i. Tender offer form - Annexure – A. ii. Copy of Registration Certificate regarding the Society, Firm, PSU, Private

Ltd. Co., Limited Co., etc. iii. Self-declaration in the form of notarized affidavit - Annexure B.

iv. Certificate/s/Letter/s issued by the clients certifying that the bidder has conducted computer based online examination of total 50,000 students in preceding three years. Annexure-C.

v. Certificate/Letter issued by the client certifying that the bidder has conducted online computer based exam of 20,000 students in a single slot at any time in last three preceding years. Annexure – D.

vi. Certificate from the Competent Authority regarding Information Security Management Standards - ISO 27001.

vii. Audited balance sheet of the last three years i.e. 2012-13, 2013-14 and 2014-15.

viii. The authority letter in favour of signatory to sign the Tender document.

8.2 Papers to be submitted in e-Envelop-2 (Financial Envelop) Price schedule (inclusive of all taxes) in the form of - Annexure - E.

9. Evaluation of Tender 9.1 The Technical envelop will be opened first. On fulfilment of all Technical criteria

by the bidder, e-Envelop -2 will be opened. 9.2 Contract may be awarded to the L1 bidder. 10. Security Deposit: The successful bidder has to deposit 5% amount of the total value of the work

as a security deposit in cash with the CET-CELL for entire period of the work without interest.

11. Instruction to Bidder.

The Commissioner CET Cell reserves all rights to cancel, postpone or extend the time limit of the tender without assigning any reasons. Further the offer of the tender will be finalised only after approval from the Government of Maharashtra.

11.1 Cost of the Tender Form i. The cost of the tender form is Rs. 10,000/- to be paid by the bidder through

online gateway.

ii. It may be noted that CET cell will not pay any amount / expenses / charges / fees/ travelling expenses / boarding expenses / lodging expenses / conveyance expenses / out of pocket expenses, regardless of the conduct or outcome of the Tendering process.

11.2 Non Transferable Tender Neither the contract nor any rights granted under the contract may be sold, leased/sublet, assigned, or otherwise transferred, in whole or in part, by the Bidder and any such attempted to sale, lease, assign or otherwise transfer shall be treated as void and of no effect.

11.3 Pre-Bid Meeting Pre-bid meeting is arranged for discussing the aspects of technical specifications and job descriptions and other related tender conditions which may crop-up during the process of tendering. The clarification on various points regarding specification, terms & conditions will be given in the said meeting and the proceedings of the meeting shall be treated as a part of tender document. 11.4 Offer Validity Period Validity of the Tender is 90 days from the date of opening of the tender. 11.5 Completeness of Tender Offer The Bidder is expected to examine all instructions, forms, specifications, terms & conditions in the Tender document. Failure to furnish all information required in the Tender document or submission of a tender offer not substantially responsive in all respect will be at the Bidder’s risk. The tender offer is liable to be rejected out-rightly, if complete information as called for in the tender document is not given. 11.6 Earnest Money Deposit (EMD) : Subject to compliance of responsive submission Process the intending bidder should pay along with bid an Earnest Money Deposit (EMD) of Rs. 30,00,000/- (Rupees Thirty Lakh only) through the e-Tendering System only. The EMD will not carry any interest. The validity of the EMD shall be 90 days from the date of opening the tender.

11.7 The EMD will be forfeited if: i. The bidder withdraws his tender before processing of the same.

ii. The bidder withdraws his tender after processing but before acceptance of “Letter of Intent” issued by CET Cell.

iii. The selected bidder withdraws his tender before furnishing an unconditional and irrevocable security deposit.

iv. The bidder violates any of the provisions of the Terms and Conditions of the tender specification.

11.8 The EMD will be refunded to: i. The successful bidder after signing of the contract/agreement and submission of

the security deposit.

ii. The unsuccessful bidders after finalization and selection of the successful bidder.

iii. In the event the tender notice is cancelled then the amount of tender form and EMD will be returned back immediately within week time.

11.9 Authorized Signatory: The papers which are submitted along with tenders shall be signed by Authorised Signatory. Authorised signatory should have the authority to sign on behalf of the Bidder. 11.10 No Commitment to Accept Lowest or Any Tender:

i. CET Cell shall be under no obligation to accept the lowest or any other offer, including those received late or incomplete offers, without assigning any reason whatsoever.

iii. CET Cell will not be obliged to meet and have discussions with any bidder, and or to listen to any representations in this regard.

11.11 Corrupt and Fraudulent Practices:

The CET Cell will reject a proposal for award if it determines that Bidder recommended for award is engaged in corrupt or fraudulent practices in competing for the contract in question.

11.12 Signing of Contract Agreement:

Within seven days of receipt of Letter of Intent the successful bidder shall submit Security deposit by Demand Draft in favour of “COMMISSIONER, STATE CET-CELL” payable at ‘Mumbai’. The Contract will be signed only after receipt of the Security Deposit.

12. TERMS AND CONDITIONS OF CONTRACT 12.1 Payment Terms:

The payment will be released based on the actual number of candidates registered. 50% of the amount shall be paid after the completion of registration of candidates for a test and 50% shall be paid within two weeks after completion of the entire process for the test and handing over the data to the CET-CELL.

12.2 Liquidated Damages for delay/default: For any delay/default in conducting the computer based online examination due to the sole fault of the Bidder, the CET Cell will charge damages to the extent of 0.5% of the contract value per default or part thereof.

12.3 Damages in case of re-examination:

For every re-examination to be conducted at any centre due to unfair practices/ operational shortcomings an amount equal to 50% of the fee submitted by the registered candidates reappearing for that examination will be deducted from the payments due to the Service Provider. The Cost of re-examination at each of such centre will be borne by the Service Provider. Such damages can be more than the total fees payable by the CET Cell to the Bidder.

12.4 Cancellation of Contract and Compensation:

The State CET-CELL reserves the right to cancel the contract of the selected bidder and recover expenditure incurred by the CET Cell on the following circumstances:

i. The selected bidder commits a breach of any of the terms and conditions of the bid/contract.

ii. The bidder goes into liquidation voluntarily or otherwise.

iii. The progress regarding execution of the contract, made by the selected bidder is found to be unsatisfactory.

iv. If deductions on account of liquidated Damages exceeds more than 10% of the total contract value.

v. After the award of the contract, if the selected bidder does not perform satisfactorily or delays in execution of the contract, the CET Cell reserves the right to get the balance contract executed by another party of its choice by giving 15 days notice for the same. In this event, the selected bidder is bound to make good the additional expenditure, which the CET Cell may have to incur to carry out bidding process for the execution of the balance of the contract.

vi. The CET Cell reserves the right to recover any dues payable by the bidder from any amount outstanding to the credit of the bidder, including the pending bills and / or invoking security deposit, if any, under this contract or any other contract / order.

vii. The CET Cell shall be entitled and it shall be lawful on his part to forfeit the amount of Security deposit in whole or in part in the event of any default, failure or neglect on part of the contractor in fulfilment or performance of the contract under reference in all respects to the satisfaction of the CET Cell. The CET Cell shall be entitled to deduct from the amount of Performance Bank Security any loss or damage which the CET Cell may suffer or be put by any reason of or due to any act or other default recoverable by the CET Cell from the contract. The losses recoverable by the CET cell from the Security deposit shall include all losses incurred by the CET Cell during the warranty period on account of failure of equipment or delay in attending the equipment by the contractor during the warranty period as per stipulations of the contract.

12.5 Realise of Security Deposit: The security deposit will be realised to the bidder without any interest on

performance and completion of the contract as per agreement, after deducting any unpaid damages by the Service Provider.

12.6 Execution of Non-Disclosure Agreement:

The successful bidder should execute Non-disclosure Agreement before signing the contract agreement.

12.7 Applicable Law and Jurisdiction of Court:

The Contract with the selected bidder shall be governed in accordance with the Laws of India and will be subject to the exclusive jurisdiction of the Courts at Mumbai only.

12.8 No Legal Relationship:

No binding legal relationship will exist between any of the Recipients / Respondents and CET Cell until execution of a contractual agreement.

12.9 Disqualification

Any non confirmation to above tender details can be treated as disqualification. Any form of canvassing / lobbying / influence / query regarding short listing, status etc will be treated as disqualification.

ANNEXURE-F

TENTATIVE CONTRACT FORM (CF)

AGREEMENT MADE this _____ ____ day _________________ of Two thousand ________ _______ _________ _________ _____ Between_______________ ________ ________ ________ _______ ______________ _______ ____(hereinafter called "the Contractor") of the one part and the Commissioner, The State Common Entrance Test Cell, Mumbai of the other part. WHEREAS the contractor has tendered for providing Total solution for online computer based examination with question paper/content development to the CET Cell (hereinafter called "The Tendering Authority ") as per the terms and conditions mentioned in the tender document. The tender document is part and parcel of this agreement. Whereas such tender has been accepted and the contractor has deposited with the Tendering Authority the sum of Rs. __________(Rupees___ _________________ _____________only) as security for the fulfilment of this Agreement. NOW IT IS HEREBY AGREED between the parties hereto as follows: The contractor has accepted the contract on the terms and conditions set out in the tender notice no. ______________ dated ___________ as well in the acceptance of tender no.______________ dated__________, which shall hold good during period of this agreement. Upon breach by the contractor of any of the conditions of the agreement, the Tendering Authority may issue a notice in writing, determine and put an end to this agreement without prejudice to the right of the CET Cell to claim damages for antecedent breaches thereof on the part of the contractor and also to reasonable compensation for the loss occasioned by the failure of the contractor to fulfill the agreement as certified in writing by the Tendering Authority which certificate shall be conclusive evidence of the amount of such compensation payable by the contractor to the CET Cell. Upon the determination of this agreement whether by effluxion of time or otherwise, the said deposit shall after the expiration of 36 months from the date of such determination be returned to the contractor but without interest and after deducting there from any sum due by the contractor to the Government under the terms and conditions of this agreement. This agreement shall remain in force until the expiry of 36 months from the date of entering into the contract but the Tendering Authority may cancel the contract at any time upon giving Fifteen Days notice in writing without compensating the contractor. The Tendering Authority may give notices in connection with the contract. In consideration of the payments to be made by the Tendering Authority to the Bidder as hereinafter mentioned the Bidder hereby covenants with the Tendering Authority to provide the Services and to remedy defects therein conformity in all respects with the provisions of the Contract. The Tendering Authority hereby covenants to pay the Bidder in consideration of the provision of the Services and the remedying of defects therein, the Contract Price or such other sum as may become payable under the provisions of the contract at the times and in the manner prescribed by the contract. If subject to circumstances beyond control (Force Majeure) the contractor fails to deliver the services in accordance with the conditions mentioned in the tender, the Tendering Authority shall be entitled to render services from else other organization after giving due notice to the Bidder on the amount and at the risk of the Bidder without cancelling

the contract in respect of the consignment not yet due for delivery, or to cancel the contract. In the event of action to be taken, the contractor shall be liable for any losses, which the Tendering Authority, may sustain on that account. The recovery by way of penalty shall be made by deducting the amount from the bills be made good by a credit note within the stipulated period for the purpose.
