INTRODUCTION

Tenders have been floated vide Tender No. TEDA/1016A&B/ SHLS-CFL &

LED/Schemes/2013-14 for installation of 60,000 SPV Home Lighting Systems and to be

floated for the installation of 20,000 SPV Street Lighting Systems (both Cluster and

Stand alone )all over Tamil Nadu for the year 2013-14. The tender documents related to

HLS are available in www.teda.in / www.tenders.tn.gov.in websites. The tender related

to HLS has been opened on 24.09.2013 and 25.09.2013 & the work order is expected

to be issued by 15th November 2013. Successful bidders will have to complete the

installation in 180 days. The tender related to SPV SLS will be floated shortly.

TEDA appointed Pre-Despatch Inspecting Agency ( PDI ) will carry sample

inspection at the manufacturing location to check the quality requirements. This tender

is being called for accordingly to select the Pre-Despatch Inspection (PDI) Agency.

1. Eligibility: Any registered company / Firm having excellent technical knowledge

about the electrical and electronic components preferably in solar power plant

related products to carry out electrical testing, inspection of products and issue

clearance for dispatch of products from the factory. Bidder shall have an annual

turnover of Rs.25 lakhs & for a single value of contract shall be minimum Rs.5

Lakhs. Necessary documentary evidence shall be furnished.

2. Scope of Work: The Bidder shall deploy well qualified, experienced and excellent in quality check

Inspection Engineer capable of doing the following activities at manufacturer’s

premises.

a) To carry out the sample inspection of the components furnished in Format

3 at the manufacturer’s location(s) and ensure the standards as applicable

to the respective components required by the Tender accepting authority.

b) To conduct the test which is necessary as per the applicable standards to

satisfy the Tender accepting authority at the manufacturer’s location(s)

and prepare test report as specified in the Format 4.

c) Recommend to the Tender accepting authority to issue despatch

clearance for the components which are qualified in the above said

conditions.

Note : A minimum of 2% of Manufactured quantity of components shall have to be

inspected. The tentative schedule of pre-despatch inspection may be from

December 2013

4. The inspection will have to be commenced within15 days from the date of issue of

LoA (or) within 2 days of submission of the lots by the manufacturer whichever is

later. This being a time bound project, TEDA may cancel the orders if any delay

happens.

5. Bidders shall be responsible for their stay, local travel and food arrangements and

other incidentals at inspection sites. Engineers shall NOT accept any hospitality

from the manufacturers whose product is being inspected.

6. Target inspections as specified will have to be adhered to. Bidder’s Engineer shall

do all inspections on their own. They may take manufacturer’s help but shall not be

just a witness to manufacturer’s inspection.

7. (i) The inspection team shall affix a bar code label at the designated spot on each

and every component of the “Passed Lots”. These bar code labels will be issued

by TEDA.

(ii) The successful bidder have to procure Barcode Reader/Scanner meeting the

specification recommended by TEDA

8. Bidder shall quote inspection charges per component.

9. 100% payment will be made after acceptance of inspection reports.

10. Earnest Money Deposit (EMD):

a) Demand Draft / Banker’s Cheque in favour of “Tamil Nadu Energy Development Agency” payable at Chennai as specified in Tender Data

Sheet shall have to be furnished .

b) The Bids received without the specified EMD amount or Proof for Exemption,

in the prescribed form, will be SUMMARILY REJECTED.

11. The Bids shall be submitted in two parts namely viz. (1) Techno commercial Bid and (2) Price Bid. The Techno commercial Bid and Price Bid shall be submitted in

two separate covers with superscription as Techno commercial bid cover and

Price-bid cover respectively.

12. Outer Cover: Techno Commercial Bid cover (Envelope-A) and Price Bid cover

(Envelope-B) shall then be put in a single outer cover and sealed. The outer cover

shall be superscribed with “Tender for Pre – Despatch inspection of

Components to be used in the installation of SPV Home lighting systems and Street Lighting Sytems for 2013-14. Tender Ref.:_____________ due on _______”. The “FROM” address and “TO” address shall be written without fail

otherwise the Bid is liable for rejection.

13. Mode of Submission of Bids:

As mentioned in Sl.No. 12

14. Bid Opening: The Techno commercial Bid cover will be opened at TEDA on the

date and time as specified in the Tender Data sheet or any other date published in

the website specified.

15. The successful bidder will be required to remit the security deposit equivalent to

5% of the value of the Contract by way of Demand Draft/Banker’s Cheque in

favour of “Tamil Nadu Energy Development Agency” payable at Chennai valid

for 12 months and to sign the contract agreement (Format 5) within 7 days from

the date of issue of LoA. After this, a firm work order will be issued by TEDA. The

EMD paid by the successful bidder will be adjusted towards Security Deposit. The

EMD amount of the unsuccessful bidder will be refunded within a reasonable time

on written request. The Security Deposit will be refunded after the successful

completion of inspection and submission of inspection report and acceptance by

TEDA.

16. The following categories of industries are exempted from payment of Earnest

Money Deposit:

i. The Small Scale Industrial units located within the State and Registered with the Tamil Nadu Small Industries Development Corporation.

ii. The Small Scale Industrial units located within the State and Registered with National Small Industries Corporation (NSIC).

iii. The SSI units holding Permanent Registration certificate from the District Industries Centres of Directorate of Industries and Commerce, Government of Tamil Nadu in respect of those items for which the Registration Certificate has been obtained.

iv. Departments of the Government of Tamil Nadu.

v. Undertakings and Corporations owned by Government of Tamil Nadu.

vi. Labour Contract Co-operative Societies registered with in Tamil Nadu.

vii. Tiny Industries classified under SSI, registered with the State of Tamil

Nadu, and Registration Certificate issued by Department of Industries and

Commerce/Government of Tamil Nadu.

viii. Small Scale Industrial units located outside the State but registered with

National Small Industries Corporation (NSIC) in respect of the items /

services rendered by them.

ix. Industries exempted from payment of EMD shall enclose duly attested

Photostat copy of their Registration Certificate showing the services

rendered by them and the period of validity of the certificate as proof of

eligibility for exemption from payment of EMD.

x. Those Tenderers who are exempted from payment of E.M.D shall furnish

in lieu of EMD an under taking in a non-judicial stamp paper of value not

less than Rs.100/- (Rupees One hundred only) in the prescribed format,

as per Format -6, to the effect to pay penalty an amount equivalent to

EMD in the event of non-fulfillment or non-observance of any of the

conditions stipulated in the contract consequent to such breach of

contract.

xi. Undertaking and proof of exemption of EMD shall be kept in the Techno

Commercial Bid cover. TENDERS RECEIVED WITHOUT PROOF FOR

EXEMPTION OF EMD AND UNDERTAKING WILL NOT BE READOUT

AND WILL BE REJECTED SUMMARILY.

17. Details of components & Tests to be carried out – As specified in Format -3

19. Successful bidder has to sign the contract agreement Format 5within 7 days

from the date of issue of LoA. Quantity to be inspected has been indicated

against Sl No.3. The vendors manufacturing locations will be intimated after the

finalization of the vendors for the Installation of Solar Powered Home Lighting

Systems and Solar Powered Street lighting systems. If the inspection has to

happen outside the country, then the manufacturer will provide the expenses

towards travel, accommodation & food. In case, if smaller size lots are offered by

the manufacturer, the pro-rata additional expenditure to be incurred for Pre-

Despatch Inspection (PDI) will be borne by the manufacturer.

20. Tender process will be governed by the Tamil Nadu Transparency in Tenders Act

1998 and the Tamil Nadu Transparency in Tenders Rules, 2000 as amended from

time to time.

21. All statutory obligations / liabilities like Salary, ESI, P.F., as per Labor Laws for the

persons employed for this contract will be the responsibility of the tenderer. TEDA will not make any direct payment thereof and will not be responsible for any lapses by the tenderer.

22. In case of absence, the tenderer shall provide alternate Engineer to carry out the

schedule already fixed without any delay. A standing instruction in this respect shall be issued to the Engineer.

23. The Engineer employed by the tenderer shall have thorough knowledge of respective standards of the components, Capable of ascertaining the quality and standards of the components as stipulated in the respective IEC / BIS standards.

24. All other terms of the specification and the offer will be taken for evaluation

accordingly

25. Termination For Insolvency: “TEDA” may at any time terminate the contract by

giving written notice to the contractor without compensation to the contractor, if it

becomes bankrupt or otherwise insolvent, provided that such termination will not

prejudice or affect any right of action or remedy, which has accrued or will accrue

thereafter to the “TEDA”. 26. Termination For Convenience: “TEDA”, may by written notice sent to the

tenderer, terminate the contract, in whole or in part at any time for its convenience

without assigning any reason. The notice of termination shall specify that

termination is for TEDA’s convenience in the interest of “TEDA”.

27. Termination for Corrupt or Fraudulent Practices: The Bidder shall observe

highest standard of ethics during bidding process and execution of the project.

The Tender accepting authority will reject a proposal for award or terminate the

contract, if it is determined in the judgment of TEDA, the Bidder recommended

for award, has engaged in fraudulent and corrupt practices in competing for or in

executing the Contract. 28. Arbitration: In case of any dispute, the matter will be referred to a sole Arbitrator

to be appointed by the Chairman & Managing Director of TEDA under the

"Arbitration and Conciliation Act 1996". The arbitration shall be held in Chennai,

India and the language shall be English only. Subject to the above, the Courts at

Chennai alone only shall have jurisdiction in the matter. 29. Workmen’s Compensation Insurance: This insurance shall protect the

Contractor against all claims applicable under the Workmen's Compensation Act, 1948(Government of India). This policy shall also cover the Contactor against claims for injury, disability disease or death of its or its Sub-Contractor’s employees, which for any reason are not covered under the Workmen’s Compensation Act, 1948. The liabilities shall not be less that Workmen's Compensation

30. Compensation : The contractor shall arrange to exercise effective supervision over the works so as to ensure safety to the men and materials. In the case of accidents to the workmen arising out of and in the course of employment, the contractor shall pay necessary compensation to them according to the workman's compensation act, besides arranging immediate medical aid. He shall indeminify TEDA against any liability whatsoever in this regard and execute a bond accordingly. In case, the contractor fails to pay the compensation within the

reasonable time, the TEDA may settle the claim and arrange to recover the same from the contractor

31 Withdrawal from Tender (i) Under no circumstances, the successful tenderer shall not withdraw/refuse to accept the final allotted quantities to him ,failing which his EMD will be forfeited and the additional expenditure also to be incurred by TEDA for retendering shall have to be borne by the bidder .Also he will run the risk of being black listed by TEDA.

(ii) Also, if the bidder fails to take up the work assigned to him after issue of LOA /Work order the EMD/SD as the case may be furnished by him will be forfeited .The additional expenditure also to be incurred by TEDA for retendering shall have to be borne by the bidder .Also he will run the risk of being black listed by TEDA.

32. Banning of business dealing: The company or the bidder will be banned from business with TEDA if the particulars produced by the bidder such as Auditor Certificate, Annual account, VAT Clearance Certificate, are found to be false and breach of any of the conditions in the contract which leads to delay, additional cost to complete the awarded contract.

33. Notwithstanding anything contained in any of the contract documents, TEDA shall have the right to relax or waive any of the conditions of the contract wherever deemed necessary in the interest of TEDA.

34. The Bidder shall not have been currently blacklisted by the Central Govt or any State Government or any Union Territory of India.

35. The tenderer will be responsible for the well behavior of the persons employedby him as well as for the compliance of the work allotted to him.

36. Monitoring Software : Comprehensive software has been developed for smooth functioning of the schemes. Monitoring Software is broadly classified as lot submission, pre dispatch inspection, Installation & commissioning, Third Party Inspection & Payments.

The Pre-Despatch Inspection process will have to happen through monitoring software only.

Format 5 Model Form of Contract To be executed on a Rs.100- Non-judicial Stamp paper bought in Tamil Nadu by the Successful Bidder for Pre-Despatch Inspection of Components to be used in he installation in SPV Home lighting systems in Tamil Nadu under Chief Minister’s Solar Powered Green House Scheme & Street Lighting Systems in Tamil Nadu for the year 2013-14. (NO FIGURES IN NUMERALS OR WORDS SHALL BE FILLED UP IN THIS SAMPLE FORM AT THE TIME OF SUBMISSION OF TENDER)

AGREEMENT

This Contract is entered into at Chennai on the ............... day of 2013 between

Tamil Nadu Energy Development Agency, a wholly owned Government of Tamil Nadu

Undertaking, registered under the Societies Act 27 of 1975, and having its Registered

Office at V Floor, EVK Sampath Maaligai, 68 College Road Chennai - 600 006, Tamil

Nadu, India, hereinafter referred to as "TEDA" (Which term shall mean and include its

successors and permitted assigns) on behalf of Government of Tamil Nadu, hereinafter

referred to as “Beneficiary” and ................., a Company/ Firm registered under

.........................and having its Registered office at .............................. hereinafter

referred to as the “Contractor” (Which term shall mean and include its successors and

permitted assigns)Whereas TEDA on behalf of the Government of Tamil Nadu invited a

tender vide Ref. No. ________ for Pre-Despatch inspection of components to be used

in the installations of SPV Home lighting systems under Chief Minister’s Solar Powered

Green House Scheme & Street Lighting systems for the year 2013-14 and the

Contractor viz., ....................................... was selected as one of the Inspecting

Agencies as per the following terms and conditions:-

1. This document on having been signed by both the parties shall constitute a

binding contract between the parties and shall remain in force for a period of 12 months. But in the event of any breach of the Contract at any time on the part of

the Contractor, the contract shall be terminated by TEDA without compensation

to the Contractor. The contract may also be put to an end at any time by the

Beneficiary upon giving seven days notice to the Contractor.

2. Well trained Engineers will be deployed to carry out the required tests as

specified “Format 3” of Tender documents

3. If the inspection is not effected as specified in the tender, TEDA shall have the

full authority to cancel the order and to take any such action that will be deemed

fit in the circumstances.

4. The inspection will have to be commenced within1 5 days from the date of issue

of LOA (or) within 2 days of submission of the lots by the manufacturer whichever

is later. This being a time bound project, TEDA may cancel the orders if any

delay happens.

9. Tender process will be governed by the Tamil Nadu Transparency in Tenders Act

1998 and the Tamil Nadu Transparency in Tenders Rules, 2000 as amended

from time to time.

10. All statutory obligations / liabilities like Salary, ESI, P.F., as per Labor Laws for

the persons employed for this contract will be the responsibility of the contractor TEDA will not make any direct payment thereof and will not be responsible for any lapses by the contractor.

11. In case of absence, the contractor shall provide alternate Engineer to carry out

the schedule already fixed without any delay. A standing instruction in this respect shall be issued to the Engineer.

12. The Engineer employed by the contractor shall have thorough knowledge of

respective standards of the components, capable of ascertaining the quality and standards of the components as stipulated in the respective IEC / BIS standards.

13. Termination For Insolvency: “TEDA” may at any time terminate the contract by

giving written notice to the contractor without compensation to the contractor, if it

becomes bankrupt or otherwise insolvent, provided that such termination will not

prejudice or affect any right of action or remedy, which has accrued or will accrue

thereafter to the “TEDA”. 14. Termination For Convenience: “TEDA”, may by written notice sent to the

contractor, terminate the contract, in whole or in part at any time for its

convenience without assigning any reason. The notice of termination shall

specify that termination is for TEDA’s convenience in the interest of “TEDA”.

15. Termination for Corrupt or Fraudulent Practices: The Bidder shall observe

highest standard of ethics during the execution of the project. The Tender

accepting authority will reject a proposal for award or terminate the contract, if it

is determined in the judgment of TEDA, the contractor recommended for award,

has engaged in fraudulent and corrupt practices in competing for or in executing

the Contract. 16. Arbitration: In case of any dispute, the matter will be referred to a sole Arbitrator

to be appointed by the Chairman & Managing Director of TEDA under the

"Arbitration and Conciliation Act 1996". The arbitration shall be held in Chennai,

India and the language shall be English only. Subject to the above, the Courts at

Chennai alone only shall have jurisdiction in the matter. 17. Workmen’s Compensation Insurance: This insurance shall protect the

Contractor against all claims applicable under the Workmen's Compensation Act, 1948(Government of India). This policy shall also cover the Contactor against claims for injury, disability disease or death of its or its Sub-Contractor’s employees, which for any reason are not covered under the Workmen’s Compensation Act, 1948. The liabilities shall not be less that Workmen's Compensation

19. Compensation : The contractor shall arrange to exercise effective supervision over the works so as to ensure safety to the men and materials. In case of accidents to the workmen arising out of and in the course of employment, the contractor shall pay necessary compensation to them according to the workman's

compensation act, besides arranging immediate medical aid. He shall indeminify TEDA against any liability whatsoever in this regard and execute a bond accordingly. In case, the contractor fails to pay the compensation within the reasonable time, the TEDA may settle the claim and arrange to recover the same from the contractor

20. Withdrawal from Tender (i) Under no circumstances, the contractor shall not withdraw/refuse to accept the final allotted quantities to him ,failing which his EMD will be forfeited and the additional expenditure also to be incurred by TEDA for retendering shall have to be borne by the contractor .Also he will run the risk of being black listed by TEDA.

(ii) Also, if the contractor fails to take up the work assigned to him after issue of LOA /Work order, the EMD/SD as the case may be furnished by him will be forfeited .The additional expenditure also to be incurred by TEDA for retendering shall have to be borne by the bidder .Also he will run the risk of being black listed by TEDA.

21. Banning of business deaingl: The company or the contractor will be banned from business with TEDA if the particulars produced by the contractor such as Auditor Certificate, Annual account, VAT Clearance Certificate, Test certificate and breach of any of the conditions in the contract which leads delay, additional cost to complete the awarded contract.

22. Notwithstanding anything contained in any of the contract documents, TEDA shall have the right to relax or waive any of the conditions of the contract wherever deemed necessary in the interest of TEDA.

23. The contractor shall not have been blacklisted by Central, or any State Government or any Union Territory of India.

24. The contractor will be responsible for the well behavior of the persons by him as well as for the compliance of the work allotted to him. 25. Monitoring Software : Comprehensive software has been developed for smooth functioning of the schemes. Monitoring Software is broadly classified as lot submission, Pre Dispatch Inspection,Third Party Inspection and Payments

The Pre-Despatch Inspection process will have to happen through monitoring software only.
