I refer to the resolution of the Legislative Council under Standing Order 52 made on 6 June 2019 and your correspondence of that date, concerning the Country UC Ltd and Cooma UC Incorporated order for papers. ·

I refer my previous letter of 20 June 2019 regarding the Legislative Council's Standing Order 52 passed on 6 June 2019- order for papers in relation to the Country University Centres.

In addition to the papers delivered on 20 June, the second tranche documents are now ready. These, together with the first tranche documents, provide a full response by the Department of Industry to the Standing Order.

The second tranche documents together with schedules of both the non-privileged and privileged docu_ments are attached. Also attached is our submission for claim of privilege.

STANDING ORDER 52 - COUNTRY UNIVERSITY CENTRES

SUBMISSION IN SUPPORT FOR CONFIDENTIALITY AND PRIVILEGE

Country Universities Centre made a proposal to the NSW Department of Industry on a confidential basis. ·

The proposal documents includes a confidentiality c::lause which states:

The information contained in this Proposal is confidential and is . · provided to the NSW Deparlment of Industry solely for the purpose of evaluating the Proposal. By accepting a copy of this Proposal, the NSW Department of Industry (the Department) agrees that it will, and will cause its officers, employees, representatives and advisers to keep strictly confidential al/information contained in this Proposal ("Confidential Information') and will not use it, or permit it to be used by any other person, other than to evaluate the Proposal for the Deparlment. · ·

Release of the information to the public at large would breach the confidentiality clause that the Department signed and agreed to.

Information such as budgets, estimates and projections used by CUC to draft their proposal is c_onsidered to fall within the confidentiality clause. Release of such information would reveal how certain operations and estimates of cost is calculated and could impact on CUC being able to vie for funding elsewhere, as their methods of doing so would be revealed to competitors.

Where documents discuss how revenue may be obtained, the method of . · running the centres, this would reveal business secrets .of CUC.

There is.also information in respect of amounts that have been spent or is anticipated to be spent on setting up other regional University Centres.

Pro bono legal advice was used to assist CUC to ensure the proposal was feasible and met the requirements to obtain the grant. This privilege should not be waived in response to a call for papers.

There is also personal information included in some of the documents, which should be protected, as required under privacy laws.

We submit that certain information is privileged arid submit this claim in support of those documents being withheld from the public.
