Our Automotive and Vehicles Industry Team gained widespread recognition by representing

the National Association of Minority Auto Dealers and its membership during the Chrysler and

GM congressional facilitated negotiations, with the automotive trade associations, such as

the National Association of Automotive Dealers (NADA) and the Automotive Trade Executives

Association (ATEA). We effectively elevated the concerns of New York state auto dealerships

and regional dealership groups looking to protect their economic rights to a national platform

after two of the “Big Three” automakers received federal bailout funding, filed for bankruptcy

protection, and restructured their operations.

Harris Beach represents dozens of new and used automotive and vehicle dealerships and regional and national dealership associations and serve as counsel to construction equipment and recreational vehicle dealerships on a wide range of matters.

Our services include:

Acquisitions and DivestituresOur attorneys have extensive experience handling the wide range of issues associated with dealership acquisitions and divestitures. This includes tax, finance, structure, environmental, ERISA, securities, labor relations, and real estate matters. We work with buyers, sellers, financial sources, parties to joint ventures, and members of strategic alliances in structuring transactions and protecting our clients’ interests. To better serve our clients, we also assist them by finding capital, partners, and advisors.

Attorney General Advertising Guidelines The New York Attorney General’s office has historically taken an aggressive posture with respect to advertising by car dealers. The office has issued a series of guidelines to regulate all manner of advertisement, including references to financing terms. Harris Beach has represented numerous dealers threatened by the attorney general office’s Consumer Frauds Division with proceedings to establish fraudulent advertising schemes.

Automotive and Vehicles

written “Information Security Program.” Such a program outlines the dealership’s policies and procedures relating to the physical, administrative, and technical safeguards in place to assure that customer information does not become public. Actions may include designating a “Program Coordinator” and identifying potential internal and external risks to customer information. Harris Beach attorneys provide training and guidance relative to the full range of privacy concerns facing automotive and vehicle dealerships.

Real Property Tax Assessment DisputesOur attorneys represent dealerships in proceedings to lower real property tax assessments and regularly handle matters involving the loss of actual and/or potential display space. We provide dealership clients with knowledgeable and aggressive representation in tax assessment disputes and condemnation proceedings.

We also recognize that it is usually beneficial to both sides to resolve these disputes without litigation. We have extensive experience in bringing parties together to work out solutions without a court battle as well as considerable experience in the trial of these cases if fair settlements for our clients cannot be obtained.

Site ControlIncreasingly, dealerships face auto manufacturers’ efforts to exert control over or influence the appearance, configuration, or location of dealership property. Harris Beach has represented dealers in negotiation and litigation of such matters, including disputes over dualing of dealerships, modification

of manufacturer programs to exclude dualed dealers, configuration of properties, and conditioning of approvals on steps to separate facilities for different lines of vehicles.

Succession Planning/PartnershipAttorneys with our Automotive and Vehicles Industry Team help plan and execute strategies designed to meet our clients’ business and personal goals as well as providing practical recommendations to help them minimize tax costs and comply with increasingly complex tax regulations. From partnership agreements to business succession planning, our attorneys are familiar with the issues unique to automotive and vehicle dealerships. We help dealership owners develop plans so they can transfer their businesses to their children, while minimizing the impact of estate and gift taxes. We also represent dealers in disputes between partners/shareholders.

Harris Beach PLLC represents more than 25 Industrial Development Agencies (IDAs) across the state

in a broad range of projects. These initiatives incorporate all forms of federal and state economic

development incentives. Many of the projects include implementing local waterfront redevelopment

efforts, executing area master plans with condemnation, and more. These projects often require

coordination with city councils, county and town boards, Urban Renewal Agencies, IDAs, Local

Development Corporations (LDCs), community groups, and the Empire State Development

Corporation (ESDC). Following is a sampling of some of our economic development projects.

Albany Convention Center Authority Enlists Harris Beach for Extensive SupportAs general counsel to the Albany Convention Center Authority, Harris Beach advises on a wide range of matters, including corporate and organizational issues, negotiation of contracts, leases, etc. on behalf of the Authority, real estate eminent domain construction law, litigation, environmental law including some State Environmental Quality Review Act (SEQRA) compliance, and Public Authority Accountability Act compliance.

Buffalo Realizes Improved Outcomes with Innovative Financing Harris Beach introduced the idea of combining an IDA PILOT Agreement with Empire Zone benefits to encourage developers to make PILOT payments that can be utilized (with taxing jurisdiction consent) and borrowed against to fund site-specific infrastructure. The first PILOT Increment Financing (PIF) was used by the Erie County IDA (ECIDA) to bridge financing gaps related to the Tops store located in the city of Buffalo. Harris Beach later represented the developer of the Certainteed project at Union Ship Canal (now known as Buffalo Lakeside Commerce Park). The initiative balanced Brownfield Clean-up issues with IDA and Empire Zone benefits to create a unique Brownfield fund. (See following for details of the Buffalo Lakeside Commerce Park project.)

Environmental Counsel Key to Helping ESDC Develop Buffalo’s Inner HarborWe served as counsel to Empire State Development Corporation for the Buffalo Inner Harbor development, including the areas of construction, environmental and related litigation. During Phase I, our primary function in that role was to assist and advise the ESDC, as lead and coordinating agency for the project, in conducting the necessary environmental review process in compliance with NEPA and SEQRA. Phase I included advising ESDC with respect to all environmental issues raised through the review process as well as assisting in the preparation of the Environmental Impact Statement. This project also involved extensive and complex NEPA and SEQRA litigation. The Canal Side Project will face similar legal issues and similar legal challenges.

Improving New York State Through Economic Development

We also handled the formation of a redevelopment entity and the identification and financing of a development team. What started with the closing of the largest area employer and loss of 125 jobs after a 150-year history, ended with a redeveloped multi-tenant facility which created 150 jobs.

New Opportunities at the Seneca Army Depot Encourage Future DevelopmentHarris Beach represents the Seneca County IDA, which has acted as the recipient of lands and improvements from the U.S. Army for this 10,600-acre facility. The representation involves balancing economic opportunities with community concerns during the negotiation of land transfers, negotiating with the Army for concessions to upgrade or demolish existing structures prior to the property transfer, reviewing of any environmental concerns and related indemnities, negotiating and transferring utility agreements, and creating economic development assistance packages to encourage new users to locate to the depot.

The City of Syracuse Benefits from AXA Financial AcquisitionHarris Beach was counsel to AXA Financial, Inc. regarding the relocation of hundreds of jobs to the city center as part of the acquisition of MONY Life Insurance Company.

City of Yonkers Experiences a Renaissance Through Economic Redevelopment For the last ten years, Harris Beach has been involved with the Renaissance of the city of Yonkers through economic development,

providing counsel for the IDA, urban renewal, Empire Zone, Empowerment Zone, and Brownfield Cleanup Program projects. The work includes coordinating projects with the master plan, urban renewal plans, the local waterfront redevelopment plan, compliance with the State Environmental Quality Review Act, and project-specific needs. Projects include Phase I and II of the Collins waterfront housing projects for $170 million; FC Ratner development of Ridge Hill into a $800 million village-theme retail and housing development; and the Struever Fidelco Cappelli downtown development involving over $3 billion in new retail and commercial projects. These developments involve IDA benefits, Empowerment Zone benefits, Empire Zone, SEQRA, and land-use issues; Department of Transportation (DOT) coordination; and New Market Tax Credits; as well as pursuit and monitoring of project-specific state and federal funding. We are currently working on what could be the largest use of Tax Increment Financing (TIF) in New York state history.

Legal Practice Ms. Ahn is an associate of the firm and focuses her practice in the e-infosm Electronic Information Counseling and Management Team, which provides comprehensive document management services in litigation, transactional, and regulatory compliance contexts. She also practices within the Medical and Life Sciences Industry Team and Intellectual Property Law Practice Group. Ms. Ahn’s experience includes working as an associate in the New York City office of a globally based general practice firm. She has represented clients in litigations through trial and in appellate court proceedings in various federal district courts, the United States International Trade Commission, and the United States Court of Appeals for the Federal Circuit. As electronic discovery counsel, Ms. Ahn combines her legal experience and computer science training in programming and database operations and management. She assists clients with all phases of information management as it relates to the development of document management strategies and policies, document preservation and litigation holds, discovery conferences, discovery of Electronically Stored Information (“ESI”), collection, processing, privilege and responsiveness reviews, and production of documents, search criteria, and sampling of electronic documents for pre-litigation assessments. In medical and pharmaceutical matters, Ms. Ahn leverages her pre-med training obtained at the University of California at Berkeley. Previously, Ms. Ahn was a judicial intern to Judge Harold Baer, Jr. of the Southern District of New York and Chief Judge Edward J. Damich of the United States Court of Federal Claims, and a law clerk to Judge Mark M. Russello of the Bergen County Justice Center. She has also mediated a number of civil cases to settlement for the State of New Jersey. Professional and Community Activities Ms. Ahn is a member of the New York Intellectual Property Law Association (Amicus Briefs Committee) and the American Intellectual Property Law Association. Legal Practice Ms. Lopardi is a member of the firm. She practices in the Labor and Employment Law Practice Group and serves on the Educational Institutions Team. She managed and represented the University concerning all legal matters involving governance, academic affairs, business services and contract management, facilities, employment, student life, and institutional advancement. Prior to Niagara University, Ms. Lopardi was an attorney with another Buffalo law firm where she represented clients concerning numerous aspects of Education Law and Labor and Employment Law. At Harris Beach, Ms. Lopardi's practice continues to focus on counseling and representing school districts and businesses regarding various areas of education, labor and employment law matters.
