1. DEFINITIONS.

For the purpose of this document, the expressions mentioned hereunder shall have the

meaning specified against them unless there is anything repugnant in the subject or

context:

(a) ‘Owner’ or ‘Employer’ Shall mean the Haryana Power Generation

Corporation Limited (HPGCL), a Company

incorporated under the Companies Act, 1956 having

its registered office at Urja Bhawan, C-7, Sector-6,

Panchkula, Haryana and its power stations, units

and all offices under its control.

(b) ‘Tender’ Shall mean the tender submitted by the tenderer for

acceptance by the Owner.

(g) ‘Managing Director’ Shall mean the Managing Director (MD) of HPGCL,

or his successors in office as designated by the

Owner.

(c) ‘Agency’ or ‘Contractor’ shall mean the person or persons, firm or company

whose tender has been accepted by HPGCL and

includes the Contractor’s legal representatives, his

successors and permitted assignees.

(d) ‘Sub-contractor’

shall mean any person or firm or company (other

than the contractor) to whom any part of the work

has been entrusted by the Contractor, with the

written consent of the owner or his representative

and the legal representatives, successors and

permitted assignee of such person, firm or

company..

(e) ‘Contract’ Shall mean the agreement between the Owner and

the agency for execution of the contract including

therein all documents such as the invitation to

Tender, instructions to tenderer, Special Conditions

of Contract, Scope of Work, agreed Variations if any

etc.

(f) ‘Contract Document’ Shall mean collectively the tender documents,

agreed variations, if any and other documents

constituting the tender and acceptance thereof.

(h) ‘Site’ Shall mean the locations and places wherever

business activities are conducted by the Owner. A

list of such locations is provided at clause no. 8.

(i) ‘Plant’ Shall mean the Power Generating station of HPGCL.

(j) ‘Offices’ Shall mean Corporate Office and Offices at various

Power Generating station of HPGCL

(k) ‘Notice’ Shall mean a notice in written, typed or printed

characters sent (unless delivered personally or

otherwise proved to have been received) by

registered post/speed post/e-mail to the last known

private or business address or registered office of

the addressee and shall be deemed to have been

received in the ordinary course of post/electronic

post it would have been delivered.

(l) ‘Appointing Authority’ Shall be the Managing Director or any other person

so designated by him for the purpose of arbitration.

(m) ‘Letter of Intent’ Shall mean intimation by a Letter to tenderer that

the tender has been accepted in accordance with the

provisions contained in the letter.

(n) ‘Days’ Shall mean a calendar day of 24 hours from

midnight to midnight irrespective of the number of

hours worked in that day.

(o) Total Value of Contract’ Shall mean the total consultancy price including all

applicable taxes in accordance with the prices

accepted in tender as payable to the agency for

providing the consulting services

(p) ‘PTPS Panipat’ Shall include both PTPS-1 and PTPS-2 Panipat.

In the event of any doubts arising with respect to the provisions of the rules and

inadequacy in the scope of its coverage, the final authority of interpretation shall vest with

the MD whose decision shall be final.

2. Details of NIT.

3. INTRODUCTION

6.1.1 Haryana Power Generation Corporation Ltd. came into existence on 14.08.98 after

the restructuring of Haryana State Electricity Board into Haryana Power Generation Corporation

Ltd. (HPGCL), Haryana Vidyut Prasaran Nigam Ltd. (HVPNL), Uttar Haryana Bijli Vidyut Nigam

Ltd.(HPGCLL) & Dakshin Haryana Bijli Vidyut Nigam Ltd. (DHBVNL) under the Reform

Programme.

The main objectives of HPGCL are as under: -

To generate power from its existing Generating Stations in the most efficient manner

on commercial lines and to sell the same to distribution companies.

To set up new Power Generation Projects.

6.1.2 HPGCL owns & operates the following power plants in the state:

4. Scope of Work and System Requirement.

4.1. Scope of Work:

HPGCL has decided to install the latest technology based Closed Circuit Television (CCTV) to

provide surveillance through IP based cameras at Main Gate, Colony & Railway Gate at

RGTPP Khedar and at Main entrance gate (Gate No.2), Old Gate (Gate No.1), Silo

Gate (Unit-7&8), Railway entry Gate & CISF watch tower (near 29A & 29B tower

CHP-3) at PTPS Panipat. The video streaming of the cameras shall also be make available.

The proposed surveillance system shall consist of

This system will be used for monitoring of various locations at PTPS Panipat and RGTPP Khedar.

4.2. System Features

Closed Circuit Television (CCTV) is required for surveillance through box type zoom

cameras/PTZ cameras at specified locations in order to cover the specified areas.

1) RGTPP Khedar

a) At Main Gate:- (02 no. Box Type cameras)

The Box Type cameras shall be located on both sides of main gate to observe the

movement i.e. Entry/Exit of employees, visitors, contractor / workers etc. as well as the

vehicles with No. with a recognition range of 30-50 mtr. All box type cameras at Main Gate &

Colony Gate shall be connected to Main Server/computer placed at Main Gate for

recording/real time monitoring of each / every activities.

b) At Colony Gate:- (2 no. Box Type cameras)

The Box Type cameras shall be located on both sides of colony gate to observe the

movement i.e. Entry/Exit of employees, visitors, contractor / workers etc. as well as the

vehicles with No. with a recognition range of 30-50 mtr.

c) At Railway Gate:- (1 PTZ & 2 no. Box Type cameras)

The Box Type cameras shall be located on both sides of gate to observe the movement i.e.

movement of filled/empty wagon of incoming/outgoing racks. The PTZ camera shall be

located at such a height that it can take a view on both sides of the railway gate i.e. on the two

tracks one for entry and other for exit for monitoring/observing the movement of filled/empty

wagon of racks with a range of atleast 300 mtr in 360 degree direction.

2) PTPS Panipat

a) At Main Gate (Gate No.1):- (02 no. Box Type cameras)

The Box Type cameras shall be located on both sides of main gate to observe the

movement i.e. Entry/Exit of employees, visitors, contractor / workers etc. as well as the

vehicles with No. with a recognition range of 30-50 mtr.

b) At Old Gate(Gat No.2):- (1 no. Box Type cameras)

The Box Type cameras shall be located at a location in order observe the movement i.e.

Entry/Exit of employees, visitors, contractor / workers etc. as well as the vehicles with No.

with a recognition range of 30-50 mtr.

c) At Silo Gate:- (1 no. Box Type cameras)

The Box Type cameras shall be located at a place in order to observe the movement i.e.

Entry/Exit of employees, visitors, contractor/ workers etc. as well as the vehicles with No. with

a recognition range of 30-50 mtr.

d) At CISF watch Tower:- (1 no. PTZ cameras)

The PTZ cameras shall be located at a specified height in order to avoid the theft from

overhead conveyer belt (i.e belt No 29A & 29B) which is partially routing through railway

land with a range of atleast 300 mtr in 360 degree direction.

All the cameras installed at locations a) to d) above shall be connected to Main

Server/computer placed at Main Gate for recording/real time moniotoring of each / every

activities.

e) At Railway Gate:- (1 no. PTZ and 01 no. Box Type cameras)

The Box Type cameras shall be located on both sides of gate to observe the movement i.e.

movement of filled/empty wagon of incoming/outgoing racks. The PTZ camera shall be

located at such a height that it can take a view on both sides of the railway gate i.e. on the

two tracks one for entry and other for exit for monitoring/observing the movement of

filled/empty wagon of racks with a range of atleast 300 mtr in 360 degree direction.

The scope of work shall consist of supply, installation, testing, training & handing over of

all materials, equipment, hardware, software applications and commissioning of said system with

all the required components strictly as per the enclosed tender specifications, design details. The

scope also include the supply, installation & commissioning of any material or equipment

including civil works that are not specifically mentioned in the specification. The hard ware

required for the system including workstations, monitors, cables, connectors etc will be in the

vendors scope. It will be the responsibility of the vendor/bidder to make the entire system fully

functional as per the specifications. Vendor/bidder shall consider any equipment /devices

required to make the system functional if not mentioned herewith. Further, the CCTV system

shall have the provision to be integrated with other security systems already in place

and other systems such as the Access control systems and Intrusion alarm system.

It is advised that Prospective bidders may visit the sites/power plants for better

understanding of required system.

4.3. Location of Project.

The installation of the CCTV surveillance system through cameras by the agency will be at

the following locations of the organization.

5. Eligibility Criteria.

The Firm intending to bid should fulfill the following eligibility criteria (satisfactory

evidence to be provided by the firm):

1. Bidder should have ISO 9001:2008 Certificate. 2. The Bidder must be empanelled with HARTRON for networking from last three

years. 3. Bidder should have Turnover of at least Rs.4 Crore cumulative from the last three

years. 4. Bidder should be from networking/CCTV field and should have executed

Networking/CCTV Project of not less than Rs.25 lacs in last three years. 5. The bidder should have presence of local support at regional level (within

Haryana/ NCR region) 6. The Bidder must be an OEM/Authorized System Integrator and has to submit the

authorization along with technical bid for major Active (Camera & PTMP Links) and Passive Items.

7. The Bidder should have Permanent E.P.F account no., Service tax registration & Sales Tax/Vat code.

8. All Cameras Should be ONVIF,UL, MTBF, EN listed & documentary proof to be attached with the bid.

6. Instructions to Bidders:

6.1. Earnest Money.

6.1.1 Bidders must furnish the earnest money in the form of Demand Draft /Pay Order

of Rs 80,000 (Eighty thousand Only) from any scheduled bank authorized to do

the business in India. Demand Draft /Pay Orders will be in favour of “Accounts

Officer/EAD, HPGCL, Panchkula” payable at Panchkula, placed in a separate

sealed envelope super scribed as ‘Bid Earnest Money’.

6.1.2 The Earnest Money of the successful bidder shall be adjusted towards Security

Deposit for the faithful execution of the contract and EMD in case of unsuccessful

bidders shall be refunded after the award of contract to the successful bidder.

6.1.3 The Earnest money submitted will be liable to forfeiture, if successful Bidder fail

to accept Work Order /LOI issued within the offered validity period.

6.2. Submission of Bids.

6.2.1 The bid document should be submitted by the person/firm/company/

having purchased the tender document in his/ its name. The downloaded

document from HPGCL website must accompany a Demand Draft of

Rs. 1000/- in favour of “Accounts Officer/EAD, HPGCL, Panchkula”

payable at Panchkula towards cost of document & placed in separate

sealed envelope super scribed as 'Cover-I : Tender Document Cost’.

The tender document is not transferable.

6.2.2 Bids shall be of two part: (a) Technical Bid, and (b) Financial Bid, which

are to be submitted in separate Sealed covers

6.2.3 The 2nd envelope should contain the earnest money. Name of the Bid, Ref

No., Due date and the words 'Cover-II : Bid Earnest Money' should be

clearly written on the front side of the envelope. This envelope shall

contain only the earnest money. In case of any shortfall, the offer will be

treated as cancelled.

6.2.4 The 3rd envelope should contain the Technical Bid. Name of the Bid, Ref

No., Due date and the words 'Cover-III: Technical Bid' should be

clearly written on the front side of the envelope.

6.2.5 The Technical Bid shall be complete in all respects. In case of any

deviation in the technical bid, HPGCL reserves the right to reject the offer

and not to open the price bid.

6.2.6 The 4th envelope should contain the Financial/Price Bid. Name of the Bid,

Ref No., Due date and the words 'Cover-IV: Financial Bid' should be

clearly written on the front side of the envelope.

6.2.7 All the above covers shall be placed in a 5th Cover and shall be submitted

properly sealed super scribing "Name of the Bid, Ref No., Due date

and No. of covers inside" with mentioning Bidder's name and seal.

6.2.8 Tenders received upto stipulated time and date only would be accepted.

Tenders will not be received beyond the stipulated time and date of

reciept of tenders as stipulated in the NIT.

6.2.9 Bids as mentioned above should be addressed to:

6.2.10 HPGCL reserves the right to select or reject any party without assigning

any reason whatsoever.

6.3. Date of Submission & Validity.

6.3.1 The Bid must be received by the addressee within 15.00 Hrs on

23.12.2013 and valid for 120 days from the date of opening of price bids.

It is the responsibility of the Bidders to ensure that Bids are delivered in

accordance with the instructions set out in the NIT and its accompanying

documents.

6.3.2 The Technical Bids will be opened at 15.30 Hrs on same day. Non

Submission of Bids is to be intimated to HPGCL within closing date.

6.3.3 Late Bids will not be accepted in any circumstances and will be returned

unopened to the Bidders. No special pleadings will be accepted.

6.4. Technical Bid.

6.4.1 The Bidder is expected to examine all terms and conditions included in

the Document. Failure to provide the requested information will be at his

risk and may result in rejection of the Bid.

6.4.2 Technical Bid must provide the information, using, but not limited to, the

formats attached as annexure in bid.

6.4.3 Bidder's understanding of the processes and the proposed solution is also

an elaboration of how the required tasks are proposed to be undertaken.

6.4.4 TECHNICAL BID MUST NOT INCLUDE ANY FINANCIAL

INFORMATION. IF FOUND SO THE BIDDER WILL BE

DISQUALIFIED.

6.5. Financial Bid.

6.5.1 The financial Bid must take into account the tax liability & cost of

insurances if any and any other statutory payouts as per the standard

guidelines.

6.5.2 The Bids should be submitted with a covering letter as per Annexure A.3.

6.6. Bid Opening.

6.6.1 Technical Bids will be opened on 23.12.2013 at 15.30 Hrs. Bidders are

requested to be present during Technical Bid opening.

6.6.2 On the basis of evaluation of Technical bid, eligible Bids will be finalized.

Financial Bids for all eligible Technical Bids will be opened on a suitable

date, likely within 7 days of submission of Bids.

6.6.3 The Date of opening of the financial bid will be intimated to eligible

bidders and request them to be present at the time of opening of

Financial Bid.

6.7. Bid Evaluation & Selection.

6.7.1 Evaluation of the Technical Bids will be done by HPGCL on the basis of

Eligibility criteria.

6.7.2 Bidders may be asked to clarify on any discrepancy found in Technical

Bid.

6.7.3 HPGCL reserves the right to call any or all of the bidders, for

presentations or negotiations on specific points in the Bids submitted, in

order to satisfy the selection.

6.7.4 The Technical Bids submitted will be evaluated first to look into the

eligibility of the Bid. The Technical bid must be complete in all respects.

6.7.5 HPGCL rejects the bid in case of any deviation from the bid and

respective financial bids will not be opened.

6.7.6 The final bidder will be selected on the basis of lowest price quoted under

final schedule of requirement and price bid schedule i.e Section-9.

7. General Terms & Conditions of Contract.

7.1 Counter Part Arrangements: - The agency is required to execute the work at

HPGCL sites. As a counterpart arrangement, the concerned officers shall be

designated for providing the requisite assistance for the proposed work. All other

requirements shall be borne by the agency.

7.2 Letter of Intent: - Acceptance of a Bid Proposal by HPGCL shall be

communicated by the issue of a letter of Intent (the "Letter of Intent").

7.3 Acceptance Of Letter Of Intent and Agreement: - The successful bidder

shall accept the Letter of Intent within 7 (seven) days from the date of issue of the

Letter of Intent by returning a duly signed copy thereof and shall enter into the

Contract Agreement with HPGCL within 15 days from the date of issue of LOI, on

a non-judicial stamp paper of requisite value with SE/Technical, HPGCL. The

stamp duty is to be borne by the bidder. The bidder shall also furnish PBG along

with the contract agreement and shall be kept in full force and effect for the full

term of the Contract Agreement. The period of contract agreement shall be

effective for the full term of Contract Agreement.

7.4 Subletting of Assignment: - The agency shall not assign or transfer the

Contract Agreement, in whole or in part, to any sub-contractor or any other party

i.e. no sub-letting of the contract is allowed.

7.5 Force Majeure: If the agency is prevented from performing any of its

obligations under the Contract Agreement due to causes such as fire, Acts of God,

or elements, embargoes, governmental orders, the agency shall be excused from

the non-performance of its obligations during the period that such cause

continues to exist. The agency shall however, inform the corporation by registered

post about such acts at the beginning and end of the above causes of delay within

ten days of occurrence & cessation of such force majeure conditions.

7.6 Indemnity If, for any reason or resulting from any cause whatsoever, any

statement, representation or warranty set forth in the Bid Proposal and Contract

Agreement is found to have been materially incorrect or untrue when made, in

breach or fails to prove to be true, the agency shall be fully liable to any and all

liability, damage, any third party claims, costs and expenses including legal fees

arising from such misrepresentation, breach or incorrect statement. The agency

shall indemnify and the keep indemnified the Employer fully and hold harmless

against any and all liabilities, costs, expenses including legal fees, third party

claims of infringement of copyright, trademarks, trade names, patents and other

intellectual property rights subsisting in or used in connection with the

Consultancy Assistance to Haryana Power Generation Corporation Limited

(HPGCL) including all documentation and manuals relating thereto including any

original authorship of further developmental works or derivative works made. The

agency shall indemnify the Employer against all actions, suits, claims, demands,

costs or expenses arising in connection with death or injuries suffered by persons

employed by the agency under any applicable Law for the time being in force.

7.7 Compliance with Laws: - The agency shall conform to and comply with all

applicable Laws of the state or central government and / or any Legal Authority,

bye-laws of the Employer and all other local authorities including without

limitation to industrial and labour laws and tax laws.

7.8 Penalties for Delay: -

In case of failure to complete the work in time the penalty shall be levied @ 0.50%

per week or part thereof of the total contract price subject to maximum of 10% of

the total contract price subject to force majeure.

7.9 Arbitration: -

7.9.1 All matters, questions, disputes, differences and/or claims arising out of

and/or concerning, and/or in connection with, and/or in consequence of,

and/or relating to any contract under these Regulations, whether or not

obligations of either or both the Supplier and the Corporation under that

contract be subsisting at the time of such dispute and whether or not the

contract has been terminated or purported to be terminated or

completed, shall be referred to the sole arbitration of Appointing

Authority. The award of the Arbitrator shall be final and binding on both

the parties to the contract.

7.9.2 The objection that the Arbitrator has to deal with matters, to which the

contract relates, in the course of his duties or, he has expressed his views

on any or all of the matters in dispute or difference, shall not be

considered as a valid objection.

7.9.3 The Arbitrator may, from time to time, with the consent of the parties to

the contract enlarge the time for making the award. The venue of the

arbitration shall be the place from which the acceptance of offer is issued

or such other place as the Arbitrator, in his discretion, may determine.

7.9.4 All arbitration proceedings under this Regulation shall be governed by

the provisions of the Arbitration and Conciliation Act, 1996 and the Rule

there under, with any statutory modifications thereof for the time being

in force.

7.10 Price, Taxes, Duties and Evaluation:-

7.10.1 Price offered in financial bid will be fixed throughout the contract period

and no escalation will be allowed.

7.10.2 Any variation, up or down, in taxes and duties or any new levy introduced

subsequent to bid opening will be considered applicable.

7.10.3 The Tax liability, if any, on deputation of the agency personnel shall be

borne by the agency and shall be responsibility of the agency as per Tax

laws of India.

7.10.4 The contractor shall pay taxes, duties, fees, and other impositions (expect

service tax) as may be levied under the applicable laws in India, the

amount of which is deemed to have been included in the quoted price.

7.10.5 Amount payable to the contractor shall be subjected to deduction of TDS

(Tax deduction at source) or any other applicable taxes as per tax laws of

India. The Contractor shall be responsible for assessment of his income

as per the applicable Income tax laws in India. The Owner will not accept

any liability on account of Tax/addition tax/penalty/Interest burden etc

for assessment of his taxable income by Indian Income Tax Authorities.

7.10.6 The personal income tax of overseas agency, if payable shall be paid by

the overseas agency directly. Owner shall neither be liable to pay the

income tax nor for filling the tax return for overseas agency.

7.11 Jurisdiction of Courts: - The courts at Panchkula shall alone have exclusive

jurisdiction to decide any dispute arising out of or in respect of the contract.

7.12 Termination of Agreement: - If the work entrusted is not proper and to the

satisfaction of HPGCL and if the work of the agency continues to be

unsatisfactory, the agreement shall be terminated by HPGCL by giving 10 days

notice at any time during subsistence of this agreement. The same will be

entrusted to another agency and the extra expenditure incurred by HPGCL, the

same will have to be borne by the existing agency.

7.13 Negligence & Risk Coverage: - If the agency contravenes the provisions of this

contract or fails to provide efficient services or refuses to comply with any

reasonable order given in writing by the Controlling officer of the Employer or his

authorized representatives, a one week notice shall be served upon him to correct

himself and to execute this contract in true spirit. If a agency fails to take notice of

such notice served upon him, the Employer shall be at liberty to take the work

wholly or in part, out of the agency hands and re-contract with any other

person(s) at the cost of the agency. Any extra expenditure incurred by the

Employer on such re-contracting shall also be recoverable from the agency, in

addition to the HPGCL right or claim for liquidated damages. It shall also be

lawful for the HPGCL to forfeit either in whole or in part, in its absolute

discretion, the security deposit furnished by the agency. Forfeiture of the security

deposit shall be without prejudice to the right of the HPGCL to recover any

further amount of any liquidated and / or other damages to the maximum of 10%

of the total contract value, undue payment or overpayment made to the agency

under this contract or any other contract.

7.14 Damage to Equipment or to any Person or any Third Party: The agency

shall be liable for any loss / damage caused to the property, equipment or to any

employee of HPGCL or to third party due to their negligence or willful

misconduct. HPGCL shall recover the cost of such damage from the agency. If

claims are lodged against HPGCL by third parties for compensation of damage or

loss caused by agency fault, the consultancy firm / bidder shall keep indemnified

HPGCL against all claims raised by third parties.

7.15 Confidentiality: - The terms of the bid, Letter of Intents, Contract Agreement

and all information disclosed by the HPGCL and obtained by the agency in

connection with the Consultancy Assistance to HPGCL shall remain the exclusive

property of the HPGCL and shall not be disclosed by the agency to any third party

other than without the prior written consent of the HPGCL.

7.16 The language of the Contract Documents shall be English.

7.17 The laws that apply to the Contract are the laws of Union of India.

The currency of the Contract is Indian Rupees.

8. Special Terms & Conditions of Contract.

8.1 PRICE BASIS

DAP basis (Delivered at Place i.e PTPS Panipat and RGTPP Khedar) inclusive of all taxes and duties, freight & insurance upto respective locations. Evaluation will be done on all inclusive prices.

8.2 PAYMENT TERMS

80% payment of supply of material, except sr no. 23 & 24 of schedule of requirement , shall be made against receipt of all goods in good condition.

Balance 20% of supply of material + 100% payment of sr no. 23 & 24 of schedule of requirement & 100% installation, commissioning and integration charges shall be payable after 15 days of satisfactory Installation, Commissioning of all Equipment/System at site.

No payment will be made for goods rejected on testing.

8.3 PAYING AUTHORITY

“SE/Technical(HQ) Urja Bhawan, HPGCL C-7, Sector-6 Panchkula”

8.4 DELIVERY SCHEDULE

Supply, Installation & Commissioning of all Equipment/deliverables and integration of CCTV surveillance system at Panipat and Hisar plant to be made within 120 days from the date of issue of PO.

8.5 PERFORMANCE BANK GUARANTEE (PBG)

The bidder is required to submit PBG for an amount equivalent to 10% of the P.O. value valid up to Warranty Period.

8.6 WARRANTY

3 (Three) years comprehensive warranty. During the warranty period the successful bidder shall attend to service break

down calls received from any site within 72 hours and rectify the defects immediately at free of cost.

8.7 QUANTITY VARIATION

HPGCL may add or delete the number of systems/equipments upto 15% of total

equipments during the contract period and the charges shall be increased/ reduced

accordingly on pro-rata basis, based on the unit price quoted by the contractor.

Variation beyond that may be settled mutually. However successful bidder wil be

selected on the basis of lowest prices quoted under final schedule of requirement

and price bid schedule.
