The importance o corporate governance,
and thus the role o the company
secretariat, has grown in the last two
years, as companies increasingly ocus
on transparency and disclosure in
governance, strategy, risk assessmentand decision-making.

important part o this. It is the most comprehensive
publicly accessible window into business and
provides an insight on the way that boards and
their committees operate.
The company secretariat must overcome tensions
in the boardroom and nd the balance between

stewardship. Value can be added by ensuring
discussions on executive remuneration and
shareholder engagement are on the agenda.

lateral moves. Competition will be erce at the
junior level with the yearly number o ICSA students
increasing. And with so many more people holding
and studying toward qualications, hiring managers
will increasingly seek sector-specic experience.This is especially true or nancial services where
exposure is difcult to gain and candidates with
experience will continue to be highly sought ater.
In the listed environment there will be a squeeze
on jobs as mergers and acquisitions and related
redundancies continue in 2012. In the private practice
sector, the Companies Act 2006 (excusing the
requirement or the ofce o the company secretariat)
will mean these responsibilities all on the companydirectors. More rms will diversiy, adding company
secretarial services to their corporate services
oerings, leading to a rationalisation o the company
secretariat in smaller rms.
The role o the company secretariat will continue
to be essential as companies seek to rebuild.
This continues to be an exciting proession, and a
vibrant market.
