Dear Sir,

1. Hindustan Organic Chemicals Limited, Rasayani is a largeindustrial organisation engaged in manufacturing of heavy basicorganic chemicals with continuous process operations.

2. We are pleased to invite the tenders in two bids system (i.e.Technical Bid and Price Bid) from competent/experiencedtransport contractors of sound financial standing havingminimum four tourist vehicles on their own name and havinggood reputation, for providing One number of TATA Sumo andone number of TATA Indigo on monthly hire basis at our factoryat Rasayani. The vehicals should be new roadworthy and ingood condition.

3. The offers should be submitted in two separate sealed covers containing :-

A) Technical Bid

The Technical Bid contains the following information:

a) Name of the firm, year of establishment, status –proprietary/partnership or private etc. with details andrelevant copies of documents.

b) Location of your office, parking facility/repair facility.

c) No. of vehicles in your fleet and their details such as

make, manufacturing year, seating capacity, Registrationno./ tourist taxi permit no., comprehensive insurancepolicy Nos. and validity.

d) Name, address, telephone/mobile numbers of responsiblepersons/supervisors to be contacted in case ofemergencies or other requirements.

e) Details of operational staff i.e. drivers such as Name, address, age, educational qualifications, Motor drivingLicense no. & validity, Public service Badge no.Languages read, write & speak, experience,Telephone/Contact no.

f) List of organizations with addresses, names of concernedofficials with phone numbers to whom you are/haveprovided similar services with period and Xerox copies ofconcerned work orders/contract etc. in the past threeyears.

g) Undertaking that all terms and conditions have beenread, understood and acceptable.

h) Income Tax details such as Permanent Account Numberand latest IT certificate.

i) Service Tax Registration No / Professional Tax Regd.No….

j) Any other additional information you may desire to provide.

The information as above of technical bid should be given in theenclosed format at Annexure-I.

The said Technical Bid should be sealed in an envelopesuperscribing as “Techinical Bid for providing TATA Sumo &TATA Indigo”.

B) PRICE BID

The Price Bid shall be quoted for the following :

I) Hire Charges for TATA Sumo (with fuel charges & Driverssalary)

Rate to be quoted : For and upto 4000 Kms. and 24

hrs. duty per day. Charges for Addl.Kms. : Beyond 4000 Kms. Per month per Km.

Rebate for unutilized Kms.: Less than 4000 Kms. Per month per Km.

Rates shall be quoted for the above operations excludingService Tax and rate of Service Tax shall be indicated in thePrice Bid. Other charges : Any charges for entry, parking, toll etc, levied by the Government to be paid by the Drivers will be reimbursed as per actual on production of receipts/ bills along with monthly hire bill.

Vehicle requirement : On all days in the month exceptone Sunday, for the purpose of maintenance/repairs. However,the agency should arrange alternative vehicle.

The vehicle will thus be exclusively for HOC’s duty.

Make & Model : Diesel tourist taxi registered TATA Sumo. Vehicle should be white colored. Two Nos. of revolving fan, radio- cum-tape Deck with good quality speakers and two Set of loose seat covers. Model : Sumo Gold EX BS-IV T- permit

II) Hire Charges for TATA Indigo (with fuel & Driver by theparty)

Panvel Base Driver. Since uses of Vehicle is for panvel toRasayani & back.Rate to be quoted for : For and upto 3000 Kms.for12 hrs. duty per day.

Charges for Addl.Kms. : Beyond 3000 Kms. per month per

Km. Rebate for unutilized Kms.: Less than 3000 Kms per month per Km.

Addl. Hours : Beyond 12 hours per day per hour Rates shall be quoted for the

above operations excluding Service Tax and rate of Service Tax shall be indicated on the Price Bid.

Other charges : Any charges for entry, parking, toll etc, Levied by the Government to be Paid By the Drivers will be Reimbursed as Per actual on production of receipts/ Bills along with monthly hire bill. Vehicles should be made available for duty within a period ofmaximum 30 days. During this period agency has to provide

other vehicle in good and roadworthy condition and inspectedand duly approved by our Transport Section.

The schedule of rates to be quoted by the Contractor as perAnnexure-II.

The said Price Bid should be sealed in a envelopesuperscribing as “Price Bid for providing TATA Sumo and TATAIndigo”.

Both the bids separately sealed as mentioned above should beput in one envelope superscribing “Technical Bid and Price Bid”for providing One TATA Sumo and one TATA Indigo” due on 11th

May,2016 upto 14.00 hrs. addressed to Shri. S.D.Patil, GeneralManager (P&A), Hindustan Organic Chemicals Limited, P.O.Rasayani, Dist. Raigad, PIN 410 207 and deposit the same inthe Tender Box available at the HOC Limited, Admn. Bldg.,Personnel & Admn. Division, Central Registry, at Rasayani, onor before the due date and time i.e 11th May,2016 upto 14.00hrs. The Technical Bids shall be opened on 11th May,2016 at15.00 hours in the presence of bidders/their authorizedrepresentatives duly authorized by the firm, if available. Thedate of opening of price bid will be intimated to only qualifyingtenderers in Technical Bid, later on.

Note :

The contractor is required to submit the tenders along withAnnexures duly signed on each page of the tender documentpurchased from the company by paying Rs.1000/-.(Non-refundable)

The tender document downloaded from website for the purposeof submission to the company, will be rejected.

Delayed Tenders/Bids shall not be accepted under anycircumstances.

Incomplete Tenders/Bids shall be rejected.

4) Earnest Money Deposit (EMD)

Earnest Money Deposit (EMD) of Rs.20,000/- (Rupees twentyThousand only) shall be paid by the Contractor alongwithTechnical Bid by Demand Drafts drawn on any scheduled Bankin favour of Hindustan Organic Chemicals Limited payable atRasayani. Technical bid without EMD will be rejected. The saidamount of EMD shall not carry any interest and shall berefundable after final decision in the matter.

The Earnest Money Deposit shall be forfeited if:

i) After opening the tender, the Contractor revokes his tenderwithin the stipulated period or increase his earlier quoted rates.

ii) The contractor does not commence the work after it is beingawarded to him.

5) SECURITY DEPOSIT

5.1 The Security Deposit shall be 10% of the order value. Thisshall be deposited initially at 2.5% of order value of the contractreferred as initial security deposit within 10 days of the receiptby the party of notification of acceptance of tender. Balance7.5% shall be recovered through deduction @ 10% of the value

of each running account bill, till the total security deposit amountis collected. The contractor can furnish initial or total security

deposit amount through bank guarantee from any scheduled ornationalized bank in the prescribed form in favour of HOCL. Thesaid amount of Security Deposit shall not carry any interest andthe same would be refunded at the time of termination ofcontract after deducting dues, if any.

5.2 The remittance of Security Deposit will not attract anyinterest thereon.

5.3 The Security Deposit will be forfeited in case of failure tocarry out the jobs as per the terms of the contract or in case ofany loss incurred by HOC due to the failure of the Contractor.

6. PERIOD OF CONTRACT :

The period of contract will be initially for a period of Three yearsand extendable for a further period of one year depending uponsatisfactory performance of the contractor. However, thedecision regarding extension will be at the sole discretion of theHOCL Management and it will be binding on the hiring agency.

7. ESCALATION

Escalation will be considered if prices of dieselincrease/decrease by minimum Rs.2 per ltr. as per followingformula.

The prevailing rate of diesel at Rasayani is Rs.53.53 per ltr.which will be treated as ‘Base Rate’ and any increase/decreasebelow Rs.2 in this rate shall be ignored. The escalation/de-escalation will be calculated as under :

For this purpose it is assumed the average per ltr. of diesel forTATA Sumo is 12 kms & for TATA Indigo is 18 Kms.

a) TATA Sumo

Escalation/de-escalation = Revised Rate (-) Base Rate i.e.Rs.53.53 --------------------------- x km running

12 in month

b) TATA Indigo

Escalation/de-escalation = Revised Rate (-) Base Rate i.e.Rs.53.53 -------------------------- x km running

18 in month

For calculation of escalation/de-escalation diesel rate payableat Rasayani will be the base for deciding increase/ decrease indiesel prices. Based on the above, in case of increase in the base rate ofdiesel by beyond Rs.2/- contractor will be paid escalation basedon actual kms. running in a month as per the above formula andin case of decrease by Rs.2/- or more in base rate of dieselcompany should get de-escalation/rebate on actual kms.running in a month as per above formula.

Escalation/de-escalation shall be calculated once in a monthwith effect from 1st day of month following the fuel pricechanges.

PENALTY CLAUSE :

Penalty at the rate of Rs.1500/- per day shall be charged fornon-providing of vehicle, non replacement of vehicle within one

hour in case of breakdown or accident etc. Alternatearrangement, if made, by us will be at the cost of the contractor.If the penalty clause is enforced for 03 times in a month thenthe contract will be liable for cancellation from the next calendar

month. In such a case decision of H.O.C.L. Management shallbe final and binding on the hiring agency. 9. GENERAL TERMS & CONDITIONS

1) Prior inspection of the vehicle will be carried out by theTransport Deptt. and only approved vehicles will be allowedto perform duty. It should be mechanically in very goodcondition and free from any defects. It should always befree from dent/scratch marks and rattling/squeaking noises.Vehicle shall be provided with a spare wheel with tyre ingood condition with other tools required to attend to minorbreakdowns enroute. A First-Aid box containing necessaryitems and serviceable portable Fire extinguisher shall alsobe provided in the vehicle.

2) Servicing – greasing, repairs and maintenance and cleaningshall be the responsibility of the agency/contractor.

3) Vehicle must reach the user at least 10 minutes before theassigned time. In case of any unforeseen happening andbreakdowns of the vehicles, agency or concerned driver willinform the user and arrange prompt replacement of vehicle.

04)The drivers should be given sufficient money by the contractor to meet the unforeseen situation like fueling of -additional petrol/ diesel and getting the vehicle repaired during unexpected breakdown, etc. while on duty.

05)Vehicle should have all the valid R.T.O. documents such asup–to-date payment of BMV taxes, passenger taxes,registration certificate. Certificate of fitness, tourist vehiclepermit, Pollution under control certificate and insurance policycovering the additional unlimited liability for the occupants asper the registered seating capacity of the vehicle. Thecontractor shall at all times, maintain the said insurance policyin force and ensure timely renewal of the same along with otherpayments/compliance’s as required.

A copy of the policy and renewal policies are to be furnishedto the company from time to time. However, Company shallhave no liability for default of the contractor on any account.

06)The contractor shall make all the necessary arrangements toensure smooth and trouble free & punctual service to HOCLwithout any single duty failure. Over speeding, rash driving andsuch other acts endangering safety of passengers are strictlynot permitted.

7)All expenses in connection with running of the vehiclesincluding operating staff’s salary & allowances, cost of fuel andoil, repairs and maintenance charges, Govt. dues, taxes,including insurance, Service Tax etc. at existing rates will beborne by the contractor. Any increase/decrease or fresh leviesby Govt. or any other Authority in case of BMV tax andpassenger tax will be liability of contractor.

-12- Toll tax and parking charges will be reimbursed on actual basison production of receipts by the company.

Company shall not be liable for any claim towards any trafficrule violations or accidental damages etc.

8)The contractor shall make own arrangements for lunch,dinner, snacks and tea etc. and to & fro transport from ourRasayani factory for his operating staff at his cost.

9)Whenever the allotted vehicle is under servicing, breakdown,accident and other repairs etc. you shall provide alternativesimilar type vehicle (not more than two years old) duly approvedby us for our duty at no extra cost to us. If at any time companyobserve that contractor is providing any other vehicle i.e. notapproved vehicle an amount of Rs.300/- per day shall bededucted from the bill of the contractor.

10)In the event of the contractor’s vehicle meeting with anaccident while on company’s duty, the contractor shall be fullyresponsible for all liabilities arising there from. The contractorshall discharge all such liabilities promptly and shall keep HOCLindemnified against all costs arising there from.

11)The duty has to be performed on all the 365 days. In case ofany unforeseen happenings and or breakdown of the vehiclethe contractor or his operating staff shall inform the Transportofficers and arrange for prompt replacement of the vehicle.

12)Bills for hire shall be accepted and paid on monthly basis.

13) Contractors driver shall maintain a logbook for a vehicle inthe prescribed form and get the same countersigned by ourauthorised personnel every morning and submit the same forverification alongwith your monthly bill.

14)The contractor shall indemnify and shall keep us indemnifiedagainst all acts of omission or negligence, dishonesty ormisconduct of your employees sent by you to our factorypremises. The company shall not be responsible for death,accident or injury to his employees arising while discharging ourduties. The company shall not be liable to pay anyCompensation or damages to any such employees or to thirdparty. The contractor shall indemnify us at all times against anyclaim made under the Employees’ Compensation Act.1923, orcompensation payable in consequence of any accident or injurysustained by any employee or other person whose entry intoour premises has been authorized by the contractor.

15)The contract shall be liable for termination with Fifteen daysnotice for unsatisfactory performance of the vehicle as well asthe driver and non fulfillment or part fulfillment of the stipulatedterms & conditions or if the requirement ceases etc. and in thisregard decision of HOCL Management shall be final andbinding on the hiring agency.

16)In case of dispute, if any, decision of the HOCL Managementshall be final and binding on the hiring agency.

10. OPERATING STAFF - DRIVER

1) Driver should have the valid Motor Driving License to drivethe L.M.V. with proper authorization to drive the vehicle anddriving experience of not less than three years.

2) Driver should be courteous, well mannered, non-addicts withgood family background and well conversant with Mumbai’s

roads and traffic conditions and rules etc.

3) They should have some basic mechanical & electricalsystems knowledge so as to carry out running repairs andattend to enroute breakdowns etc.

4) They should be conversant with Marathi & Hindi languagesand preferably able to read and write English.

5) They should be imparted training in general ethics & safedriving practices.

6) The drivers should be provided mobile.

7) They should be clean shaven and should have decentappearance.

8) The contractor will be fully responsible for :-

a) The behavior and conduct of his drivers.b) Any dispute arising from his operating staff.c) Any loss or damage to our property caused by his

operating staff.d) Adherence to all statutory rules and regulations in

force from time to time.

9) Tenderers/contractors can visit HOC to understand the operation of vehicles or for clarification, if any.

11. PRE-QUALIFICATION CRITERIA The firm/agency should have minimum four tourist vehicles.

The contractor should have average annual financial turnover ofRs.17.00 lakhs during last 3 years ending on 31-3-2016. Insupport of this firm/agency should submit at least copies ofAudited Balance Sheets (i.e. certified by Chartered Accountant )along with Profit and Loss Account Statements for last threefinancial years.

12. PAYMENT

The payment to the contractor for providing the saidvehicles/services will be made on month to month basis onsubmission of bills certified by the officials of TransportDepartment.

13. The tenders/bids shall be accepted up to 14.00 hours on11/05/2016. The Techno-Commercial Bids shall be opened onthe same date at 15.00 hours in the presence of thebidders/their authorized representatives if available. The dateof opening of price bids will be intimated to qualifyingtenderers in Techno-Commercial Bids, later on.
