2. What is a Branch? A company ' s interests may be representedin a foreign country by its branches. A branch is not considered a legal entity butan extension of the foreign company so allthe responsibilities for its actions aretaken by the parent company. 3. The management of a branchopened in the NetherlandsThe management of the branch is assured bya representative vested with the power ofattorney.The applicable law for its actions is the onefrom the foreign company ' s residencecountry. 4. Employees of a branch openedin the NetherlandsThe Dutch law usually applies to the branch' semployees. For example the law stipulatesthat the employees of a branch must be registeredfor the social insurance.If not, the representative of the branchmay be personally liable for not paying thecontributions. 5. Financial obligations of a branchopened in the Netherlands A branch opened in Netherlands is usually subject to thesame financial obligations as the local companies. Financial records (invoices, financial statements) must bekept for at least seven years and the annual accounts mustbe submitted within six months of the end of the fiscal year. The main difference between a Holland branch and a localcompany is that all the branches must register every yearthe latest balance sheet and the statements of losses andprofits of the parent company at the Chamber ofCommerce. 6. Steps for establishing abranch in the Netherlands Before starting the commercial activities, the branchmust register at the local Chamber of Commerce inthe Commercial Registry withthe appropriate documents and information. The documents must be notarized in the country oforigin and followed by an authorized Dutchtranslation. 7. Documents requested forbranch registration The requested documents for registering a branch in theNetherlands are: a proof of existence of the foreign company (an extras from thelocal trade register with the date of registration and details of thecompany); the certificate of registration, the name and registered office, thename and details regarding the board of directors and secretary; the minute of the meeting where the decision of establishment ofa branch was taken; the branch name and address, the representative appointed withthe power of attorney, the powers of this representative and theactivities which will be performed by the branch. 8. Steps after the branchsregistration After registration of the subsidiary in Netherlands,the Chamber of Commerce will release thecertificate of registration with the unique number ofrecording.
