EXECUTIVE DIRECTOR REPORT

Buffalo - 2018

Welcome to Buffalo and the Annual General Meeting.

This is the first time in a long time that we have held our AGM separately from USSF. This change allows us to concentrate on our business needs. One of those needs is the election of Board members & at this meeting we will conduct elections for the following positions - President, Secretary & At Large member. All candidates will be given the opportunity to speak to the members & answer questions during the Candidates Forum being held between 9:00am – 10:30am on Saturday morning.

As you are fully aware it has been a year of elections and I am happy to confirm that Carlos Cordeiro the new President of US Soccer will be joining us and is hoping to address you all during our welcome session also on Saturday morning.

The changes made to the National Amateur Cup continue to bear fruit with increased entries & interest in the competition. The Bavarian Soccer Club ran out winners having beaten San Nicholas in the semi final & securing a 2-0 victory over West Chester FC in front of 1,500 spectators on a warm night in Milwaukee. The 20th Anniversary of Soccer Fest (Vets Cup) proved to be a fantastic celebration with over one hundred teams playing some great soccer whilst consuming twenty-three kegs of beer. The competition continues to attract new players with 685 signing up for the first time. The 2019 event returns to Lancaster, Massachusetts where we expect a record number of teams to participate.

Don’t forget to bring your rain coat for the Maid of the Mist tour and we look forward to a great weekend.

PRESIDENT’S REPORT USASA Delegates and Member Executives, I’d like to welcome everyone to Buffalo, New York for our 2018 Annual General Meeting. It’s great to see everyone together again, and the board and I look forward to updating everyone on our continued plan for improving US Adult Soccer. This is the first AGM held during the Fall, after we all decided that it would be best having our AGM seperate from US Soccer’s AGM. We have a very compact schedule with some exciting events, so I urge everyone to partake in all the activities this weekend.

This summer we held all our annual events, and they were once again held at the highest level. The Hank Steinbrecher Cup was held in New Britain, Connecticut. We had both the PDL (Charlotte Eagles) and NPSL (Elm City) champions participating along side our national amateur champion (Lansdowne Bhoys) and the 2017 Steinbrecher Cup winner (Michigan Bucks). The games were played at a very high level with the Michigan Bucks retaining the title with a 2-0 win over Charlotte.

We took Adult Soccer Fest to the where the Veterans Cup originated, Bellingham, Washington. We were glad to have over 100 teams participate this year. The organization of this tournament was the best ever, with very few issues to deal with. Everyone did a magnificent job. We’ve received some amazing compliments on this year’s tournament. Next year we will return to Massachusetts.

It was a quick turnaround to the National Amateur Cup, which was hosted again by the Bavarian SC in Milwaukee. This year we awarded prize money, which went over very well with the teams. In a very competitive final 4, the home team, Bavarians (Region 2) won the title, by defeating West Chester (Region 1) after three years of making it to the finals. It was great to hand the Fritz Marth trophy to the Bavarians. In the third place match, San Nicolas (Region 4) defeated the Kickers FC (Region 3).

The shape and future of USASA needs some new ideas, that is why we will be having a Board retreat in early November to chart the future of USASA. We want our entire membership to be proud of their affiliation with us. We carry a long history of soccer in the United States and we want our future to be as great as it has been throughout these past years. You will continue to be proud to wear our logo on your chest!

Enjoy the meetings and have fun at Niagara Falls! If there is anything the board or the staff can do for you to make this event more meaningful, please feel free to let us know.

Current Bylaw Bylaw 302. COMPOSITION & VOTING

Section 1. Organization Members

1) State Associations are entitled to the following votes on the basis of the number of players registered and fees paid to USASA:

a) 0 to 44 players 0 votes b) 45 to 750 players 1 votec) 751 to 1,700 players 2 votes d) 1,701 to 3,400 players 3 votes e) 3,401 to 8,500 players 4 votes f) 8,501 to 15,000 players 5 votes g) Over 15,000 players 6 votes

2) For purposes of determining the voting strength at Regional and National Councils, State Associations will include among its count those players registered by the State Association and players registered through USASA Leagues of which have been assigned to the respective State Association based on the residence of those players

3) Each USASA League and Affiliate is entitled to one (1) vote at the National Council

4) A USASA Associate is not entitled to vote. An Associate may make or second motions and participate in debate as a member of the National Council.

RATIONALE FROM AUTHOR:

USASA Affiliates are responsible for the registration of its players, Votes are thus allocated due to participation level with USASA.

Rules Committee Recommendation:

This proposal is consistent with the USASA’s practice of registering players. A USASA Affiliate registers players with USASA akin to a State Association. Granting them votes based on the number of players registered is consistent with how State Associations are treated.

RATIONALE FROM AUTHOR:

This amendment would restore recently removed proportional-based voting to USASA Leagues and Affiliates. Affiliates voting strengths, like State Association voting strength would be based on the number of players registered by each Affiliate since players registered by an Affiliate are not otherwise accounted for relative to voting. USASA League votes would be based on geographic range, and limited to a maximum of three votes so as not to create disproportionate voting strength since USASA League players are already accounted for in State Associations’ voting strength.

Rules Committee Comments:

This proposed change is not consistent with the way USASA treats State Associations. Like State Associations, USASA Affiliates register players with USASA and granting them a vote based on numbers of players is consistent with USASA structure. Granting USASA Leagues votes based on the number of teams is not consistent with USASA structure. The Rules Committee notes that there was a proposal at the 2017 Mid-year Meeting in Tahoe to give USASA Leagues additional votes and that proposal was not approved by the membership.

3) An individual eligible to vote in more than one capacity may only vote in one of those capacities as selected by that individual.

4) Voting by proxy is not allowed.

5) Each Organization Member shall designate its representatives and alternates to a meeting. If the Organization Member has more than one vote at a meeting, it is entitled to have representatives and alternates at the meeting, each equal to the number of its votes at the meeting with each representative casting one of the votes. However, all votes of the Organization Member may be cast by the representatives present at the time of the vote, even if not all of its representatives are present.

6) Alternates to representatives may attend the meetings. Alternates shall not have a vote in the presence of the representatives but shall have the right to speak.

RATIONALE FROM AUTHOR:

This amendment restores voting privileges, at the Regional Council, to USASA Leagues and Affiliates, and also includes house-keeping changes to reflect the elimination of national and Regional Leagues. Since USASA Leagues and Affiliates are national entities and largely region independent, voting strength was set at one (1) vote for each USASA Leagues and Affiliate.

Rules Committee Comments:

The house-keeping portion of this proposal are appropriate to clearly remove the reference to Regional and National Leagues. The Rules Committee believes that this was done at the 2017 Mid-Year Meeting in Tahoe but it appears that those revisions were not included in the published Bylaws and the USASA website.

With regarding to the inclusion of votes for USASA Leagues in each Region, the Rules Committee would note that some USASA Leagues would have a vote in each Region (ie, UPSL which has teams operating in each Region). The revisions approved in 2017 treated USASA Leagues similarly to Affiliates and did not provide for votes at the regional level. The membership must determine if they wish USASA Affiliates and Leagues to have a vote at the Regional level.

PROPOSED BYLAW AMENDMENT TO BYLAW 2013 [REGIONAL COUNCIL] COMPOSITION AND VOTING Proposed by: Idaho State Soccer Association

Bylaw 213. SUBMISSION OF FEES AND OTHER INFORMATION

Section 1. To remain in good standing each Member shall submit annually to USASA the membership fee recommended by the Board of Directors and approved by the National Council and all documents and registration data as required under USASA Bylaws and Policies. The Board of Directors shall set the deadline for when the fees, documents and registration data are due.

Section 2. The Board of Directors shall recommend fees for player registration for approval by the National Council. The registration fees shall be submitted no later than sixty (60) days after registration of such players by the Organizational Member.

Section 3. Failure to submit any fees, documents or registration data in a timely manner set forth by the Board of Directors may result in loss of voting rights and may also result in a fine no greater than $100 in relation to membership fees or submission of documents and registration data or no greater than $1 per player for failure to submit the player registration fee.

Section 3. Failure to submit any fees, required waiver documents or registration data within sixty (60) days of the players registration date will result in loss of voting rights and will result in a fine of not less than $ 500.00 and not to exceed $2,000.00. The sanction of the members voting rights will not be returned to the member until the following soccer year for failure to submit the required fees, waiver or registration data. The soccer year starts January 1 of each year and ending December 31 of each year.

HOW BYLAW 213 WOULD READ AS AMENDED:

RATIONALE FROM AUTHOR:

We have allowed members to run amuck and not turn in their required data and fees until they deem it necessary while USASA’s budget runs on a monthly basis much like any other business. Thus to allow members to willy nilly turn in fees and information at their leisure is detrimental to the Association. We have allowed some members to bypass rules that the rest of us are held accountable. It is time USASA treat all its members the same. Requirements are requirements and there is no excuse for members to hold fees or required registrations information especially the required player waiver that must be recorded and in place prior to any player playing.

If you want to be a member then, be a good member that is willing to meet all requirements to maintain your membership.

RULES COMMITTEE COMMENTS:

It’s the opinion of the Rules Committee that this section should be a policy and not a Bylaw. There is a separate proposal from the Rules Committee to address this proposed change.

In the event that this section remains in the Bylaws, the Rules Committee notes that the Bylaws already contain rules that allow the NBOD to sanction members who fail to meet the requirements of membership. Bylaw 221 provides for suspension of voting rights for members who are not in compliance with reporting requirements. And the current Bylaw 213 allows the NBOD to sanction members who don’t report. This proposed amendment does not address the underlying issue of whether or not the NBOD is imposing such sanctions. The existing sanctions could be bolstered by the USASA office sending out notices and reminders to submit registration information.

This proposed amendment would also take away the discretion of the NBOD in imposing appropriate sanctions given any particular member’s circumstances. Different members have different structures. Some State Associations have a paid executive director who handles these tasks and other State Association are staffed only by volunteers. This proposed amendment doesn’t allow the NBOD to treat differently situated members uniquely based on their circumstances.

Finally, the last sentence of proposed amendment to Section 3 is confusing given that Bylaw 105 provides that the fiscal year of USASA is January to December. Previous amendments to the Bylaws made clear that there is no “soccer year” because different states and regions play during different seasons depending on their particular circumstances and climates.

HOW BYLAW 401 WOULD READ AS AMENDED:

1. Deputy Directors are not members of the NBOD.2. The other regional officers perform the duties and there really is no reason for a Deputy

Director.3. Having a Deputy Director position in the regions is no more than a drain on the

resources of each of the regions that could be used better elsewhere. It is also a drain on the USASA budget that again could be used in other areas to help grow the game.

4. The position is not a learning step to Director and each position is elected and the DD does not automatically become the Director at the end of their term.

RULES COMMITTEE COMMENTS:

The duties of the Deputy Director are set forth in Bylaw 403, Section 8. While the duties may seem very broad, that description gives the Director discretion on what duties to assign to the Deputy Director. Many Regional Directors rely on their Deputy Directors to attend events in

their place. There is no USASA funding provided for Deputy Directors expenses since their removal from the NBOD; any funding comes from a Regional budget, which the Regions should be entitled to determine if they support such funding. If there were no Deputy Directors, it would create a void in the event that a Regional Director resigned or was otherwise removed or unavailable. Many Deputy Directors indicate that they do treat their position as a learning opportunity to better understand the organization and to seek additional leadership positions within the organization at either the Regional or National level.

The Rules Committee proposal to remove Bylaw 107 – Definitions.

Bylaw 107. DEFINITIONS

Except as otherwise provided, the following definitions apply to these bylaws and all policies of USASA:

1) Affiliate A multi-sport or single sport organization that independently conducts soccer programs (a) in the United States at the national or lower level, or (b) outside the United States whose members consist of members of the United States Armed Forces, the United States Foreign Service or their dependents.

2) Amateur Sports Act Ted Stevens Olympic and Amateur Sports Act (Chapter 2205 of Title 36, United States Code).

3) Associate An organization formed to advance a particular aspect of amateur or adult soccer, but not responsible for recruiting, training, fielding and funding of players.

4) Board of Directors The Board of Directors of USASA established under Bylaw 411.

5) Club An organization of one or more soccer teams usually playing within a geographic area.

6) Executive Director The Executive Director is the Chief Executive Officer of USASA as provided under Bylaw 431.

7) Federation The United States Soccer Federation, Inc.8) FIFA The Federation Internationale de Football Association of

which the Federation is the national association member for the United States.

9) Foreign game Any game between a United States and a non-United States team (or 2 or more non-United States teams when the game is played in the United States) that is not an international game.

10) Individual Member An individual who is a member as provided under Bylaw 221.

11) International Game A game arranged between the teams, which are members of the Federation and another FIFA national association or a team composed of players of more than one FIFA national association.

12) League An organization that conducts competition among soccer teams.

13) National Council The National Council of USASA as provided under Bylaw 301.

14) National Cups Those Cups provided for under the USASA policy on National Cups competitions.

15) National League A league classified as a National League under Bylaw 211.16) Nationwide Affiliate An Affiliate that has adult soccer teams competing in at least

27) USOC The United States Olympic Committee that is the corporation established under the Amateur Sports Act to oversee all amateur athletic activity in the United States.

28) Youth Player An individual who has not reached 19 years of age prior to August 1 immediately before the start of any seasonal year. A player who reaches 19 years of age during (a) a seasonal year is allowed to complete that season year, and (b) August of one seasonal year shall is allowed to complete all of that seasonal year.

Rationale:

The terms in the definition fall into three categories:

a) Terms that are defined within the Bylaw section addressing them;b) Terms that are clear on their face (i.e. – USASA means United States Adult Soccer

Association); andc) Terms that are not used anywhere else in the Bylaws (i.e. – USOC and “Youth Player”)

Having Bylaw 107 is redundant or unnecessary and serves to shorten the document.

PROPOSED AMENDMENT TO BYLAW 211PROPOSED BY RULES COMMITTEE

Current Bylaw:

Bylaw 211. ADMISSION TO MEMBERSHIP

Section 1. An organization desiring to become an Organization Member must submit a written application for membership to the Executive Director. The applicant shall specify the category of Organization Member being applied for. The applicant shall include with the application a detailed business plan, copies of its charter or articles of incorporation, bylaws, rules, regulations, any rules of play and other governing documents appropriate to understanding the structure and activities of the organization. The Executive Director shall prescribe the number of copies of each document to be submitted.

Section 2. The Executive Director shall refer an application for Organization Member to the Board of Directors for consideration. The Board of Directors shall immediately submit the application and accompanying documents to the Rules Committee. The Rules Committee may reject the application until the application and accompanying documents are changed to comply with the requirements of USASA and the Federation.

Section 3. Acceptance of New Member

1) An applicant is admitted as a Member by majority vote of the National Council. 2) The Board of Directors may provisionally recognize an applicant as an Organization

Member pending a report from the Rules Committee that the organization's application and accompanying documents comply with the requirements of USASA and the Federation. At the next scheduled meeting of the National Council, the application shall be voted upon.

Section 4. State Association Replacement

1) In the event a State Association has voluntarily withdrawn its authority and jurisdiction of a territory previously determined by the National Council, the State Association has been found in bad standing or a vacancy is created by actions of the Federation, the Board of Directors at its discretion may undertake to administer that same territory for all purposes until an application is received, reviewed and approved to replace the withdrawn association.

PROPOSED AMENDMENT TO BYLAW 211:

1) Fifty percent of the annual membership fee paid to USASA by a National League or a Regional League shall be distributed, on a pro-rated basis, to each of the regions in which teams of the League are domiciled. The team registration fees paid to USASA by a National or Regional League shall be distributed 50 percent to the regions and 50 percent to the State Associations in which the teams are domiciled.

2) Notwithstanding sections 2 and 3 of this bylaw, the fees referred to in this section must be paid to USASA at least 30 days before the first League game of the year.

hearing of which the Organization Member is given reasonable notice of the time and place by the Board of Directors and during which the Organization Member is provided a reasonable opportunity to present evidence in support of the Organization Member's position.

Section 3. Notwithstanding Section 1 of this Bylaw, the membership of an OrganizationMember whose suspension is in effect on the last day of a fiscal year is terminated as of the first day of the next fiscal year unless the Board of Directors provides otherwise.

Section 4. Upon notice by USASA, a suspension or other disciplinary action imposed by USASA in accordance with these Bylaws shall be recognized by all members of USASA. expiring in even numbered years and the terms of the Region II and Region IV Directors expiring in odd-numbered years.

4) 2 at large individuals elected by the National Council at its annual general meeting, with one individual being elected at meetings in odd-numbered years and the other individual being elected at meetings in even-numbered years.

5) If for any reason either one or both of the at-large positions becomes vacant, the Board of Directors shall appoint (an) individual(s) to be Acting At-Large Commissioner(s) until a meeting of the National Council can be held to fill the vacancy for the balance of the term.

Policy for Applying for Membership pursuant to Bylaw 211

The applicant shall specify the category of Organization Member being applied for. The applicant shall include with the application a detailed business plan, copies of its charter or articles of incorporation, bylaws, rules, regulations, any rules of play and other governing documents appropriate to understanding the structure and activities of the organization. The Executive Director shall prescribe the number of copies of each document to be submitted

The Executive Director shall refer an application for Organization Member to the Board of Directors for consideration. The Board of Directors shall immediately submit the application and accompanying documents to the Rules Committee. The Rules Committee may reject the application until the application and accompanying documents are changed to comply with the requirements of USASA and the Federation.
