I. CALL TO ORDER Chairman Jones called the meeting to order at 8:06 a.m. Mr. Jones requested two additional grant

recommendations to be added to the Consent Agenda. The Neighbors Helping Neighbors Fund for the Middletown Thanksgiving Project and the Grant Making Fund to Essex Library Association and Essex Land Trust.

CONSENT AGENDA Upon a motion made by Deborah Moore and seconded by David Director, the Board unanimously

VOTED to approve the consent agenda and the minutes of the regular meeting of August 29, 2017 as amended. Abstentions: Sue Sawchuk

Amendments: Clarify the minutes regarding the Governance Committee Report to explain the succession

planning work is focused on developing committee leadership.

Upon a motion made by Nancy Fischbach and seconded by David Director the Board of Directors unanimously VOTED to approve the Donor Recommendations, Distributions, Transfers and other grants listed above.

III. REGULAR AGENDA Reports and Updates

A. President’s Report (Clegg) There is so much excitement about the Gala and the Community Foundation. Four new funds are under development. A new field of interest fund has been set up by the Krauland family. They have also included the Community Foundation in their estate planning. The Tomc family established a donor advised fund. Ms. Clegg introduced Mr. Quayson, an intern from Wesleyan. He will build upon the previous interns’ work and will analyze the data collected at the donor luncheons to identify trends which may be occurring in our community. The Campaign for Bully-Free Communities was extremely successful and many thanks to the Council of Business Partners for taking the lead on this important issue. Ms. Clegg reminded members to give her the name of professional advisors and to make introductions as appropriate. Rushford Academy’s Buddy Bench program has caught on around the region. Eight Buddy Benches have been built by students at Rushford Academy. The benches are placed on school playgrounds and children who may be lonely or want a buddy sit on the benches during recess. Children in the school are encouraged to make friends with and include children sitting on the Buddy Benches. There are 63 elementary schools in Middlesex County and a donor asked if it were possible to place at least one bench at each school. The Buddy Bench program will be an auction item at the Gala with this goal-.

B. Development Committee (Salva)

Mr. Salva gave a brief update. The numbers are strong. The focus for the remainder of the year will be to reach out to Leadership Circle members as well as identify individuals who are interested in getting involved with the Community Foundation. 20th Anniversary Celebration Update Ms. Moore noted that planning is in the final stages as the 20th Anniversary Celebration is less than a month away. A wine grab will take place and Board members are asked to donate a $30 bottle of wine for the auction. Ms. Moore thanked everyone for donating auction items and for their sponsorships. Members were encouraged to bring people who are interested in the Community Foundation.

C. Finance and Investment (Jones)

Revenue is strong and expenses are where we projected for the year. Both investment managers are having a good year. Thirteen firms have responded to the RFP. The Subcommittee is reviewing the RFPs and will schedule interviews with certain firms.

D. Grants Committee Update Ms. Talbott stated that the grants committees are working through the process. All of the committees have held their initial review meetings and will be receiving the follow up information reports next week. The committees will meet at the end of November to make their recommendations to the Board of Directors. The Animals: Respect & Friendship Grants Committee is continuing its presentations of the Wag’N O2 Oxygen Mask kits to the fire departments in Middlesex County.

E. Campaign for Bully-Free Communities Update Mr. Director noted that people are very interested in the Campaign for Bully-Free Communities and looking for ways to get more involved with the initiative. CFMC received very positive coverage of the annual Rally from local media. Dattco is interested in partnering as well and is creating a bus which will focus on anti-bullying resources and services. The bus will travel to different events, schools and venues to promote the awareness of anti-bullying efforts and offer access to information about programs and organizations. The Rally was extremely well attended and EMPOWER Leadership Sports did a great job as host site. Donnie Marshall was on-hand as one of the speakers and is interested in becoming more involved as his schedule permits.

F. Marketing and Communications Committee (Rainey/Abely) The Days of Giving campaign will launch again this fall and will incorporate calls to action to support general grant making with a “$20 for 20” campaign. The days will be announced via e-mail and on social media; everyone is asked to help push the Days of Giving out into the Community. In 2018 Marketing Communications Committee will move to quarterly meetings.

G. Governance Committee Ms. Fischbach noted that Governance is also reviewing the meeting schedule for 2018. Susan Martin was elected for a 2018 Board of Directors seat at the August meeting. The Nominating Subcommittee has forward three names to the Governance Committee for consideration for the Board of Directors: Laura Colebank, Tom Gezo, and John Ivimey. Governance has reviewed the current class lists, and to ensure classes have equal numbers of members, the Committee is

recommending staggering terms for the proposed Board members as follows: Tom Gezo elected for a one year term effective January 1, 2018; John Ivimey elected for a two year term effective January 1, 2018; and Laura Colebank elected for a three year term effective January 1, 2018. These staggered terms will provide a more even distribution of Board members across the class years and ensure that no one year brings significant vacancy to the Board of Directors. Governance is finalizing the slate of officers for the Board of Directors to be presented at the Annual Meeting in December. Governance continues its work on succession planning, including Committee Chair positions and committee leadership plans as well as future Board of Director vacancies. The self-evaluation questionnaire for Committees is also being developed. By Law revisions were discussed. The revisions are: increasing the number of directors to 25; providing for staggered terms to balance the Board of Directors classes; and the addition of a Facilities Committee. A motion made by Mr. Director and seconded by Ms. Moore, the Community Foundation Board of Directors unanimously VOTED to approve the proposed By-Law revision as presented. Mr. Jones thanked Ms. Fischbach for her work on this. A motion made by Mr. Levin and seconded by Ms. Coles, the Community Foundation Board of Directors unanimously VOTED to approve Tom Gezo for a one year term of January 1, 2018 to December 31, 2018, John Ivimey for a two year term of January 1, 2018 to December 31, 2019, and Laura Colebank for a three year term of January 1, 2018 to December 31, 2020.

H. Personnel Committee(Director) Multiple applications have been received for the Administrative Assistant position. This position will be filled very soon.

I. Chairman’s Report (Jones) Mr. Jones noted that there are many preparations for the Gala. The Annual Meeting will include a review of the Strategic Plan. At the Former Board of Directors meeting, members suggested having a strategic review of the grants process as a whole. A subcommittee to review the process will be established in 2018. The Community Foundation has grown and reviewing the process will allow us to be proactive and take into consideration working with donors to understand their wishes and the importance of smaller grants. The Finance and Investment Committee is recommending a 4.5% distribution from the endowment. A motion made by Ms. Fischbach and seconded by Mr. Levin the Community Foundation Board of Directors unanimously VOTED to approve 4.5% as the amount available to grant for 2018.

J. Other Business

Upcoming Meetings The list of upcoming meetings and events were discussed.

Executive Session Upon a motion duly made and seconded, the Board of Directors unanimously VOTED to go into Executive Session at 9:03 am. The Board came out of Executive Session at 9:09 am.

2017- 2020 Strategic Plan

Our Mission Community Foundation of Middlesex County’s mission is to improve the quality of life for the people of the County now and in the future by developing endowments, making grants that have impact, and assisting donors in meeting their philanthropic objectives. The Strategic Planning Committee proposes the following Strategic Plan that focuses on a four-year period- 2017-2020. Move to Main Street. The move to Main Street during the first year of the strategic plan will be the catalyst in the implementation of the strategic goals. The new facility will be a tremendous asset for the Community Foundation as it will be a visible sign, as we Communicate and Celebrate, that the Community Foundation of Middlesex County is a major philanthropic force in meeting the needs of all Middlesex County residents. All major events and initiatives will publicize the move to Main Street and consistently state that CFMC matches donors’ wishes with county-wide needs. The Janvrin Bequest. The generous eight-million dollar gift from Janvrin Trust will provide CFMC with an opportunity to become the leader in Middlesex County, and beyond, in preserving and improving the natural state of the environment. However, the implementation of the requirements of the bequest will present a variety of challenges. These may include extensive program additions, increased staffing, committee involvement, volunteer recruitment and expanded communication. Bequest funds will become available in 2018, but initial planning for combining the new funds with existing resources and establishing partnerships with groups having an interest in preserving the environment should begin in 2017. • Staffing. If CFMC is to continue to accomplish its missions, staffing increases are necessary. Among the most important additions to the staff is a person that can coordinate the advancement of donor cultivation and development.

• Organizational chart. An organizational chart clearly defining the role of each position and impact that person will have on overall operation needs to be developed as precursor to responding to this organizational objective. The Personnel Committee, with guidance from the CEO, will be responsible for responding to this important planning priority.

• Volunteer Leadership. The Board and committee self-assessment are underway and are scheduled to be completed in 2017. Also, an essential component of strong governance is to develop clear mandates for committees, recruit board members with interest in assuming leadership positions, and establish a succession plan for board officers and committee chairs. Mentorship will be a necessary objective within this goal.

• Advanced Bequest Planning. A small leadership working group will be formed by January of 2017 to spearhead the planning for the first stages in meeting the requirements of the Janvrin Bequest. The group will report to the Governance Committee, (which will develop the charge) the Board Chair and submit recommendations through Governance to the Board.

Goal 2. Building Partnerships.

• CFMC’s long term growth and success in achieving its mission will be influenced by its ability to build partnerships. Building new partnerships will enhance fund raising, strengthen grant making, make its operations efficient and ensure a quality service delivery. The Foundation must continue to build partnerships with individuals, (financial advisor, estate lawyers, etc.,) private and public foundations, service organizations and the business community.

Goal 3. Study the Grant Making Process.

• Grant making is a very fluid process. The needs of communities continue to change as they are impacted by the nature and magnitude of the problem. Public opinion and state funding can influence the perceived and real priorities within the county. Grant making must be nimble enough to respond to the changing priorities and donor interests. Therefore, grant making needs to be studied with the possible outcome being the reorganization of the grant making structure and process.

Goal 4. Improve the Development Operation • Development is the life blood of increasing the funds for endowment

growth, operations and grant making. The Development committee has

functioned well, but much of the fund raising has fallen on the shoulders of the CEO.

• As CFMC continues to grow in accomplishing it mission, instilling a fund raising culture throughout the organization will be vital in realizing this outcome. The addition of an experienced development professional who will set the agenda and guide the process of engaging all CFMC volunteers in building partnerships is an essential component in achieving fund raising success.

• This objective should be given a high priority and appear on the Development, Finance and Investment Committees agendas and reviewed by staff. It will ultimately need Board approval.

Goal 5. Increase Visibility

• Major strides have been made in increasing the Foundation’s visibility during the 2014-2017. However, delivering the message that CFMC is a county wide philanthropic contributor needs to be a continuing strategic objective. The utilization of an effective marketing strategy is key to Communicate and Celebrate our culture of inclusiveness and flexibility in fulfilling our mission.

POLICY RE: CONFIDENTIALITY AND ANONYMITY

Through the course of service in the capacity as the board of directors, committee members, staff, consultants and volunteers of the Community Foundation, individuals will have access to and become acquainted with information of a confidential, sensitive and/or proprietary nature. The protection of confidential, sensitive, and proprietary information is of utmost importance to the continued viability and success of the Community Foundation. The information may pertain to present or future clients of the Foundation, Foundation contributors, volunteers, business associates or past or current employees. No member of the Foundation will provide any information in response to a subpoena or other form of request without consulting legal counsel to the Foundation. All other requests for or releases of information concerning a donor will be honored and allowed only if permission is obtained from the donor prior to the release of such information.

Documents containing confidential and proprietary information which are made available to board and committee members in hard copy and through any electronic transmission, including the Foundation’s Board and Committee Portal are protected under this policy. Board and Committee members agree to restrict access to such hard copy documents and electronic transmissions, including access to the Board and Committee Portal, to themselves and/or a Foundation approved representative.

It is the Community Foundation’s policy not to release, sell or license any information in its database without a donor’s consent. A donor’s expressed wishes for public anonymity will be respected. Internally, only those individuals with a need to know for legal, processing or other substantive reasons will know the donor’s name or details of the gift. The Community Foundation has the fundamental responsibility for the maintenance and protection of such information. Members of the Foundation are charged with taking adequate steps to safeguard such information and to insure that the information is not used in any manner that is unauthorized, or that is detrimental to the best interests of the Foundation or its clients. Members shall not disclose or otherwise utilize the above-referenced information for any purpose outside the scope of their service at the Community Foundation.

The Community Foundation respects the privacy rights of its employees, both past and current, and maintains its personnel matters and records in the strictest of confidence. While in their capacity at the Community Foundation, members may have access to or become acquainted with information concerning past and current Foundation employees, personnel matters, salary

CONFLICT OF INTEREST RESOLUTION* I. The Community Foundation of Middlesex County (the “Foundation”) recognizes that the Foundation must

avoid conflicts of interest and the appearance of conflicts. II. The Foundation recognizes that its staff, members of the board and its committees, volunteers, and their

respective families, serve as employees, volunteers and consultants for organizations that may seek funding from the Foundation or receive its investment funds.

III. To avoid conflicts of interest and to minimize the impact where conflicts are unavoidable, staff and board

members, and members of all committees including non-board volunteers, are required to:

A. Disclose to the President (or in the case of the President or a Board Member, to the Board) participation by themselves or a Related Person as a board member, employee, consultant or representative for any organization that seeks funding from the Foundation, or any entity with which the Foundation is investing or contemplating investing funds. For the purpose of this Resolution, a “Related Person” is one or more of the persons or entities enumerated in Article V, Section 5.2 of the Foundation's Bylaws.

B. Disclose to the President (or in the case of the President or a Board member, to the Board) any other business or financial transaction between themselves or a Related Person and the Foundation.

C. Recuse themselves from involvement in any decision or discussion in which they or a Related Person

have a business or financial interest, unless otherwise approved by the Board as provided in Article V, Section 5.2 of the Foundation’s Bylaws.

IV. The board shall keep a list, to be updated annually, of the organizations on which board members,

committee members, staff, volunteers and Related Persons serve. In the interests of minimizing the potential for conflicts of interest, it is desirable, but not required, that no more than two board members serve as members of any one community board or serve as fund-raisers for the same organization.

V. Lobbying by grant applicants throughout the application process with any member of the board or committee is considered inappropriate and unacceptable. When such contact is made, the board or committee member is expected to notify the Foundation staff and refer the applicant to the staff for discussion of the issue or application.

VI. Board, committee members and staff are prohibited from accepting gifts of more than nominal ($25) value from applicants or those seeking investment funds from the Foundation.

VII. Any Board, committee member or staff member who becomes aware of a potential violation of these

provisions shall report such suspected violation following the procedures set forth in the Whistleblower Policy, Section 4 “Reporting Violations.” Potential violations shall be handled by the procedures set forth in the Whistleblower Policy, Section 5 “Compliance Responsibility,” Section 8 “Confidentiality,” and Section 9 “Handling of Reported Violations.”

* All references to the Board include any committees of the Board, including those with non-board members. Note: All Board of Directors members, committee members, volunteers, and staff will complete a new Conflict of Interest Disclosure annually in January for the upcoming fiscal year, even if there are no changes to an individual’s statement.

Social Media Policy as approved by the Board of Directors, August 30, 2016

I. Introduction The work of Community Foundation of Middlesex County is easy to identify with and we are all very passionate about the work we do on a daily basis. We encourage our staff, board and committee members, and other volunteers to engage in open communication and tell the world about our work. Internet and email are important communication and information gathering tools. Accordingly, use of these systems is encouraged to improve the quality of work and productivity. Like other tools, however, the potential for inappropriate and/or illegal use exists. In order to reduce this potential as much as possible, it is the purpose of this document to state the general policies that govern the use of the systems (including, but not limited to, computer equipment and software, social media sites, e-mail, and the website) at the Community Foundation of Middlesex County. In order to communicate freely and openly with donors, grantees, and members of the public, the Community Foundation itself maintains a social media presence through vehicles such as our website, Facebook, Twitter, and YouTube. The Community Foundation will continue to seek out new and appropriate methods of communication to promote and improve our work. Accordingly, authority has been given to certain staff members and board members to maintain the Community Foundation’s social media presence and may invite others to submit postings. This policy does not cover these activities. The Community Foundation defines “social media” as personal blogs, Facebook, LinkedIn, Instagram, Twitter, video or wiki postings, chat rooms, personal websites, online journals or diaries, personal newsletters, conference or field-specific list-serves or exchanges, online forums, or other similar online activities not affiliated with the Community Foundation. The Community Foundation takes no position on the desire of employees, board and committee members, and other volunteers to start a blog or participate in social media activities privately. However, the Community Foundation must protect itself from unauthorized disclosure of confidential and/or proprietary information and from having employees, board and committee members, or other volunteers indicate that they are speaking on behalf of the Community Foundation when not authorized to do so. Social media may not be used by staff, board and committee members, volunteers or fund representatives to conduct Community Foundation business, speak on behalf of, or to enter into contracts or commitments on behalf of the Community Foundation unless specifically authorized to do so by the Community Foundation.

II. Community Foundation of Middlesex County’s Systems

When using the Community Foundation of Middlesex County’s systems, an employee or volunteer is a representative of the Community Foundation of Middlesex County and, in that connection, such systems should only be used for the Community Foundation of Middlesex County’s purposes. Prohibited uses include, but are not limited to:

a. Any activity that is contrary to State or Federal law, including distributing or obtaining copyrighted software or information without proper authorization from the copyright holder.

b. Any activity that could damage the Community Foundation of Middlesex County’s reputation or potentially put an employee or volunteer and the Community Foundation of Middlesex County at risk for legal proceedings by any party. For example, libelous or harassing communications or unfair competitive practices are strictly prohibited.

c. Any communication utilizing the systems which could reasonably be considered as offensive or disruptive will not be tolerated. Offensive content may include, but is not limited to sexual comment or images, racial slurs, or any comments that would offend someone on the basis of his or her age, gender, sexual orientation, religious or political beliefs, national origin or disability.

d. The Internet poses security risks for the Community Foundation of Middlesex County’s network. Employees and volunteers must be aware that information and programs downloaded from the Internet may contain hidden codes (viruses) capable of destroying data or making the entire network unusable. Accordingly, employees and volunteers should verify such programs acquired through the Internet with staff responsible for Information Technology prior to downloading.

e. The Community Foundation owns all items of electronic and telephone communications equipment located on its premises. Employees’ and volunteers’ activities in these media, including voicemail, text, and email messages, may be retrieved and monitored.

In addition, electronic mail should be treated by employees, board and committee members, and volunteers in the same manner as business letters or internal memos, with the same care in composing and the same respect for confidentiality of the Community Foundation’s information.

III. Personal Use of Social Media by Employees, Board and Committee Members, Volunteers, and

Fund Representatives a. Employees, board and committee members, volunteers, and fund representatives are asked to

be familiar with and follow the Conflict of Interest Policy and Confidentiality Policy when using social media in cases which may pertain to or connect to Community Foundation activities or information.

b. When employees, board and committee members, volunteers, and fund representatives endorse or promote the Community Foundation or its activities on the Internet, the individual must be identified with the full name and, when relevant, the role at the Community Foundation.

c. Only a select number of people in the organization are authorized to speak on behalf of Community Foundation of Middlesex County. If employees, board and committee members, volunteers, and fund representatives choose to be identified on social media as a Community Foundation employee, board or committee member, volunteer, or fund representative, understand that some readers may view the social media presence as an authorized spokesperson for the Community Foundation. When using social media, please specify that postings and comments are personal and not on behalf of the Community Foundation. Disclaimers such as “The postings on this are my own and do not necessarily represent the position, strategy, or opinion of Community Foundation of Middlesex County” may be used. Always write in the first person and do not use Community Foundation email accounts for private communications.

d. Community Foundation employees, board and committee members, volunteers and fund representatives must adhere to the Confidentiality Policy in their use of social media. This means employees, board and committee members, volunteers, and fund representatives may not discuss any confidential and/or proprietary work-related matter or information on social media.

e. Employees, board and committee members, volunteers, and fund representatives are responsible for personal, independent commentary and posts on their social media accounts. The Internet never forgets. Use common sense and remember that an individual can be held personally liable for commentary that is considered defamatory, threatening, intimidating, harassing, obscene, proprietary, or libelous.

f. When using a personal social media account, an individual must use a personal email address. Community Foundation email addresses may not be used as a means of identification and communication.

g. Please respect work which others have produced and/or copyrighted. Before using someone else’s work, the owner’s permission must be obtained in order to copy or repurpose.

h. Be aware that others will associate an individual with the Community Foundation when that person is identified as an employee, board or committee member, volunteer, or fund representative. Please ensure that personal social media profiles are consistent with how an individual wishes to be represented to colleagues, donors, grantees, and the public.

i. Use of the Community Foundation’s resources to conduct personal social media activities should be kept to a minimum and should not disrupt work activities. Although occasional non-business use of these systems is unavoidable, such use may not adversely affect Community Foundation productivity, workplace standards, professional ethics, or morale. Excessive or inappropriate personal use of these resources will be subject to disciplinary action.

IV. Monitoring

The Internet has no concept of privacy. Please remember that nearly everything posted on social media can be viewed by anyone, including the Community Foundation.

V. Reporting Violations

The Community Foundation understands that all employees, board and committee members, volunteers, and fund representatives will use social media responsibly and uphold the integrity and values of the Community Foundation. However, if any possible violation of the provisions laid out in this Social Media Policy is found, please notify the President and CEO. Board members can notify the President and CEO or Board Chair. If possible, please provide a snapshot or printout of the perceived violation so the Community Foundation can have an appreciation of the entire context.

VI. Discipline for Violations

Violation of this Social Media Policy may result in disciplinary action for employees, depending on the nature and severity of the violation. The Community Foundation reserves the right to take legal action against personnel who engage in prohibited or unlawful conduct. Violations by members of the board or by other volunteers may lead to dismissal from the board or committee on which the volunteer serves.

I. Call to Order: The meeting was called to order at 9:46 a.m. by Chairman Jones.

II. Minutes: The minutes of the December 15, 2015 Annual Meeting were unanimously approved on a motion by Ms. Fischbach, seconded by Ms. Sawchuk.

III. Annual Meeting Remarks (Jones): Mr. Jones reflected on the work completed and generous gifts received this year. He noted that the Community Foundation’s visibility continues to increase and more individuals and organizations are being positively impacted by the Foundation. He commended the members for their hard work.

IV. Year in Review (Clegg): This is a year to celebrate. It has been a busy and productive year. Ms. Clegg commended the Board for their hard work. She noted that we are reaching beyond the county. Little things make a big difference. The Feel Good Friday programs are spreading the word of what the Foundation does. The Strategic Plan offers a new focus. The culture of inclusiveness will continue. The Community Foundation is known as a leader and an innovator both within Middlesex County and beyond. This will provide the Community Foundation many new opportunities in 2017 to develop important partnerships. She commended Ms. Martin for her work with the Foundation stating that she was instrumental in helping us reach out to professional advisors. Ms. Davis will be missed but has elevated the Foundation to another level with her financial expertise.

The slate of officers was presented as follows:

Upon a motion made by Mr. Tomc and seconded by Mr. Director, the slate of officers dated December 13, 2016 was unanimously approved.

Upon a motion made by Ms. Gregory and seconded by Ms. Whelen the Community Foundation Board of Directors unanimously VOTED to approve the term assignments as presented.

It was noted that Mr. Shaw will remain on Audit and Mr. Kirkpatrick will give consideration to remaining on the Grants committee.

VI. Appointment of Committee Chairs and Committee Members: Discussion was held regarding Committee Chair assignments. Upon a motion made by Ms. Wasescha and seconded by Mr. Levin, the Community Foundation Board of Directors unanimously VOTED to approve the Committee Chair appointments as presented.

VII. Closing Comments (Jones): Mr. Jones thanked the Board for their hard work and is looking to a productive year next year.

VIII. Adjournment: Upon motion made by Ms. Fischbach and seconded by Mr. Director, the Annual Meeting adjourned at 9:57 a.m.
