NOTICE

1. IIT Mandi invites proposal from Architect firms for architectural consultancy services ofarchitect/design consultant for developing plan, providing architectural design, structural designand all other consultancy services for academic buildings in land parcel 3, faculty/staff housingin land parcel 4 or land parcel 6 or land parcel 7 and boy’s/girl’s hostel & dining block in landparcel 6 of IIT Mandi at Kamand.

1.1. IIT Mandi has decided to adopt a two stage selection process. The Stage-1 entails shortlisting of limited number (maximum 7) of Architect/Design Consultants on the basis oftheir credentials. Post short listing, Stage-2 entails final selection of Architect/DesignConsultant on combined quality cum cost basis considering technical score and financialproposal of limited number of shortlisted Architect/Design Consultants.

1.2. Broad components of each stage of selection are as follows:

b) Selection of Architect/Design Consultant based on thecombined total of their Technical and Financial Scores,with 70% weightage given to technical score and 30%weightage given to financial score.

The press notice is also available on http://iitmandi.ac.in/administration/tenderseoi.php1.3 Minimum Eligibility Criteria

a) Applicant must have been registered in India as required by law with minimum five yearsof continuous operation up to the date of publication of tender document.

b) The average annual turnover of the Architect/Design Consultant on consultancy work forthe last three financial years should be at least Rs. 200 lacs from consultancy fees.

c) Applicant should also have satisfactorily provided consultancy services atleast oneconstruction project having project value not less than Rs. 100 crores in last seven yearsending 31.01.2017.

d) The applicant should have satisfactorily completed Architectural Design along withits services, similar type of buildings/works in a Higher Educational Institute ofrepute during the last seven years ending 31.01.2017.

e) The proposed team leader for IIT MANDI project representing the Architect/DesignConsultant (herein referred to as Project Architect) and will be responsible forhandling and designing IIT Mandi project should be registered with Indian Councilof Architects having minimum 10 years of work experience supported by anexperienced team.

f) Applicant shall be ineligible to submit a proposal, if the applicant is currentlybarred or blacklisted by any Autonomous Body/ Central and/or State Governmentin India. The applicant should give an affidavit in format given at Form 7.

g) Applicant should not have, during the last five years, either failed to perform on anyagreement, or been expelled from any project or agreement or have any agreementterminated for breach by the Applicant. The applicant should give an affidavit in formatgiven at Form 7.

h) Earnest Money Deposit (EMD) of Rs 12,00,000/- (Rupees Twelve lac only) in shape ofDemand Draft in favour of Registrar, IIT Mandi payable at Kamand, or in shape of FDRpledged to the Registrar, IIT Mandi. The EMD of the non - shortlisted applicants will bereleased within two weeks of short listing. The EMD of shortlisted applicants other thanthe selected applicant will be released within thirty days from the date of opening offinancial bids.

Note: All the above criteria should be supported by relevant documents.

1.4 Evaluation Methodology (Stage-1)To review the credentials of the Architect/Design Consultant in Stage-1, IIT Mandi willconstitute an expert evaluation committee. The expert evaluation committee shall shortlistthe Architect/Design Consultants on the basis of documents submitted. The credentialswill be judged as per following criteria:

a) Performance on past works, experience in planning, design, execution of similarbuildings/type of work including infrastructure work.

b) Projects with innovative architectural design including those in high seismic zones,energy efficient / climatically responsive features.

c) Projects with use of sustainable / cost effective materials and technologies.

d) Professional experience, credentials and past record of the Project Architect.

The discretion and decision of the Expert Evaluation Committee with respect to the proposalsand short listing of the Architect/Design Consultants shall be final and binding. IIT Mandireserves the right to accept or reject any or all the proposals without assigning any reason.

1.5 Broad construction requirementsIIT Mandi has been established in the year 2009 and presently operating from its permanentcampus at Kamand. Total area being constructed at present is about 1.73 lacs sqm which includesresidential and non-residential buildings in Land Parcel 1, Land Parcel 3 & Land Parcel 6.Additional 48,000 sqm of construction is being planned in Land Parcel 3, Land Parcel 4 or LandParcel 6 or Land Parcel 7 & Land Parcel 6 as detailed below:-

Academic blocksApproximate area to be constructed for Academic activities in Land Parcel 3 shall be 20,000 sqmwhich shall include classrooms for 60, 120, 200 students, independent offices for 50 no. facultyhaving area of about 10-12 sqm each, labs having area of about 180-200 sqm, staff rooms, storeroom and canteen etc. including interior layout as per requirement of IIT Mandi. Number ofstories for these blocks can be ranging from 3 to 5 as per site.

Faculty/Staff housingApproximate area to be constructed for Faculty/Staff housing in Land Parcel 4 or Land Parcel 6or Land Parcel 7 shall be 15,500 sqm which shall include 80 no. 3BHK flats including interiorlayout. Number of stories for these blocks can be 2-5 as per site.

Students’s hostel/Dining blockApproximate area to be constructed for students hostels/dining blocks in Land Parcel 6 shall be12,500 sqm which shall include rooms, double seated for 500 students and 1 no. dining blockincluding interior layout. Number of stories for these hostel blocks can be 4/5 as per site.

TrafficThe students in the campus are advised to use only bicycles and the plan could consider separatelanes for the bicycle commuters in addition to walk ways. Sufficient parking lots should beprovided for all categories of vehicles in each building. The parking shall be preferablywithin/under the buildings. Alternatively, it shall be open with suitable pavement to permitground water recharging.

1.6 Broad Scope of work of the Professional Architect firm

Part 1 – PLAN of the buildings to be constructed in LP-3, LP-4, LP-6 or LP-7.

1.6.1 Plan of the buildings/layout/location, GIS maps and guidelines for:a) Preparation of drawing indicating the location of the buildingsb) Roads, walkways, cycle path and other minor access ways.c) Water distribution lines, pumping station, storage tank and treated water lines for

flushing and horticulture use.d) Storm water collection system and rain water harvesting system.e) Solid waste management system, sewage lines, collection tanks, treatment disposal.f) Electrical sub-station with location, power cable lines etc.g) Telephone lines.h) Internet connectivity, data lines, switches etc.i) Landscape and reforested areas.

1.6.2 Architectural and Engineering design for buildings to be constructed in LP-3, LP-4, LP-6or LP-7:- Detailed design, specifications, bill of quantities, estimate based on theschedule of rates/ market rates covering the following:a) Preparation of Preliminary Architectural and Engineering design of Buildings.

(Ground floor plan, typical floor plan, roof plan, elevation, 3D views and sections)and obtaining approval of IIT Mandi.

b) Preparation of detailed Architectural, Structural drawings and submission of alldrawings in Hardcopies (A1 size paper/ Ammonia printout) and softcopies(AutoCAD/ STAAD/ SAP files) for approval.

c) Preparation of detailed design and drawings for all the Internal and Externalservices like electrical distribution, Lift, Lightning protection System, Aviationwarning System, water Supply, sewage disposal, data cables, telephone cables, TVcables, fire detection and firefighting, roads and paths, etc. (including internallayout of furniture & design/location of cupboard and layout/positioning of lightpoint/switches accordingly to layout)(Complete design calculations includingcomputer modeling have to be submitted for check and approval).

d) Preparation of detailed Architectural Drawings and Services drawings for thevarious services mentioned above.

e) Preparation of detailed bill of quantities including detailed take off sheets anddetailed estimate adopting ‘CPWD Schedule of rates’, where ever applicable. Foritems of work not available in CPWD Schedule, market rates may be adopted anddetailed rate analysis is to be made available for such items with necessarysupporting quotations obtained from the market. Soft copy of the estimate abstract/take off sheets, rate analysis etc shall be submitted in “Open Office Calc (.ods)”format.

f) Soft copy of tender documents should be submitted in “Open Office Writer (.odt)/Open Office Calc (.ods)” format.

g) Preparation of detailed structural analysis and design using computer programs likeSTAAD/ SAP etc. and preparation of detailed structural drawings in AutoCAD.

Soft copy of the computer model shall be submitted for approval. TheArchitect/Design Consultant should have the structural design proof checked by areputed educational Institutions/ Research Institutions/ Government Departmentengaged in building construction works as desired by the Architect/DesignConsultant with prior approval of the Indian Institute of Technology Mandi.Amount quoted in the financial proposal shall be inclusive of Structural proofchecking, no additional payment shall be made for the same.

h) Preparation of justification rates taking the prevailing market rates for material andlabour for all the items in the Bill of Quantities. Rendering advice on the tenderedrates of contractors, if requested by IIT Mandi.

i) Approval of materials during the course of construction, if requested by IIT Mandi.j) Issue of clarifications, details etc on the drawings and tender documents as and

when requested by IIT Mandi.k) Site visits/ attendance in meetings as and when needed (preferably twice a month).

No extra cost shall be made for the same.l) Preparation and submission of five sets of “as built” drawings based on the data to

be furnished by the site engineers.m) All drawings shall be prepared in auto CAD and the softcopies should be submitted

to IIT Mandi for approval. The drawings must be submitted in editable format not inPDF form.

n) Any other details other than that mentioned above but required for satisfactorycompletion of the project.

It may be specifically noted that all the drawings and details connected with theproject should be available at the time of call of tenders for fixing agency for executingthe work and no changes shall be made in various drawings during the course ofexecution unless specifically desired, in writing, by IIT Mandi.

1.6.3 Guidelines to be followed:a) Master plan.b) Eco management plan.c) Usage of the campus by physically challenged persons.d) Prevention against damage due to earthquake and other natural disasters.e) Design according to latest IS codes.f) Protecting the existing environmental features of the campus and taking into

consideration of, without increasing the foot print area.g) Implementation of green building concept according to GRIHA-3 rating.h) Any other aspects deemed necessary.

The firm should suggest the schedules for the development/ Construction of theabove considering the present needs as given in Phases and future expansion.

1.7 Responsibility of Architect/Design Consultant

a) The Architect/Design Consultants shall not delegate their work to any other agencywithout prior approval of the client.

b) The Architect/Design Consultants shall discharge their obligations under thisAgreement in accordance with the agreed time schedule and with due care,diligence and competence.

c) The Architect/Design Consultant shall obtain approval of any governmental or otheragencies required to approve the Project (or any portion thereof) including requisiteplanning permissions if any and shall prepare all documents, studies, plan anddrawings, specifications, and other instruments required by this Agreement to beprepared by Architect/Design Consultant in such form and with such information ordata contained therein as may be required by such agencies or by any institutions orgovernmental body from which the Client may seek permission or financing for theProject.However, deposits/ government fees/ statutory payments payable to the authoritiesfor such approvals for the project, is to be paid by IIT Mandi. Also, Client mayappoint a liaison person/ in- house representative to interact with the authorities forfollows up on the approvals being sought. But ultimate responsibility will rest withthe Architect/Design Consultant.

d) The Architect/Design Consultant shall be responsible for any discrepancies, errorsor omissions in the drawings, prepared and supplied by them whether the same shallhave been approved by Client or not. Upon Client’s request, Architect/DesignConsultant shall promptly rectify the deficiency by amending/ replacing/supplementing the deficient drawings/ documents as appropriate at their ownexpenses.

e) The Architect/Design Consultant shall complete its entire obligation in respect ofthe project. The Architect/Design Consultant shall take all the reasonable steps toensure that the activities shall be carried out with diligence.

f) The services of the Architect/Design Consultant being engaged by the Client notmerely to act as a Architect/Design Consultant in respect of the project but also actas an advisor to the Client and assume overall responsibility to the Client for thesuccessful completion of the project. The services to be provided by theArchitect/Design Consultant shall comprise in relation to architectural andlandscaping, structural design and drawings with details and calculations, servicesand utility etc.

g) Plan which shall consist of drawings, buildings plans, road networks, seweragelines and other services utilities based on Client’s schedule of accommodationand statutory norms, architectural schematic drawings and details based onapproved plan. The plan will be sufficient to take the decision for the workswhich will be carried out in longer run hence PLAN scope is to provide thecomplete details in terms of design and drawings.

h) The Architect/Design Consultant shall assume full responsibility for the design andspecifications for items described in the scope of work. The client will have fullaccess to the details of the calculations and the structural design for the purpose ofscrutiny for satisfying themselves as to their correctness. The structural engineer ofthe Architect/Design Consultant will render all possible help for the above scrutiny.

IS codes as followed by CPWD for similar work shall be followed by theArchitect/Design Consultant.

i) The Architect/Design Consultant shall not make any deviation, alteration oromission from the approved drawings having financial implications without theprior written approval of the Client and shall make necessary revision as may berequired in the drawings and other documents submitted by them at draft stage.

j) The Architect/Design Consultant shall be responsible for the direction and theintegration of the work of the Engineer/ Architect/Design Consultant and shallindemnify the Client against all losses and damages that are caused by the acts oromission of the Architect or the engineers/ Architect/Design Consultants.

k) The Client if required shall get the structural design of the consultancy proofchecked from the third party and Architect/Design Consultant shall render allassistance and clarify all the doubts of the third party to clear the structural design.However, the final responsibility of the soundness of the structural design shall beof the Architect/Design Consultant only.

l) The Architect/Design Consultant shall design the building in accordance with goodEngineering practice with modern planning, incorporating functional and efficientArchitectural and Engineering design conforming to all relevant Indian Standardcodes of practices and specifications, energy saving measures etc.

m) The Architect/Design Consultant should furnish all the required information such asdetailed estimate, architectural working drawings, structural drawings etc. of theproject before tenders are invited and not in stages, during the progress of the work.

n) The Architect/Design Consultant will incorporate ‘Green Building’ concepts inline with “GRIHA” rating system (3 star) in the design to the extent possible andsubmit a compliance report along with ‘Technical proposal’.

1.8 Requirements for Submission for Stage-1:The Stage 1 proposal will comprise of following:a) Tender cost, EMDb) Documents confirming the minimum eligibility criteria.c) Documents highlighting the credentials of the Architect/Design Consultant.d) Signed copy of tender.e) Financial bid in prescribed format.f) Covering letter.

The details are as follows:a) Tender cost amounting to Rs 1,500/- and EMD amounting to Rs 12,00,000/-b) Documents confirming the minimum eligibility criteria will cover the following

(Ref. Form 2, 3, 4, 5)i. Introduction of the Architect/Design Consultant (Brief description of the

firm/entity, projects, staff, contact details. Maximum 5 pages)ii. Copy of audited Balance sheet, Profit & Loss statement for the last three financial

years of the Architect/Design Consultant as per Form 3.iii. Copy of Income tax return for the last three financial years.

iv. Certificate from Chartered accountant confirming gross income from consultancyin last five financial years

v. The applicant should have satisfactorily completed Architectural Designalong with its services, similar type of buildings/works in a HigherEducational Institute of repute during the last seven years.

vi. Name of the Indian Council of Architect Registered Project Architect, Proof ofeducational qualifications / minimum 10 year experience in the field ofArchitecture of the Project Architect. (attach educational qualification &registration certificates)

vii. Affidavit regarding being not barred or blacklisted and having not failed toperform on any agreement or being expelled from project as detailed at Para 1.3.Affidavit to be submitted as per format given in Form 7.

c) Documents highlighting the credentials will cover following(Ref. Form 6):

i. Project sheets highlighting quality of past works, experience in planning, design,execution of similar buildings/type of work including infrastructure work withspecial thrust on innovative architectural design projects undertaken by theArchitect/Design Consultant. Work done in energy efficiency / climaticallyresponsive architecture. Projects demonstrating use of sustainable / cost effectivematerials and technologies, innovative structures / Architectural design in highseismic zones

d) Signed copy of this tender document (each page signed and stamped) by theArchitect/Design Consultant as proof of acceptance of all terms and conditions ofselection process.

e) Financial Proposal: - The applicants will also be required to submit their financialproposal. The applicants are to refer to the draft Agreement within this tender documentto understand their scope of work and estimate their fees. The fees indicated in thefinancial proposal by the Architect/Design Consultant shall be considered as final andreflecting the total cost of services. Omissions if any, shall not entitle theArchitect/Design Consultant to be compensated. The liability to fulfill obligations as perscope of work within the total quoted fees shall rest solely with the Architect/DesignConsultant.

i. Income Tax shall be deducted at source at the prevailing rates.ii. Service Tax shall be reimbursed on submission of documentary proof.

iii. The financial information should be as per the format given in Form 3.f) Covering letter as per prescribed format. Number of documents submitted needs to be

mentioned in the Covering letter.

1.11 DATE OF COMMENCEMENTIrrespective of the date of execution of this Agreement the contract shall be deemed tohave been entered into on the date on which the letter of awarding the consultancy workis communicated to the Architect/Design Consultant.

1.13 PENALTYIf Architect/Design Consultant fail to provide the services satisfactorily or to follow anyor all the terms and conditions, penalty @1%per week of the total value of the awardsubject to maximum of 10% of total order value will be levied and recovered from bill.Any delay in meeting the time line shall be responsibility of the Architect/DesignConsultant.Time of construction for the buildings in all the land parcel shall be 22 months. If thecontractor/firm executing the work fails to complete the buildings within time, extensionwithout levy of any penalty shall be given to Architect/Design Consultant. However, allother activities architect had to adhere to time frame mentioned above.

1.14 RESPONSIBILTY FOR ACCURACY OF PROJECT REPORTS:The Architect/Design Consultants shall be responsible for accuracy of all the data used inproject preparation and estimates prepared by him as part of the project. He shall indemnifythe client against any inaccuracies in the work. For this purpose, he shall furnish bankguarantee for an amount to the extent for 20 percent of the total consultancy fees to bereceived by him. The bank guarantee shall be valid for a period of 2 years from the date ofsubmission of the final DPR.

1.17 Disqualification from the Selection ProcessArchitect/Design Consultants are liable to be disqualified, if they:

a) Make misleading or false representation, or deliberately suppress any information inthe forms, statements and enclosures required to be submitted by them.

b) Have hidden the record of poor performance, such as being barred/blacklisted,abandoning projects, not completing the assigned projects properly, or of financialfailure/ weaknesses.

c) Resort to any unethical means, like attempting to influence the committee / IITMANDI officials.

1.18 Important Notes:a) All the information pertaining to minimum eligibility should be supported by relevant

documents / certificates. IIT Mandi reserves the right to seek additional information,details regarding minimum eligibility criteria, proof of qualifications, experience andcapabilities of the Architect/Design Consultant at any stage of short listing / selectionprocess.

b) The applicants are requested to carefully read this tender document to understandevaluation methodology of the selection process.

c) The applicants are requested to carefully read the Draft Agreement (Annexure-A) at theend of this tender document. The selected Architect/Design Consultant will be required toprovide services as mentioned in the Draft Agreement. Before participating in thisselection process the applicants should be sure that they will be able to provide all theservices and the deliverables in the time schedules given in the Draft Agreement.

d) The appointed Architect/Design Consultant should ensure that the Project Architectwhose profile has been submitted at the time of application for this tender document isinvolved in complete design process. There has to be continuity in the Project Architectas well as team members in all stages of design and execution till completion of theproject.

e) IIT Mandi reserves the right to accept or reject any or all the proposals without assigningany reason. IIT Mandi also reserves the right to call for additional information from theArchitect/Design Consultants.

f) A proposal once submitted becomes the property of IIT Mandi and shall not be returnedto the participant under any circumstances, whether the work is awarded or not. Evaluation Criteria for Stage 1

To review the credentials of the Architect/Design Consultant in Stage-1, IIT Mandi willconstitute an expert evaluation committee. The discretion and decision of the Expert Evaluation Committee with respect to the proposalsand short listing of the Architect/Design Consultants shall be final and binding. IIT Mandireserves the right to accept or reject any or all the proposals without assigning any reason.

Note: Please provide sufficient information and valid proof for each parameter/factor

assigned for calculating the marks in the evaluation criteria. If sufficient informationand valid proof is not available about some parameter/factor during evaluation, 0marks shall be assigned to that parameter/factor.

STAGE -2

2.0 Submission DetailsStage -2 shall comprise submission of detailed Technical Proposal and making a power pointpresentation by the shortlisted Architect/Design Consultants.

2.1 Requirements for Submission of Technical ProposalThe Technical Proposal will comprise of drawing panels and architectural model(s), a briefreport elucidating the Concept Architectural Design, and a power point presentation. Thiswill include following:a) Drawing Panels and Architectural Model(s)

The Architectural Design could be explained in the form of drawings with plans, sectionsat suitable scale, views, photographs and sketches along with Architectural Model(s) toshow Architectural Character of building type / layout. The submission shall be restrictedto a maximum of Four Drawing Panels of A0 Size.

b) Brief Report (Ten Copies)A report containing details that help to explain the design will accompany the drawingpanels. The report may be limited to A3 size with maximum 30 single side print pages.The report should explain the concepts and should include necessary drawings and datasupporting the proposal. A total of ten copies of reports will be required for submission.

c) Power Point PresentationAfter the submission of Detail Architectural Design, IIT Mandi will call theArchitect/Design Consultants to make a presentation. Maximum time allotted for thepower-point presentation will be 40 minutes. The presentation should include:

i. The design proposal in detail supported with 3D visual renderings / walkthrough.ii. A brief introduction about the firm, project experience, competence and capacity in

project delivery.

2.2 Evaluation Methodology (Stage-2)Final selection of the Architect/Design Consultant in Stage-2 will be based on the combinedtotal of their Technical and Financial Scores, with 70% weightage given to technical scoreand 30% weightage given to financial score. The points commensurate to the technicalproposal will be as follows:

2.3 Evaluation of Technical and Financial Proposals and arriving at Combined Score

a) To review the design proposals, IIT Mandi will constitute an Expert EvaluationCommittee. The discretion and decision of the Expert Evaluation Committee with respectto the proposals and selection of the Architect/Design Consultant shall be final andbinding. IIT Mandi reserves the right to accept or reject any or all the proposals withoutassigning any reason.

b) The minimum technical score that qualifies a Architect/Design Consultant for furtherevaluation is 42 marks out of 70 marks.

c) Upto a maximum of seven applicants may be short listed for making a presentation.After technical evaluation of the short listed applicants, the technical score of top threeapplicants will be announced.

d) The price bid of the top three Architect/Design Consultants will be opened in thepresence of their representative, who chooses to be present at the specified time. The timeand venue of opening of price bid will be intimated in advance to top threeArchitect/Design Consultants.

e) The lowest financial proposal (FP) shall be given a financial score (FS) of 100 points.The financial score (FS) of other proposals will be determined using the formula:FS=100xFP/F, in which FS is the financial score, FP is the lowest fees in percentage, andF is the fees quoted in percentage.

f) Proposals will be ranked according to their combined technical (TS) and financial (FS)scores using the weights (T=the weightage given to the Technical Proposal; P=theweightage given to the Financial Proposal; T+P=1). The weightage given to the technicaland financial proposals will be T=0.70, and P=0.30. The Combined Score shall becalculated using the following formula: S = TS x T + FS x P

2.4 Opening and Evaluation of Financial Proposals (FP)a) IIT Mandi shall declare the technical scores before opening the financial proposals of the

top three technically qualified Architect/Design Consultants.b) Financial proposals shall be opened in the presence of the technically qualified shortlisted

Architect/Design Consultants or their representatives who choose to attend. AnEvaluation Committee shall determine whether the financial proposal is complete,unconditional and free from any computational errors.

2.5 In case of a tie the applicant with higher technical score will be selected.

2.6 Award of ContractThe Architect/Design Consultant securing the highest combined score will be invited fornegotiation if necessary with IIT MANDI; where, upon successful negotiation, the work willbe awarded to the Architect/Design Consultant. Director, IIT Mandi shall be the competentauthority in this regard whose decision shall be final and binding.

IIT Mandi reserves the right to accept or reject any or all the proposals without assigning anyreason. IIT Mandi also reserves the right to call for additional information fromArchitect/Design Consultants. IIT Mandi also reserves the right to keep one or twoArchitect/Design Consultants on the wait-list who may be engaged by the Institute if theperformance of the selected Architect/Design Consultant is not found to be satisfactoryduring execution or at any stage of the project.

This AGREEMENT is made and executed on this ______ Day of _____________ at Kamand,Distt. Mandi (H.P.) by and between Indian Institute of Technology Mandi, (hereinafter referredto in this document as IIT Mandi), AND M/s XXX, an Architect/Design Consultants firm,having its registered office at XXX (hereinafter referred to in this document as consultant, whichexpression shall unless repugnant to the context or meaning thereof be deemed to include itsexecutors, administrators and assignees), represented by XXX, regarding architect/designconsultant for developing plan, providing architectural design, structural design and all otherconsultancy services for academic buildings in land parcel 3, faculty/staff housing in land parcel4 or land parcel 6 or land parcel 7 and boy’s/girl’s hostel & dining block in land parcel 6 of IITMandi at Kamand on contract basis.

WHEREAS M/s XXX Architect/Design Consultants, during the course of its business, inresponse to the call from IIT Mandi for SELECTION OF ARCHITECT/DESIGNCONSULTANT FOR DEVELOPING PLAN, PROVIDING ARCHITECTURAL DESIGN,STRUCTURAL DESIGN AND ALL OTHER CONSULTANCY SERVICES FORACADEMIC BUILDINGS IN LAND PARCEL 3, FACULTY/STAFF HOUSING IN LANDPARCEL 4 OR LAND PARCEL 6 OR LAND PARCEL 7 AND BOY’S/GIRL’S HOSTEL &DINING BLOCK IN LAND PARCEL 6 OF IIT MANDI AT KAMAND, submitted technicaland financial proposal. IIT Mandi negotiated with Architect/Design Consultants on various termsand conditions to provide Comprehensive Architectural consultancy to IIT Mandi for XXXBuildings.

WHEREAS IIT Mandi, the owner of IIT Mandi’s Permanent Campus, appointed M/s XXXconsultant to provide architect/design consultant for developing plan, providing architecturaldesign, structural design and all other consultancy services for academic buildings in land parcel3, faculty/staff housing in land parcel 4 or land parcel 6 or land parcel 7 and boy’s/girl’s hostel &dining block in land parcel 6 of IIT Mandi at Kamand

WHEREAS M/s XXX consultant agreed to undertake the ARCHITECT/DESIGNCONSULTANT FOR DEVELOPING PLAN, PROVIDING ARCHITECTURAL DESIGN,STRUCTURAL DESIGN AND ALL OTHER CONSULTANCY SERVICES FORACADEMIC BUILDINGS IN LAND PARCEL 3, FACULTY/STAFF HOUSING IN LANDPARCEL 4 OR LAND PARCEL 6 OR LAND PARCEL 7 AND BOY’S/GIRL’S HOSTEL &DINING BLOCK IN LAND PARCEL 6 OF IIT MANDI AT KAMAND for XXX Buildings tothe satisfaction of IIT Mandi as per the terms and conditions stipulated by IIT Mandi, and gavetheir unequivocal acceptance for the same.

WHEREAS IIT Mandi accepts the offer of M/s XXX Architect/Design Consultants, and inpursuance of the same, this agreement is executed with the terms and conditions as set outhereunder, which shall be binding on the two parties hereto:NOW, THEREFORE in consideration of various terms, covenants and conditions hereinaftercontained, and the contents of SELECTION OF ARCHITECT/DESIGN CONSULTANT FORDEVELOPING PLAN, PROVIDING ARCHITECTURAL DESIGN, STRUCTURAL DESIGN

AND ALL OTHER CONSULTANCY SERVICES FOR ACADEMIC BUILDINGS IN LANDPARCEL 3, FACULTY/STAFF HOUSING IN LAND PARCEL 4 OR LAND PARCEL 6 ORLAND PARCEL 7 AND BOY’S/GIRL’S HOSTEL & DINING BLOCK IN LAND PARCEL 6OF IIT MANDI AT KAMAND, the two parties hereto agree that the Scope of ConsultancyServices to be rendered by M/s XXX consultant is as follows:

1. Detailed Scope of Work:The scope of services for the Architect/Design Consultants is to provide comprehensiveArchitecture and allied consultancy services including site layout, structural, Interior, Landscape,Infrastructure, signage and graphic design for academic, residential and other buildings with allsupport facilities within part of land parcel earmarked for XXX buildings including Master Planof IIT Mandi's Permanent Campus at Kamand. The estimated builtup area is 48,000 Sq.mt.The Architect/Design Consultants also has to develop layout plans demonstrating that theproposed design if adopted over entire land parcel of XXX will be able to accommodateadequate units / XXX as per Master Plan. The detail scope of work shall include and not belimited to the following:

1.1. Programme Developmenti. Develop a Project Brief in association with IIT Mandi with respect to phases and

complete development.ii. Identify facilities, infrastructure and building area requirement for various activities.

iii. Architect/Design Consultants shall take into accounts the requirements and currentstandards of Ministry of Human Resource and Development, India (MHRD), NationalBuilding Code (NBC). Architect/Design Consultants will also respond to ongoing designsof various buildings under construction, bylaws, Development Control Regulations ofUrban Local Body / Development authority under whose jurisdiction the site of IITMandi campus falls.

iv. Areas and programmes in this agreement are only indicative. These may get modifiedover the process of finalization of detailed program. XXX buildings may have diverseneeds and therefore they may not follow one single repetitive design. Architect/DesignConsultants is expected to demonstrate different design ideas for XXX Buildings whileresponding to Urban Design Guidelines.

1.2. Topographical Survey of the SiteArchitect/Design Consultants shall carry out total station surveys of the site areas underdevelopment, and will take into account the master plan / ongoing proposals on levels andinfrastructure.

1.3. Vision DevelopmentArchitect/Design Consultants shall develop a comprehensive vision for the ArchitecturalCharacter of buildings including Master Plan/design of building under construction and submit areport to that effect for the acceptance of IIT Mandi.

1.4. Design, Specification, Bill of Quantities and Cost Estimatei. Architect/Design Consultants shall develop preliminary design of various buildings and

services (Internal and External) all inclusive like Architectural including furniture layout,structural system, sanitary, drainage, dual plumbing, rain water disposal and harvesting,firefighting, ICT infrastructure, ELV system such as DATA networking, security, IBMS /SCADA, electrical, electronic and communication systems design, heating, ventilation

and air conditioning design (HVAC) and other mechanical systems, elevators and alliedfields such as landscape design, interior design, graphic design and other requirement ofparcel development, signages etc. Such comprehensive details architectural design shallbe integral to and blend harmoniously with the construction in progress and similardetails provided by or prescribed by any other agency authorized by IIT Mandi.

ii. Preparation of detailed cost estimate based on latest CPWD Delhi schedule of rate,submission of BoQ (Bill of Quantities).

iii. Non-scheduled items included in the detailed estimate shall have rate analysis as per theCPWD format, detailed technical specifications for items used, tests, acceptance normsfor all materials and finished items and mode of measurement as per the Bureau of IndianStandards / International Standard / Sound Engineering Practices, where BIS /International Standard are not available as per the approval of Engineer-in-Charge, alongwith detailed drawings to form part of NIT.

iv. BOQ so prepared will be for the purpose of competitive bidding hence all details likelisting of products, makes and vendors etc. shall conform to Govt. and CVC guidelines.Architect/Design Consultants and his team should make themselves conversant with thelatest guidelines. These guidelines are in Public Domain.

1.5. Structural Systemi. Preparation of conceptual structural system, DBRs (Design Basis Reports), detailed

structural analysis and design of complete buildings.ii. On approval, the design details and detailed construction drawings shall be prepared and

submitted for inclusion in NIT.iii. Detailed structural design calculations and GFC drawings as per relevant Indian codes of

practice of recent revisions for construction purpose.iv. Structural drawings shall be proof checked as decided by IIT Mandi nothing extra shall

be paid to Architect/Design Consultants for the same.

1.6. Public Health Engineering Systemi. Scope includes preparation of DBRs (Design Basis Reports) for providing both internal

and external water supply and sewage systems. Entire design shall be as per latest IScodes.

ii. On approval, the design details and detailed construction drawings shall be prepared andsubmitted for inclusion in NIT.

iii. Detailed design calculations and GFC drawings as per relevant Indian codes of practiceof recent revisions for construction purpose.

iv. Approval of a peer reviewer or a proper proof checker as decided by IIT Mandi.

1.7. Electrical Systemi. Scope includes preparation of DBRs for providing internal and external electrification

system with necessary electrical rooms, cablings, power supply network including sub-station, street lighting etc. Scope of work also includes preparation of conduit layouts forprovision of telephone, computer cable, LAN, TV, ELV systems etc. Entire design shallbe as per latest IS codes and recommended procedures of original equipmentmanufacturers.

ii. On approval, the design details and detailed construction drawings shall be prepared andsubmitted for inclusion in NIT.

iii. Detailed design calculations and GFC drawings as per relevant Indian codes of practiceof recent revisions for construction purpose.

iv. Approval of a peer reviewer or a proper proof checker as decided by IIT Mandi.

1.8. Fire Fighting Systemi. Scope includes preparation of DBRs for entire firefighting system like fire detection, fire

alarm and firefighting arrangements confirming to relevant Indian Standard Codes / NBCand as per the requirements of local statutory authorities.

ii. On approval, the design details and detailed construction drawings shall be prepared andsubmitted for inclusion in NIT.

iii. Detailed design calculations and GFC drawings as per relevant Indian codes of practiceof recent revisions for construction purpose.

iv. Approval of a peer reviewer or a proper proof checker as decided by IIT.

1.9. HVAC & other Mechanical worksi. Scope includes preparation of DBRs as per the intentions of Master Plan and IIT

MANDI’s requirement and as per relevant Indian Standard Code / NBC.ii. On approval, the design details and detailed construction drawings shall be prepared and

submitted for inclusion in NIT.iii. Detailed design calculations and GFC drawings as per relevant Indian codes of practice

of recent revisions for construction purpose.iv. Approval of a peer reviewer or a proper proof checker as decided by IIT Mandi.

1.10. Landscape ArchitectureArchitect/Design Consultants shall provide complete landscape design of the part land parcelunder XXX zone including following:

i. a) Landform and gradingb) Surface drainage design and water managementc) Landscape Irrigation designd) Detailed open space design – All hard and soft arease) Planting designf) Landscape structures and featuresg) Garden Furniture designh) Illumination designi) Graphic design and signagej) Co-ordinated design development with all services and landscape features outside the

part land parcel.ii. On approval, the design details and detailed construction drawings shall be prepared and

submitted for inclusion in NIT.iii. Detailed design calculations and GFC drawings as per relevant Indian codes of practice

of recent revisions for construction purpose.iv. Approval of a peer reviewer or a proper proof checker as decided by IIT Mandi.

1.11. Proof Checking, Obtaining Statutory Approvals & Periodic Supervisioni. Getting proof checked all Structural design, Services and Infrastructure design from third

party as per advice of IIT Mandi. The Architect/Design Consultants should coordinatewith the third party and establish proper working relation with a view to deliver drawingsduly checked and approved by the reviewer within the time frame for ensuring smoothprogress of the work at site. The charges for the peer review / proof checking shall beborne by Architect/Design Consultants

ii. Obtaining statutory approvals from all the local authorities and associated liaisoning, bypreparing the necessary reports/submissions as required by the statutory authorities and

incorporating necessary changes or making modifications in the designs based on inputsreceived from the statutory authorities.

iii. Periodic Supervision by competent Architect / Engineer for project supervision to ensureexecution of work as per the details given by the Architect/Design Consultants. They areto coordinate with the PMC and assist them for smooth progress of project by giving timeinputs / approvals / clarifications / interpretations of the GFC drawings as and whenrequired by the PMC.

iv. Architect/Design Consultants shall appoint a full time Architect/Engineer at the projectsite having a minimum of six year experience.

1.12. Design Response for Barrier free architecture, Environment and Energy Sensitivityi. The design should be responsive to create a barrier free environment for differently-abled

people. Appropriate National / International Design codes and practices shall be used asreference for above.

ii. The building designs should be in conformity with the various parameter of theapplicable Energy Conservation Building Code.

iii. Design aspects shall be incorporated for environmentally sensitive and sustainabledevelopment of the campus by incorporating green building technologies and theInformation & Communication technologies in the development. Architect/DesignConsultants shall assist IIT Mandi in getting GRIHA accreditation or rating as desired byIIT Mandi.

iv. While designing special passive systems for energy responsiveness or creating bettercomfort conditions the Architect/Design Consultants will have to support the designdecisions using energy simulations studies.

v. The simulation results will show effectiveness and possible comfort achievable in thespace. Using the study results Architect/Design Consultants will suggest passive designsolutions in the building.

vi. Sizing for Passive systems, on and off cycle if any, Operation schedule if any shall alsobe provided by the Architect/Design Consultants.

vii. Presentation of the studies, suggestions and effective conclusions with IIT Mandi atregular intervals. The process should lead to detailed engineered intervention in thearchitectural drawings to produce a working set of drawings for construction, installation,testing and commissioning the passive or active system.

viii. Testing, commissioning and troubleshooting of any systemic defects during first year ofits performance.

1.13. ExclusionsThe cost of conducting Geotechnical and hydro-geological investigations if required will beborne by Architect/Design Consultants. However the responsibility of getting any kind ofsurveys and investigations lies with the Architect/Design Consultants. IIT Mandi may assist orguide Architect/Design Consultants as per its discretion.

2. Stages of Work and DeliverablesAll the components mentioned in the scope of work will be submitted by Architect/DesignConsultants to IIT Mandi in following stages:

i. Concept design and drawings along with design brief.ii. Preliminary drawings and Estimates

iii. Detailed drawings and Detailed Estimatesiv. Good for Constructions drawingsv. Execution Stage

vi. Post Execution stageNote: All submissions in the above mentioned stages will be in the form of Reports & Drawings,Architectural Models and Power Point presentations. At each stage of submission,Architect/Design Consultants will submit printed copies as well as soft copies in PDF, Autocadfile / Dwg format, along with 3D Visual renderings, Walkthroughs and Architecture Models atsuitable scale.

2.1 Concept Design Stage: Deliverablesi. Ascertain IIT Mandi's requirements, prepare Master Plan, site constraints & potential; and

prepare Architectural programme brief for IIT Mandi's approval.ii. Furnish report on measures required to be taken to mitigate the adverse impact, if any, of

the existing and / or proposed development on its immediate environs.iii. Submit Design Basis Reports for various components.iv. Prepare alternate conceptual designs.v. As per inputs from IIT Mandi modify the design alternatives.

vi. Submit 3 sets of hard copies of documents and drawings during design development aswell as after acceptance of the proposal along with soft copies (Pdf as well as dwg.Autocad format) in compact discs.

vii. Prepare rough estimate of project cost.

2.2 Final Design and Preliminary Estimates Stage: Deliverablesi. Prepare and submit designs for final approvals

ii. Prepare Design Basis Reports for various componentsiii. Submit all approved documents in 3 sets of hard copies of documents and drawings along

with soft copies (Pdf as well as dwg. Autocad format) on compact discs.

2.3 Detailed Drawings and Detailed Estimates: Deliverablesi. Prepare detail drawings, specifications and Bill of Quantities (BoQ).

ii. Preparation of detailed estimates based on CPWD schedule of rates applicable toKamand, Distt. Mandi (H.P.). Rate analysis and specifications for non-DSR items,Special Conditions required other than general conditions of CPWD Tender

iii. Prepare tender documents. In case the tender document is prepared by any other agency,this shall be vetted by Architect/Design Consultants

iv. If required assist IIT Mandi to invite, receive and analyse tenders, prebid meetings etc.v. If required advise IIT Mandi on Pre qualification of agencies, and award of work to

contractors.vi. If required prepare and finalise Schedule of works along with the Contractor and IIT

Mandi.vii. Submit 2 sets of hard copies of documents and drawings along with soft copies (Pdf as

well as dwg. AutoCAD format) on compact discs.

2.4 Good for Construction Drawings: Deliverablesi. Prepare and submit complete sets of Good for Construction drawings with all details and

specifications for each Building / construction item as per Time Schedule.ii. The complete set of drawings shall be submitted to IIT Mandi for approval.

iii. Make revisions if any in the drawings as per IIT Mandi’s instructions.iv. Submit 6 sets of hard copies of documents and drawings along with soft copies (Pdf as

well as dwg. Autocad format) on compact discs.

2.5 Execution Stage: Deliverablesi. Make revisions and issue drawings for proper execution of work during construction.

ii. Assist IIT Mandi to approve samples of various materials and work items.iii. Check and approve shop drawings including design of connections submitted by the

contractor/ vendors.iv. Evaluate the Construction Works and wherever necessary resolve design and detailing

issues that arise at site, clarify any decision, offer interpretation of thedrawings/specifications, attend meetings to ensure that the project proceeds generally inaccordance with the conditions of contract and keep IIT Mandi informed and renderadvice on actions.

v. Periodic Supervision by competent Architect / Engineer for project supervision / qualitycontrol. If necessary IIT Mandi can ask Architect/Design Consultants to appoint a fulltime Architect / Engineer at the project site as mentioned under Para 1.12(iv)

vi. Issue Certificate of Completion of works as per the format to be prescribed by IIT Mandi.

Note: During above work stages Architect/Design Consultants will have to attendweekly/fortnightly/monthly meetings at IIT Mandi to demonstrate the work progress and takeinputs from IIT Mandi.

3. Time ScheduleArchitect/Design Consultants should complete the work within a period of 150 days frominitiation date: XXX. The following shall be the time schedule for completing various stages:

(i) Concept design: 04 weeks(ii) Final Design: Within 02 weeks after the approval of Concept Design.(iii) Detailed estimate: 4 weeks(iv) Detailed Structural drawings, Good for Construction Drawings: Starting from 12

weeks to 21st weeks (1st set by 12 weeks).(v) Execution Stage: As per schedule prepared by IIT Mandi.

4. Fee for Providing ConsultancyIIT Mandi shall pay a fee of XXX (XXX only) on the project. This will include costs fordevelopment of buildings and land, interiors, internal and external infrastructure, landscape andsignage development as defined earlier.

4.1 Conditions:

i. This payment shall cover:a. Preparation and delivery of all deliverables to be submitted by consultant to IIT

Mandi during or at the end of submission stages for developing ComprehensiveArchitectural Design of XXX Buildings and support facilities at IIT Mandi’sPermanent Campus.

b. All visits during the period of this agreement for submissions, presentations, andmeetings by team members of Architect/Design Consultants with IIT Mandi forall works pertaining to the assignment under award.

c. If IIT Mandi requires any visits outside of Kamand campus, Distt. Mandi (H.P.)and site, travel expenses for the same shall be reimbursed as per actual.Income Tax and all other taxes shall be deducted at the prevailing rates.Service tax on the fee shall be reimbursed as per actual.

4.2 Payment ScheduleThe payment of the above sum shall be made by IIT MANDI to consultant based on completionof tasks as per schedule given below:

At any stage based on the work progress IIT MANDI may consider to make part payment on prorata basis to the Architect/Design Consultants.

4.3 Notesi. Architect/Design Consultants will have to deposit Performance Guarantee (PG) in form

of bank guarantee on scheduled bank amounting to 10% of the estimated fee which willbe valid initially for a period of 2 years with a provision for further extension if necessaryin the event of extension of period of completion of job. The PG shall be submittedwithin 10 days from the date of award of work. The date of start of work shall reckonafter 7 days from the date of award.

ii. The rate(s) shall be inclusive of all tax(es) as applicable and nothing extra on this accountshall be payable. Income Tax shall be deducted at source on the amount paid at theprevailing rates. IIT Mandi shall issue to Architect/Design Consultants a certificate of taxdeducted at source (TDS) in due course of time.

iii. Architect/Design Consultants shall raise the bill upon completion of every stage referredabove. Payment shall become due to Architect/Design Consultants only after IIT Mandiensures that the quality of work is in accordance with the terms of this agreement.However part payment on prorate basis at any stage may be considered if justified.

5. Other Terms and Conditions(i) Period of Contract will be two years from the date of signing of the agreement.

Depending on project requirements and Architect/Design Consultants’ performance IITMandi may extend the contract period.

(ii) Architect/Design Consultants shall assist IIT Mandi in its endeavour to complete theconsultancy contract in stipulated time from the date of actual commencement of thework. The payment to Architect/Design Consultants shall be as specified in clause-4 andnothing extra shall be paid for delay/ variation in site, requirements of project and onany other account. Architect/Design Consultants shall not be entitled for anyreimbursement, whatsoever. The decision of IIT Mandi in this regard shall be final andbinding.

(iii) As the project has to be completed on fast track, the work shall be carried out with duediligence and as per time schedule. In case of any delay / default Architect/DesignConsultants shall pay by way of agreed compensation an amount equivalent to 1.00%(One percent only) of the total amount of fee payable for each week of delay subject to amaximum of 10% (Ten percent) of the total fee payable. The decision of IIT Mandi inthis regard shall be final and binding.

(iv) If Architect/Design Consultants fails to provide any drawing or details as per theagreement, IIT Mandi shall get it done at the risk & cost of the Architect/DesignConsultants, and it shall be recovered from the due payment of the Architect/DesignConsultants.

(v) IIT Mandi may ask a third party /an independent reviewer to review any or all thesubmissions done by the Architect/Design Consultants. In case the work is not foundsatisfactory, IIT Mandi shall get the work done at the risk & cost of the Architect/DesignConsultants, and it shall be recovered from the payment due to the Architect/DesignConsultants.

(vi) IIT Mandi may on its own or through a third party review structural and services doneby the Architect/Design Consultants. In case the work is not found satisfactory, IITMandi shall get the work done at the risk & cost of the Architect/Design Consultants,and it shall be recovered from the payment due to the Architect/Design Consultants.

(vii) No extra payment shall be due to Architect/Design Consultants if there are any changesin the site shape or profile, program requirements at any stage of the plan preparation.

(viii) Architect/Design Consultants agrees that they will be fully responsible in their capacityas Architect/Design Consultants under these presents for the soundness and correctnessof all architectural and structural designs and drawings of the buildings, and of everyportion thereof and of the installations as are entrusted to Architect/Design Consultantsand/or special consultant appointed by them and for the conformity of the buildings andthe installation to the plans, designs and specifications approved by IIT Mandi providedthat the instructions of Architect/Design Consultants are not overridden by IIT Mandi.

(ix) Architect/Design Consultants shall promptly notify IIT Mandi of any changes in theconstitution of their firm. It shall be open to IIT Mandi to terminate this agreement onthe death, retirement, insanity or insolvency of any person being partner in the said firm,

or on the addition or introduction of a new partner without the previous approval inwriting of IIT Mandi. But in the absence of and until its termination by IIT Mandi asaforesaid, this agreement shall continue to be in full form and effect notwithstanding anychanges in the constitution of the firm by death, retirement, insanity or insolvency ofany of its partners or the addition or introduction of new partner. In case of death orretirement the surviving or remaining partners of the firm shall be jointly and severallyliable for the due and satisfactory performance of all the terms and conditions of theagreement.

(x) IIT Mandi expects that the appointed consultant should ensure that the Project Architectwhose profile has been submitted at the time of application for selection of architectconsultant is involved in complete design process till the execution and completion ofthe project.

(xi) The appointed consultant should ensure that there is continuity in the Project Architectas well as team members in all stages of design and execution till completion of theproject.

(xii) The appointed consultant should ensure that the Project Architect is present in eachmeeting at all stages of the project. The Project Architect will not delegate the project tohis / her colleague or other person and will be solely responsible for design and alldeliverables till the completion of the project. If for some unforeseen reason the ProjectArchitect leaves Architect/Design Consultants firm or is not able to lead the team, IITMandi at its sole discretion may terminate the work order or may transfer the work toany other Architect/Design Consultants. Only in exceptional circumstances and on itssole discretion, IIT Mandi may allow consultant to replace the Project Architect.

(xiii)Architect/Design Consultants will ensure that Architect/Design Consultants’s feestructural, and MEP service remain the same throughout the project. However, in casetheir performance is found unsatisfactory IIT Mandi may ask their replacement asappropriate.

(xiv) Architect/Design Consultants shall not disclose any information and data furnished tothem by IIT Mandi to any third party nor shall they disclose any drawings, reports,specifications, manuals and other information developed and prepared for IIT Mandi byArchitect/Design Consultants and his Sub-contractors and the Personnel of either ofthem, without prior written approval of IIT Mandi.

(xv) Time taken by IIT Mandi in giving comments/ approvals will be considered extra. Anyinordinate delay by statutory authority in giving approval can be waived from timeschedule of Architect/Design Consultants at the sole discretion of IIT Mandi & may begiven only if IIT Mandi is satisfied that the Architect/Design Consultants have put theirbest efforts is seeking such approvals.

6.1 CopyrightDrawings, specifications, and other documents, including those in electronic form,

prepared by Architect/Design Consultants in consultation with IIT Mandi for this project areInstruments of Service, and Architect/Design Consultants along with IIT Mandi shall be deemedthe author and owner of any such Instruments of Service and shall retain all common law,statutory and other reserved rights, including copyrights. After IIT Mandi has paid

Architect/Design Consultants in full for any and all services rendered pursuant to the Agreementand the Terms and Conditions, including the costs and expenses incurred in connectiontherewith, IIT Mandi shall be the owner of copies, including reproducible copies of suchdrawings, specifications, and other documents (including but not limited to digital memorystorage media) for information, reference, and use in connection with the construction, use andoccupancy of the Project.

By signing this agreement and accepting the compensation thereafter, Architect/DesignConsultants permits the transfer of rights for use of drawings, specifications, other documentsand information provided in the Architectural services report and documentation for the purposesof publishing the information related to the development of Architectural services of IIT Mandi'sPermanent Campus through any publisher or exhibiting the same at the different technical andother forums worldwide. Architect/Design Consultants shall not be responsible for, or otherwiseliable for any damages or claims arising out of or resulting from changes made to the drawings,specifications, and other documents by IIT Mandi or by any person other than that from theArchitect/Design Consultants. Architect/Design Consultants shall not claim any royalty from IITMandi on account of publishing the information of the exercise of developing Architecturalservices of IIT Mandi’s Permanent Campus in electronic, print and other media.

IIT Mandi acknowledges that the documents prepared by Architect/Design Consultants inconnection with the project are instruments of professional service and not products. Thedocuments are subject to professional interpretations relating to changed circumstances,including the passage of time. Such documents on completion of the said project are not intendedor represented to be suitable for additions, extensions and alterations, by another professionalorganization or used in any other project. Any use or re-use without written verification oradaptation for the specific purpose intended shall be at IIT Mandi's sole risk and without liabilityor legal exposure to the Architect/Design Consultants.

6.2 Laws, Rules and RegulationsArchitect/Design Consultants will use their best professional efforts to (a) identify laws,

rules and regulations, relevant to the Project, (b) interpret the same in a reasonable manner, (c)seek advice of governmental officials and/or IIT Mandi's legal counsel when questions ofinterpretation and/or applicability arise, and (d) produce reports, plans, and other documents,which are consistent therewith. Having done so in accordance with normal standards of goodprofessional practice, Architect/Design Consultants would have met its obligation of renderingthe agreed service for the payments made by IIT Mandi, and will not be responsible for contraryinterpretations or determinations by enforcement authorities or others.

6.3 MiscellaneousThe agreement between IIT Mandi and M/S XXX CONSULTANT (MEP) with respect to

M/S XXX ARCHITECT/DESIGN CONSULTANTS' services described herein, supersedes allprior agreements, and may be amended only in writing. IIT MANDI and M/S XXXARCHITECT/DESIGN CONSULTANTS each binds itself and its partners, successors,executors, administrators and assigns to the other party of the Agreement and to the partners,successors, executors, administrators and assignees of such other party, in respect to allcovenants of the Agreement; except as above, neither IIT MANDI nor M/S XXXCONSULTANTS (MEP) will assign, sublet or transfer their interest in the Agreement withoutthe written consent of the other.

6.4 ArbitrationDuring the period of the project, IIT MANDI will Endeavour to provide Architect/Design

Consultants any assistance as required, which will not involve any financial implications. In theunfortunate situation of any and all disputes, disagreement and controversies arising in anymanner, which cannot be settled by mutual agreement between IIT MANDI and M/S XXXCONSULTANT, the matter shall be submitted to arbitration.

For this, IIT MANDI and M/S XXX CONSULTANT shall nominate (in writing) oneArbitrator each. In turn, these two Arbitrators shall nominate (in writing) an Umpire. In case,these two Arbitrators do not agree on any particular matter, the decision of the Umpire shall befinal and binding on both IIT MANDI and M/S XXX CONSULTANTS. All other provisions ofthe Arbitration and Conciliation Act 1996 (with amendments) shall apply and the venue ofArbitration shall be Distt. Mandi (H.P.).

6.5 Terminationi. IIT MANDI may terminate this Agreement by providing 7 days notice. In addition to the

above, IIT MANDI shall be entitled to forthwith terminate the agreement and encash thebank guarantee if it is found that:

a. The team leader whose profile has been submitted by Consultant at the time ofapplication for RFP is not involved in any of the project stage or is not present inthe meetings.

b. The team leader has delegated the project to his / her colleague or other person.c. There is no continuity in the participation of team leader or team members of

Architect/Design Consultants.d. Architect/Design Consultants has made misleading or false representation, or has

deliberately suppressed the information in the forms, statements and enclosuresrequired to be submitted during various work stages

e. Architect/Design Consultants has hidden the record of poor performance, such asabandoning projects, not properly completing the assigned projects, or financialfailure/weaknesses, as submitted to IIT Mandi in the Request for Proposalsubmitted to undertake the consultancy of IIT Mandi’s Permanent Campus underPhase I C; and

f. Architect/Design Consultants has resorted to any unethical means, likeinfluencing the Board of Assessors

ii. IIT Mandi also reserves the right to terminate this contract, If Architect/DesignConsultants does not deliver the products expected of them during or at the end of thisexercise of Architectural Design of IIT Mandi's Permanent Campus, or if IIT Mandiabandons the whole or part of the work remaining to be carried out at any time.

iii. IIT Mandi shall award payments to Architect/Design Consultants for the submission andwork stages for which IIT Mandi has granted approvals. IIT MANDI reserves the right toaward the remainder of the contract to any other Architect/Design Consultants.

iv. IIT MANDI reserves the right; in its sole discretion and for any reason whatsoever toterminate this Contract.

6.6 Jurisdiction of CourtsFor any breach of the terms and conditions of this Agreement or for issues relating

thereto with respect to its interpretation, liabilities, or any other issue, the courts at Mandi shallhave the sole and exclusive jurisdiction to entertain and decide the issues involved.

6.7 Governing LawThis Agreement is executed in Mandi and shall be governed, construed and enforced

according to the laws of India.

6.8 DamagesIn the event of any breach of the terms and conditions of this Agreement by the

Architect/Design Consultants, IIT MANDI shall be entitled in law to recover fromArchitect/Design Consultants liquidated damages ascertained and quantified in accordance withthe actual loss occasioned by the breach of terms and conditions.

6.9 ConfidentialityArchitect/Design Consultants agrees that any information provided to them for discharge

of their obligations under this contract is confidential and it shall be used for the purposes of thisAgreement only and the same shall not be disclosed to any third party.

IIT MANDI and Architect/Design Consultants declare that this agreement is executedvoluntarily and without any undue influence/coercion.
