MARKET UPDATE

M&A activity in the food and beverage sector maintained momentum through the first quarter of 2015. H.J. Heinz, which is owned by 3G Capital and Berkshire Hathaway, merged with Kraft Foods. The merger will create the third largest food and beverage company in North America and fifth largest in the world. The transaction also demonstrates the pressure on slower-growth companies to pursue M&A as a strategy for creating shareholder value. We continue to see strong interest in high-quality food and beverage assets with over 100 deals announced in the first quarter of 2015.

Bojangles’, a quick service chicken and biscuits chain and portfolio company of Advent International, recently

submitted a preliminary filing with the SEC. Bojangles’ has over 600 restaurants, approximately 60% of which are

franchised, and reported 2014 sales of $430.5 million. The IPO market has been very receptive of restaurants recently,

with both Dave & Buster’s and Shake Shack performing well after their market debuts.

RESTAURANT CHAIN BOJANGLES' FILES FOR IPO

Sales of chocolate confectionary products in the U.S. have grown 24% over the last five years, reachingapproximately $21 billion in 2014. This steady growth trend is expected to continue, with 2019 sales projected atapproximately $25 billion, a 3.5% CAGR. Producer innovation through the formation of new and unique textures isexpected to be the primary growth driver.

US CHOCOLATE MARKET ON TRACK TO HIT $25 BILLION IN 2019

Worldwide meat consumption increased 3.0% year-over-year in 2014 to reach a total of approximately 225 milliontons. The main growth drivers are increased prosperity and rising populations in developing countries. Amongindividual categories, poultry grew the most, achieving a 4.0% volume increase.
