With terms and conditions in which have been agreed upon

1. The first party is duly a licensed employment recruitment agency in Jakarta-

Indonesia and desirous to appoint the second party as his employment and

placement agent in The United States of America to secure job for nurses program,

male or female nurses fromindonesia.

2. The first and second party hereby agree that this Memorandum of the Recruitment

Agreement will serve as a board outline of their attentions to co-operate and doing

bussiness together and that if it is necessary, this Memorandum of the Recruitment

Agreement may be supplemented and amended by a formal written contract

(consent) at a subsequent date.

3. The first party hereby agrees that this responsibilities and duties include the

following.

a) To send personal particular (Resume) and including photographs of the

prospective nurses. Medical checkup (health record) from recognize Medical

checkup Laboratory or Hospital appointed and approved by the Second Party to

the Second Party may offer the nurses to the prospective ernployers.(placement)

opportunity on a period of 3 years for nurses program and is extendable for the

next coming year for a maximum of two years.

b) The First Party will ensure that all formalities and documentations and resume of

the nurses are true and correct will be attended to by him in compliance with the

rules regulations and laws regarding to the exporting of Indonesian nurses services

to the overseas.

c) The First Party having been assured that all formalities and documentations which

have been complied with the upon request of the Second Party are made according

to the standard of the End Users (Employers) in the USA. When the Second Party

or the End Users (Employers) discover the time resume or other documentation or

Medical Checkup report do not match the exact data of the nurses after their arrival

in the USA. In case of that, the nurse (s) should be repatriate to their own country,

all expenses must be borne to the First Party or to the nurse (s) himself (selves)

herself (selves).

d) All cost and expenses incurred in Indonesia while processing the documents, local

training, etc. shall be borne by the First Party.

4. DUTIES AND RESPONSIBILITIES OF THE SECOND PARTY

The Second Party have to responsible for the welfare of the nurses while that they

are in the United States America until their employment contract terminated,

henceforth the employer shall be responsible for the nurses welfare. In the event

where there is dispute arise between the nurses and his/her employer, the

Second Party shall further undertakes to accommodate the rejected nurses

with adequate food, lodging and medical assistance as and when needed. The

Second Party further undertakes to seek alternate employment for the rejected

nurses in the event where the ex. employer decided to cancel, his/her visa

without justified reasons and humane cause, the Second Party shall do his/her

utmost to prevent such cancellation.if this fails, the Second Party shall seek

the assistance of the Irrionesian Consular Section and the labour Standard of the

Departement of Labour, USA.

5. The First Paty undertakes to guarantee that the nurses are :

a) Obedient and polite to the employer and his/her staff

b) Hard working and have a strong sense of responsibility on their task (job).

c) Know how to do the job assigned to them.

d) The nurses must be certified that they are healty and fit to work and for the

females must have a pregnancy test prior to the arrival in the USA. Both

males and females must habe a urine test that they are free from drugs

(drugs abuse).

e) The terms of contract is good for a period 3 years for the nurses program

6. MONTHLY SALARIES/WAGES

The nurses shall be paid a remuneration for his/her services a fixed salary of US$

10 labour regular salary each hour. Payable in twelve (12) equal monthly.

Each payment shall be done on the last day of calendar in each consecutive month,

7. WORKING HOURS

The 'employers shall ensure that the total working hours of the nurses shall not

exceed for thirty seven and half (37,50) hours each week. These working hours

must be distributed evenly in five days. The sixth and seventh day of the week is

off/holiday. Howeer if the employers allows them to work on sixth or seventh day

of the week, then they will be paid as an overtime job. However, if the nurses shall

also be entitled to the following 11 or 13 official holidays on a full pay by the

employer as providid by the Law in fore at any time of employment.

8. DAY OFF

Frequency of the nurses day of shall be twice in every one week and shall be

treated with flexibility.

9. DUTIES AND RESPONSIBILITY OF THE EMPLOYERS

The employer/ shall at all time treat the nurses in fair and humane manner. Under

no circumstances shall physical violence be used on the nurses. The employers

shall physical undertake to create harmonious relations and working conditions

which are conductive to good empliyess-employers relationship.

The employers shall not recover from the employees directly or idirectly by

reduction of their salary, any Part of the fees paid or to be paid to the Government

body of the USA (including the security deposit) in respect of the possible

repatriation of the employees.

10. SPESIAL PROVISIONS

ordinary course of their duties). Divulge or make known any information relating

to their employer or their bossiness or any of his customers or any other

information which may come to their knowledge in the course of her employment.

employer shall deposit upon commencement of work, the monthly salary payroll,

subject that salary will be installed into the Nurses account in each last day of the

month.

When the Second Party or the EndUsers (Employers) discover the time resume or other documentations or Medical CheckUp report do not match the exact data of the workers after their arrival in the USA. incaseof that. 1. PURPOSEMEDIKALOKA is a provider of medical services, such being the services provided by full andduly qualified medical practitioners, holding current practice certificates, valid in thecountry of practice and relevant to the services/treatment provided.

PANGRANGO GEMA ABADI desires to use the medical services of MEDIKALOKA in thearea of Medical Check-ups for students or workers who would like to apply for Temporary orPermanent American Visa.

MEDIKALOKA and PANGRANGO GEMA ABADI have hereunto agreed to cooperate in thearea of medical check ups to be conducted on the students or workers of PANGRANGOGEMA ABADI, with the following terms and conditions:

2. DEFINITIONSIn this Agreement and in the Annexes and any attachments hereto, the followingexpressions shall have the following meaning:

2.1. Medikaloka. Covered Services means :medical services provided to PANGRANGOGEMA ABADI as set out in Annex 2.

2.2. Agreed Prices means. special rates for Medikaloka Covered Services provided forPANGRANGO GEMA ABADI as set out in Annex 2 and is only valid with this Agreement.

2.3. PANGRANGO GEMA ABADI students or workers mean the students or workers ofPANGRANGO GEMA ABADI who are eligible for Medikaloka Covered Servicespursuant to this Agreement.

2.4. Medikaloka Standard Prices means current pricing standard for Medikaloka services.The standard prices are subject to change without notice.

2.5. Medikaloka Voucher means a corporate letter issued by Medikaloka and to be used byPANGRANGO GEMA ABADI regarding the eligibility of its students or workers forusing Medikaloka Covered Services, as set out in Annex 1.

3. OBLIGATIONS OF THE PARTIES

3.1 Services3.1.1 MEDIKALOKA shall provide Medikaloka Covered Services to PANGRANGO

GEMA ABADI in accordance with the terms of this Agreement and Annexesattached hereto and all applicable laws and regulations.

3.1.2 For medical services not included in Medikaloka Covered Services,PANGRANGO GEMA ABADI students or workers are obligated to pay fullamount of current Medikatoka Standard Prices and MEDIKALOKA herebyreleases PANGRANGO GEMA ABADI from any claims or losses due to theprovision of services not included in Medikaloka Covered Services toPANGRANGO GEMA ABADI students or workers.

3.1.3 MEDIKALOKA shall provide Medikaloka Covered Services to PANGRANGOGEMA ABADI in accordance. with the highest ethical and professionalstandards of care, skill and diligence. MEDIKALOKA agrees to control thequality of its Medikaloka Covered Services to PANG RANGO GEMAABADI at its highest standard. When the quality of the MedikalokaCovered Services is deemed to be insufficient by PANGRANGO GEMAABADI then MEDIKALOKA agrees to adjust its Medikaloka CoveredServices where a further periodic evaluation will be applied based on theagreement of the parties.

3.1.4 PANGRANGO GEMA ABADI shall make appointments for its students orworkers as set out in Annex 1. and provide Guarantee Letter for thestudents or workers to MEDIKALOKA send by fax to 021 - 5289 2420 latestone day before MEDIKALOKA is requested to provide Medikaloka CoveredServices.

3.1.5 MEDIKALOKA shall refusz any of the following if so requested by aPANGRANGO GEMA ABADI students or workers in conjunction withproviding the Medikaloka Covered Services:3.1.5.1 request to change the date of examination or to change the result

of diagnosis;3.1.5.2 request for services from MEDIKALOKA not included under the

Medikaloka Covered Services or as specified in the GuaranteeLetter provided for that PANGRANGO GEMA ABADI students orworkers;

3.1.5.3 request for provision of services by MEDIKALOKA to any otherperson other than the PANGRANGO GEMA ABADI studentscovered by the Guarantee Letter; and

3.1.5.4 any other. requests to MEDIKALOKA to perform any services whichare not in accordance with the provisions of this Agreement as wellas the prevailing laws and regulations.

3.2 Compensation and Billing3.2.1. MEDIKALOKA shall bill PANGRANGO GEMA ABADI according to the following

procedure:3.2.1.1 MEDIKALOKA will submit invoices for Medikaloka Covered Services to

PANGRANGO GEMA ABADI together with the supporting documentation

for each PANGRANGO GEMA ABADI students or worker for whomMEDIKALOKA has provided Medikaloka Covered Services within 10calendar days after the said services is completely provided to a certainstudents or workers. Supporting documents for each PANGRANGO GEMAABADI students or workers are: Medical Check Up Report, GuaranteeLetter issued by PANGRANGO GEMA ABADI and copy of the ID card ofthe students or workers.

3.2.2. PANGRANGO GEMA ABADI will pay amounts owing to MEDIKALOKA under thisAgreement within 14 calendar days from its receipt of a complete invoiceissued in accordance with Clause 3.2.1.1.

3.2.1.2 If there is a disagreement regarding any invoice statements,PANGRANGO GEMA ABADI must inform MEDIKALOKA no later than4 working days after its receipt of the disputed MEDIKALOKAinvoice.

3.2.1.3 MEDIKALOKA will apply 5% per month penalty every late payment.

3.3 GrievancesMEDIKALOKA and PANGRANGO GEMA ABADI agree to cooperate with each other inresolving any grievances.

3.4 Guarantee LettersPANGRANGO GEMA ABADI students or workers are obligated to show a GuaranteeLetter to MEDIKALOKA before MEDIKALOKA renders Medikaloka Covered Services.Failure to present a Guarantee Letter will require cash payment by the PANGRANGOGEMA ABADI students or workers for services rendered at current MedikalokaStandard Prices.

3.5 RecordsMEDIKALOKA will provide students or worker Medical Check Up complete Reports tothe US Embassy, Jakarta within maximum 3 working days from the date the servicesare rendered and submitted directly to US Embassy and send 1 set copy of MedicalCheck Up Reports (Copy of Laboratory Report and X-Ray result) to PANGRANGO GEMAABADI. MEDIKALOKA shall keep the copy of Medical Check Up Reports within theperiod maximum 1 (one) year.

4. GENERAL CONDITIONS

4.1 Terms of Agreement4.1.1 This Agreement shall begin on 17 March 2008 and remain continuously in

force unless terminate by either party giving written notice pursuant toClause 4.2.1 hereof.

4.2 Termination4.2.1 This Agreement may be terminated at any time for any reason without

cause or prejudice upoti 30 days prior written notice by either party.4.2.2 The parties agree to waive the provisions, procedures and operation of

Article 1266 and Article 1267 Of the Indonesian Civil Code to the extent thatcourt approval or a court order is required to terminate this Agreement..

4.3 Amendments4.3.1 Amendments to this Agreement and its Annexes may be made only in

writing and must be signed by MEDIKALOKA and PANGRANGO GEMA ABADIand Will form an integrated and inseparable part to this Agreement.

4.4 Attachments4.4.1 The Annexes and attachments hereto form an integral and inseparable part

of this Agreement.

4.5 Confidentiality4.5.1 The terms and conditions of this Agreement and Annexes are confidential

and will not, whether during or after the terms of this Agreement, bedisclosed by either party without the consent and permission of the other.

4.5.2 MEDIKALOKA agrees that it shall keep the Confidential Information createdunder the virtue of this Agreement confidential, and shall not, in anymanner use, copy, reproduce or disclose such Confidential Information (anduse all reasonable efforts to prevent any such disclosure), unless thedisclosure is required or requested by law or a court of competentjurisdiction, provided that MEDIKALOKA gives PANGRANGO GEMA ABADI asmuch notice as is practicable of any such requirement and shall not discloseany more Confidential Information than is reasonably necessary in thecircumstances.

The above paragraph does not apply to Confidential Information which:

a) is in the public domain. and was publicly available prior to theMEDIKALOKA's receipt thereof from PANGRANGO GEMA ABADI;

b) MEDIKALOKA can show was in its possession prior to disclosure byMEDIKALOKA and which had not previously been obtained fromPANGRANGO GEMA ABADI or another person under an obligation ofconfidentiality to PANGRANGO GEMA ABADI; or

d) MEDIKALOKA can demonstrate is independently developed byMEDIKALOKA without the benefit of any Confidential Information ofPANGRANGO GEMA ABADI.

For the purposes of this Agreement, "Confidential information" means anyand all information disclosed to MEDIKALOKA (whether before, on or afterthe date of this Agreement, whether verbally, in writing, electronically orby any other means, whether directly or indirectly and whether or notmarked "Confidential") by PANGRANGO GEMA ABADI or any person on itsbehalf. to PANGRANGO GEMA ABADI, or obtained by PANGRANGO GEMAABADI or any person on its behalf, including, but not limited to anyinformation relating to PANGRANGO GEMA ABADI business affairs,operations, products, processes, methodologies, formulae, plans,intentions, projections, know-how, intellectual property rights, tradesecrets, market opportunities, suppliers, customers, marketing activities,sales, software, computer and telecommunications systems, costs andprices, usage rates, records, finances and personnel.

4.6 Notices4.6.1 Any notice required hereunder shall be in writing and shall be sent to the

parties at their addresses as follows:

4.7 Assignment4.7.1 MEDIKALOKA may not assign, transfer or otherwise dispose of any of its

rights or sub-contract, transfer or otherwise dispose of any of its obligationsunder the Agreement without the prior written consent of PANGRANGOGEMA ABADI Nothing in this Agreement shall prevent or restrictPANGRANGO GEMA ABADI from assigning, sub-licensing, transferring orotherwise disposing of all or any of its rights or obligations hereunder to anyof its affiliates or to any legal entity which succeeds to all or part ofPANGRANGO GEMA . ABADI business or assets.

4.8 Indemnity4.8.1 MEDIKALOKA shall be responsible for any liability, loss, expense, cost,

damage or claim (unless occasioned solely by the willful act or misconductof PANGRANGO GEMA ABADI, its servants or agents) in respect of injuries(whether fatal or otherwise) to any person (whether employed by eitherparty or not) and for any loss liability, claim, expense, cost, injury ordamage in respect of any property, real or personal (whether belonging toeither party or to any other person) arising from the execution orperformance of the Agreement and MEDIKALOKA shall indemnify fully andsave PANGRANGO GEMA ABADI harmless against the same.

4.9 Publicity4.9.1 MEDIKALOKA shall not, without the prior written consent of PANGRANGO

GEMA ABADI, advertise or publicly announce it is providing or has providedany products or services to PANGRANGO GEMA ABADI or otherwise use anyname, logo, trade name, trademark, service mark or other informationwhich identifies PANGRANGO GEMA ABADI in MEDIKALOKA's marketingand/or publicity activities or materials.

This Clause shall survive the expiry/termination of this Agreement.

4.10 Severability4.10,1 The invalidity, illegality or unenforceability in whole or in part of any of the

provisions in these conditions or the Agreement shall not affect the validity,legality and enforceability of the remaining part or provisions of theseAgreement.

4.11 Force Majeure4.11.1 Neither party shall be liable to the other party by reason or account of any

delay or omission caused by epidemic, fire, power outages, action of theelements, strikes, lockouts, sabotage (except as caused by a party's

employees, agents or sub-contractors), labor disputes, governmental law,regulations, ordinances, order of a court of competent jurisdiction,executive decree or order, act of God or public enemy, war, riot, civilcommotion, earthquake, flood, explosion, casualty, embargo or any othersimilar cause beyond the control of such party. The time of performance ofeach party's obligations under this agreement shall be extended for so longas such Force Majeure event continues, provided, however, that in theevent such period of extended delay exceeds seven (7) days, either party

• may terminate this agreement upon notice to the other party.

4.12 Governing Law; Dispute Resolution4.12.1 This Agreement is governed by and shall be construed in accordance with

the laws of the Republic of Indonesia.4.12.2 Any dispute between the parties that cannot be settled amicably shall be

submitted to a Board of Arbitration under the applicable rules of theIndonesian National Board of Arbitration (the "BANI Rules"). Thearbitration will be conducted in English in Jakarta. The Board of Arbitrationwill consist of three (3) arbitrators appointed in accordance with the BANIRules.

4.12.3 The Board of Arbitration appointed must conduct the arbitration inaccordance with this Agreement, the BANI Rules and the prevailing lawsand regulations relating to arbitration ("Arbitration Laws andRegulations"). Where this Agreement, the BANI Rules, or the ArbitrationLaws and Regulations are silent as to the conduct of the arbitrationproceedings, the Board of Arbitration must decide as to how theproceedings will be conducted.

4.12.4 No Party will be entitled to commence or file any action in a court of lawrelating to any dispute until the matter will have been determined by theBoard of Arbitration as provided in this Agreement and then only for theenforcement of the arbitration award.

4.12.5 Except as otherwise permitted in the Arbitration Laws and Regulations, anydecision of the Board of Arbitration in any matter within this Agreementwill be final, binding and incontestable and may be used as a basis forenforcement thereon in Indonesia or elsewhere. The Board of Arbitrationwill be entitled to include In its decision a determination as to the paymentof the cost and expenses of the arbitrators, the administrative costs of thearbitration, the legal fees incurred by the Parties, the cost and expenses ofwitnesses and all other costs and expenses necessarily incurred in theopinion of the Board of Arbitration in order to properly settle the dispute.

4.12.6 The Parties expressly agree: (i) that the decisions must be made based onmajority votes of the arbitrators, (ii) that the Board of Arbitration muststate the reasons for its decisions in writing and must make the decisionsentirely on the basis of applicable laws and not on the basis of the principleof ex aequo et bono, and (i11) that the mandate of the Board of Arbitrationduly constituted in this Agreement will remain in effect until a finalarbitration award has been issued by the Board of Arbitration.

4.13 Anti-Bribery4.13.1 MEDIKALOKA agrees that neither it nor any of its officers, employees,

servants or 'agents will mare, in respect of the conduct of the services orany other matter provided for in this Agreement, any offer, promise, gift orpayment of anything of value or give any undue pecuniary or otheradvantage (a "Transfer") whether directly or indirectly to or for thebenefit of any Public Official for that Public Official or for a third party, if

to do so would result in such Public Official or third party acting orrefraining to . act in relation to the performance of his official duties ormight violate any law of any relevant jurisdiction (whether or not theselaws apply to PANGRANGO GEMA ABADI or any of its officers, employees,servants or agents). In this regard:

"Public Official" shall mean:

any officer or employee of, or other person acting in an officialcapacity for, a Government, any entity controlled or owned by aGovernment or any public international organization;any legislative, administrative or judicial official, whetherappointed or elected;any candidate for public office; orany official of a political party.

"Government" shalt mean:

the national government of a country;any government of any political level or subdivision in a country;any entity controlled or owned by any of the foregoing;any political party; orany public international organization.

4.14 Entire Agreement4.14.1 This Agreement constitutes the entire agreement between the parties on

the subject matter hereof and supersedes all previous agreements,arrangements and undertakings with respect thereto.

Bahwa guna kepentingan pemberian bantuan jasa hukum oleh PihakK.edua ( II ) kepada Pihak Pertama ( 1 ) khusus program nurse chin H2B keAmerika, telah sepakat - dan setuju pemberian fee Law Firm Citra Sejati,operasional fee adalah sebagai berikut : Fee Law Firm Citra Sejati sebesar25% ( dua pultili lima persen ) dari biaya operasional programRp.3.000.000,- yakni R.p. 750.000 ( Tujuh Ratus Lima Puluh RibuRupiah ) setiap calon tenaga kerja yang sudah mendaftar di PT.Pangrango Gema Abadi.

Surat Kesepakatan Kerjasama ini berlaku selama 1 (satu ) tahun terhitungsejak tanggal ditanda tangani. Namun demikian kesepakatan ini dapatdiperpanjang Iagi berdasarkan persetujuan atau kesepakatan kedua belahpihak.

Bahwa bilantana ada hal-hal yang belum diatur dalam Surat KcscpakatanBersama Bidang Jasa Hawn ini, sedangkan menurut balk Pihak Petunia( I ) maupun Pihak Kedua ( 11 ) masih diperltikaan untuk ditambahkansebagai kesempurnaan clausple yang sudah ada ilisini, maka kepadaPihak Pertama ( i ) rihak Kedua ( 11 ) bersepakat untukinencantum.kan hal-hal tertentu ittt ke dalam Surat Kesepakatansetelah melalui musyawarah rnufakat teriebih dahulu.

Setiap penambahan/ addendum yang disepakati bersama hanya bolehdiajukan dalam tempo selama 3 ( tiga ) bulan terhitung sejak tanggal suratkesepakatan bersama ini ditanda tangani oleh kedua beleh pihak.

Pihak Pertama ( I ) adalah perusahaan/ badan hukum yang memberikan jasakdnsultan tenaga kerja ( Labour Consultant ), Recruiting dan termasuk pula PusatPelatihan ( Training Center ).

Pihak Kedua (II) adalah calonl kandidat yang memerlukan pelayanan,informasi, dan konsultasi untuk mendapatkan akses di dalam program penempatantenaga kerja ke Negara Amerika Serikat sebagai Nurse dan progran H2B.

Untuk itu kedua belali pihak sebagaimana kedudukan masing-masing tersebut di atas,telah setuju dan sepakat membuat dan menanda tangani- Surat/ Nota KesepakatanBersama ini dengan mengikuti syarat dan ketentuan sebagai berikut :

UmumPasal 1 —

Bahwa Pihak Pertama ( I ) adalah jasa konsultan ( Labour Consultant ), recruiting dantraining center yang mempersiapkan program penempatan tenaga kerja ke NegaraAmerika, khusus nurse dan program H2B, akan membantu mengurus kelengkapandokumen, administrasi, jasa pelatihan dan pelayanan pembuatan kontrak/ perjanjiandengan user/ pengguna jasa dalam kaftan program kerja ke Amerika, Nurse dan H2Btersebut.

Sedangkan pihak Kedua ( II ) adalah Pencari kerja, calon/ kandidat yangmembutuhkan pelayanan informasi, konsultan dan training dalam rangka programtenaga kerja ke Negara Amerika, Nurse dan H2B melalui dan menunjuk PihakPertama ( I ) sebagai perusahaan/ badan hukum penyedia jasa konsultan, recruitingdan training center.

Persyaratan mengikuti programPasal 2

Pihak Kedua ( II ) berkewajiban untuk mempersiapkan dolcumen/ surat-surat sesuaipersyaratan yang ditentukan oleh Pihak Pertama ( I ) tanpa dikecualikan, sebagaikelengkapan proses program Nurse dan H2B ke Amerika.

Pasal 3

Pihak Kedua ( II ) sebelum mengikuti program konsultasi, training dan program nurseserta H2B ke Amerika yang diadakan oleh Pihak Pertama ( I ), terlebih dahulu harussudah melakukan pemeriksaan medis/ medical check up yang ditunjuk oleh pihakKedutaan Amerika secara lengkap sesuai peraturan yang berlaku dan kemudiandinyatakan sehat oleh dokter yang bertugas pada medical center/ rumah sakit yangditunjuk atau disahkan dalam program nurse dan program H213.

Administrasi-Pasal 4 -----

Bahwa Pihak Kedua ( II ) bersedia dan sanggup untuk membiayai seluruh programkonsultasi; training dalam rangka program nurse dan H2B ke Amerika, yang jumlah/besarnya secara terperinci ditentukan dalam persyaratan/ administrasi/ biaya yangdibuat dan telah ditentukan oleh Pihak Pertama ( I ), antara lain medical check up,apply visa, pengiriman dokumen, akomodasi program selama proses di dalam negeridan jasa konsultan/ training untuk mendapatkan izin ke Amerika, dibayar secara tunaiatau melalui transfer kepada Pihak Pertama ( I )/ PT. PANGRANGO GEMA ABADI: A/C : 112 669 656 BNI Cab Sukabumi pada saat Nota Kesepakatan ini ditandatangani kedua belah pihak.

Bahwa segala pembiayaan/ pengurusan yang terjadi internal di Indonesia sepenuhnyamenjadi tanggung jawab Pihak Kedua ( ), sedangkan pembiayaan dan kebutuhanprogram di Amerika seperti izin tinggal, akomodasi, transportasi, asuransi, lawyerserta kebutuhan lainnya yang masih terkait program nurse dan H2B ini, pendanaanyaterlebih dahulu akan ditanggung oleh Pihak Pertama (!)dengan mempergunakandana/ fmansial pemerintah dan ataupun fmansial swasta dengan mempergunakanasset collateral Pihak Pertama ( I ) sebagai penjamin pendanaan, yang mana Maya/dana yang dikeluarkan/ ditanggung Pihak Pertama ( I ) ini, nantinya wajibdikembalikan oleh Pihak Kedua ( II ) dengan cara pendebetan/ pemotongan darisalary/ gaji serta tunjangan-tunjangan yang diterima oleh Pihak Kedua ( II ) selamabekerja di Amerika, setiap bulannya sampai jumlah/ nilai yang riil telah dikeluarkanterlebih dahulu oleh Pihak Pertama ( I ) sebagaimana penjelasan di atas.

•IIKIMEMM Pasal 6 —

Pihak Kedua ( II ) selama dalam masa program berjalan, tidak dibenarkan untukmembatalkan atau mengundurkan diri atau mencabut proses program yang sudahberjalan dengan alasan apapun, kecuali bilamana alasan pengunduran diri/pembatalan/ pencabutan proses program ini disertai dengan alasan yang kuat, benardan .dapat dipertanggung jawabkan, yang disetujui oleh keluarga/ orang tua/ wali dandiketahui oleh sponsor atau mitra recruitment Pihak Pertama ( I ) yang memfasilitasiPihak Kedua (II) mengikuti program ini.

Apabila pembatalan, maupun mengundurkan diri dari program nurse dan H2B dapatdiberikan/ disetujui oleh Pihak Pertama ( I ) sebagaimana alasan di atas yangdinyatakan secara tertulis oleh Pihak Pertama ( I ), maka Pihak Pertama ( I ) akanmengembalikan biaya-biaya pendukung program yang telah dibayarkan oleh PihakKedua (II ) kepada Pihak Pertama ( I ), hanya sampai sebatas maksimal 30% ( tigapuluh prosen ), yang meliputi : Fee Recruiting daerah, operasional program, kontrakuser, Rekomendasi apply, dan kebutuhan Pendukung lainnya.

Proses pengembalian biaya-biaya dalam hal Pihak Kedua ( II ) mengundurkan diriyang telah disetujui oleh Pihak Pertama ( I) sebesar 30% ( tiga puluh prosen ) sesuaipenjelasan di atas, akan dikembalikan oleh Pihak Pertama ( I ) kepada Pihak Kedua (II) setelah Pihak Kedua ( II ) menyelesaikan/ melengkapi administrasi surat-suratyang diperlukan dalam hal pengunduran diri/ pembatalan mengikuti program nursedan H2B tersebut.

Dan proses pengurusan pengembalian biaya-biaya dimaksud di atas, hanya berlakuselama 30 ( tiga puluh ) hari terhitung menurut tanggal surat persetujuan yangdiberikan oleh Pihak Pertama ( I ) kepada Pihak Kedua ( II ), sehingga apabilamelewati waktu yang diberikan itu Pihak Kedua ( II ) melalaikan pengurusannyamaka biaya sebesar 30% yang sepatutnya diterima oleh Pihak Kedua ( II ) akandinyatakan batal/ hangus dan tidak dapat dikembalikan lagi.

Pasal 7

pihak Pertama ( I ) dan Pihak Kedua ( II ) setuju, apabila selama program nurse danH2B ini di proses oleh Pihak Pertama ( I ) ternyata secara factual terdapat kesalahan/kelalaian atau terdapat informasi yang menyesatkan atau memberikan keteranganyang tidak benar, pemalsuan identitas dan dokumen atau karena sesuatu hal selamaproses, dapat diketahui adanya pelanggaran-pelanggaran tersebut yang dilakukan olehPihak Kedua ( ), maka kepada Pihak Kedua ( ) wajib dikenakan sanksi berupatidak akan diikutkan lagi atau dibatallcan seluruhnya keikutsertaan dalam progrannurse dan H2B ini, sehingga segala konsekwensi hukumnya adalah Pihak Pertama( I ) tidak mempunyai kewajiban untuk mengembalikan biaya-biaya apapun kepadaPihak Kedua ( II ).

Bahwa demikian pula apabila Pihak Kedua ( II ) melakukan pelanggaran hukum danatau karena sesuatu hal yang mengakibatkan pembatalan adanya keberangkatan ataukarena dideportasi oleh pihak Imigrasi setempat, biaya program nurse dan H2B yangsudah dibayarkan, tidak dapat dikembalikan lagi dan dianggap hangus.

Jangka Waktu ProsesPasal 8 ---

Pihak Pertama ( I ) dan Pihak Kedua ( II ) setuju dan sepakat dalam hal prosespengurusan untuk mendapatkan izin program penempatan tenaga kerja, programnurse dan H2B ke Amerika, dibutuhican tenggang waktu selania 120 ( Seratus duapuluh ) hari kerja terhitung sejak tanggal penyerahan data kelengkapan kesediaanmengikuti program dan membayar lunas biaya program dari Pihak Kedua ( II )kepada Pihak Pertama ( I ).

Dengan menyimpang dari kesepakatan jangka waktu proses yang disebutkan di atasjika terjadi kelalaian Pihak Kedua ( II ) berupa keterlambatan memenuhi secarakeseluruhan, baik kelengkapan data/ dokumen maupun biaya program maka tenggangwaktu pengurusan sampai kepada training dan keluarnya izin program nurse danH2B, akan menyesuaikan dengan terpenuhinya persyaratan kelengkapan data/dokumen serta biaya program yang diberikan oleh Pihak Kedua ( II ) kepada PihakPertama ( I ). Sedangkan dalam kesepakatan ini, pihak pertama ( I ) akanmemberitahukan kepada pihak kedua ( II ), apabila dalam masa 120 ( seratus duapuluh ) hari kerja berjalan pihak kedua ( II ) belum mendapatkan akses untuk masukke USA, atau belum mendapatkan Apply Visa, maka pihak pertama ( I ) dalam hal iniConsultan PT. PANGRANGO GEMA ABADI akan memberikan surat tertuliskepada pihak kedua ( II ) bahwa program ke USA dianggap gagal, dan pihak kedua (II) akan menerima pengembalian biaya program dari pihak pertama ( I ) sebesar 70% ( Tujuh Puluh prosen ) dari total pembiayaan. Pengembalian sebesar 70 % ( TujuhPuluh Prosen )akan di lakukan melalui transfer ke nomor Rekening kandidat /Keluarga yang ikut menandatangani Nota Kesepakatan Bersama ini serta membawa /melampirkan bukti pembayaran / pembiayaan program ( Kwitansi ) , transfer invoice

Bank dan melampirkan Nota Kesepakatan Bersama. Batas pengembalian 30 ( tigapuluh ) hari kerja kepada pihak kedua ( II ) dari Pemberitahuan pihak pertama ( I ).

PerselisihanPasal 9

Bilamana terdapat ketentuan/ clausule dalam Nota Kesepakatan Bersama ini yangdianggap belum jelas tentang maksud dan pelaksanaannya maka kedua belah pihakterlebih dahulu diberikan kesempatan untuk menyelesaikannya secara musyawarahdan mufakat.

Namun demikian jika musyawarah dan mufakat ini tidak dapat terselesaikan olehkedua belah pihak maka akan ditempuh proses penyelesaiannya sesuai ketentuanhukum yang berlaku, baik secara pidana dan atau perdata melalui kepaniteraanPengadilan Negeri Jakarta Pusat.

PenutupPasal 10

Nota Kesepakatan Bersama ini dibuat dalam rangkap 2 ( dua ), bermeterai cukup,yang diberikan kepada Pihak Pertama ( I ) dan Pihak Kedua ( II ), masing-masingmempunyai kekuatan hukum yang sama.

Dan Nota Kesepakatan Bersama ini secara effektif mulai berlaku pada hari initanggal ........................ dan ditanda tangani oleh kedua belah pihak.

PASAL IMODAL PARA PIHAK

1) PIHAK PERTAMA adalah perusahaan pemilik / pemegang Surat lzin Usaha Pengerah jasatenaga kerja Indonesia ke luar negeri yang sah atas nama PT. KOSINDO PRADIPTA yangdikeluarkan oleh Departemen Tenaga Kerja RI dengan nomor: KEP.37/MEN/1/2007,dengan memiliki fasilitas satu buah asrama / transit bagi calon tenaga kerja Indonesia luarnegeri, kantor pusat operasional clan sejturtlah karyawan terletak di Jalan Duren Tiga IndahIll /8, Perdatam Jakarta Selatan.

2) PIHAK KEDUA adalah perusahaan pemilik / pemegang Surat Izin Usaha consultan danpelatihan tenaga kerja atas nama PT. PANGRANGO GEMA ABADI yang di keluarkanoleh Departemen Kehakiman dengan nomor : C-12614 HT.01.01.TH.2005 yang mempunyaihubungan kerjasama dengan agen Workers di Amerika Serikat dalam rangka penempatanjasa tenaga kerja Indonesia di negara bagian Amerika Serikat program H2B clan Nursesesuai dengan peraturan perundang-undangan yang berlaku di negara tersebut.

PASAL 2BIDANG USAHA

1) PIHAK PERTAMA menunjuk PIHAK KEDUA dan PIHAK KEDUA menerimapenunjukkan dari PIHAK PERTADAA untuk pelaksanaan recruiting asal daerah kandidatprogram H2B dan Nurse, sosialisasi, penempatan jasa tenaga kerja Indonesia ke luar negerikhusus negara bagian Amerika Serikat

2) PIHAK KEDUA atas penunjukkan dan PIHAK PERTAMA bersedia memberikan imbalanjasa sebagai berikut :

a) PIHAK KEDUA memberikan jaminan berjumlah Rp. 50.000.000,- (lima puluh jutarupiah), dan akan dikembalikan secara bertahap yang diperhitungkan dengan prosesPassport, dan apabila jumlah tersebut selesai dikembalikan, maka PIHAK KEDUAakan segera mengisinya kembali.

b) PIHAK KEDUA bersedia memberikan fee jasa bagi setiap penempatan / pengirimantenaga kerja Indonesia ke Amerika Serikat person kepada PIHAK PERTAMA, yangdibayarkan secara tunai sebelum data dikirim ke pihak pengguna tenaga kerja / user.

PASAL 3HAK DAN KEWAJIBAN PIHAK PERTAMA

) PIHAK PERTAMA wajib menyelenggarakan pengelolaan perizinan PT. KOSINDOPRADIPTA, sesuai dengan aturan — aturan yang berlaku tenting penempatan tenaga kerjaIndonesia ke luar negeri. -

) PIHAK PERTAMA wajib memberikan pelayanan administrasi bagi PIHAK KEDUA,termasuk proses administrasi serta surat menyurat, proses nerjanjian kerja Workers, Fiskal,di BNP2TKI serta proses pembuatan passport bagi karidiclat jika diperluican di imigrasi yangberkaitan dengan kepentingan serta keperluan penempatan dan 'pengiriman tenaga kerjaIndonesia luar negeri untuk wilayah negara bagian Amerika Serikat.

) PIHAK PERTAMA akan memberikan Surat Penunjukkan kepada PIHAK KEDUA sebagaiunit kegiatan recruiting kandidat program H2B dan Nurse, serta kegiatan yang berhubunganpendukung program, memberikan pelatikirn bagi kandidat ditempat milik PIHAK KEDUA dalam Diktat program H2B dan Nurse, serta usaha penempatan / pengiriman calon tenagakerja Indonesia divisi negara bagian Amerika Serikat.

4) PIHAK PERTAMA berhak menolak melayani proses Workers dari PIHAK KEDUA apabila -

terdapat kekurangan dan / penyimpangan dalam pelaksanaan proses Workers.

PASAL 4HAK DAN KEWAJIBAN PIHAK KEDUA

1) PIHAK KEDUA wajib untuk melaksanakan penempatan calon tenaga kerja Indonesia luarnegeri untuk wilayah negara bagian Amerika Serikat.PIHAK KEDUA wajib mengurus penempatan / pengiriman serta melaporkan kedatangandan kepulangan tenaga kerja Indonesia ke Kedutaan Besar R.I setempat dengan syarat sertakondisi kerja yang baik sekaligus melegalisasi.PIHAK KEDUA wajib untuk melakukan penjemputan dan penempatan calon Tenaga KerjaIndonesia luar negeri sesuai dengan peruntukkannya.

4) Seluruh proses administrasi calon tenaga kerja Indonesia luar negeri sepenuhnya dilakukandi tempat kerja / kantor PIHAK KEDUA.

5) PIHAK KEDUA bertanggung jawab apabila terjadi pemulangan oleh pihak user, termasukbiaya-biaya pemulangan tenaga kerja.

6) PIHAK KEDUA bertanggung jawab menyelesaikan segala permasalahan tenaga kerjaIndonesia PT. KOSINDO PRADIPTA yang dikirim oleh PIHAK KEDUA, selamabekerja di negara bagian Amerika Serikat seperti gaji tidak dibayar, pelanggaran HAMterhadap Workers dan lain sebapinya, sampai denpn kembalinya Workers ke Indonesia.

7) PIHAK KEDUA akan mematuhi segala peraturan dan atau kebijaksanaan pemerintah cc.Depnaker RI untuk pelaksanaan pengiriman Workers ke negara bagian Amerika Serikatsampai dengan kembalinya ke Indonesia dan tidak boleh melanggar peraturan dan ataukebijaksanaan tersebut.

PASAL 5Untuk kelancaran dan efektifitas pelaksanaan perjanjian ini, PARA PIHAK sepakat untuk salingkomunikasi secara rutin.

PASAL 6Adapun hal-hal yang belum tercakup dalam perjanjian kerjasama ini akan dibuat lebih lanjut yang

merupakan bagian tak terpisahkan dari perjanjian kerjasama ini.

PASAL 7SANKSI — SANKSI

pelanggaran atas perjanjian ini menimbulkan hak kepada masing-masing PIHAK untukmembatalkan perjanjian secara sepihak. Adapun hal-hal yang timbul akan menjadi tanggungmasing — masing pihak.

PASAL 8KERJASAMA DENGAN PIHAK KETIGA

PIHAK KEDUA tidak dapat memindahtangankan atau menjaminkan kerjasama ini sebagian atauseluruhnya kepada PIHAK KETIGA tanpa persetujuan secara tertulis dari PIHAK PERTAMA.

PASAL 9PERSELISIHAN

Perselisihan yang timbul sebagai akibat dari pelaksanaan perjanjian kerjasama ini akandiselesaikan dengan cara musyawarah untuk mufakat.Apabila upaya penyelesaian sebagaimana dimaksud ayat (1) pasal ini tidak dapatdiselesaikan oleh PARA PIHAK, makk PARA PIHAK sepakat untuk diselesaikan melaluipengadilan Jakarta Selatan.

PASAL 10LAIN — LAIN

1) Perjanjian ini syah dan mengikat setelah di tandatangani oleh PARA PIHAK di atas materaisecukupnya.

2) Perjanjian kerjasama ini hanya memberikan wewenang kepada P1HAK KEDUA untukmelaksanakan penempatan Workers H2B dan Nurse di negara bagian Amerika Serikat sertamerekrut kandidat, melakukan sosialisasi dan recruiting dari daerah asal kandidat.

3 ) Perjanjian ini di buat dan di tandatangani di Jakarta pada had dan tanggal sebagai mana diawal perjanjian ini, di buat dalam rangkap 2 ( dua ) yang masimg — masing sama bunyinyadan mempunyai kekuatan hukum yang sama diperuntukkan bagi :
