5 IntraxStandardTermsandConditions(ScheduleD) Definitions

Intheseconditions,unlessexpressedorimpliedtothecontrary:

a. “AccountApplicationForm”meanstheAccountApplicationFormofIntrax.

b. “Claim”includesactions,proceedings,suits,causesofaction,arbitrations,verdictsandjudgementseitheratlaw

orinequityorarisingunderastatute,debts,dues,demands,claimsofanynature,costsandexpenses.

c. “Conditions”meanstheseTermsandConditionsofTrade;

d. “Contract”meansthecontractforthesupplybyIntraxtotheClientofServicesincorporatingtheseConditions,

theinvoiceandanyothertermsandconditionssetoutinanyotherdocumentforwardedbyIntraxtotheClient;

e. “Client”meanstheapplicantnamedintheAccountApplicationFormorthepurchaseroftheServices;

f. “EngineeringServices”or“Services”meansprofessionalgeotechnical,civil,structuralorotherengineeringor

draftingservicesandanyotherservicesnamedanddescribedontheQuotation,FeeProposaland/ortheInvoice;

g. “GST”hasthesamemeaninggiventothatinthetermintheGSTAct,“GSTAct”meansANewTaxSystem(Goods

andServicesTax)Act1999(asamended);

h. “InsolvencyEvent”meansaneventwheretheClientsuffersanactofbankruptcyorhasareceiver,receiverand

manager,administratororcontrollerappointedoveranyofitsassetsorgoesintoliquidation(including

provisionalliquidation)oranysimilareventoccurs;

i. “Intrax”meansIntraxConsultingEngineersPtyLtdABN31106481252oranysubsidiaryoroperatingassociated

company.

j. “Invoice”meanstheIntraxinvoicetotheClientfortheServices;

k. “LossorDamage”meanslossordamagehowevercausedwhetherbasedintort,contractorotherwiseand

includeswithoutlimitationanydirect,indirect,specialorconsequentiallossordamage,lossofprofits,lossof

production,lossorcorruptionofdata,lossoftrades,opportunityorbusinessreputation,directorindirectlabour

costsandoverheadexpenseanddamagetoproperty;

l. “Quotation”or“FeeProposal”,meansthedocumentgiventotheClientexplainingtheServicesbeingprovided

byIntraxtotheClientandthepricingforeach.

m. “Variations”meanschangestotheinitialQuotationofServiceswhichhaschangedthescopeofthoseServices.

Trade

IntraxagreestoprovideandtheClientagreestopurchaseEngineeringServicesunderthesetermsandconditionstotheexclusionofanytermsandconditionsoftheClientoranyotherdocument.TheServicestobeprovidedaredefinedintheQuotationandinanyagreedVariations.

CreditFacilities

AcreditaccountisonlyavailabletotheClientiftheClienthascompletedanAccountApplicationFormwhichhasbeenprocessedandapprovedbyIntrax.UntilanAccountApplicationFormisapprovedorwherenoAccountApplicationFormhasbeensubmitted,alltradefortheprovisionofServicesarestrictlyonacashpriortodeliverybasis,orinaccordwithanyotherwrittenagreementmadeatthetimeoftheacceptanceoftheorder.

PaymentforServicessuppliedunderthecreditaccountmustbereceivedbyIntraxasperthetradingtermsgranted.Anyamountoutstandingbeyond30daysmaybesubjecttoaninterestcharge.

Intraxreservestherighttorequireearliersettlementofaccounts. Intraxwillchargeinterestonoverdueaccountsattherateof15%perannumcalculatedonadailybasis. TheprovisionofacreditaccounttoaClientmaybewithdrawnatanytimewithoutnoticetotheClient. IftheClientfailstomakeanypaymentdueunderCondition3,alldebtrecoverycosts,includinglegalcosts

orasolicitor/ownclientbasisandanymercantileagentcostsandexpenses,willformpartofthemoniesowingbytheClienttoIntrax.

IntraxwillretainallrightsandownershipofalldocumentsprovidedaspartoftheServicesuntilfinalpaymentisreceived.

Ifpaymentofaccountismadebycreditcarda1.51%surchargewillapply.

Price

ServiceswillbechargedtotheClientattheamountspecifiedintheQuotationoragreedIntraxpricelistandwillbelistedineachinvoicewithdetailstheworkcompletedtothatdate.

ThepriceofServicesspecifiedinanystandardpricelistofIntraxissubjecttochangeatanytimewithoutnoticetotheClient.

AnyQuotationgivenbyIntraxtotheClientwillremainvalidforaperiodof30daysfromthedatewhenthequotationwasgivenorsuchotherperiodasnominatedintheQuotationorFeeProposal.

GST

ThepricepayablefortheServicesisexclusiveofGSTunlesstheContractstatesotherwise. IfthepriceorquotationforServicesisstatedasbeingexclusiveofGST,thepricepayablebytheClientwill

beincreasedbytheapplicableamountofGST.

ServiceAvailability

AnyordersforServicesacceptedbyIntraxwillbeacceptedingoodfaithbutaresubjecttotheavailabilityofresourcestocompleteworkatthattime.

CancellationofOrder

SubjecttoCondition5.7.2,anorderplacedbytheClientcanonlybecancelledwherewrittenrequestforcancellationhasbeenmadebytheClientandacceptedbyIntrax.

CancellationwillonlybeacceptedbyIntraxiftheClientacceptsfullliabilityforallcommissions,fees,costs,workproducedtothatdate,andadministrationcostsincurredbyIntraxarisingoutofsuchcancellation.

ServicesProvidedtoDeadline

IntraxwilluseitsbestendeavourstoprovideServicestotheClientbyanydatespecifiedintheContract,order,orQuotation.

TheClientacknowledgesthatIntraxdoesnotwarrantorrepresentthattheServicewillbedeliveredonthatdate.

ThefailuretodelivertheServicesbythedaterequiredwillnot:

a. AvoidorgivetheClienttherighttoavoidtheContract;orb. Totheextentpermittedbylaw,renderIntraxforanyLossorDamage.

ForceMajeure

IntraxmaycancelorsuspendprovisionofServicesduetoanyfact,cause,thingoreventbeyonditsreasonablecontrol(includinganytemporaryorpermanentunavailabilityofanyServicescausedbycircumstancesbeyondthereasonablecontrolofIntrax);

IntraxisnotinbreachoftheContractandisnotliabletotheClientforanyClaimarisingasaresultofforcemajeureasdescribedincondition5.9.1undertheContract,intort,statuteorotherwise.

Whereasitevisitisrequired,andtheconditionofthesiteposesanunacceptablerisk,Intraxemployeesarerequiredtoterminatethesitevisitandnotreturnuntiltherisk(s)havebeenremoved.ThissituationmayimpedetheabilitytodelivertodeadlineandalsounderthesecircumstancesIntraxreservestherighttoimposeanadditionalsitevisitfee.

Insolvency

IftheClientfailstomakefullpaymentfortheServicesbytheduedateforpaymentoriftheClientsuffersanInsolvencyEvent,withoutaffectinganyrightsofIntrax:

a. IntraxisentitledbywrittennoticetotheClienttoterminatetheContract.Ontermination,IntraxisnotobligedtosupplyanyServices,drawings,certification,etc.

NoWarranty

Exceptasrequiredbylaw,allwarrantiesbeyondthoseexpresslygivenintheseConditions,whetherexpressedorimpliedandwhetherstatutoryorotherwise,withregardtotheServicesareexcluded.

Liability

NothingintheseConditionsaretobereadasexcluding,restrictingormodifyingtheapplicationofanylegislationwhichbylawcannotbeexcluded,restrictedormodified.

TheliabilityofIntraxforabreachofaConditionorwarrantyimpliedbylawinrelationtothesupplyofServicesislimited,atIntrax’soption,totheprovisionofequivalentServices,thepaymentofthecostofmakingrectificationtothestructureorthepaymentofthecostofacquiringequivalentServices.

WithoutlimitingthegeneralityofConditions5.12.2andtotheextentpermittedbylaw,IntraxwillnotbeliabletotheClientforanyLossorDamagesufferedbytheClientasaresultofanynegligenceordefaultofIntraxundertheContractorotherwiseoranyotheractoromissionwhatsoeverofIntrax,itsemployees,agentsorsub-contractors.

Indemnity

Totheextentpermittedbylaw,theClientmustindemnityIntrax,itsemployees,contractors,agentsorsub-contractorsondemandforandagainstanyLossorDamagesufferedorincurredbyanyofthemrelatingtoorarisingoutof:

a. AnyenforcementbyIntraxoftheseConditions;b. AnybreachbytheClientsoftheseConditions;c. AnyClaimbyathirdpartyinrespectofpersonalinjury,deathordamagetoproperty;whetherornot

theyrelatetoanerrorintheServices;

AnyliabilityforLossorDamageoranyClaimrelatingtoorarisingoutofanyfalse,misleadingordeceptiveconduct;representationorstatementmadebytheClienttoanypersonrelatingtothesupplyoftheServices.

DisputeResolution

IfadifferenceordisputebetweenthepartiesarisesinconnectionwiththeContractand/orServices,theneitherpartycanprovidetheotherpartywithwrittennoticeofdispute.

Ifanoticeofdisputehasbeenissued,thenrepresentativesofthepartieswiththeauthoritytoagreewillmeetwithin10businessdaysinordertotryandresolvethedispute.

Ifthedisputehasnotbeenresolvedwithin20businessdaysofthenoticeofdispute,thenthatdisputecanbereferredtoArbitrationandExpertDeterminationbyeitherparty.

ThepersonstoconducttheArbitrationandExpertDeterminationwillbedecidedbytheChairpersonoftheVictorianchapteroftheInstituteofArbitratorsandMediators,withthatgroupalsotodecideontherulesforarbitration.TherulesforExpertDeterminationwillbetheguidelinesforExpertDeterminationoftheAustralianCommercialDisputesCentre.

Unlessotherwiseagreedinwriting,eachpartyshallbearitsowncostsandpayforhalfofallfeesinrelationtotheArbitratorandExpert,withthedeterminationoftheExpertbeingbindingonbothparties.

NothinghereinshallprejudicetherightofapartytoinstituteproceedingstoenforcepaymentdueundertheContractortoseekinjunctiveorurgentdeclaratoryrelief.

GoverningLawandJurisdiction

TheContractisgovernedbyandistobeconstruedinaccordancewiththelawsofVictoria.Intraxandtheclientirrevocablyandunconditionallysubmittothenon-exclusivejurisdictionofthecourtsofVictoriaandwaiveanyrighttoobjecttoproceedingsbeingbroughtinthesecourts.

JointandSeveral

IfaClientconsistsofmorethanonepersonorcorporatebody,theContractbindsthemjointlyandeachofthemseverally.

Severance

IfaprovisionintheContractisheldtobeillegal,invalid,void,voidableorunenforceable,thatprovisionmustbereaddowntotheextentnecessarytoensurethatitisnotillegal,invalid,void,voidableorunforeseeable.IfitisnotpossibletoreaddownaprovisionasrequiredinthisCondition,thenthatprovisionisseverablewithoutaffectingthevalidityorenforceabilityoftheremainingpartofthatprovisionortheotherprovisionsintheContract.

IntellectualPropertyRights

AllintellectualpropertyrightsavailableontheServicesprovided,areandremaintheexclusivepropertyofIntrax.

Whenusingcomputations,drawings,designsandtheservice,youmustcomplywiththelawincluding,withoutlimitation,copyrightlaws.

EntireUnderstanding

TheContractcontainstheentireunderstandingbetweenthepartiesastothesubjectmattercontainedinit.Allpreviousagreements,representations,warranties,explanationsandcommitments,expressedorimplied,affectingthissubjectmatteraresupersededbytheContractandhavenoeffect.

Persons

IntheseConditions,areferencetoapersonincludesafirm,partnership,jointventure,association,corporationorothercorporatebody;andapersonincludesthelegalpersonalrepresentatives,successorsandassignsofthatperson.
