A. How to Apply

ApplicationsfornewinvestmentunderPMAarrangementscanbefiledby:

• Foreigncitizensand/orforeignstatutorybodiesand/orPMAcompanies;

• Foreigncitizensand/orforeignstatutorybodiesand/orPMAcompaniesalongwithIndonesiancitizensand/orIndonesianstatutorybodies.

B. Approval of Applications

ApprovalofapplicationsfornewinvestmentaswellasthealterationprojectsunderPMAarrangementsshallbe issuedin the formof letterofapprovalof foreign investments (Su-ratPersetujuanPenanamanModalAsing,SP-PMA)andintheformofletterapprovalforalterations/extensionofforeignin-vestments (Surat Persetujuan Perubahan/Perluasan Penana-manModalAsing,SPPerubahan/Perluasan-PMA).

SP-PMAshallbeissuedbytheHeadofBKPMandshallbe

issuednotlaterthan10(ten)workingdaysstartingfromthereceiptofcorrectandcompleteapplications.

Local Permits shall be issued by:

1. Governors/Heads of Provincial Regions (in this caseChairmenof local InvestmentBodies)whentheapplicationswerefiledtotheChairmenoflocalInvestmentBodiesfortheExtensionofWorkingPermitsoftheforeignersworkingintheregionswithintheprovince.NoticethattheChairmenoflocal

InvestmentBodiesarestaffsofGovernors/HeadsofProvincialRegions. Approvals issuedbyGovernors/Heads of ProvincialRegionsare,inprinciple,approvalsissuedbyChairmenoflo-cal InvestmentBodiesfortheGovernors/HeadsofProvincialRegions. For simplicity, approvals issued by Chairmen of lo-calInvestmentBodies,hereafter,refertoapprovalsissuedbyChairmenoflocalInvestmentBodiesfortheGovernors/HeadsofProvincialRegions

2. Regents/City Majors or Heads of Regencies/Cities inRegions (in this case Chairmen of local Investment Bodiesof regencies/cities) when the applicationswere filed to theChairmen of local Investment Bodies of regencies/cities fortheSites/Locations,LandTitle/UsageofLand,BuildingPermitand theEnvironmentalpermit.Notice that theChairmenoflocal InvestmentBodiesofRegencies/Citiesare staffsofRe-gents/CityMajorsorHeadsofInvestmentBodiesofRegions/Cities.ApprovalsissuedbyRegencies/CitiesinRegionsare,inprinciple, approvals issued by Chairmen of local InvestmentBodies for the Regents/CityMajors of Regencies/Cities. Forsimplicity,approvals issuedbyChairmenof local InvestmentBodies,hereafter,refertoapprovalsissuedbyChairmenoflo-calInvestmentBodiesfortheRegents/CityMajorsorHeadsofRegions.

C. Other Provisions

PMAcompanieswithSP-PMAshallfileapplicationsforin-vestmentimplementationlicensesrequiredfortherealizationoftheirinvestments.SP-PMAshallbeautomaticallycancelledifnorealizationofprojectstakenplaceintheformofconcreteactivitiesfor3(three)yearsstartingfromthedateofitsissu-

ance.Concreteactivitiesconsistofadministrativeandphysicalones.Concreteadministrativeactivitiesshallbethoseforthefollowinglicensing:

1. The location license or building lease agreement (es-pecially for PMA companies in services sector) or re-gionalmininglicenseorminingconcession(especiallyforPMAcompaniesinthefieldmining);and

2. BankaccountsinthenamesofPMAcompanies(espe-ciallyfornewPMAcompanies);and

3. Customsapprovalletterforcapitalgoods;and/or4. Limitedimporter’sidentificationnumber;and/or5. Decisionontheplanforemploymentofforeignperson-

nel (especially forPMAcompaniesusingexpatriates);and/or

6. Buildingconstructionpermit;and/or7. NuisanceActpermit;and/or8. Deedof theestablishmentofcompaniesalreadyvali-

datedbytheMinisterofJusticeforcapitalparticipationbasedcompanies).Concretephysicalactivitiesshallbethosealreadyconducted:-Forindustries:therearemainactivitiesintheform

of land clearance covering at least 25 percent of the areascontainedinSP-PMA;or

-For services and capital participation (holding):therearemainactivitiesintheformoflandclear-ance covering at least 25 percent of the areas con-tainedinSP-PMA,oroffice/buildingspace.

Permanent Business License

A. What Is Permanent Business License?

Permanentbusiness license (IzinUsahaTetap, IUT) is thelicensethatshallbepossessedbycompaniesfortherealiza-tionofcommercialproductionofgoodsaswellasservicesastheimplementationofSP-PMDNorSP-PMAalreadyobtainedbythecompanies.

B. How To Apply

ApplicationsforIUTshallbefiledtoHeadofBKPM.Appli-cations for IUT shallbefiledbyusingForm IUT (ApplicationforPermanentBusinessLicenseintheFrameworkofPMDN/PMA).

C. Approval Of Applications

ApprovalofapplicationsforIUTshallbeissuedintheformofdecisionsonIUT(SuratKeputusanIUT,SK-IUT).

SK-IUTshallbeissuedbyHeadofBKPMonbehalfofMin-isterinchargeofrelevantbusiness.SK-IUTshallbeissuednotlaterthan7(seven)workingdaysafterthereceiptofcorrectandcompleteapplications.

D. Validity Period

IUT shall be valid for:

30(thirty)yearsstartingfromtherealizationofcommercialproductionforPMAcompanies;aslongasthecompaniesareengagedinoperation/productionforPMDNcompanies.PMAcompaniescouldrenewtheirIUTvalidityperiodsbyfilingap-plicationforIUTrenewalfortheirbusinessactivities.Applica-tions for IUT renewal shall be filed before the expiration ofthecompaniesIUTtoHeadofBKPMbyusingFormIUT.Therenewed IUTarevalid for30 (thirty)yearsstarting fromtheexpiration of the relevant IUT. In addition, PMA companiesundertakingbusinessexpansionshallbegrantedIUTvalidityextensionof30(thirty)yearsstartingfromtherealizationofcommercial operation/production of their expansion proj-ects.

E. Other Provisions

For industrial companies located in industrial estates:

SP-PMDNorSP-PMAshallbevalidasthelicenseforcom-mercialproduction.WhenthecompaniesarealreadyengagedincommercialproductiontheyshallsubmitCommencementof Production Statement which is a statement on the pre-parednessforproductiontoHeadofBKPM.Uponreviewingthestatement,HeadofBKPMshalldirectlyissueIUT.

LetterofApprovalofCustomsFacilitiesforCapitalGoods

A. How To Apply

Applications for approval of the import of capital goodswithfacilitiesforPMDNandPMDNcompaniesshallbefiledtoHeadofBKPM.

Applications for approval of the import of capital goodsshallbefiledbyusingModelIV.A.

B. Approval Of Applications

Approval of applications for the import of capital goodswithfacilitiesshallbeissuedintheformofletterofapproval(SuratPersetujuan,SP)ofcustomsfacilitiesforcapitalgoodswiththemasterlistsofcapitalgoodsattached.

SPofcustomsfacilitiesforcapitalgoodsshallbeissuedbytheHeadofBKPMonbehalf of theMinisterof Finance. SP

ofcustomsfacilitiesforcapitalgoodsshallbeissuednotlaterthan14 (fourteen)workingdaysafter the receiptof correctandcompleteapplications.

C. Validity Period

The validity period of SP of customs facilities for capitalgoodsshallconformtotheperiodofprojectcompletion.

D. Other Provisions

ApplicationsforchangeinapprovaloftheimportofcapitalgoodsalreadypossessedshallbefiledtotheHeadofBKPM.Their approval shall be issued not later than 14 (fourteen)workingdaysafterthereceiptofcorrectandcompleteappli-cations.Intheeventthatthecapitalgoodsalreadyimportedare to be exported, the relevant companies shall file appli-cation for re-export of capital goods to the Head of BKPM.

Letterofapprovalofcustomsfacilitiesforbasic/auxiliarymaterials

A. How To Apply

Applications for approval of the import of basic/auxiliarymaterialswith facilities forPMDNandPMAcompaniesshallbefiledtoHeadofBKPM.

Applications for approval of the import of basic/auxiliarymaterialsshallbefiledbyusingModelIV.B.

B. Approval Of Applications

Approval forapplications for the importofbasic/auxiliarymaterialswithfacilitiesshallbeissuedintheformofletterofapproval (SuratPersetujuan,SP)of customs facilities forba-sic/auxiliarymaterialswiththemaster listsofbasic/auxiliarymaterialsattached.SPofcustomsfacilitiesforbasic/auxiliarymaterials shallbe issuedbyHeadofBKPMonbehalfof theMinisterofFinance.SPofcustomsfacilitiesforbasic/auxiliarymaterialsshallbeissuednotlaterthan14(fourteen)workingdaysafterthereceiptofcorrectandcompleteapplications.

C. Validity Period

The validity period of SP of customs facilities for basic/auxiliarymaterials isas follows:PMDNandPMAcompanieswithoutIUTshallbegrantedbasic/auxiliarymaterialsimportfacilitiesfortheneedof1(one)yearsproductionforanimportperiodof1(one)year;PMDNandPMAcompanieswith IUTshallbegrantedbasic/auxiliarymaterials importfacilitiesfortheneedof2(two)yearsproductionforanimportperiodof2(two)years.

Limitedimporter’sidentificationnumber decree A. What Is Limited Importers Identificatio

Number?

Limited importers identification number (Angka PengenalImportirTerbatas,APIT) is the identificationnumber servingasthelicensetoimportcapitalgoodsandbasic/auxiliaryma-terialstobeusedbyrelevantPMDNorPMAcompaniesintheprocessofproductionoftheapprovedinvestmentprojects.

B. How To Apply

ApplicationforAPITshallbesubmittedtoHeadofBKPM.ApplicationsforAPITshallbesubmittedbyusingAPITForm.INVEST IN INDONESIA (Source: Investment CoordinatingBoard)6/13

C. Approval For Applications

Approvalof theapplication forAPIT shall be issuedby inthe form of APIT decrees (SK-APIT). SK-APIT shall be issuedbyHeadofBKPMonbehalfof theMinisterof IndustryandTrade.

SK-APITshallbeissuednotlaterthan5(five)workingdaysafterthereceiptofcorrectandcompleteapplications.

D. Validity Period

APITshallbevalidfortheentireterritoryofIndonesiastart-ingfromthedateofstipulationaslongasthecompaniescon-cernedarestillengagedinproductionactivities.

E. Other Provisions

PMDNandPMAcompaniesinthetradingservicesbusinessintending to import for goods for trading purposes shall have theirAPITeffectivealsoastheGeneralImportesIdentificationNumber(AngkaPengenalImportirUmum,APIU).

In the event that there are changes in names, addresses andboardsofexecutivedirectorsorthosesigningimportdoc-uments,therelevantcompaniesshallfileapplicationsforthemodificationofAPITtoHeadofBKPM.

Planforemploymentofforeignpersonnel decree

A. What Is Plan For Employment Of Foreign Personnel?

Plan for employment of foreign personnel (RencanaPenggunaan Tenaga Kerja Asing Pendatang, RPTKA) isa plan regarding the number, functions and employ-ment periods of foreign personnel needed by PMDN orPMA companies to implement their investment projects.

B. How To Apply

ApplicationsforRPTKAshallbefiledtoHeadofBKPM.Ap-plicationsforRPTKAshallbefiledbyusingFormRPTKA.

C. Approval Of Applications

Approval of application for RPTKA shall be issued in theformofRPTKAdecrees(SK-RPTKA).SK-RPTKAdecreesshallbeissuedbyHeadof BKPMonbehalf of theMinister ofMan-power.SK-RPTKAdecreesshallbeissuednotlaterthan4(four)workingdaysafterthereceiptofcorrectandcompleteappli-cations.

TA.01recommendation

A. What Is Ta.01 Recommendation?

ExpatriatesofPMAandPMDNcompaniesaswellasregion-alrepresentativeofficesofforeigncompanieswhoarereadytoleaveforIndonesiaarerequiredtopossessvisasforlimitedstay(VisaTinggalTerbatas,VITAS).ToobtainVITAS,companiesshallfileforTA.01recommendations.

B. How To Apply

Application for TA.01 recommendation shall be filed toHeadof BKPM.Application for TA.01 recommendation shallbefieldbyusingFormPPt.2.

C. Approval Of Applications

Approval of applications for TA.01 recommendation shallbeissuedintheformofTA.01recommendation.TA.01recom-mendationshallbeissuedbyDirectorofLicensingandFacili-tiestotheDirectorGeneralofImmigration.

TA.01 recommendation shall be issued not later than 4(four)daysafterthereceiptofcorrectandcompleteapplica-tions.

D. Other Provisions

Based on TA.01 recommendations, the Directorate Gen-eralof Immigration shallnotify representativeofficesof theRepublicof Indonesia to issueVITAStotherelevantexpatri-ates.Afterthearrivalsofexpatriates,therelevantcompaniesshallfileapplicationsfortheissueofLimitedStayPermitCards(KartuIzinTinggalTerbatas,KITAS)tolocalimmigrationoffices.KITASapplicationshallbesubmittedusingtheKITASapplica-tionformandenclosingevidencesofembarkationcards.

Expatriateworkpermitdecree

A. What Is Expatriate Work Permit?

Expatriateswork permit (Izin Kerja TenagaWargaNegaraAsingPendatang,IKTA)isapermitforPMDNorPMAcompa-niestoemployanumberofexpatriatesincertainfunctionsforcertainperiodsoftime.ExpatriateswithKITASwhoaregoingtoworkinIndonesiashallapplyforIKTA.

B. How To Apply

ApplicationforIKTAshallbefiledbytheexpatriatessponsorwhich inthiscase istherelevantPMDNorPMAcompanies.

ApplicationforIKTAshallbefiledtoHeadofBKPM.ApplicationforIKTAshallbefiledbyusingFormPpt.2.

C. Approval Of Applications

ApprovalofapplicationforIKTAshallbeissuedintheformofIKTAdecrees(SuratKeputusanIKTA,SK-IKTA)andlegitimiza-tionbook.

SK-IKTA and legitimization book shall issued by Head ofBKPM forHeadofBKPMonbehalf of theMinisterofMan-power.

SK-IKTA and legitimization book shall be issued not laterthan4 (four)daysafter the receiptof correctandcompleteapplications.

D. Other Provisions

Applications for theextensionof IKTA shallbefiledusingFormPpt.2within30(thirty)daysofitsexpirationdate.

PMDNorPMAcompaniesshall submitapprovalonKITASextension.Intheeventofanychangeintheuseofexpatriateswhosepostsaretransferredaswellaschangesinsponsorsorlocations, relevant PMDNand PMA companies shall file ap-plicationstoHeadofBKPM.

Expatriatesotherthanexecutivedirectorsandboardmem-bers alreadyworking in Indonesia for 3 (three) consecutiveyearsshallleavetheterritoryofIndonesiawiththestatusofexit permit only (EPO). If, however, the expatriates are stillneededbyrelevantcompanies,sponsorcompaniesshallenternewprocedureforTA.01recommendationonthebasisonthevalidRPTKAalongwithcopiesofEPOpapers.

8.1 Approval of the articles of association of a limited li-ability company

AsstipulatedbyForeignInvestmentLaw,PMAcompaniesshalltaketheformofaLimitedLiabilityCompany(PerseroanTerbatas,PT)andsubjecttoCorporateLaw.Articlesofassocia-tionofPTshallberegisteredbythefounderofPMAcompa-niesortheirproxiestotheDirectorateGeneralofCivilAffairsoftheMinistryofJusticeandHumanRights.

8.2 Tax-payer registration number and taxable entrepre-neur confirmation number

According to Value Added Tax Laws, PMDN and PMA com-panies are subject to report their business activities to theDirectorate General of Taxation in its respected operationalarea. Application for registration for tax-payer registrationnumber (Nomor Pendaftaran Wajib Pajak, NPWP) and fortaxable entrepreneur confirmation number (Nomor Pengu-kuhan Pengusaha Kena Pajak, NPPKP) shall be filed to theDirectorate General of Taxation of the Ministry of Finance.

Nuisanceactpermit (IzinUndang-UndangGangguan, IzinUUG/HO)isissuedbytheofficeofregency/municapalitycon-cerned.PMDNandPMAcompaniesresideinindustrialestatearenotrequiredtoobtainthispermit.

Incentives

1. Import Duties

All investment projects of PMA as well as PMDN projectswhichareapprovedbytheInvestmentCoordinatingBoardorbytheOfficeofInvestmentintherespectivedistricts,includ-ingexistingPMAandPMDNcompaniesexpandingtheirproj-ectstoproducesimilarproduct(s)inexcessof30%ofinstalledcapacitiesordiversifying their products,will be granted thefollowingfacilities:

a.Relief from importdutyso that thefinal tariffsbe-come5%. In thecaseof tariffsof importdutywhicharementionedintheIndonesianCustomsTariffBook.(BTBMI)being5%orlower,theeffectivetariffsshallbethoseinBTBMI:

-Onthe importationofcapitalgoodsnamelyma-chinery, equipments, spare parts and auxiliary

equipmentsforanimportperiodof2(two)years,startedfromthedateofstipulationofdecisionsonimportdutyrelief.

-Ontheimportationofgoodsandmaterialsorrawmaterialsregardlessoftheirtypesandcomposition,whichareusedasmaterialsorcomponentstopro-ducefinishedgoods for thepurposeof twoyearsfullproduction(accumulatedproductiontime).

b.ExemptionfromTransferofOwnershipFeeforshipregistrationdeed/certificatemadeforthefirsttimeinIndonesia.

4. Bonded Zones

Theindustrialcompanieswhicharelocatedinthebondedareasareprovidedwithmanyincentivesasfollows;

a. Exemptionfromimportduty,excise,incometaxofArticle22,ValueAddedTaxonLuxuryGoodsontheim-portationofcapitalgoodsandequipmentincludingrawmaterialsfortheproductionprocess.

b. Allowedtodiverttheirproductsamountedto50%oftheirexport(intermofvalue)forthefinalproducts,and100%oftheirexports(intermofvalue)forotherthan final products to the Indonesian customs area,through normal import procedure including paymentofcustomsduties.

c.AllowedtosellscraporwastetoIndonesiancustomarea as long as it contains at the highest tolerance of

5%oftheamountofthematerialusedintheproduc-tionprocess.

d.Allowed to lend theirownmachineriesandequip-ments to their subcontractors located outside bonded zonesfornolongerthan2(two)yearsinordertofur-therprocesstheirownproducts.

Exemption of Value Added Tax and Sales Tax on Luxury

Goods on the delivery of products for further processingfrom bonded zones to their subcontractors outside the bond-edzonesortheotherwayaroundaswellasamongcompaniesin these areas.
