Regulations Governing Limited Liability Companies (LLC)

Toobtainlicenseapproval,allinvestorsmustadheretotherequiredlawsandregulationsofSaudiArabia.Foreigninvestmentsareonlypermittedforthelicensedinvestmentactivity.AlllicenseapplicantsmustbeSaudi,GCCorcorporatepersonscomingtotheKingdomforthepurposeofinvestment.Itisimportantthattheproductspecifications,productmethodandmaterialsmustbeapprovedunderthelawsoftheKingdom,iftherearenosuchspecifications,thenrelianceshallbebasedonthelawsoftheEuropeanUnion,JapanortheUnitedStatesofAmerica.Aswellasbeingfinanciallycapableofinvesting,allinvestorswillhavetopayaSR2,000feefortheirlicense.

Required documents for the investment license application

Forforeigninvestors,alldocumentsmustbetranslatedintoArabicbyalicensedtranslatorlocatedintheKingdomandthedocumentsmustbecertifiedbytheSaudiConsulateintheinvestor’scountry.Iftheinvestordoesnotwanttosubmittheapplicationpersonally,thentheymustappointapowerofattorneythroughalawfirm,consultationoffice,serviceofficeoranappointedemployeefromthefirm.

Required documents for all investors

Everyresident(whetherornotataxpayeraccordingtotheIncomeTaxLaws),aswellasanon-residentwithapermanentestablishmentintheKingdom,whopaysanamounttoanon-residentfromasourceintheKingdom,mustwithholdtaxfromthepaidamount.ThewithholderusingtheformmustpaythewithheldamounttotheDZITwithinthefirsttendays(10)ofthemonth,followingthemonthofpaymenttothebeneficiary.Thewithholdermustalsoprovidecertificationofpaymenttothebeneficiary.
