You are invited to submit a lump sum bid for Landscaping and Snow Removal/Ice Management Services for the Stamford Transportation Center (STC) located at 30 Station Place, Stamford CT, The Stamford Transportation Center Parking Garage located at 43 Station Place, Stamford, CT, The Bridgeport Transportation Center (BTC) located at 525 Water Street Bridgeport, CT and the Bridgeport Transportation Center Parking Garage at Harbor Yard (HYG) at 700 Main Street, Bridgeport, CT. The contract commences on August 1, 2010 and the term is five years

LANDSCAPING • Contractor shall furnish all labor, materials, transportation, equipment, trucking and supervision

necessary for and incidental to all landscaping work at the facility. • All work to be performed and wages paid shall conform to all municipal, State and Federal guidelines,

regulations, requirements and statues. • Contractor shall not subcontract any portion of this work with out prior written permission from Fusco

Management Company, LLC. • Contractor will be held responsible for any and all damages to the Facility and the Owner’s property

caused by contractor’s personnel or equipment. Contractor shall advise Fusco Management Company, LLC immediately, either verbally or by telephone, and shall then follow-up with a written report within 48 hours with the following information:

• Description and extent of damages, Cause of damage, Steps taken, in progress or completed to remedy

the situation or repair damage • No additional work outside the scope of this contact will be performed without prior written approval of

Fusco Management Company, LLC. • Contractor will provide Fusco Management Company, LLC with a list of accounts and contract with

whom it is currently doing business. • Contractor will have management representatives available to meet with Fusco Management Company,

LLC at any time. • Fusco Management Company reserves the right to reject in whole or impart, any or all bids submitted. • Please submit three references for current contracts with similar quantity of weekly man hours. • Please note that this Contract may extend to an additional site (Fairfield Metro Center) that may come

on line during the term of the Contract upon mutual agreement. Selection Criteria Each bid will be evaluated to determine which firm is most capable of providing the requested services. In addition to the competitiveness of the proposed cost, each firm’s experience, ability to do the specified work, availability and competency of personnel and number of man hours assigned per week will be considered in determining the recommended vendor.

SPECIFICATIONS GENERAL CLEAN-UP Spring Clean-up: Early Spring

A general thorough cleaning of the entire grounds, shrub beds, etc., after the winter season in preparation for all applications. .

Fall & Winter Clean-up: Fall & Winter

A general cleaning of the entire grounds, shrub beds, etc., will be performed in preparation for the winter season. This clean-up will be performed once the majority of leaves have fallen.

Sand Removal: Early Spring

All roadways, parking areas and garages shall be cleaned once to remove sand that has accumulated from winter road sanding. Timing of operation will be at the discretion of Fusco Management Company, LLC.

LAWN CARE & MAINTENANCE Pre-emergent: (Application - Spring & Summer)

Two applications of pre-emergent shall be applied to all lawn areas for the prevention of crabgrass and certain other annual grasses and broadleaves. No chemical treatment shall be made when the grass is wet from rain or dew. If rain falls within one hour after treatment, application shall be repeated at no additional cost to Fusco Management Company, LLC. Contractor shall repeat treatment, at his own expense, on all grass areas where weed control is unsatisfactory in the opinion of Fusco Management Company, LLC.

Herbicide: (Application - Spring & Fall)

Two general applications of a broad spectrum liquid weed killer for the control of dicotyledons will be made to all lawn areas. The liquid herbicide shall be spread in an even manner. The herbicide shall have 2, 4-D, MCPP and dicamba, if needed.

Fertilization: (Application - Spring, Summer & Fall)

Four applications of fertilizer shall be applied to all lawn areas. The fertilizer shall be applied in a uniform fashion so as to produce a uniformly green condition. All fertilizer used will have at least a 50% slow release nitrogen of the highest quality, as well as a low salt content. Fusco Management must be notified when each application has been completed.

Liming: (Application - Fall)

One application of pelletized dolometic limestone shall be spread over all of the lawn areas. This product breaks down rapidly with water and quickly penetrates the soil profile. Some of the other benefits of this lime are the elimination of the clouds of dust, a more even application, a much quicker correction of acidity problems, and no tracking of lime dust into buildings.

Insect Control: (Application - Summer)

One application of insecticide will be applied to all lawn areas. This insecticide will be registered with the State of Connecticut for this use. The chemical used will be dependent upon the diagnosis in the target area.

Lawn Cutting: (Application - Weekly)

All lawn areas will be cut as required throughout the season. All edges will be trimmed, such as around tree wells, buildings, etc. This trimming not to be mistaken for power edging. This trimming shall maintain the grass areas in a neat condition and at approximately the same length as the adjacent mowed areas. All grass clippings will be removed from the sidewalks after each cutting.

Fungicide: (Application - When needed)

All lawn areas will receive one application of the appropriate lawn fungicide. A second application will be made if needed. Timing will be determined by need.

Soil Test: (Application - Spring/Late Summer)

Soil tests will be taken once each season to determine chemical properties of the turf areas. Test results will be provided to Fusco Management Company, LLC immediately following each test. When required by soil tests, lime or sulfur should be incorporated with fertilizer and shall be applied at the rate indicated by soil analysis test.

ORNAMENTAL TREE MAINTENANCE Pruning: (Application - Dormant Season)

There are basically three reasons to prune. They are as follows: corrective, thinning, and to direct or control growth. All planted trees shall be pruned in accordance with National Arborist Standards for ornamental & Shade Tree Maintenance for the three above stated reasons.

Feeding: (Application - Spring/Summer)

All trees up to and including 4-inch caliper will be fertilized with a soluble fertilizer using the liquid injection method. The fertilizer shall be a balanced blend designed for liquid injection use.

Insect Control: (Application - Late Spring/Summer)

All ornamental trees on the property will receive one insect spray application. Timing of application will be determined by plant species, weather conditions and type of pest to be controlled in the target area. Insecticide used will be dependent on the diagnosis of staff experts.

Disease Control: (Application - Spring)

All crabapples will receive three fungicide applications. Applications will be made in the spring when the buds swell, repeated when the buds break and when the leaf is half-open.

SHRUB MAINTENANCE Pruning: (Application - Dependent on Seasonal Growth)

All shrubs on the property will be hand pruned and/or sheared to maintain their aesthetic qualities. Pruning and shearing are performed to keep plants within the bounds of planting beds, to maintain shape and form and to encourage vigorous new growth. Type of pruning will be in accordance with industry standards.

Feeding: (Application - Spring/Summer) All ericaceous plant material will be fed using the liquid injection method. Fertilizer shall be a balanced blend, designed for liquid injection use.

All shrubs will receive one insect spray application. Timing of application shall be determined by plant species, weather conditions, and type of pest to be controlled in the largest area. Insecticide used will be dependent on the diagnosis of staff experts.

Disease Control: (Application - Summer)

All shrubs will be monitored for disease. Attention will be paid to the hemlock, juniper and lilac. Applications will be made and repeated as necessary.

SHRUB BED MAINTENANCE Re-edging: (Application - Spring)

All shrub beds and tree rings that adjoin lawn areas will be re-edged in the spring to maintain a crisp appearance.

Weeding: (Application - When needed)

All shrubs beds and planted areas as well as walkways shall be kept free of weeds and grass throughout the term of the contract. The grass areas should be free of weeds throughout this contract.

Pre-emergent: (Application - Spring)

All shrub beds will be sprayed with the pre-emergent herbicide for the suppression of weeds. The herbicide will have no adverse effect on the existing shrubbery.

Mulch: (Application - Spring)

All shrub beds will be re-mulched (top-dressed) so they will have a crisp rich appearance. Shredded brown cedar bark mulch will be used. Mulch shall maintain a 3 inch depth and should be replenished as necessary to comply with this standard. During the winter months, contractor to rake back into plant beds any mulch blown into walks and drives. Contractor will cut down tree rings as necessary to avoid mulch rising too high on tree trunk – no “volcano mulching.”

POWER EDGING Re-edging: (Application - Spring)

All concrete sidewalks on the property will be edged with a gas-powered edger, and all debris as a result of this application will be removed. Special attention to be paid to avoid cutting too short causing grass edges to burn.

PLANTINGS

Plantings are to be installed in the 3 Planters located at STC twice a year and planters are to be maintained and kept free of weeds each week. .

GARAGE MAINTENANCE:

Two times a month, the planter beds located in the “New Garage” facing Atlantic Street are to be weeded to be kept free of any weeds.

SNOW REMOVAL SPECIFICATIONS SNOW REMOVAL

• Contractor shall furnish all labor, materials, transportation, equipment, trucking and supervision necessary for and incidental to all Snow Removal and Ice Management at the facility.

• All work to be performed and wages paid shall conform to all municipal, State and Federal guidelines,

regulations, requirements and statues.

• Contractor shall not subcontract any portion of this work with out prior written permission from Fusco Management Company, LLC.

• Contractor will be held responsible for any and all damages to the Facility and the Owner’s property

SPECIFICATIONS

• Snow Removal is to commence once accumulation is achieved and to continue throughout remainder of event. This is to include Ice Management as well.

• Sand and non-corrosive ice melt will be used as needed to insure safe passage for both pedestrians as

well as autos. Fusco reserves the right to approve Ice Management/Melting Products.

• At Both Stamford and Bridgeport, a Skid Steer or equivalent equipment shall be dedicated on site to provide additional clearing and stacking of snow in addition to regularly used equipment, i.e. snow throwers, power brooms, shovels, etc.

• At Both Stamford and Bridgeport, Snow Removal and Ice Management will be addressed for the roof

level while working with the Parking Vendor to create a policy regarding the Parking on Exposed Levels of Garage.

• All Sidewalks and driveways adjacent to both garages are to be included in the Snow/Ice Management

Program.

• At Bridgeport, both Platforms adjacent to the Tracks are to be addressed for Snow/Ice Management to include the 4 (four) stairwells leading from the Platforms to the Street level.

• At Bridgeport, both Elevated Walkways between the Platform and HYG on the Southern side and

between the Platforms and the Bus Station on the Northern side are to be addressed for Snow/Ice Management, including the 2 stairways from the Walks to the Street Level.

• Station Place, Stamford, CT will also be the Vendors responsibility for Snow/Ice Management.

• See attached map of facilities for areas requiring Contractor Attention.

Insurance

• Contractor will indemnify and hold harmless State of Connecticut – Department of Transportation, City of Bridgeport and Fusco Management Company, LLC from and against any loss, damage or liability occasioned by, growing out of, or arising or resulting from any default hereunder, or any tortuous or neglectful act on the part of Contractor, its agents or employees.

• Contractor is acting independently and will carry the following insurance at all times under this

contract:

1. $1 Million minimum commercial General Liability: $1 Million bodily injury for each occurrence and an aggregate of $2 Million.

2. Statutory Workers Compensation Insurance covering all State and Local government requirements and employer’s liability insurance covering all persons employed by Contractor.

3. Employee Dishonest and Depositors Forgery Insurance in the amount of Fifty Thousand Dollars ($50,000).

4. Umbrella Liability Insurance - mandatory minimum of $2 Million. 5. Automobile: $1 Million combined single limit.

6. Railroad Protective Liability Insurance providing a total limit of not less then Two Million Dollars ($2,000,000) combined Single Limit per occurrence with Six Million Dollars ($6,000,000) aggregate for Bodily Injury and Property Damage including physical damage to MTA Metro –North Railroad’s care, custody and control. Such insurance shall name the State of Connecticut, Fusco Management Co. and MTA Metro-North Railroad and their Officers and employees as named insured; and provide that the insurer will provide Railroad with Thirty (30) days advance written notice of any cancellations or non renewal of such insurance.

7. All Insurance policies and Certificates of Insurance must contain:

a) Policy numbers and name of insurance carrier(s). b) Date of policy commencement and expiration.

8. In addition to the above requirements, any subcontractor(s) performing work at the Center that handles revenue for the Contractor shall carry Employee Dishonest and Depositors Forgery Insurance in the amount of Fifty Thousand Dollars ($50,000).

c) Provision of 30 days advance notice of any changes to Fusco Management

Company, LLC. d) Designate the following as additional insured: State of Connecticut – Department

of Transportation, City of Bridgeport, and Fusco Management Company, LLC. It is required that this coverage is Primary and non-contributing insurance before any other insurance or self-insurance, including any deductible, maintained by, or provided to, the additional insured

9. Contractor shall provide Fusco Management Company, LLC with a copy of said

Certificate of Insurance immediately upon award of Contract. 10. A copy of the CON-32 Insurance Form as required by the State of CT will also be required.

Maintenance and Audit of Records: 1) The Contractor further agrees to include in all its subcontracts hereunder a provision to

the effect that the subcontractor agrees that the State, the U.S. Department of Transportation and the Comptroller General of the United States or any of their duly authorized representatives shall, until the expiration of three (3) years after final payment under the subcontract, have access to and the right to examine any directly pertinent books, documents, papers and records of such subcontractor involving transactions related to the subcontractor. The term "subcontract" as used in this clause excludes work not exceeding $2,500.

2) The periods of access and examination described above, for records which relate to (1)

appeals for disputes, (2) litigation of the settlement of claims arising out of the performance of this contract, or (3) costs and expenses of this contract as to which exception has been taken by the State, the Comptroller General, or any of their duly authorized representatives, shall continue until such appeals, litigation, claims or exceptions have been disposed of.

Suspension or Debarment

Where the Contractor is unable to certify to any of the statements in this certification, such Contractor shall attach an explanation to this Agreement.

The Contractor agrees to insure that the following certification is included in each subcontract Agreement to which it is a party, and further, to require said certification to be included in any lower tier subcontracts and purchase orders:

1) The prospective lower tier participant certifies, by submission of this proposal, that neither it nor its principals is presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily excluded from participation in this transaction by any Federal department or agency.

2) Where the prospective lower tier participant is unable to certify to any of the statements in

this certification, such prospective participant shall attach an explanation to this proposal. Certification For Federal-Aid Contracts

The Contractor certifies, by signing and submitting this Bid, Agreement, Contract, Proposal, to the best of his/her/its knowledge and belief, that:

(1) No Federal appropriated funds have been paid or will be paid, by or on behalf of the Contractor, to any person for influencing or attempting to influence an officer or employee of any Federal agency, a Member of Congress, an officer or employee of Congress, or an employee of a Member of Congress in connection with the awarding of any Federal contract, the making of any Federal grant, the making of any Federal loan, the entering into of any cooperative agreement, and the extension, continuation, renewal, amendment, or modification of any Federal contract, grant, loan, or cooperative agreement.

(2) If any funds other than Federal appropriated funds have been paid or will be paid to any

person for influencing or attempting to influence an officer or employee of any Federal agency, a Member of Congress, an officer or employee of Congress, or any employee of a Member of Congress in connection with this Federal contract, grant, loan, or cooperative agreement, the Contractor shall complete and submit Standard Form-LLL, "Disclosure of Lobbying Activities," in accordance with its instructions. If applicable, the attached “Disclosure Form-LLL” shall be completed and submitted with the Bid, Agreement, Contract and/or Proposal.

This Certification is a material representation of fact upon which reliance was placed when this

transaction was made or entered into. Submission of this certification is a prerequisite for making or entering into this transaction imposed by Section 1352, Title 31, U.S. Code. Any person who fails to file the required certification shall be subject to a civil penalty of not less than $10,000 and not more than $100,000 for each such failure.

The Contractor also agrees by submitting his/her/its Bid, Agreement, Contract, Proposal that he/she/it shall require that the language of this certification be included in all lower tier subcontracts which exceed $100,000 and that all such subrecipients shall certify and disclose accordingly. These completed Disclosure Forms-LLL, if applicable, shall be mailed to the Connecticut Department of Transportation, P.O. Box 317546, Newington, CT 06131-7546, to the attention of the Project Manager

Nondiscrimination Clause

(1) The Contractor agrees and warrants that in the performance of the contract such Contractor will not discriminate or permit discrimination against any person or group of persons on the grounds of race, color, religious creed, age, marital status, national origin, ancestry, sex, mental retardation or physical disability, including, but not limited to, blindness, unless it is shown by such Contractor that such disability prevents performance of the work involved, in any manner prohibited by the laws of the United States or of the State of Connecticut. The Contractor further agrees to take affirmative action to insure that applicants with job related qualifications are employed and that employees are treated when employed without regard to their race, color, religious creed, age, marital status, national origin, ancestry, sex, mental retardation, or physical disability, including, but not limited to, blindness, unless it is shown by such Contractor that such disability prevents performance of the work involved; (2) the Contractor agrees, in all solicitations or advertisements for employees placed by or on behalf of the Contractor, to state that it is an "affirmative action-equal opportunity employer" in accordance with regulations adopted by the Commission; (3) the Contractor agrees to provide each labor union or representative of workers with which such Contractor has a collective bargaining agreement or other contract or understanding and each vendor with which such Contractor has a contract or understanding, a notice to be provided by the Commission advising the labor union or workers' representative of the Contractor's commitments under this section, and to post copies of the notice in conspicuous places available to employees and applicants for employment; (4) the Contractor agrees to comply with each provision of this section and Conn. Gen. Stat. Sections 46a-68e and 46a-68f and with each regulation or relevant order issued by said Commission pursuant to Conn. Gen Stat. Sections 46a-56, 46a-68e and 46a-68f; (5) the Contractor agrees to provide the Commission on Human Rights and Opportunities with such information requested by the Commission, and permit access to pertinent books, records and accounts, concerning the employment practices and procedures of the Contractor as relate to the provisions of this section and Section 46a- 56. If the contract is a public works contract, the Contractor agrees and warrants that it will make good faith efforts to employ minority business enterprises as subcontractors and suppliers of materials on such public works project.

That pursuant to Section 4a-60a of the Connecticut General Statutes, (1) The Contractor agrees and warrants that in the performance of the contract such Contractor will not discriminate or permit discrimination against any person or group of persons on the grounds of sexual orientation, in any manner prohibited by the laws of the United States or of the state of Connecticut, and that employees are treated when employed without regard to their sexual orientation; (2) the Contractor agrees to provide each labor union or representative of workers with which such Contractor has a collective bargaining agreement or other contract or understanding and each vendor with which such Contractor has a contract or understanding, a notice to be provided by the Commission on Human Rights and Opportunities advising the labor union or workers' representative of the Contractor's commitments under this section, and to post copies of the notice in conspicuous places available to employees and applicants for employment;

WHEREAS, cleaning and sanitizing products are necessary for creating and maintaining clean, hesanitary conditions in State facilities and workplaces; WHEREAS, exposure to harmful chemicals contained in cleaning and sanitizing products may repotential impacts to human health; WHEREAS, harmful chemicals, byproducts and waste contained in certain cleaning and sanitizinmay can be released into the environment during the routine cleaning and sanitization of State facuse; WHEREAS, choosing less harmful cleaning and sanitizing products for use in State facilities andand taking steps to reduce exposure by by office and custodial workers, will minimize potential imhuman health, will improve environmental quality and will reduce pollution; WHEREAS, the procurement and the proper use and application of cleaning and sanitizing produperform well and that have positive environmental attributes such as biodegradability, low toxicitorganic compound content, reduced packaging, and low life cycle energy use will reduce the enviimpacts of routine cleaning and sanitizing activities while also ensuring clean and sanitary State fNOW, THEREFORE, I, M. Jodi Rell, Governor of the State of Connecticut, by virtue of the authme by the Constitution and Statutes of the State, do hereby ORDER and DIRECT: All state agencies in the executive branch shall procure and use, whenever practicable, cleaning asanitizing products having properties that minimize potential impacts to human health and the envconsistent with maintaining clean and sanitary State facilities. All state agencies in the executive branch and all higher education agencies and institutions, shallprocuring or contracting for cleaning and/or sanitizing services provide in such contracts or procuagreements, require contractors of the State or persons or entities providing cleaning and/or sanitito the State use cleaning and/or sanitizing products having properties that minimize potential imp

health and the environment, consistent with maintaining clean and sanitary facilities. All state agencies in the executive branch shall include in new contracts for the procurement of clproducts or cleaning services, an appropriate requirement consistent with this Executive Order anand guidelines established by the Department of Administrative Services under Paragraph 3 of thOrder. The Department of Administrative Services, in consultation with the Department of Public HealthDepartment of Public Works and the Department of Environmental Protection, shall not later than2007, establish and publish written standards and guidelines to provide direction to all state agencexecutive branch in connection with the implementation of this Executive Order. The Department of Administrative Services shall provide the Office of the Governor with a reporeffectiveness of this Executive Order within one year of the effective date of this Executive OrderMunicipal governments, political subdivisions and school districts that are not expressly subject trequirements of this Order are encouraged to review their purchasing and use of cleaning productsanitizing products and are hereby urged to comply with the provisions of this Executive Order wappropriate. Municipal governments, political subdivisions and school districts that are not expressly subject trequirements of this Executive Order are hereby requested and encouraged to review their procurof cleaning and/or sanitizing products and are urged to comply with the provisions of this ExecutiSuch entities may to the extent they deem appropriate, in order to minimize potential impacts to hand the environment, and consistent with maintaining clean and sanitary facilities seek guidance aconsistent with the provisions of Paragraph 3 of this Executive Order from the Departments of AdServices, Public Works, Public Health and Environmental Protection. All state agencies in the executive branch covered by this Executive Order shall, wherever feasiblthat is financially feasible, commercially reasonable and practicable, immediately transition to enand health-friendly cleaning and/or sanitizing products. Such transition shall be accomplished as possible and in a manner that avoids the waste of existing inventories, accommodates establishmechains for new products, enables the training of personnel in appropriate work practices, and allowout of products and practices inconsistent with this Executive Order. This Order shall take effect immediately. Dated at Hartford this 17th day of April, 2006
