Board of Directors’ Opinion The shareholders’ meeting should adopt the minutes of the
Extraordinary General Meeting of Shareholders No. 1/2559.
Required Votes The resolution in this Agenda shall comprise a majority vote of the
shareholders who attend the Meeting and cast their votes.
Agenda 2 To acknowledge the report of the Board of Directors regarding the operating results of the
Company for the year 2015
Background Information The details of the report on the operating results of the Company for
the year 2015 appear in Enclosure No. 2.
Board of Directors’ Opinion This agenda is for acknowledgement; therefore, the resolution is not
required.
Agenda 3 To consider and approve the financial statements for the fiscal year ended 31 December 2015
Background Information The Audit Committee has considered and reviewed the financial
statements for the fiscal year ended 31 December 2015 which were audited and certified by the Company’s
auditors, and then proposed to the Board of Directors to consider in order to propose to the shareholders’ meeting
for their consideration and approval. The details appear in Enclosure No. 2.
Board of Directors’ Opinion The shareholders’ meeting should approve the financial statements for
the fiscal year ended 31 December 2015.
Required Votes The resolution in this Agenda shall comprise a majority vote of the
shareholders who attend the Meeting and cast their votes.
Agenda 4 To consider and approve the appropriation of the net profit as legal reserve and the dividend
payment for the year 2015
Background Information The Company has its dividend policy at the rate of not less than 30
percent of the net profit of the Company’s financial statements after deducting tax and appropriation as legal
reserve and other reserve(s) (if any). However, the distribution of the dividend is subject to change depending upon
the operating results, financial position, liquidity, necessity of working capital for the operation, investment plan and
business expansion in the future, market condition, suitability and other factors relating to the Company’s operation
and management under the condition that the Company shall have enough cash for its operation and such action
shall be most beneficial to the shareholders as the Board of Directors and/or the shareholders deem appropriate.
In this regard, the Board of Directors’ resolution approving the dividend payment shall be proposed to the
shareholders’ meeting for approval, except for the case of interim dividend payment in which the Board of Directors
has the authority to approve and shall report to the shareholders at the subsequent shareholders’ meeting.
From the overall of the operating results and the financial statements,
the Company has the net profit for the year 2015 of Baht 339,997,888 (Three Hundred Thirty Nine Million Nine
Hundred Ninety Seven Thousand Eight Hundred and Eighty Eight Baht) according to its financial statements of the
year 2015.

Board of Directors’ Opinion The shareholders’ meeting should approve the appropriation of the net
profit as legal reserve and the dividend payment for the year 2015 as per the details as follows:
1. To appropriate the net profit of Baht 339,997,888 (Three Hundred
Thirty Nine Million Nine Hundred Ninety Seven Thousand Eight Hundred and Eighty Eight Baht) as legal reserve in the
amount of Baht 16,999,894 (Sixteen Million Nine Hundred Ninety Nine Thousand Eight Hundred and Ninety Four
Baht), equivalent to 5 percent of the net profit of the Company’s financial statements of the year 2015, and
equivalent to 1.05 percent of the Company’s registered capital.
2. To make the dividend payment from the Company’s operating results
during the 12 months of the year 2015 starting from 1 January 2015 to 31 December 2015 at the rate of Baht 0.20
(Twenty Satang) per share, for 1,670,000,000 shares, totaling to the dividend paid from the Company’s operating
results during the 12 months of the year 2015 of Baht 334,000,000 (Three Hundred Thirty Four Million Baht).
The dividend will be paid to the shareholders whose names appear in the share register book of the Company on
10 March 2016 which was determined to be the date on which the recorded shareholders are entitled to receive
the dividend (Record Date) and the closing date on which name list of shareholders is compiled under Section 225
of the Securities and Exchange Act B.E. 2535 (1992) (as amended) by closing the share register book to suspend
share transfers was determined to be on 11 March 2016. The dividend payment will be made on 19 May 2016.
Required Votes The resolution in this Agenda shall comprise a majority vote of the
shareholders who attend the Meeting and cast their votes.

Agenda 5 To consider and approve the election of the directors to replace the directors who retire by
rotation
Background Information Article 16. of the Company’s Articles of Association specifies that “At
every Annual General Meeting, one-third of the directors shall retire. If the number of directors is not multiple of
three, the number of directors closest to one-third shall retire. The directors retiring from office in the first and
second years after the registration of the Company shall be selected by drawing lots. In subsequent years, the
director who has held office the longest shall retire. The director retiring by rotation may be re-elected.”
For this Annual General Meeting of Shareholders, there are 3 directors
who retire by rotation, namely:

The nomination process of the Company’s directors is not conducted by
the Nomination and Remuneration Committee since the Board of Directors has unanimously passed a resolution to
set up the Nomination and Remuneration Committee in the recent Board of Directors’ meeting No. 2/2016 which
was held on 25 February 2016. However, the Board of Directors has considered various qualifications of the
nominated directors by considering suitability of educational degree, work experience and expertise from various
professions, including past performance as the Company’s directors. As a result, the Board of Directors has deemed
that Police General Soontorn Saikwan, Associate Professor Wanchai Rattanawong and Mr. Vuthichai Duangratana
have suitable qualifications and should be elected as the Company’s directors.
The above directors possess knowledge, competence and experiences
which are beneficial to the Company. In addition, they have performed well as the Company’s directors in the past
and also meet the qualifications required by the Public Limited Companies Act, the Securities and Exchange Act, the
Notification of the Capital Market Supervisory Board, the Regulations of the Stock Exchange of Thailand and other
relevant regulations. The summarized biographies of the 3 directors and the definition of the Independent Directors
appear in Enclosure No. 3 and 4, respectively.

In this regard, the determination of the remuneration of the directors is not
conducted by the Nomination and Remuneration Committee since the Board of Directors has unanimously passed a
resolution to set up the Nomination and Remuneration Committee in the recent Board of Directors’ Meeting
No. 2/2016 which was held on 25 February 2016. However, the determination of the remuneration of the directors
for the year 2016 has been considered prudently from the Board of Directors by comparing with the same industry,
including deliberately considering information regarding the business expansion and the growth of the Company’s
profit. As a result, the Board of Directors has deemed appropriate to determine the remuneration of the Board of
Directors, the Executive Committee, the Audit Committee, the Corporate Governance Committee and the
Nomination and Remuneration Committee as proposed above.
The Board of Directors has proposed to the shareholders’ meeting to
authorize the Board of Directors to have the power to determine the amount of remuneration that each director or
member will receive.
Board of Directors’ Opinion The shareholders’ meeting should approve the determination of the
remuneration of the directors for the year 2016 as per the details proposed above and the authorization to the
Board of Directors to have the power to determine the amount of remuneration that each director or member will
receive.
Required Votes The resolution in this Agenda shall comprise a vote of not less than
two-thirds of the total number of votes of the shareholders who attend the Meeting.
Agenda 7 To consider and approve the appointment of the auditors and the determination of the
remuneration of the auditors for the year 2016
Background Information The Audit Committee is of an opinion that the current auditors are
independent and have satisfactory work performance as well as they can support the Company’s business
operation to be more efficient, and then proposed to the Board of Directors for consideration in order to propose to
the shareholders’ meeting to consider the appointment of the auditors from PricewaterhouseCoopers ABAS Ltd.
to be the auditors of the Company for the fiscal year ended 31 December 2016, namely:
1. Ms. Amornrat Pearmpoonvatanasuk Certified Public Accountant No. 4599, and/or
2. Mr. Prasit Yuengsrikul Certified Public Accountant No. 4174, and/or
3. Mr. Somchai Jinnovart Certified Public Accountant No. 3271 and/or
4. Mr. Vichien Khingmontri Certified Public Accountant No. 3977
The proposed auditors do not have the relationship or conflict of
interest with the Company, the subsidiaries, the executives, the major shareholders or their related parties so the
auditors shall be independent for reviewing and giving their opinions to the Company’s financial statements.

In this regard, Ms. Amornrat Pearmpoonvatanasuk is the auditor who has
been executing the Company’s financial statements for 2 years since 2014 while Mr. Prasit Yuengsrikul, Mr. Somchai
Jinnovart and Mr. Vichien Khingmontri have never executed the Company’s financial statements.
In case such auditors could not perform the work as the Company’s
auditors, the audit firm shall provide other certified public accountants to carry out the work. And determined their
remuneration to be Baht 3,018,125 (Three Million Eighteen Thousand One Hundred and Twenty Five Baht), whereby
such remuneration includes the service in preparing an auditor report of the financial statements and the review of
the quarterly financial statements of the Company. In this regard, the remuneration of the auditors is increased
from that of last year in an amount of Baht 424,625 (Four Hundred Twenty Four Thousand Six Hundred and Twenty-
Five Baht) or equivalent to 16.37 percent according to the increase of the Company’s trade volume.
The information regarding the remuneration of the auditors for the year 2015 for consideration is as follows:

Board of Directors’ Opinion The shareholders’ meeting should approve the appointment of the
auditors from PricewaterhouseCoopers ABAS Ltd. to be the auditors of the Company for the fiscal year ended 31
December 2016 with the remuneration in the amount of Baht 3,018,125 (Three Million Eighteen Thousand One
Hundred and Twenty Five Baht), whereby such remuneration includes the service in preparing an auditor report of
the financial statements and the review of the quarterly financial statements of the Company, namely:

Agenda 8 To consider and approve the procurement of the directors and officers liability insurance
Background Information The Board of Directors has proposed to the shareholders’ meeting to
consider and approve the procurement of the Company’s directors and officers liability insurance to protect the
directors and executives in performing duties with limit of liability of Baht 300 million (Three Hundred Million Baht),
and entrusted Mr. Pitak Ratchakitprakarn and/or Mr. Rangsun Puangprang to have the power to contact, negotiate,
and to take any action necessary in order to finalize a conclusion regarding conditions and details of the
procurement of the said insurance for proposing to the shareholders.
Board of Directors’ Opinion The shareholders’ meeting should approve the procurement of the
directors and officers liability insurance with limit of liability of Baht 300 million (Three Hundred Million Baht), and
the authorization of Mr. Pitak Ratchakitprakarn and/or Mr. Rangsun Puangprang to have the power to contact,
negotiate, and to take any action necessary in order to finalize a conclusion regarding conditions and details of the
procurement of the said insurance for proposing to the shareholders for consideration and approval.
Required Votes The resolution in this Agenda shall comprise a vote of not less than
two-thirds of the total number of votes of the shareholders who attend the Meeting.
Agenda 9 To consider other matters (if any).
You are cordially invited to attend this Meeting at the date, time and venue stated above. The registration
for the Meeting will begin at 12.00 p.m. onwards. For the shareholders who wish to attend the Meeting, please
present your identification card or valid document with your photo issued by governmental authorities before
attending the Meeting.
If you cannot attend the Meeting and wish to appoint another person to attend and vote at the Meeting on
your behalf, please complete and execute one of the enclosed Proxy Forms as attached herewith in Enclosure
No. 5 or you can download the Proxy Forms at www.ptgenergy.co.th, and affix with stamp duty. The duly
completed and executed Proxy Form, affixed with the stamp duty, must be submitted to the Chairman of the
Meeting (the “Chairman”) and/or the person designated by the Chairman prior to attending the Meeting, provided
that the proxy shall present the documents of identification to verify his right to attend the Meeting as per the
details in Enclosure No. 6.
In case you are unable to attend the Meeting by yourself and wish to appoint one of the Company’s
Independent Directors to vote on your behalf, please complete and execute the Proxy Form appointing Mr. Supote
Pitayapongpat, the Company’s Director, Chairman of the Audit Committee, Chairman of the Corporate Governance
Committee and Independent Director as a proxy, and submit the said completed and executed Proxy Form, affixed
with the stamp duty, together with the supporting documents to “Company Secretary Department” at PTG Energy
Public Company Limited, No. 90 Cyberworld Building, Tower A (33rd Floor), Ratchadaphisek Road, Huaykwang Sub-
District, Huaykwang District, Bangkok 10310, Thailand or PO. Box No. 15 Thai Life Insurance 10326, by 20 April 2016,
or at the place of the Meeting before the Meeting starts. The details and biographies of the said Independent

Preliminary Proceedings
The Meeting Facilitator informed the Meeting of the current corporate information of PTG Energy Public
Company Limited (the “Company”), as follows:
• Registered Capital: Baht 1,670,000,000.00
• Paid-up Capital: Baht 1,670,000,000.00
• Divided into: 1,670,000,000.00 ordinary shares
• Par value per share of: Baht 1.00
In the meeting today, there were a total of 318 shareholders attending the Meeting in person and by
proxy, representing 1,142,642,342 shares or equivalent to 68.4216 percent of the total issued shares of the
Company. The quorum was thus constituted.
To ensure that the Meeting is to be conducted in compliance with good corporate governance principles
with respect to voting in the Meeting, the Meeting Facilitator informed the Meeting of the procedures for voting
and the counting of the votes as follows:
1) For voting in the Meeting, a shareholder will have the number of votes equivalent to the
number of shares he/she holds in the Company, whereby one share is equivalent to one vote.
2) The shareholders attending the Meeting in person or the proxies, appointed in the form
prescribed by law, will cast their votes in accordance with the following procedures:
2.1) Before voting on each agenda item, the shareholders will sign their names on the
ballot cards for the purpose of transparency in voting.
2.2) With respect to voting on all agenda items, if no shareholder votes for disapproval
or abstention, the vote will be treated as the approval or consent of the relevant proposed agenda item in
accordance with the combined number of votes. If a shareholder votes for disapproval or abstention, he/she will
mark his/her ballot card and raise his/her hand to signify to the staff to collect the relevant ballot card.

2.3) For the counting of votes, the Company will deduct the number of ballots with a
vote of disapproval or abstention from the total number of votes. The remaining votes shall be considered as
votes of approval. A shareholder who votes to approve each agenda item shall keep his/her ballot card and
return it to the Company’s staff after the Meeting.
In this regard, the voting in this Meeting shall be conducted openly, not by the method
of secret ballot, but all ballots will be collected for transparency purposes.
2.4) Any votes cast in the following manner shall be considered invalid:
- A ballot card that is filled with more than one mark in the space provided;
- A ballot card that casts a vote expressing conflict of intent; and
- A ballot card with a vote that has been crossed out with no signature.
A shareholder who wishes to correct his/her vote on the voting ballot should cross out
the existing vote on the voting ballot and affix his/her signature thereto.
3) If a shareholder has exercised his/her rights though Proxy Form B or C, to assign another
person to attend the Meeting, or granted a proxy to a director or an independent director to vote on his/her
behalf, and determined that the proxy vote in accordance with such shareholder’s intention or the proxy’s
intention, the Company will count such vote in accordance with the intention of the shareholder or the proxy.
In the case of a foreign shareholder who has appointed a custodian in Thailand to be a share
depository and custodian, may divide his/her shares into approval, disapproval, or abstention on each agenda
item, with the number of votes to be separated equivalent to the number of shares he/she holds.
4) For voting in this shareholders’ meeting, it shall be deemed that one share is entitled to one
vote.
4.1) In considering Agenda Item 1, the resolution must be passed by a majority vote of
the shareholders attending the Meeting and casting their votes.
4.2) In considering Agenda Item 2, the resolution must be passed by votes of no less
than three-quarters of the total votes cast by the shareholders attending the Meeting and eligible to vote,
without counting the votes cast by the interested shareholders.
4.3) In considering Agenda Item 3, the resolution must be passed by votes of no less
than three-quarters of the total votes cast by the shareholders attending the Meeting and eligible to vote.
5) A shareholder who wishes to leave the Meeting before the Meeting has been adjourned or
who is not present in the meeting room during any agenda item, can exercise his/her rights by submitting the
voting ballot to the staff of the Company in advance before he/she leaves the meeting room.
6) With respect to the vote counting in the Meeting, a representative, Miss Pattarapa
Pattanaporn, of Weerawong, Chinnavat & Peangpanor Ltd., the Legal Advisor, will act as the witness of the vote
counting.

7) Before casting a vote on each agenda item, the Chairman will allow the persons attending
the Meeting to raise questions relevant to that agenda item as appropriate. The shareholders who wish to raise
questions are requested to state their names and surnames before raising questions or expressing opinions on
each occasion.
A shareholder who has any question or wishes to give his/her opinions irrelevant to the agenda
item under discussion is hereby requested to raise such question or express his/her opinions in the agenda item
regarding other matters at the end of the Meeting. Questions raised or opinions expressed should be brief and
not repetitive, in order that other shareholders will also be able to exercise their rights. The shareholders are
requested to give their cooperation to ensure that the Meeting be conducted smoothly and within the specified
time frame.

Commencement of the Meeting
Pol. Gen. Soontorn Saikwan, the Chairman of the Board of Directors, presided as the Chairman of the
Meeting (the “Chairman”). The Chairman informed the Meeting that in this meeting, the number of shareholders
attending the meeting both in person and by proxy satisfies the requirement on constitution of quorum pursuant
to the Company’s Articles of Association. Therefore, the Chairman declared the meeting convened in order to
consider the matters and businesses set out in the notice of this Extraordinary General Meeting of Shareholders
No. 1/2016 as follows.
Agenda Item 1: To consider and adopt the Minutes of the 2015 Annual General Meeting of Shareholders
convened on 24 April 2015
- The Chairman proposed that the Meeting adopt the Minutes of the 2015 Annual General Meeting of
Shareholders which was convened on 24 April 2015. The details of which are set out in the copy of the Minutes
of the 2015 Annual General Meeting of Shareholders delivered to all shareholders together with the notice of
this meeting.
Subsequently, the Chairman asked the Meeting whether or not there were any shareholders who wished
to raise any questions or express any opinions.

Agenda Item 2: To consider and approve PTG Logistics Co., Ltd., a subsidiary of the Company, (in which
the Company holds 99.97 percent of the total shares) to acquire 518,000 newly-issued ordinary shares of
AMA Marine Co., Ltd. (at the par value of Baht 100 per share), at the price of Baht 1,200 per share,
representing 32.01 percent of the total issued shares after the capital increase of AMA Marine Co., Ltd.,
totaling Baht 621.60 million
- The Chairman delegated Mr. Rangsun Puangprang to inform the Meeting of the business plan and
details on entering into this transaction.
Before discussing this agenda item, as there were two interested directors, namely, (1) Mr. Pitak
Ratchakitprakarn, and (2) Mrs. Chatkaew Gajaseni, the Chairman asked the two interested directors to leave the
meeting room for the purpose of transparency of the approval.
Mr. Rangsun Puangprang reported to the Meeting of the summary of the business plan, the business
direction of the Company in the future, the future demand for logistics, preliminary details of AMA Marine Co.,
Ltd. (“AMA”), and the shareholding structure in AMA after the acquisition of shares, as well as benefits from
investment in AMA.

In entering into this transaction, the Company will allow PTG Logistics Co., Ltd. (“PTGLG”), a subsidiary
of the Company (in which the Company holds 99.97 percent of the shares in PTGLG), to invest in 518,000 newly-
issued shares of AMA (with the par value of Baht 100 per share), at the price of Baht 1,200 per share, representing
32.01 percent of the total issued shares after the capital increase of AMA, totaling Baht 621.60 million, by paying
the full amount in cash. The entering into this transaction constitutes:
(a) A connected transaction of the Company relating to assets and services in accordance with
the Notifications on Connected Transactions, as such transaction is entered into with a connected person of the
Company, i.e. AMA is a juristic person having major shareholders and directors who are close relatives of the
directors of the Company. As such, AMA is a connected person under the Notifications on Connected
Transactions with a transaction value of 16.74 percent of the net tangible asset value of the Company,
calculated based on the Consolidated Financial Statement as at 30 September 2015, which exceeds 3 percent of
the net tangible asset value of the Company.
(b) An asset acquisition transaction in accordance with the Notifications on Acquisition and
Disposal Transactions; this transaction has a maximum transaction value of 8.74 percent, the calculation of which
is based on the total value of consideration based on the Company’s Consolidated Financial Statement as at 30
September 2015. After combining all asset acquisition transactions which have occurred within the past 6 months
before the entering into of this transaction, namely, the leasehold and rental of land paid in advance, the
improvement of land and buildings, tools and equipment used in the petrol stations, tank farms, Max Mart
Convenience Stores, and Punthai Coffee Shops, which represents a transaction value of 12.66 percent, and the
value of this asset acquisition transaction, which represents a transaction value of 8.74 percent, together with the
value of the Company’s asset acquisition transaction within the past 6 months is 21.40 percent, which
constitutes a Class 2 asset acquisition transaction (a transaction with a value of more than 15 percent but less
than 50 percent) under the Notifications on Acquisition and Disposal Transactions, provided that the Company is
required to disclose the information with regard to entering into the transaction to the Stock Exchange and
deliver a notice along with the information memorandum on entering into the transaction to all shareholders.
In addition, the details on the asset acquisition transaction and connected transactions are shown in the
Information Memorandum Concerning Asset Acquisition and Connected Transaction of the Company and
delivered to shareholders together with the invitation to this meeting.

Moreover, the Executive Committee and/or the Executive Vice President, and/or the authorized directors
of the Company in accordance with the Company affidavit, or a person delegated by the Executive Committee
and/or the Executive Vice President and/or the authorized directors of the Company in accordance with the
Company affidavit, shall be authorized to (1) negotiate, enter into agreements, amend, make changes to and affix
his/her signature on various documents and contracts necessary for and relevant to the transaction with AMA; (2)
affix his/her signature on various applications and evidence necessary for and relevant to the transaction with
AMA, and contact and submit applications, requests for waiver, documents and evidence to any agencies or
persons related to the transaction with AMA; and (3) undertake any other acts necessary for or relevant to the
transaction with AMA.
In this regard, Mr. Rangsun Puangprang assigned Miss Narumol Tantayawit, the Independent Financial
Advisor, to explain the appropriateness for entering into the transaction in this agenda item to the shareholders.
Miss Narumol Tantayawit, the Independent Financial Advisor, informed the Meeting of the nature of the
transaction, including the method used in appraising the value of the AMA’s ordinary shares in accordance with
the appraisal methods. The Financial Advisor deemed that the appropriate appraisal method for the shares is the
discounted cash flow approach, by considering the present value of net cash flow of the business to be acquired
in the future, resulting in the better reflection of actual value of the business. The appropriate price range of the
shares is between Baht 1,170.22 – Baht 2,077.07 per share, therefore, the share price on the transaction will be
equivalent to Baht 1,200 per share is appropriate. In addition, the Independent Financial Advisor provided her
opinion on the potential benefits, the risks on entering into the transaction, the additional issues to be
considered by the shareholders, and the reasonableness of the transaction, by comparing the advantages and
disadvantages of the entering into the transaction. In this regard, the details on the opinion of the Independent
Financial Advisor concerning the entering into the transaction are set out in the Opinion of the Independent
Financial Advisor regarding the Entering into of the Asset Acquisition Transaction and Connected Transaction of
PTG Energy Public Company Limited delivered to all shareholders together with the notice of this meeting.
Subsequently, the Chairman asked the Meeting whether or not there were any shareholders who wished
to raise any questions or express any opinions.
Mr. Sakchai Sakulsrimontri, a minor shareholder, asked why the Company had decided to acquire the
shares of AMA through PTGLG, which is the Company’s subsidiary, as opposed to acquiring such shares directly,
considering that if AMA gains profit and is able to pay dividends, the Company will not receive the dividend
payment directly. As a result, the Company must then wait for PTGLG to gain profits and be able to pay
dividends to the Company.

Mr. Rangsun Puangprang, a director, clarified that the Company is desirous of acquiring the shares of AMA
through PTGLG because it would like to divide each business separately. The Company operates its logistics
business through PTGLG and plans to expand its business in the future, such as engaging in transportation via
pipelines. In addition, PTGLG also provides transportation services for the Company’s own (internal) petrol
stations. Therefore, it is expected that PTGLG’s business will yield profits in the future. Given that the Company
holds 100 per cent of the shares of PTGLG, as a consequence, the Company has full management power over
PTGLG. He was of the view that if PTGLG’s business yields profits, there should not be any issue with paying
dividends back to the Company.
Mr. Sakchai Sakulsrimontri, a minor shareholder, stated that prior to entering into this transaction, AMA
paid dividends of over Baht 200 million to its existing shareholders. He then asked whether the Independent
Financial Advisor has taken such dividend payment into consideration in valuating the book value of the AMA
shares.
Miss Narumol Tantayawit, the Independent Financial Advisor, clarified that the price of the shares was
valuated by using the Discounted Cash Flow Method, whereby the price range is appropriate. However, such
method has been considered the effect from the declaration of dividend payments.
Mr. Sakchai Sakulsrimontri, asked why the Book Value Method was not used to valuate the price of the
shares, considering that the valuated price (using the Discounted Cash Flow) is significantly less than the valuated
price obtained using other methods. He also asked what the current book value of the shares is and what AMA’s
profitability ratio is.
Miss Narumol Tantayawit, the Independent Financial Advisor, clarified that based on the audited financial
statements of AMA for the year 2014, the book value of AMA was Baht 359.31 per share. The Independent
Financial Advisor has not used the Book Value method in the analysis as the Book Value method is used to
consider the value in specific period and does not reflect the potential profit of AMA in the future.
Mr. Sakchai Sakulsrimontri, a minor shareholder, asked whether the fleet of ships that the Company
acquires will be used for transporting palm oil, and whether the Company plans to sell palm oil.
Mr. Rangsun Puangprang, a director, clarified that the Company plans to expand its business in the future
and is of the view that AMA’s experience may potentially be used to support the Company’s business. The
Company distributes palm oil, i.e. a biodiesel, and not palm oil which is used for cooking.
Mr. Sakchai Sakulsrimontri, a minor shareholder, stated that, at present, the price of petrol is in decline,
and the cost of biodiesel is higher than the cost of other types of petrol available at petrol stations. Therefore,
will the Company gain profits from selling palm oil as biodiesel?

Mr. Rangsun Puangprang, a director, clarified that the cost of palm oil which is imported from overseas is
lower than the cost of palm oil which is manufactured domestically, which will lower costs. In addition,
according to State policy, manufacturers are required to mix biodiesel and diesel for distribution. Furthermore,
the formula for determining the selling price of biodiesel is reflective of the domestic price of palm oil. This price
is prescribed and announced by the Ministry of Energy and is independent of the prices of palm oil in other
countries, and is not the market price.
Mr. Sakchai Sakulsrimontri, a minor shareholder, asked that the evaluated price made by the
Independent Financial Advisor referred from the US Dollars to Thai Baht exchange rate for the last 12 months
was average at Baht 33. However, at present, the value of the US Dollar currency is approximately Baht 36 to
USD 1. This is not reflective of the actual value. Therefore, will the aforementioned exchange rate have an
impact on the price of the shares of AMA?
Miss Narumol Tantayawit, the Independent Financial Advisor, clarified that not only is the majority of the
income of AMA in US Dollars, but some costs and expenses are also in US Dollars, which results in a natural
hedge in some part. The value of the US Dollar is approximately Baht 36 to USD 1, which is higher than the
estimation of Baht 33 to USA 1, resulting in an increase of the income of AMA when calculated in Thai Baht. The
evaluation made by the Independent Financial Advisor is conservative.
A minor shareholder asked whether the Company will obtain the entire Baht 621.6 million for acquiring
the AMA shares by means of securing a loan.
Mr. Rangsun Puangprang, a director, clarified that PTGLG will borrow funds as well as undergo a capital
increase in order to obtain sufficient funds for acquiring the shares of AMA. The Independent Financial Advisor
has included the various expenses in the financial cost of the transaction and incorporated the same into the
calculation of the returns.
A minor shareholder asked when the Company will reach the break-even point from this share
acquisition and what the internal rate of returns is.
Mr. Rangsun Puangprang, a director, explained that the Company will reach the break-even point in 8
years, and the internal rate of returns is approximately 17 – 18 per cent.
A minor shareholder asked what the corporate nationality of AMA is, and to what extent is it necessary
for the Company to acquire the AMA shares at this time, as well as whether the eight-year period until the break-
even point is deemed to be worthwhile for the Company.
Mr. Rangsun Puangprang, a director, explained that AMA is the Thai company and if the Company does
not acquire the AMA shares at this time, the Company would have to expand its transportation business and
expand its oil truck fleet in the future. The Company must also construct a number of fuel storage facilities in
compliance with the regulations prescribed by the law, which may become a burden for the Company in the
future. Furthermore, the Company foresees that the aforementioned time period until the breakeven point is
worthwhile for the Company in the long term.

A minor shareholder asked, considering that the Independent Financial Advisor used a number of
approaches for valuating the price of the shares, what the price of the shares which was used for the
calculations was (for the Discounted Cash Flow Method), and was this method truly appropriate for determining
the price of the AMA shares?
Miss Narumol Tantayawit, the Independent Financial Advisor, explained that a total of four methods
were used to estimate the price of the newly-issued ordinary share of AMA. However, the Independent Financial
Advisor opined that the Discounted Cash Flow Method was the most appropriate approach to be used for
valuation of the price of the AMA shares as already clarified.
A minor shareholder added that, with respect to this transaction, the Independent Financial Advisor
should have explained the method used for valuating the AMA share in more detail, and that the Company
should improve its management potential and always monitor information from its business partners. In addition,
the Company should carefully consider whether to acquire the shares of AMA prior to or after AMA is listed on
the Stock Exchange, given that the shareholders of the Company want to see the Company take on a leadership
position in this business as it had originally intended. The Company should enter into negotiations with AMA in
relation to AMA’s operations in order to achieve joint benefits, such as the dividend payments of AMA prior to
the acquisition of the AMA shares.
The Chairman thanked the shareholders for their comments.
Mr. Nara Sripetch, a minor shareholder, asked whether the business of AMA, whose shares the Company
will acquire, is in decline in comparison with its competitors in the market such as Thoresen Thai Agencies Public
Company Limited (“TTA”), RCL Public Company Limited, or Precious Shipping Public Company Limited, and
whether this industry is in decline. He also asked what benefits the Company foresees it will receive from
acquiring the shares of this business, and if the business is well operated, why the Company does not acquire
the shares more than 32%?
Mr. Rangsun Puangprang, a director, explained that, when comparing the businesses of AMA and TTA,
AMA is not deemed to be a competitor of TTA because TTA engages in a business which primarily focuses on
ships for transporting bulk goods and the transportation of containers, which is different from AMA, which is
primarily focused on the transportation of liquids. The palm oil transportation business for consumption in Asian
which AMA renders its transportation services in such area is getting growth. In addition, China and India trend to
consume palm oil increasingly, whereby AMA plans to expand more of its shipping routes to China and India.
Furthermore, the transportation rate (service fee) that AMA charges its clients is deemed to be a satisfactory
amount. In respect of the acquisition of 32% of shares, the Company intended to acquire more shares and also
negotiated the acquisition of existing shares, however, the seller agreed to sell only the proposed shares.

Mr. Thara Cholpranee, a minor shareholder, stated that considering that AMA will pay dividends of over
Baht 200 million to the existing shareholders and that the summary of the results of the valuation of the newly-
issued ordinary shares of AMA by using the book value method, i.e. Baht 359.31 per share (as shown on page 40,
Table 24 of the Report of the Independent Financial Advisor), the aforementioned valuation method should also
deduct the aforementioned dividend payment. As such, with respect the Independent Financial Advisor’s
explanation that the discount cash flow method, which already takes into account the dividend payment, was
used to valuate the price of the AMA share, why the valuation of share price by book value method has not
deducted the dividend payments, then calculating the fair price of the share?
Miss Narumol Tantayawit, the Independent Financial Advisor, explained that with respect to the
calculation of the price of the shares, the book value method was used, and this was done based on the most
recent audited financial statements of AMA (2014). The dividend payment by AMA were not included in the
calculations. However, the discounted cash flow method is an approach that gives an estimate of the
operational results and profitability of a business in the future, and the dividend payment of over Baht 200
million was deducted from the estimate. However, if the shareholder will consider the adjustment of the book
value by deducting the expected dividend payments, the estimated total profit in 2015 should be also
considered.
There were no shareholders who asked any questions or expressed any additional opinions. The
Chairman proposed that the Meeting approve PTG Logistics Co., Ltd., a subsidiary of the Company, (in which the
Company holds 99.97 percent of its shares) to acquire 518,000 newly-issued ordinary shares of AMA Marine Co.,
Ltd. (at the par value of Baht 100 per share), at the price of Baht 1,200 per share, representing 32.01 percent of
the total issued shares after the capital increase of AMA Marine Co., Ltd., totaling Baht 621.60 million.
Resolution - After due consideration, the Meeting resolved to approve PTGLG, a subsidiary of the
Company (in which the Company holds 99.97 percent of the shares) to acquire 518,000 newly-issued
ordinary shares of AMA (with the par value of Baht 100 per share), at the price of Baht 1,200 per share,
representing 32.01 percent of the total issued shares after the capital increase of AMA, totaling Baht
621.60 million; and resolved to authorize the Executive Committee and/or the Executive Vice President,
and/or the authorized directors of the Company in accordance with the Company affidavit, or a person
delegated by the Executive Committee and/or the Executive Vice President and/or the authorized
directors of the Company in accordance with the Company affidavit, to (1) negotiate, enter into
agreements, amend, make changes to and affix his/her signature on various documents and evidence

Agenda Item 3: To consider and approve the issuance of the debentures within the credit line of not
exceeding Baht 4,000 million
- The Chairman delegated Mr. Rangsun Puangprang to inform the Meeting of the details of this agenda
item.
Mr. Rangsun Puangprang explained to the Meeting that the Company wished to issue and offer for sale
the debentures within the credit line of not exceeding Baht 4,000 million or in the equivalent amount in another
currency in accordance with the preliminary details as follows:
Objective : To use in the business operation and business expansion of the Company.
Type : All types and kinds of debentures, subordinate or insubordinate, amortizing or callable, with
or without collateral, with or without a debenture-holder’s representative, or structured
debentures, depending on the appropriateness of the market conditions at each time that
the debentures are issued and offered for sale.
Total value : Not exceeding Baht 4,000 million or in an equivalent amount in another currency. In this
regard, the Company is able to issue and offer for sale additional debentures and/or issue
and offer for sale the debentures in replacement of the existing debentures which have
been redeemed within such credit line. Any debenture issued by the Company at any time
shall have a value not exceeding such credit line.

Offering for sale : To offer for sale on one or several occasions and/or as a project and/or on a revolving basis
within or outside the country, through the public offering and/or private placement and/or
offer to the institutional investors and/or major investors, in whole or in part, which may be

Interest rate : Depending on the market conditions at the time of issuance and offering for sale of the

Maturity : Not exceeding 270 days for the short-term debentures, and not exceeding 10 years for the

Placement Agreement and/or other related agreements and/or documentation, as well as
provide information, submit applications and evidencing documentation to the SEC Office
and/or other agencies or persons related to the issuance and offering of such debentures,
including the undertaking of any act relevant to or necessary for such transaction as it
deems appropriate.
The Chairman asked the Meeting whether or not there were any shareholders who wished to raise any
questions or express any opinions.
Mr. Sakchai Sakulsrimontri, a minor shareholder, stated that the Company plans to issue debentures of
not exceeding Baht 4,000 million, Baht 600 million of which will be used for acquiring the shares of AMA. What
are the Company’s plans for the use of the remaining funds and what is the interest rate for such debentures?
Mr. Rangsun Puangprang, a director, explained that the Company has yet to determine the interest rate
for the debentures to be issued, and with respect to the credit facility, the Company plans to gradually issue
debentures according to its financial needs.
Mr. Sakchai Sakulsrimontri, a minor shareholder, asked for additional details on the obligations under the
Land and Structure Lease Agreement with a value of approximately Baht 3,000 million which is due to expire in
2043. He also asked for details on the Company’s policy on land acquisition and whether, when comparing
between buying and leasing land on a long-term basis, which of the two is more worthwhile?
Mr. Pitak Ratchakitprakarn, a director, explained that the obligations under the Land and Structure Lease
Agreement of the Company is a case in which the Company leased a petrol station. All of the obligations are
specified in the said Lease Agreement. The Company later changed the conditions of the lease from a short term
lease of three years to a term of over ten years. This is a transaction which involves the Company’s subsidiary
and is in compliance with the accounting standards in relation to expenses that will be incurred in the future.
With respect to the Company’s acquisition of land and leasing of land, given that the Company leases the
majority of its land on a long-term basis because the land owners do not wish to sell their lands, even if a
number of land owners are willing to sell their lands, the Company foresees that buying such parcels of land will
not be worthwhile due to the high prices. Such prices will not be worth the costs involved in operating petrol
stations. Therefore, leasing parcels of land for terms of between 15 and 20 years is a much more worthwhile
investment approach. However, if certain petrol stations are situated in good locations and the Company is of
the view that buying such parcels of land will generate benefits and be more worthwhile for the Company when
compared with leasing the land, the Company will acquire such land.

The Company plans to expand its business in Bangkok and the Bangkok metropolitan area such as Nonthaburi
Province, Pathumthani Province, and Samut Prakan Province, i.e. a total of four provinces, comprising
approximately 25 – 30 percent of the market share. The Company is focused on making consumers in Bangkok
and the provinces surrounding Bangkok (three additional provinces) familiar with PT brand.
Mr. Sakchai Sakulsrimontri, a minor shareholder, asked for details on the palm oil business operations of
the Company, as well as its future projects relating to the palm oil business.
Mr. Pitak Ratchakitprakarn, a director, explained that the Company has yet to begin manufacturing palm
oil, but that its first palm oil project is called the Palm Oil Complex Project. The Company expects that it will be
able to manufacture consumable oils for distribution in approximately 1.5 – 2 years. The Company believes that,
by that time, it will operate not less than 2,000 petrol stations under the PT brand, and that such consumable
oils will be made available for sale at those petrol stations. It also believes that it will have established various
sales promotion programs, for example, those who re-fuel petrol at the stations can also buy the consumable
oils, or members holding a Max Card can collect points, which can then be used to purchase consumable oils
manufactured by and under the PT brand.
A minor shareholder requested clarification on the funds obtained from the issuance of the debentures
of Baht 4,000 million, which the Company mentioned earlier that it plans to use for other investments. The
minor shareholder was aware that the Company acquired shares in Fuel Pipeline Transportation Co., Ltd (“FPT”),
which is one of the subsidiaries of Bangkok Aviation Fuel Services Public Company Limited (“BAFS”), and
requested further information on the oil depot in Phitsanulok Province and the plans for the expansion of oil
depots of the Company.
Mr. Pitak Ratchakitprakarn, a director, explained that with respect to the expansion of the Company’s
investments, the Company will use the funds obtained from the issuance of the debentures for acquiring the
AMA shares. The Company will also acquire 9.55 percent of the total number of shares of FPT, i.e. a total of Baht
398.35 million, whereby the Company has already informed the Stock Exchange of its intentions. With respect to
the oil depots, the Company has an oil depot in Phitsanulok Province. However, the transportation of oil via
pipelines will be an extension of the pipes located in Bang Pa In District in Ayudhya Province, whereby the first
pipe will be located in Pichit Province, and the second pipe will be an extension from Pichit Province leading
towards Lampang Province.
There were no shareholders who asked any questions or expressed any additional opinions. The
Chairman proposed that the Meeting approve the issuance of the debentures within the credit line of not
exceeding Baht 4,000 million.

Definition of the Independent Directors
The Company has defined the definition of the Independent Directors which have the qualifications
pursuant to the notification of the Capital Market Supervisory Board, the Stock Exchange of Thailand and the
relevant regulations as follows:
1. Holding shares not exceeding 1 (One) percent of the total number of shares with voting rights of
the Company, its parent company, subsidiary company, associate company, major shareholder or controlling
person of the Company, including shares held by related persons of such Independent Director;
2. Neither being nor used to be an executive director, employee, staff, advisor who receives salary, or
controlling person of the Company, its parent company, subsidiary company, associate company, same-level
subsidiary company, major shareholder or controlling person of the Company, unless the foregoing status has
ended not less than two years prior to the appointment. Such prohibited characteristic shall not include the
case where the Independent Director used to be a government official or advisor of a government unit which is a
major shareholder or controlling person of the Company;
3. Not being a person related by blood or legal registration as father, mother, spouse, sibling, and
child, including spouse of child, of other director, executive, major shareholder, controlling person, or person to
be nominated as director, executive or controlling person of the Company or its subsidiary company;
4. Neither having nor used to have a business relationship with the Company, its parent company,
subsidiary company, associate company, major shareholder or controlling person of the Company, in the manner
which may interfere with his independent judgement, and neither being nor used to be a significant shareholder
or controlling person of any person having a business relationship with the Company, its parent company,
subsidiary company, associate company, major shareholder or controlling person of the Company, unless the
foregoing relationship has ended not less than two years prior to the appointment;
The term “business relationship” under the first paragraph shall include any normal business
transaction, rental or lease of immovable property, transaction relating to assets or services or granting or receipt
of financial assistance through receiving or granting loans, guarantee, providing assets as collateral, and any other
similar actions, which result in the Company or its counterparty being subject to indebtedness payable to the
other party in the amount of three percent or more of the net tangible assets of the Company or twenty million
baht or more, whichever is lower. The amount of such indebtedness shall be calculated according to the
method for calculation of value of connected transactions under the Notification of the Capital Market
Supervisory Board governing rules on connected transactions mutatis mutandis. The consideration of such
indebtedness shall include indebtedness occurred during the period of one year prior to the date on which the
business relationship with the person commences;

Registration conditions, documents to be presented prior to attending the shareholders’ meeting,
proxy and voting
A. Registration
The Company will open for the registration from 12.00 p.m. onwards. For your convenience in
registration process, shareholders or proxies who will attend the Meeting shall bring and present the Invitation to
the Meeting and the duly completed and executed Proxy Form, affixed with the stamp duty together with the
documents required to be presented prior to attending the Meeting. In this regard, the Company reserves the
right to allow only the shareholders or the proxies who have duly completed documents to attend the Meeting.
B. Documents required to be presented prior to the Meeting
Shareholders who are natural persons
1. Shareholders attending the Meeting themselves
Please present original and valid document with your photo issued by governmental authorities, e.g.
the identification card, government official identification card, state enterprise employee identification card,
driver license or passport.
2. Shareholders appointing a proxy to attend the Meeting. A proxy must present the documents as
follows:
(a) One of the Proxy Forms, as attached to the Invitation to the Meeting, which has been duly
completed and executed by the grantor and the proxy;
(b) A copy of valid document with photo of the grantor issued by governmental authorities, e.g. the
identification card, government official identification card, state enterprise employee identification card, driver
license or passport, certified true and correct by the grantor; and
(c) Original and valid document with photo of the proxy issued by governmental authorities, e.g.
the identification card, government official identification card, state enterprise employee identification card,
driver license or passport.

Shareholders who are juristic persons
1. Representatives of juristic persons (authorized directors) attending the Meeting themselves
(a) A copy of the company’s affidavit of the shareholder, certified true and correct by the
representatives of the juristic person, specifying that the representatives of the juristic person attending the
Meeting are duly authorized to act on behalf of the juristic person, and having issued not more than 3 months;
and
(b) Original and valid document with photo of the representatives of the juristic person issued by
governmental authorities, e.g. the identification card, government official identification card, state enterprise
employee identification card, driver license or passport.
2. Shareholders appointing a proxy to attend the Meeting. A proxy must present the documents as
follows:
(a) One of the Proxy Forms, as attached to the Invitation to the Meeting, which has been duly
completed and executed by the grantor and the proxy;
(b) A copy of the company’s affidavit of the shareholder, certified true and correct by
representatives of the juristic person, specifying that the representatives of the juristic person, who sign the Proxy

governmental authorities, e.g. the identification card, government official identification card, state enterprise
employee identification card, driver license or passport, certified true and correct by such person; and

the identification card, government official identification card, state enterprise employee identification card,
driver license or passport.
3. Foreign shareholders appointing the custodian in Thailand
� Please prepare and present the documents as specified in case of juristic persons in Items 1.
or 2.
� In the case of foreign shareholders authorizing the custodians to sign the Proxy Forms on their
behalf, the additional documents are required as follows:
1) A copy of the Power of Attorney of the shareholder, who is a foreign investor, authorizing
the custodian to sign the Proxy Form on his/her behalf, certified true and correct by the grantor; and
2) A copy of the letter certifying that the custodian, who signs the Proxy Form, is permitted to
engage in the custodian business, certified true and correct by such person.
In this regard, if the documents are not in English, an English translation of such documents, certified
true by the shareholder or the representatives of the juristic person who is the shareholder, is required.

C. Proxy
If the shareholders wish to appoint a proxy to attend and vote at the Meeting on the shareholders’
behalf, the Company facilitates the shareholders with 3 Proxy Forms, attached to the Invitation to the Meeting as
follows:

Proxy Form for shareholders whose name appears in the Share Register Book as foreign
investors and appoint custodians in Thailand only
Please execute only one Proxy Form from the above 3 Proxy Forms which are attached to the Invitation
to the Meeting.
Please duly complete the Proxy Form as well as affix Baht 20 stamp duty and cross such stamp duty
and specify the date of the Proxy Form across such stamp duty. Such Proxy Form shall be submitted to the
Chairman of the Meeting (the “Chairman”) or the person designated by the Chairman prior to the Meeting.
For shareholders’ rights and benefits, in case the shareholders are unable to attend the Meeting by
themselves and wish to appoint the Company’s Independent Director to vote on their behalf, please complete
and execute the Proxy Form appointing Mr. Supote Pitayapongpat, the Director, Chairman of the Audit
Committee, Chairman of the Corporate Governance Committee and independent director as a proxy, and submit
the said completed and executed Proxy Form, affixed with the stamp duty, together with the supporting
documents to “Company Secretary Office”, PTG Energy Public Company Limited, No. 90 Cyberworld Building,
Tower A (33rd Floor), Ratchadaphisek Road, Khwaeng Huaykwang, Khet Huaykwang, Bangkok 10310 and/or PO.
Box No.15 Thai Life Insurance 10326, by 20 April 2016, or at the place of the Meeting before the Meeting starts.
In this regard, the Company has enclosed the details of the Independent Director (proxy for shareholders),
together with the Invitation to the Meeting.

D. Voting
Voting Method
1. 1 share is entitled to 1 vote.
2. Shareholders and proxies under Proxy Form A. or B. may not split votes in each agenda.
3. Custodians who are appointed by foreign shareholders may split votes in each agenda (under Proxy
Form C.).
4. To be in accordance with the good corporate governance principle, the Company provides ballots for
every agenda which requires voting. The Company will distribute the ballots to each of the shareholders and the
proxies at the registration. The shareholders or the proxies who register after the Meeting has started will only
receive the ballots for the remaining agenda.
5. In each agenda, the Chairman will ask if anyone disapproves or abstains. To save time of all of the
shareholders, the shareholders who approve shall not put any mark in the ballots, while the shareholders who
disapprove or abstain shall confirm their intention by putting a mark [√] and their signatures in the ballots and
raise their hands until the Company’s officer collects the ballots for vote counting, except the case in which the
voting has been specified in the Proxy Form, the Company will count the votes according to such Proxy Form at
the time of the registration by the proxy.
Vote Counting
1. The Company will deduct the disapproval and the abstention votes from the total votes. The
remaining votes will be deemed as approval votes.
2. The Chairman will announce the result of the voting after the voting in each agenda is completed,
whereby the announced votes will be divided into the numbers of the approval, the disapproval and the
abstention votes and the percentage thereof. The ballots submitted after the Chairman announced the voting
result of each agenda to the Meeting will not be counted as the voting result. If any shareholder or proxy wishes
to leave before the Meeting adjourns. Please inform the Company’s officer at the registration counter in order for
the officer to withdraw his/her votes from the system.

The Company’s Articles of Association in relation to the shareholders’ meeting
Article 28. The board of directors shall convene an annual general meeting of shareholders within 4
months of the last day of fiscal year of the Company.
The shareholders’ meetings other than those specified above shall be called extraordinary general
meetings of shareholders. The board of directors may summon an extraordinary general meeting of shareholders
at any time as it is deemed appropriate, or when shareholders holding shares in aggregate not less than one-fifth
of the total issued shares or not less than 25 shareholders holding shares in aggregate not less than one-tenth of
the total issued shares may jointly submit their names in a written notice requesting the board of directors to
summon an extraordinary meeting at any time, provided that reasons for calling such meeting shall be clearly
stated in the said notice. In this regard, the board of directors shall proceed to call a shareholders’ meeting to
be held within 1 month of the date of the receipt of such notice from the shareholders.
Article 29. In calling a shareholders’ meeting, the board of directors shall prepare a notice of the
meeting specifying the place, date and time, the agenda of the meeting and the matters to be proposed to the
meeting with reasonable details, by expressly specifying as to the matter to be set forth to the meeting for
information, approval or consideration, including opinions of the board of directors on the said matters. The said
notice shall be delivered to the shareholders and registrar at least 7 days prior to the date of the meeting and
shall also be published in a newspapers for 3 consecutive days, at least 3 days prior to the date of the meeting.
A shareholders’ meeting may be convened at a venue where the head office of the Company is located
or other province in the Kingdom as the board of directors deems appropriate.
Article 30. In a shareholders’ meeting, any shareholder may appoint any person as a proxy to attend
such meeting and vote on his behalf. The Proxy Form shall be dated and executed by such shareholder and
shall be according to the forms specified by the registrar.
Such Proxy Form shall be submitted to the chairman of the board or the person designated by the
chairman prior to attending the Meeting by the proxy.
Article 31. In a shareholders’ meeting, there shall be shareholders and proxies (if any) attending the
meeting not less than 25 persons and holding shares in aggregate not less than one-third of the total issued
shares, or shall be shareholders and proxies attending the meeting not less than one-half of the total number of
shareholders and holding shares in aggregate not less than one-third of the total issued shares, to constitute a
quorum.

At any shareholders’ meeting, if 1 hour has passed since the time specified for the meeting and the
number of shareholders attending the meeting is still not adequate to constitute a quorum as specified, if such
shareholders’ meeting was called as a result of a request by the shareholders, such meeting shall be cancelled.
If such shareholders’ meeting was not called as a result of a request by the shareholders, the meeting shall be
called once again and the notice calling such meeting shall be delivered to shareholders not less than 7 days
prior to the date of the meeting. In the subsequent meeting, a quorum is not required.
In a shareholders’ meeting, the chairman of the board shall preside over the meeting. If the chairman is
absent or is unable to perform his duties, if there is a vice-chairman, the vice-chairman shall be the chairman of
the meeting. In the absence of the vice-chairman or the vice-chairman is unable to perform his duties, the
meeting shall elect one of the shareholders attending the meeting to be the chairman of the meeting.
Article 32. In casting vote, one share is entitled to one vote and the resolution of a shareholders’
meeting shall comprise the following votes:
(1) In ordinary events, a majority vote of the shareholders who attend the meeting and cast
their votes. In case of a tie vote, the chairman of the meeting shall have a casting vote.
(2) In the following events, a vote of not less than three-fourths of the total number of
votes of the shareholders who attend the meeting and have the right to vote.
(a) the sale or transfer of the whole or important parts of the business of the
Company to other persons;
(b) the purchase or acceptance of transfer of the business of other companies or
private companies by the Company;
(c) the making, amending or terminating of contracts with respect to the granting of
a lease of the whole or important parts of the business of the Company, the assignment of the management of
the business of the Company to any other persons or amalgamation of the business with other persons with the
purpose of profit and loss sharing;
(d) the amendment of the Company’s Memorandum of Association or Articles of
Association;
(e) the increase or decrease in the Company’s capital, or issuance of Company’s
debentures;
(f) the amalgamation or dissolution of the Company.
For any shareholder who has special conflict of interest in any matter, such shareholder shall not be
entitled to cast the vote in such matter, except in the election of directors.
