BACKGROUNDJacksonConventionComplex:Openedin2009,theJacksonConventionComplex(“JCC”)features330,000squarefeetofflexibleexhibit,ballroomandmeetingspaceandislocatedintheheartofdowntownJackson…Mississippi’scapitalcityandtheheartofSouthernhospitality.Ithostsawiderangeofeventsincludingconventions,tradeshows,corporatemeetings,banquets,weddings,receptions,concerts,sportingevents,consumershows,politicalevents,communitygatheringsandreligiousservices.InFY2015,theComplexwashostto257eventdaysandover171,000eventattendees,generatingapproximately$32millionineconomicimpact.Inadditiontoofferingfirst-rateamenities,stateofthearttechnologies,resortqualityserviceandin-housecatering,theComplexisaLEED®CertifiedbuildingasestablishedbytheU.S.GreenBuildingCouncil(USGBC).TheJacksonConventionComplexisownedbytheCapitalCityConventionCenterCommissionandmanagedbySMG.Formoreinformation,visitwww.jacksonconventioncomplex.com.

2. INTRODUCTION

2(A)RFQScopeSMG(“Operator”),asoperatoroftheJacksonConventionComplex(“JCC”)isseekingbidsfromqualifiedandexperiencedfirmswithdemonstratedabilityandexperienceincarpetreplacementservicestoreplacecarpetinthefacility’sballrooms.

Thisprojectincludesremovalandhauling/disposalofoldcarpetandinstallationofnewcarpetalreadypurchasedbythefacility.Contractorsshouldincludeallneededsupplies,laborandequipmentintheirsubmittedpricing.AdiagramisincludedinAppendixAforreferencedarea.

Thisprojectisscheduledaroundfacilityeventsandrequiresastrictdeadlineforinstallation(seeSection2(B)forrequiredinstallationtimeline).Failuretomeetthisdeadlinewillresultina15%penaltyofthefinalprojecttotal.

Contractorsarewelcomedtoinspecttheareatobecomefamiliarwiththespace,ifdesired.Seesection2(B)toscheduleawalkthroughwiththeDirectorofOperations.

CONTRACTFORPROFESSIONALSERVICESTypeofServiceProvided

ThisContractismadeandenteredintoonthisthedayof,20,byandbetweentheJacksonConventionComplex/SMG,(“SMG”),andNameofCONTRACTOR,(hereinafterreferredtoasthe“CONTRACTOR”).

WHEREAS,onbehalfoftheCapitalCityConventionCenterCommission(the“COMMISSION”),SMGservesasthemanager/operatoroftheJacksonConventionComplexlocatedat105PascagoulaStreetintheCityofJackson,Mississippi(the“COMPLEX”);and

WHEREAS,theCONTRACTORrepresentsthatitisatypeofservicesprovidedbyCONTRACTORmanagedbyPrincipal/ExecutiveofCONTRACTOR,locatedataddressofCONTRACTOR;and

WHEREAS,SMGandCONTRACTORdesiretoenterintoawrittencontractwherebyCONTRACTORshallprovideprofessionaltypeofservicesprovidedbyCONTRACTORservicestoSMGfortheCOMPLEXaccordingtothetermsofthisContract;

NOW,THEREFORE,forandinconsiderationofthemutualpromisesandbenefitsflowingbetweenthemthepartiesherebyagreeasfollows:

1. 4. INDEMNITY.TheCONTRACTORagreesthatitwillindemnify,defend,andholdSMG,theCOMMISSIONandtheiragentsandemployeesharmlessfromsuits,causesofaction,orclaimsofdamagesarisingoutoforrelatedinanywaytotheworkunderthisContractwhichresultsininjurytoanypersonand/orproperty;providedhowever,thatthe



CONTRACTORshallnotberequiredtoindemnifySMGifSMGissolelynegligentwithrespecttothecauseofsuchsuit,causeofaction,orclaimeddamage.

5. INSURANCE.TheCONTRACTORwillprovide$1millionGeneralLiabilityInsuranceandWorkers’Compensationinsuranceforitspersonneltocover$500,000bodilyinjuryperperson,$500,000injuryperoccurrence,and$500,000propertydamage,withSMGandtheCapitalCityConventionCenterCommissionnamedasanadditionalinsuredandcertificateholder.

TheCONTRACTORagreestoprovideacertificateofinsuranceasspecifiedhereinpriortocommencingworkunderthisContract.

6. NOAGENCY.ItisagreedthattheCONTRACTORisanindependentcontractorandshallinnowaybeconstruedtobeanemployeeofSMG.NothingcontainedinthisContractshallbeconstruedtoconstitutethattheCONTRACTOR,itsemployees,servants,agents,orsubcontractorsareapartner,employee,servant,oragentofSMG,norshalleitherhavetheauthoritytobindtheotherinanyrespect.Accordingly,CONTRACTORshallberesponsibleforandshallfileanyapplicablereturnsorformsandpayanytaxdue,employmentorotherwise,withrespecttoitsworkunderthisContract.

7. AlthoughthisContractevidencesthetypeofworkthatistobeperformedbytheCONTRACTOR,SMGdoesnotcontrolthemannerandmeansofsuchwork.

8. TheCONTRACTORshallberesponsibleforsecuringallrequiredpermitsorlicensesrequiredbyanyregulatoryagencyortheCounty,State,orFederalgovernmentshavingjurisdictionovertheworkperformedbytheCONTRACTORhereunder.

9. SMGshallpayforutilitiesattheJacksonConventionComplex.Utilitiesinclude:waterandsewage,electricity,gas,andtrashpickup.

10. CONTRACTORshallnotmake,directlyorindirectly,anyrenovations,capitalimprovements,oralterationstotheJacksonConventionComplexwithoutfirstobtainingthewrittenconsentofSMG.CONTRACTORshallkeepSMG,theCOMPLEXandtheCOMMISSIONfreefromanyliensorencumbrancesarisingoutofanyworkperformed,materialfurnished,orobligationsincurredbyCONTRACTOR.

11. MISCELLANEOUSPROVISIONS.

(A) Allcovenants,conditions,agreementsandundertakingscontainedinthisContractshallextendtoandbebindingontherespectiveheirs,successorsandassignsoftherespectivepartiesheretothesameasiftheywereineverycasenamedandexpressed.

(B) Itisunderstoodandagreedthat,if,duetothebreachordefaultbyeitherpartyofanyoftheirobligationshereunder,itshallbecomenecessaryfortheotherpartytoemployand/orconsultwithanattorneytogiveadvice,ortoenforceordemandanyofeitherparty’srightsorremedieshereunder,then,andinanysuchevent,thedefaultingorbreachingpartyshallpayallattorneyfees,courtcostsandotherexpensesoccasionedbysuchdefaultsorbreaches.

(D) ThisContractcontainsalloftheagreements,termsandconditionsmadebetweenthepartieshereto,constitutestheentireagreementandunderstandingbetweenthem,andsupersedesandrevokesanyprioragreementorunderstandingrelatingtothesubjectmatterofthisContract.Nochange,amendment,terminationorattemptedwaiverofanyoftheprovisionshereofshallbebindingupontheotherpartyunlessreducedtowritingandsignedbybothpartieshereto,orbytheirrespectivesuccessorsininterest.

(E) Ifanysection,paragraph,sentenceorportionofthisAgreementortheapplicationthereoftoanypartyorcircumstanceshall,toanyextent,beorbecomeinvalidorillegal,suchprovisionisandshallbenullandvoid;however,totheextentthatsaidnullandvoidprovision[s]donotmateriallychangetheoverallagreementandintentofthisentireagreement,theremainderofthisContractshallnotbeaffectedtherebyandeachremainingprovisionofthisContractshallbevalidandenforceabletothefullestextentprovidedbylaw.

(F) ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsoftheStateofMississippi,andvenuefortheresolutionofanydisputeshallbeJackson,HindsCounty,Mississippi.

(G) Neithertheexercisenorfailuretoexerciseanyright,optionorprivilegeunderthisContractbySMGshallexcludeSMGfromexercisinganyandallotherrights,optionsorprivilegesunderthisContract,norshallsuchexerciseornon-exerciserelieveCONTRACTORfromCONTRACTOR’sobligationtoperformeachandeverycovenantandconditiontobeperformedbyCONTRACTORunderthisContract,orfordamagesorotherremedyforfailuretoperformormeettheobligationsofthisContract.

(H) ForceMajeure.Neitherpartyheretoshallbeliabletotheotherpartyforanynonperformance,inwholeorinpart,ofitsobligationsunderthisContractcausedbytheoccurrenceofanycontingenciesbeyondthecontroloftheparties,includingbutnotlimitedtotheweather(includingbutnotlimitedtotornadoes,hurricanes,andfloods),earthquakes,declaredorundeclaredwar,sabotage,actsofterrorism,insurrection,riot,orotheractsofcivildisobedience,actsofapublicenemy,actsofgovernmentsoragenciesdirectlyaffectingthetermsofthisContract,strikes,labordisputes,actsofthirdpartiesnotwithinthecontrolofthepartywhoseperformanceisaffected,extraordinaryshortagesoffuel,failuresofpower,accidents,fires,explosions,orotherpreviouslyunmentionedactsofGod.Intheeventthatanysuchunexpectedeventsorcatastrophesoccur,thepartywhoseperformanceisaffectedshallhaveareasonabletimeinwhichtoresumeperformanceandsuchparty'snonperformanceshallnotconstituteadefaultorbreachhereunder.Notwithstandingtheforegoing,ifthenon-performingpartyisunabletoresumefullperformancedespitereasonableattemptstodoso,theotherpartyshallhavetherighttoterminatethisContract.

(I) LimitationsonSMGObligations.BecausetheCOMPLEXispubliclyowned,theCOMMISSIONretainstheright,underthelawsoftheCityofJacksontodeclinetoprovidefundingfortheoperationoftheCOMPLEXinthesolediscretionoftheCOMMISSION.Ifsuchnon-fundingrendersperformanceofthisContractdifficult,impractical,orimpossible,thenitshallnotbeconsideredadefaultunderorbreachofthetermsofthisContractandSMGandCOMMISSIONwillnotbeliableforsuchfailuretoperform,exceptthereshallbeanequitablereductionintheconsiderationwhichwouldotherwisebepayableorduebySMGtoCONRACTORunderthetermsofthisContract.

(J) ConfidentialInformation.CONTRACTORrecognizestheinterestofSMGinmaintainingtheconfidentialnatureofitsproprietaryandotherbusinessandcommercialinformation.CONTRACTORwillhold,inafiduciarycapacity,forthebenefitofSMG,allsecretorconfidentialinformationincludingbutnotlimitedto,clientandcustomerlists,marketingplans,productsorservices,developmentplans,publications,products,devices,structures,processes,procedures,methods,formulas,techniquesorfinances,includingbutnotlimitedtoinformationrelatingtoresearch,development,purchasing,accounting,sales,andknowledgeordatarelatingtoSMGoranyofitsaffiliatedentities,andtheirrespectivebusinesses,whichshallhavebeenobtainedbytheCONTRACTORand



whichshallnotbeorbecomepublicknowledge(otherthanbyactsbyCONTRACTORorrepresentativesofCONTRACTORinviolationofthisContract).AfterterminationofthisContracttheCONTRACTORwillnot,withoutthepriorwrittenconsentofSMG,orasmayotherwiseberequiredbylaworlegalprocess,communicateordivulgeanysuchinformation,knowledgeordatatoanyoneotherthanSMGandthosedesignatedbyitorusetheconfidentialinformationforitsownpurpose.Allrecords,files,data,documentsandthelikerelatingtoSMGoritsaffiliatesshallbeandremainthesolepropertyofSMGandsuchaffiliates.UponterminationofthisContract,CONTRACTORwillnotremovefromtheCOMPLEX'spremisesorretainanyofSMG'smaterials,andallsuchmaterialsinCONTRACTOR'spossessionwillbereturnedpromptlytoSMG.CONTRACTORshalltreatallCOMPLEXdataandinformationtowhichithasaccessbyitsperformanceunderthisContractasconfidentialtotheextentthatconfidentialtreatmentofsameisrequiredunderfederaland/orstatelawandshallnotdisclosesuchdataorinformationtoathirdpartywithoutspecificwrittenconsentofSMG.IntheeventthatCONTRACTORreceivesnoticethatathirdpartyrequestsdivulgenceofconfidentialorotherwiseprotectedinformationand/orhasserveduponitasubpoenaorothervalidlyissuedadministrativeorjudicialprocessorderingdivulgenceofsuchinformation,CONTRACTORshallpromptlyinformSMGandthereafterrespondinconformitywithsuchsubpoenatotheextentmandatedbystateorfederallaw.ThisprovisionshallsurvivetheterminationorcompletionofthisContract.

SMGandtheCONTRACTORheretohavereadtheforegoingcontractandfullyunderstandandagreewiththecontentshereof.
