NINT"! The suscriers0 stockholders shall have the pre?emptive or preferential right of

suscription to any increase in the authori@ed capital stock of the Corporation in accordance with the respective

shareholdings of each stockholder at the date of such increase!



9ny suscrier, owner or stockholder desiring to share or otherwise dispose of his0her suscription or shares

shall oserve the following restrictions"

a! 9 stockholder shall, prior to the disposal of all or part of its shares to any third party, first offer to

e/isting stockholders the right to purchase all or part of its shares as the case may e, in proportion to

their shareholdings, specifying their respective allotments, prices, terms and conditions and the price of

the shares to e offered to the e/isting stockholders! &ach stockholder shall e given fifteen (4:) days

from the date of the receipt of notice to e/ercise his right of first refusal! This right of first refusal may

e waived y the stockholders!

! 3pon failure of the stockholders to e/ercise the right herein granted, the corporation will have the right

to purchase the said shares at the same value and may purchase the same within fifteen (4:) days from

the date the right of all stockholders e/pired!

c! 3pon failure of the stockholders and corporation to e/ercise the right herein granted, the selling

stockholder shall e free to offer the same to any person under such terms and conditions agreed upon

ut in no case shall the price of the shares e lower than the price at which the shares were offered to the

stockholders of the record!

9ny transfer or conveyance in violation of the foregoing terms and conditions shall e null and void and shall

not e recorded and transferred in the ooks of the corporation! The foregoing limitations and restrictions shall e

printed on the stock certificates of the Corporation and shall e inding upon their heirs, successors and assigns,

administrators, or representative of the stockholders of the Corporation!
