Welcome to Lex and the City: Urban Issues in Law and Business, the 17th Annual Conference of the JD/MBA Students’ Association. Each year, our association hosts a conference on a major theme transcending business, law, and public policy. The purpose of our conference is to demonstrate the overlapping and inseparable nature of law and business, and consequently, the value of interdisciplinary education. This year’s conference brings together prominent industry leaders, legal practitioners, and esteemed academics to highlight the challenges and opportunities facing the City of Toronto. The conference will focus on the themes of sustainability and governance, real estate development, and infrastructure and finance. We would like to thank the generous sponsors, speakers, professors, and staff from Osgoode and Schulich, as well as the volunteers who have donated their time, resources, and talent to make this year’s event a success. ON BEHALF OF OSGOODE HALL LAW SCHOOL, it is my pleasure to welcome you to the 17th Annual JD/MBA Students’ Association Conference: “Lex in the City: Urban Issues in Law & Business.” Osgoode pioneered the development of the LL.B./MBA, now the JD/MBA, in 1972 and this program has been a source of innovation, inspiration and pride in the four decades since. Today, with the support of the Hennick Centre for Business and Law, the joint program has never been more vibrant. I commend the JD/MBA Students’ Association for their choice of topic for this year’s conference. The intersection of law, business and the dynamics of the city brings together a complex and compelling set of challenges – economic, environmental, democratic, etc., - which highlight the need for interdisciplinary analysis and polycentric solutions. This focus on multiple perspectives and innovation is reflected throughout the program. The program features decision-makers and thought-leaders from the City of Toronto and beyond. David Miller and Michael Cooper are ideal “bookend” keynote speakers to address these challenges and possibilities. ON BEHALF OF THE SCHULICH SCHOOL OF BUSINESS, I wish to extend a warm welcome to all of the delegates, presenters, sponsors and guests at the 17th annual JD/MBA Conference. Established in the early 1970s, the joint JD/MBA was the first degree program of its kind in Canada and one of the first in all of North America. The program, jointly delivered by two highly rated professional schools, provides students with a solid grounding in the fundamentals of both business and law. Over the years, it has produced a large number of outstanding graduates who have distinguished themselves in a wide range of fields. The JD/MBA Conference has always presented engaging and topical themes. This year’s conference continues that tradition of real-world relevance. The theme of “Lex and the City: Urban Issues in Law and Business” tackles some of the key issues facing the City of Toronto, which has recently emerged as the fourth largest urban centre in North America. I would like to offer my congratulations to the members of the JD/MBA Conference executive team for all of their work in organizing this year’s event, particularly with respect to the impressive line-up of guest speakers - individuals who are on the front lines of dealing with Toronto’s urban development challenges. DAVID MILLER President & CEO, World Wildlife Fund Canada 63rd Mayor of Toronto

David Miller is President and CEO of World Wildlife Fund Canada, Canada’s foremost conservation organization. The WWF creates solutions to the most serious conservation challenges facing our planet, helping people and nature thrive. David Miller was Mayor of Toronto from 2003 to 2010 and Chair of the influential C40 Cities Climate Leadership Group from 2008 – 2010. Under his leadership, Toronto became widely admired internationally for its environmental leadership, economic strength and social integration. He is a leading advocate for the creation of sustainable urban economies, and a strong and forceful champion for the next generation of jobs through sustainability. David Miller is a Harvard trained economist and professionally a lawyer. He and his wife, lawyer Jill Arthur, are the parents of two children.

MICHAEL COOPER President & CEO, DREAM Unlimited Corp. Michael Cooper is the founder and Chief Executive Officer of DREAM Unlimited Corp. (“DREAM”), an asset management company with approximately $13 billion of primarily real estate assets under management. Mr. Cooper’s extensive track record in the real estate industry dates back to 1986, including an instrumental role in founding Dundee Realty Corporation, the predecessor of DREAM, in 1996. Under his leadership, the business has grown to be a leader in commercial real estate, residential development and renewable energy infrastructure. Among his accomplishments, Michael is responsible for the formation of three TSX‐listed real estate investment trusts: Dundee REIT, Canada’s largest office REIT; Dundee International REIT, a Canadian REIT investing exclusively outside of Canada; and, most recently, Dundee Industrial REIT, the largest pure‐play industrial REIT in Canada. He earned a law degree from the University of Western Ontario and an MBA from York University.

KAREN STINTZ Councillor, Ward 16 (Eglinton-Lawrence), City of Toronto Born and raised in North York, Karen Stintz is a lifelong Toronto resident. She started her political career when - shortly after buying her first house – she felt compelled to get involved in issues that affected her neighbourhood. She ran for office in 2003 with her husband as her campaign manager and was elected Councillor for Ward 16 in a surprise win over 20 year incumbent, Anne Johnston. In 2009, Karen founded and co-led the Responsible Government Group that opposed former Mayor David Miller’s increases in spending, property taxes and business taxes and presented an alternative budget that proposed to cut $80 million from the City budget. The group also vocally opposed the Mayor’s handling of the 2009 City Workers’ strike. In 2010, she was named Chair of the TTC and in that role has committed to strengthening the organization's customer service focus, driving change, and improving the transit network. Accomplishments during her tenure included a Customer Service Charter, balancing the budget with a 10% reduction in the subsidy, realigning services to match revenue, contracting out garbage and maintenance services, launching Wi-Fi in the subway system, and approving the introduction of the Province’s electronic fare system. Active at both City Hall and in the community, Karen sits on the City’s Planning and Growth Management Committee; Employee and Labour Relations Committee; and the City’s Striking Committee (essentially an appointments committee). She is also a member of the Providence Healthcare Foundation, the GTAA’s Community Environment & Noise Advisory Committee and she sits on the Board of Directors for the North Toronto Memorial Arena and the Larry Grossman Forest Hill Memorial Arena. She is also a member of the Yonge-Lawrence Village BIA, The Uptown Yonge BIA and the Eglinton Way BIA. Despite her many commitments, her greatest love is spending time with her children Jackson, 9, and Hailey, 7. An avid athlete and sports fan, she also runs, cycles and skis. Karen continues to live in her North Toronto neighbourhood with her husband, two children and her father. Before being elected City Councillor, Karen spent seven years managing and delivering healthcare programs in both the public and private sectors. She is a graduate of the University of Western Ontario, holds a Master of Science in Journalism from Boston University and a Master of Public Administration from Queen’s University.

JOE PENNACHETTI City Manager, City of Toronto Joseph P. Pennachetti was named City Manager for the City of Toronto in October 2008, with overall responsibility for 37,000 staff and a budget of $13.3 billion delivering services to 2.7 million residents. Toronto is Canada's largest city and the 6th largest government in the country. In 2013, Mr. Pennachetti led the development of 26 Strategic Actions for 2013 to 2018. These Strategic Actions are designed to advance City Council's vision, mission and goals for Toronto as articulated in its Strategic Plan. The actions were developed to complement the City's initiatives and programs over the next five years. Under Mr. Pennachetti's leadership, the City of Toronto continues to be recognized internationally for quality, innovation and efficiency in delivering public services. Mr. Pennachetti is committed to service excellence. In 2010, he awarded the first City Manager's Award for Public Service Excellence. The highly successful program continues and now includes recognition of divisional and cross-corporate projects as well as a category that recognizes divisional initiatives that contribute to the City's goal of removing barriers for equity-seeking groups and/or contribute to the City's human rights, equity and diversity goals. Mr. Pennachetti joined the Toronto Public Service in 2002 as the City's Chief Financial Officer. As Deputy City Manager and Chief Financial Officer, Mr. Pennachetti contributed to the enhancement of Toronto's business climate through a 15-year plan to reduce business property taxes and a 10-year plan to reduce property taxes on small business. Mr. Pennachetti has also worked on the City's numerous financing partnership agreements with the federal and provincial governments and the private sector, which have resulted in significant new infrastructure for the City. Prior to joining the City of Toronto, Mr. Pennachetti was the Treasurer and Commissioner of Finance for the Regional Municipality of Peel for six years; from 1990 to 1995, he was the Treasurer and Commissioner of Finance for the Regional Municipality of York. Mr. Pennachetti previously worked in the finance departments of the Regional Municipality of Durham and the City of Edmonton. Mr. Pennachetti holds both a Bachelor of Commerce and Master of Business Administration and is a Certified General Accountant. He is married and has two children.

PAUL BEDFORD Adjunct Professor, Urban & Regional Planning, University of Toronto & Ryerson University Panelist, Sustainability, Governance, & Growth

Paul Bedford is a Member and Fellow of the Canadian Institute of Planners with 45 years of experience in urban planning. As Toronto’s Chief City Planner for eight years, he championed numerous innovative planning strategies including the “Kings”, a new City wide Official Plan and a principles plan for the Central Waterfront called “Making Waves”. Since his retirement in 2004, he has been appointed Adjunct Professor of Urban and Regional Planning at the University of Toronto and Ryerson University. He also serves on the National Capital Commission’s Planning Advisory Committee, the Waterfront Toronto Design Review Panel, Centre for Addiction and

Mental Health Property Committee and is a Senior Associate of the Canadian Urban Institute. He served two terms on the Metrolinx Board of Directors and in September 2013, was appointed by Premier Kathleen Wynne as Vice Chair of the Transit Investment Strategy Advisory Panel to advise the government on funding strategies for building, operating and maintaining the regional transit network recommended in the Metrolinx Big Move Transit Plan. The final report, “Making the Move: Choices and Consequences” was released in December 2013.

STEPHEN FURLAN Partner, McCarthy Tétrault LLP Panelist, Infrastructure & Finance

Stephen Furlan is a partner in McCarthy Tétrault’s Financial Services Group in Toronto. He carries on a practice focused on project finance and secured lending. Mr. Furlan regularly advises lenders with respect to project financing transactions. He has acted as lead counsel for lenders on the project financing of power projects and public private partnership infrastructure financings. Mr. Furlan is listed in the 2008-2013 editions of Chambers Global: The World’s Leading Lawyers for Business as a leading lawyer in the

area of banking and finance, the 2009 International Financial Law Review 1000 as a leading lawyer in the area of Project Finance, he is listed in the Guide to the World’s Leading Project Finance Lawyers and is listed in The Best Lawyers in Canada in the areas of banking and finance and project finance law. He was also named one of the “Top 40 under 40” lawyers in Canada in 2006 and is listed in the 2010-2013 editions of The Canadian Legal Lexpert Directory, a guide to the leading law firms and practitioners in Canada, as a leading lawyer in the area of project finance and banking and financial institutions.

ELIO GATTO Vice President, Fiera Axium Infrastructure Panelist, Infrastructure & Finance

Elio has over 7 years of experience in the areas of financial advisory, corporate finance and infrastructure project finance. Elio previously worked in Babcock & Brown's North American infrastructure group where he was involved in the financing and acquisition of Canadian infrastructure projects. He also worked in the investment banking division of

BMO Capital Markets where he was involved in a range of M&A and corporate advisory assignments. Elio holds an Honours Bachelor of Business Administration degree from York University's Schulich School of Business where he specialized in finance.

LUAN HA Director of Development, RioCan REIT Panelist, Real Estate Development

Luan Ha is a Schulich alumnus, graduating with his BBA in 2006 and his MBA in 2010. During his MBA studies, Luan specialized in Real Estate & Infrastructure and was a member of the Dean’s Honour List. In his first year of University, Luan founded a CRA registered charity called the SEAS Foundation, which granted scholarships to fellow students and which was nominated for a $16,000 grant by the Toronto Community Foundation. In his second year, he co-founded the Corporate Social Responsibility Society at Schulich. While serving as co-Chair of CSRS, Luan helped to

establish the CORE conference and case competition. Luan began his career at RioCan Real Estate Investment Trust in 2006 as a Development Analyst. RioCan REIT owns and manages Canada’s largest portfolio of shopping centres with ownership interests in a portfolio containing an aggregate of over 83 million square feet. Luan currently serves as a Director of Development within RioCan REIT’s Planning and Development Group, which manages the property development process from acquisition to project design and completion.

DEZSÖ J. HORVÁTH Dean, Schulich School of Business Speaker, Opening Session

Dezsö J. Horváth is Dean and Tanna H. Schulich Chair in Strategic Management at the Schulich School of Business, York University, where he has been a member of the faculty since 1977. Dr. Horváth holds an electrical engineering degree, a Master’s degree in Business Administration, and Licentiate and PhD degrees in Management from Sweden. Following an early career in research and development with ASEA (now ABB), he was appointed to increasingly senior academic positions before joining York. On becoming Dean in 1988, Dr. Horváth worked with internal and external stakeholders to position Schulich as “Canada’s Global Business School™”. The School’s many strategic partnerships around the world include academic exchange agreements with more than 80 business schools in close to 40 countries. Schulich also operates satellite centres in Beijing and Shanghai, China; Mumbai, India;

Seoul, South Korea; Mexico City, Mexico; and São Paulo, Brazil. In 2010 Schulich became the first leading international business school from outside India to deliver an MBA degree in that country. In addition to his role as Dean, Dr. Horváth is a director of a number of companies and organizations and serves on the advisory board of various business schools around the world. He was named 2004 Dean of the Year by the Academy of International Business (AIB), the world's leading association of scholars in the field of international business, in recognition of his "outstanding leadership in various aspects of internationalization, including programs, research and curriculum development, and outreach." In 2008 he was made a Member of the Order of Canada, the country's highest civilian honour, for his academic leadership and sustained commitment to business education.

MONEY KHOROMI Student-At-Law, McMillan LLP Recipient, Hennick Medal for Academic Excellence

Money Khoromi completed his JD/MBA at Osgoode and Schulich in 2013. He also holds a Bachelor of Applied Science and Engineering in Industrial Engineering from the University of Toronto. Prior to law school, Money worked for several years as a project manager and real estate broker. As a student in the JD/MBA program, Money received a number of awards for academic

excellence and was the winner of Developer’s Den III, a team-based multi-school MBA real estate case competition. He also studied abroad in Israel and Hong Kong. Money is currently completing his articles at McMillan LLP. The Hennick Medal for Academic Excellence is awarded to the JD/MBA student with the highest cumulative GPA over the course of the program.

TOM JOHNSON Co-Director, JD/MBA Program, Osgoode Hall Law School Presenter, Hennick Medal for Academic Excellence

Professor Tom Johnson is Director of Osgoode’s Intensive Program in Business Law and Co-Director of the Schulich and Osgoode joint JD/MBA Program. A member of the Osgoode Hall Law School faculty since 1987, he has served as Director of the Osgoode Business Clinic and as Co-Director of Osgoode’s LLM Program in Bankruptcy and Insolvency. Professor Johnson’s areas of teaching include contract law, commercial law (secured transactions, bankruptcy and insolvency, capital market regulation and international business

transactions), international development and project finance. In 2009, he was the recipient of the Osgoode Teaching Excellence Award. Professor Johnson has over 20 years experience as a consultant to the World Bank and the Inter-American Development Bank, working on access to finance and land tenure reform projects in developing countries. In that role he has advised governments in Central and South Asia, Latin America, the Caribbean, the Middle East and East Africa.

CALVIN LANTZ Partner, Stikeman Elliott LLP Panelist, Sustainability, Governance, & Growth

Calvin Lantz is a partner in the firm's Municipal Group and Public-Private Partnerships/Infrastructure Group in the Toronto office of Stikeman Elliott. Mr. Lantz is a Certified Specialist in Municipal Law (Land Use Planning and Development) by the Law Society of Upper Canada and has been recognized in the 2014 edition of The Best Lawyers in Canada for his expertise in Municipal Law, and by the 2012 Canadian Legal Lexpert Directory as a repeatedly recommended lawyer for Property Development Law. He has appeared before administrative Boards and approval bodies and agencies, including the Ontario Municipal Board, Committees of

RICK PENNYCOOKE President, The Lakeshore Group Panelist, Real Estate Development

Rick is the Principal of the Firm which he founded 20 years ago. The Lakeshore Group is a land use planning and real estate development consulting firm with focus on related legal issues. He advises a broad range of national and international clients on land development, city planning, transaction due diligence, municipal approvals and site selection issues. Appearances before the Ontario Municipal Board, the Courts and city councils are a regular part of Rick's activities. His professional background covers private and public sector experience including being an in-house development consultant at major Toronto

law firms and a municipal planner for the Ontario Government. Rick is a graduate of the University of Waterloo's School of Urban & Regional Planning. He is also a Registered Professional Planner, a member of the Canadian Institute of Planners and a Registered Real Estate Agent. Rick is interviewed regularly in the national TV and print media regarding real estate issues. He is often seen on CTV Newsnet, CBC Newsworld and Business News Network (BNN) and is frequently quoted in the National Post, The Globe and Mail and Bloomberg News.

PETER MACDONALD Co-Director, JD/MBA Program, Schulich School of Business Speaker, Closing Session

Peter Macdonald is a lawyer, mediator and Co-Director of the Joint MBA/JD Program at the Schulich School of Business, York University. Peter graduated from Osgoode Hall Law School in 1985 and was called to the Bar of Ontario in 1987. From 1987 to 1994, Peter practiced corporate/commercial and securities law with two downtown Toronto law firms and a large multinational corporation in Montreal. Over the past fifteen years, Peter has been engaged as an independent commercial mediator in a broad range of corporate, banking, personal injury,

employment and insurance-related disputes. In addition to his mediation practice, Peter teaches various business law courses to B.B.A., MBA and Joint MBA/JD students at the Schulich School of Business, where he has received numerous teaching excellence awards. Peter has also been extensively involved in designing and delivering intensive negotiation and mediation training programs for judges, lawyers, public sector agencies and other business professionals throughout Ontario.

SPEAKERS & PRESENTERS ENID SLACK Director, Institute on Municipal Governance & Finance Moderator, Infrastructure & Finance

Dr. Enid Slack is the Director of the Institute on Municipal Finance and Governance (IMFG) at the Munk School of Global Affairs at the University of Toronto. The IMFG focuses on the fiscal health and governance challenges facing large cities and city-regions in Canada and around the world. Enid has been working on municipal finance issues in Canada and abroad for 35 years. Prior to establishing the IMFG, she was a consultant specializing in municipal finance. Enid has worked with the World Bank, IMF, CIDA, UN Habitat, ADB, and IADB in countries such as Brazil, China, Colombia, India, Mexico, Mongolia, the Philippines, and South Africa. She

has written several books and articles on property taxes, intergovernmental transfers, development charges, financing municipal infrastructure, municipal governance, municipal boundary restructuring, and education funding. Enid is an Adjunct Professor at the Munk School of Global Affairs where she has taught graduate courses on the political economy of global cities. Enid received her B.A. in Economics from York University (Glendon College), and an M.A. and Ph.D. in Economics from the University of Toronto. In 2012, Enid was awarded the Queen’s Diamond Jubilee Medal for her work on cities.

LORNE SOSSIN Dean, Osgoode Hall Law School Speaker, Closing Session

Lorne Sossin became Dean of Osgoode Hall Law School in 2010. Prior to this appointment, he was a Professor with the Faculty of Law at the University of Toronto (2002-2010). He is a former Associate Dean of the University of Toronto (2004-2007) and served as the inaugural Director of the Centre for the Legal Profession (2008-2010). Previously (1997-2002), he was a faculty member at Osgoode Hall Law School, and the Department of Political Science, at York University. His teaching interests span administrative and constitutional law, the regulation of professions, civil litigation, public policy and the judicial process. Dean Sossin was a law clerk to former Chief Justice Antonio Lamer of the Supreme Court of Canada, a former Associate in Law at Columbia Law School and a former litigation lawyer with the firm of Borden & Elliot (now Borden Ladner Gervais LLP). Dean Sossin has published numerous books, journal articles, reviews and essays, including Boundaries of Judicial Review: The Law of Justiciability, 2nd ed. (Toronto: Carswell, 2010) (forthcoming); The Future of Judicial Independence (Toronto: Irwin, 2010) (co-edited with Adam Dodek); Civil Litigation (Toronto: Irwin 2010) (co-authored with Janet Walker);

He serves on the Boards of the National Judicial Institute, the Law Commission of Ontario and is a Vice Chair of the Ontario Health Professions Appeal and Review Board and Member of the Health Services Appeal and Review Board. Dean Sossin served as Interim Integrity Commissioner for the City of Toronto in 2008-2009, and is currently the Open Meeting Investigator for the City of Toronto.

Kim’s 12+ years of insurance experience includes working on a variety of complex accounts, in the real estate, long term care, franchise, and construction sectors. Kim has worked for the last ten years helping to develop and manage the Real Estate and Property Management/Development Practice Area at HUB International HKMB. At HUB, Kim has a broad spectrum of real estate clients, from industrial to multi-tenant residential. Kim and her team provide risk control & claims handling assistance alongside working with her client’s insurance program(s).

Kim attended the University of Western Ontario and graduated with a Bachelor of Administrative & Commercial Studies. She has attained the Canadian Accredited Insurance Broker (C.A.I.B.) and the Chartered Insurance Professional (C.I.P.) designations and received the Canadian Risk Management (C.R.M.) designation from the Global Risk Management Institute. MICHAEL TOSHAKOVSKI Associate, Dentons Canada LLP Moderator, Real Estate Development

Michael is an associate at Dentons Canada LLP and practices in the firm’s real estate group. He advises clients on all aspects of sophisticated commercial and residential real estate transactions, including: negotiating agreements of purchase and sale and closing documents; drafting title memoranda, opinions and reporting letters; advising on acquisition financing; and assisting with real estate components of mergers and acquisitions. Michael also acts as counsel for major GTA

developers with respect to land acquisition, financing, development, TARION compliance, and unit sales for hundreds of condominium units in numerous residential, commercial, mixed-use and hotel condominium projects. In addition to the foregoing, Michael is a graduate of Osgoode and is a former teaching team member of Lawyer as Negotiator. He is currently co-chair of the committee for the annual Dentons-sponsored negotiation competition for Osgoode students.

Raivo Uukkivi is an associate in the Municipal, Planning & Environmental Group at Cassels Brock. His practice encompasses all aspects of municipal, land use planning and environmental law.
