    consultants participate in the cost of running the stand. In my experience I have not found this produces sufficient

    income to offset costs.

    Systems and then recommend to patients. Some will only allow you a space to use on certain days in their premises.

    This kind of retailing is not very expense and can be rewarding but always ensure that you have permission.

    Small displays in offices and Businesses – many consultants approach large companies and ask permission to hold a

    table on certain days in reception areas so their staff can enquire and make a purchase.

    Home Presentation – a great way to introduce family and friends to the Light Therapy Systems is to organise a party

    in your home and here you are on familiar territory and can relax and enjoy the presentations.

    However, be mindful to practice the same rules that you apply when doing a presentation in someone else’s home:

    • Don’t let your presentation over run. • Set an agenda for the time you will star and the time you will finish • Be respectful of people’s time and ensure that you finish on time. • Let people know that you have finished with a formal closure of your presentation, quite often this is when

    your guests are in their most relaxed frame of mind and will ask you more questions.

    Success in direct sales comes from a positive personal attitude and a healthy approach to running a business. A

    direct sales business can be started with ease and offers personal freedom and flexibility but this can be a double

    edged sword. On the one hand the business structure allows you to set your own targets and working practice. On

    the other hand if you don’t put in the effort the rewards simply don’t follow. I have worked for myself since leaving

    the NHS for nearly twenty five years. You have to be your own manager and not allow yourself to be distracted by

    unprofitable actions given your success will always be the result of the actions YOU take. Here are a few important

    elements I have found key to my success over the past twenty five years in my many businesses:

    communications will prove vital in the success of your business. Even the way that you communicate with yourself

    when problems arise is of equal importance. You must consider the most efficient and effective ways to contact

    people and also to ensure that you may be easily contacted when required. Talk to me and meet other consultants

    Time management You may find it useful even before starting to sit down and really think about the time you have

    available and how as your business grows you can build more time in to making more profit. This will make work a

    LIFE. The more time you allocate to your business the further and faster your business grows. Remember to plan

    your time using diaries and effective planners and also fit in your time on each day.

    Planning planning is crucial in general day to day life as well as in business. Planning your meetings, demonstrations

    and follow up well in advance and never put off plans or tasks to a later date. Use your diary, planner or computer

    software and your mobile phone to remind you of your plans and daily commitments or event dates.

    Planning is an essential tool and not just for today, tomorrow or next month. You should also consider long term

    planning and include realistic goals. For example how many new customers or consultants do you want to reach

    and how many contacts discussions and online as well as direct presentations you want to carry out or even how

    much income you want to generate in six or twelve months?

    Prioritising your tasks and appointments will greatly help you in both your time management and

    panning.

    You need to be able to prioritise your activities in order to comprehensively complete your tasks and

    achieve your goals. Sometimes your priority or to do list, may be inaccurate; however as time goes by and the more

    you prioritise through your diaries and to do list the easier and more accurate your priorities become.

    Determination to succeed Getting your business off the ground with the basics of marketing and branding yourself.

    You will need to start spreading the word about your new business to every person you know both directly and

    Ethics Your customers and business associates need to be able to trust you. Especially given some of the conditions

    that BIOPTRON Light Therapy Systems effectively treat. You will go through a specialist training day on the light

    therapy systems so that ALL information you give out is accurate and realistic with no false claims as to outcomes for

    some conditions where the light therapy systems will not be effective.

    Create customers and contact lists

    It is useful for you to create a contact list of all the people you know such as friends ,associates, relative and work

    colleagues. This includes your friends on social networking sites but be careful how you communicate your new

    business plans – more of that in the social media booklet which is available on our website

    Don’t forget that it may be helpful when approaching your initial contacts to ask if they know of anyone who would

    be interesting in not just being a potential customer but also joining you as a consultant. If they are interested they

    will let you know by asking for more information and if they are not it allows them to decline without you having

    asked them directly. You will be very surprised how your list will grow when you start to get referrals from those

    already in your various contact and social online contact lists.

    Keep in touch with those you know and are on your contact list. Always have a listing of your online resources and

    printed materials to hand to people.

    Grow your contact list further by looking after your customers because they are the people who will refer others to

    you. Your customer is the most important assets to your business. Ask your satisfied customers for referrals and

    also if you can have a recommendation to go in place on your printed and online resources.

    After completing the training course and becoming certificated and becoming clear about the compensation plan

    start calling those you names in lists to announce your new business. Then start booking meetings and

    presentations.

    Presentation Guide

    Whether it is a home or person to person be this face to face email online contact or a recommendation please

    observe the guidelines below:

    1. When meeting at place of business, in their home, speaking to them on the telephone or via email and social media you should always consider the time of day and length of presentation.

    2. You should make contact at reasonable hours or according to the companies or businesses working schedule at reasonable hours and make sure that the presentation doesn’t not run on longer than the customer can

    accommodate taking into consideration all factors.

    3. You should always describe the Light Therapy System accurately and not make any false claims. 4. You should provide all information concerning prices, method of payment, guarantees and delivery. 5. Only official literature should be used to present the Light Therapy Systems from BIOPTRON AG. 6. The customer must always be given a receipt using the Customer Receipt forms available to you from us.

    When holding presentations at charity events or fairs it is a good practice to donate a percentage of your sales to the

    charity’s cause. If hiring stands at shopping centres or joining an exhibition consider all aspects of expenses as these

    could be very costly. Always take someone with you to help you to set up and close down.

    When you decide to do a brochure or flyer drop in your area, you need to respect the local council restrictions and

    avoid houses that have clearly indicated their wish not to have any

    brochures or flyers dropped at their front door. We do not support or for

    that matter encourage brochure or flyer door drops or collection during

    unsociable hours or when there is no clear day light.

    BUSINESS EXPANSION AND COMPENSATION PLAN

    Expanding your business

    Sooner or later you will notice that you confidence has grown and you might like to think of some new ways of

    expanding your business. Have another look at your original contact list. It may be the right time to start contacting

    some different types of organisations or clubs, support groups etc. You will probably be in the financial position now

    that you could afford a few lines in local newspapers advertising your presentation. Put one under ‘Business

    Opportunity’ section and one under the ‘Part Time’ vacancy column.

    Another idea to let people know what you do is to put up A4 or if space is limited A5 leaflets in locations where

    anyone has a good chance of seeing them. Try your local news agent’s windows as this is always a very inexpensive

    place to advertise yourself.

    There are two different ways of building your business and generating income:

    1 Retailing

    Developing your own customer base recommending and retailing the BIOPTRON Light Therapy Systems.

    As with all businesses it is a well used cliché that ‘the more you put in the more you will get out’ of your

    business; however if you have limited time available you might like to choose this option where all your

    efforts are directed at recommending and retailing the light therapy systems to customers. With every sale

    you make you will automatically earn a retail income of 25% on the next listing prices. As well as this

    depending on how much you sell over one or two months, you could qualify for further Business Bonuses.

    If this is your choice, then you will only have to refer to ‘Table 1’ of the Business and Compensation Plan.

    2 Retailing and Sponsoring

    know as your downline) will greatly increase your income. If you have more time to dedicate to your new

    own independent businesses s well as helping you achieve your own goals.

    If this is your choice, then we strongly recommend that you refer to all the tables of the Business and

    Compensation Plan.

    Please note that irrespective of the option that is chosen, ‘Table 1’ will always be used to calculate your

    personal sales and will be used to determine qualifying bonus percentages regardless of how many

    consultants you have sponsored and are in your group.

    Personal Discount (PD) This is an immediate 25% discount for the consultant who registers and purchases starter

    materials

    The calculation of the discount is based on catalogue price less VAT

    Personal Turnover (PT) The base figure from which all calculations are made is the cataologue price inclusive of

    VAT; this turnover is sthen converted to points according to the Compensation Plan

    exchange rate that is defined for the current year

    Catalogue Turnover: £210.00 R.R.P.

    Converted to points: divide by 1.0183 206.20 points

    Note Light Therapy UK reserves the right to change the M.P. exchange rates by giving the

    consultants two month’s notice

    Accounting Volume (AV) This is the catalogue price less VAT and less 25% discount

    Running Cumulative (RC)

    2 Consecutive months The PT from 2 consequitive months (retrospectively) are added together and converted to

    points to define and determine the Business Bonus percentage for the current month.

    Business Bonus (BV)

    (Paid on AV) NOTE: In order to qualify each month to receive a BV, Consultants MUST achieve PT EVERY

    MONTH. The PT achieved each month determines the percentage BV paid in the following

    month.

    Note: It is illegal for a promoter or participant in a trading scheme to persuade anyone to make a payment by

    promising benefits from getting others to join a scheme.

    Do not be mislead by claims of ‘get-rich-quick-schemes..’

    expansion of your business and you will immediately realise that a business cannot grow unless it has the

    capacity and tools to do so. This means you will need to dedicate time to your sponsored group of people to

    provide guidance, training and motivation. I have been doing this for many years and thoroughly enjoy every

    aspect at all levels however this is not easy until you have an understanding and experience that comes with

    building your business. The major advantage of building a team is you grow when the group grows.

    Essentially the successful growth of your group is an indication of your success as a businessman or

    businesswoman.

    It is to your benefit to ensure that everyone who is interested in becoming a consultant has the passion, the

    time and the self motivational qualities which will give your whole group the professional dynamic

    ingredient that least to greater success. The pleasures of sponsoring are not just financial believe me for as I

    have witnessed the growing confidence and success of the people I have trained there is so much personal

    satisfaction to be gained.

    You can sponsor anywhere in the United Kingdom. It is recommended that you consolidate your business in

    your own area before embarking on long distance development and sponsoring.

    Training your downline

    As a sponsor, assisting and training your downline consultants can be one of the most enjoyable parts of

    your business. For your benefit, it will be necessary for you to ensure they are kept informed about the light

    therapy system and all the business development tools available from Light Therapy UK and ensure they fully

    understand the Marketing Plan and The General Rules and Regulations contained in this manual. This can

    easily be achieved by spending quality time with your downline when they join and reading this manual as

    well as accessing our online website materials together. I also arrange and hold motivational and informative

    meetings from time to time which you are very welcome to attend to socialise and learn more.

    Building and Developing Your Downline

    I recommend that you build good relationships with your downline and that you keep in contact with them

    on a regular basis. Weekly lunch meetings, social evenings and getting together by phone or Skype

    conference group calls – there are now so many ways of easily and effectively doing this.

    It is important to motivate, encourage and inspire your downline and find ways to help them understand

    that achieving success can be an enjoyable and productive experience. Sharing ideas and experiences that

    have worked for you and other leaders you have heard about can often increase enthusiasm levels especially

    for your newest members. Given the impact of BIOPTRON Light Therapy Systems on people’s lives

    recounting how many people have been helped and in what way is, believe me, a truly inspiring experience.

    Early on after you have made sure that the member of your downline fully understands the Light Therapy

    Systems, commission it is important to focus on HOW THEY would like to run their business. Also set

    another date for a second meeting in a week or son’s time.

    During the second meeting discuss their progress and help them with any concerns they may have and ask

    them to share their positive experiences since you last met. Introduce them to the beginning stages of the

    marketing plan and explain this part thoroughly but do also leave that all important time for questions and

    answers before you set a date for your third meeting.

    During the third meeting introduce the rest of the marketing plan and then have a brain storming session

    with regards to increasing the activities of your group. This may include some joint venture for example,

    attending some exhibitions and supporting each other in holding presentations. Discuss with your group

    when further meetings would be best to schedule.

    Be an extra helpful sponsor and volunteer to speak at one of their meetings. If you have had a particularly

    successful month take the trouble to send them a card of appreciation and congratulations.

    Encourage your downline with helpful advice if they are feeling a bit downhearted in the early stages about

    their progress. To create a positive new business everyone has to learn new techniques. In other words if

    things are not going to plan implement some new techniques and never be afraid to adjust your strategies.

    So many people in life think that if they keep going doing the same time that one day it will pay off – well it

    doesn’t so we have to think outside the box and look at the situation from a number of different angles.

    Sponsoring – Check List

    It is a condition that every sponsor ensure that his or her group are fully informed and trained. Regular

    meetings are essential to motivate and help your downline. We recommend that you go through these

    points below and create your own sponsoring checklist. I am looking forwarding to hearing about the

    additional elements you have discovered and include in your sponsoring when we next talk.

    1. Fie your copy of the consultant agreement form safely so you know who is in your downline and their full details,

    2. Write the details of your downline on your records system and update your records regularly – unfortunately mobile phones disappear all too easily as do their relevant dedicated telephone

    numbers,

    3. Make notes of your downlines important dates such as birthdays and anniversaries as personal contact is of the utmost importance given you are not working in the same office on a daily basis.

    4. Order the downline from us of the activity ‘genealogy’ report so you can congratulate those who have been active and productive and equally help and encourage those who appear to be having

    difficulties.

    5. Ensure that your downline has the latest materials at their disposal and email updates on our website to them as we will do from our mailing list.

    6. Remember that your downline are not working for but with you and so think of ways of rewarding them.

    7. Invite your downline to your seminars or presentations so they can learn from you. 8. Hold product and sales training for your downline and be fully prepared and organised at these

    events.

    9. Hold special meetings such as one to one for those who are shy when they are in large gatherings. Each of downline consultants are different and you need to ensure that you recognise and respond

    to this fact.

    10. Dedicate at least once a month time for a group meeting at a social place or even in your own home. Socialising with your downline helps break barriers and create a feeling of group membership. If you

    decide to hold your monthly group meeting in a social place, suggest that your downline invite

    potential/would be consultants. This will help grown your and their group of consultants.

    Group Meeting and Training Guide

    There is no such thing as a ‘ready made formulae’ for a group meeting. There is a limited formulae for training

    seminars, however with the support of your downline each consultant will need to develop their own style of

    conducting a business meeting.

    Outlined below are some guidelines to help you create your own training methods:

    1. People like to feel valued, important and also that they are involved. You would create a positive ambiance to your meeting if you ask one or two consultants to help you in the organisation of the meeting.

    2. Welcome everyone personally at the entrance or as soon as they come in. 3. State clearly the main topic for the meeting and define time allocation and breaks either at the start of the

    meeting/presentation or by giving printed agendas to each consultant.

    4. Use all the materials we give you at Light Therapy UK, such as DVDs literature website streaming materials and your own materials.

    5. Present the business Light Therapy YUK so that everyone is aware of the business identity. 6. When you explain how much a consultant earns, try not to use percentages but actual figures. For example,

    instead of saying, ‘You will earn 25% commission on the Bioptron Compact’ say, ‘You will earn £70.83 on the

    Bioptron Compact’ (subject to prices changes and this figure is only a working example).

    7. Offer real life situations from your own experience to highlight important points. 8. Inform your new downline members of the rules and codes of conduct they should be aware of as

    consultants.

    9. If you are holding a product training seminar you should have an example of one of the light therapy systems to demonstrate. This is not mandatory as the video materials demonstrate clearly ease of use given that

    outcome happens over time.

    10. Highlight the sales and the recommendation method to use. Remember success for one of your downlines is your success too

    11. Ensure you have three or four break times if you are holding a while day training and offer lunch and refreshments. I have found from considerable experience that a lot of important discussion happens during

    such breaks so they are not simply for refreshments.

    12. Allocate sufficient time for questions and answers. Allow and encourage your consultants to ask questions and to voice their own opinion – I often learn myself during such a profitable exchange.

    13. Ask your consultants for feedback on the meeting or seminar and what improvement can be made for future meetings.

    14. End the meeting or seminar on a positive note and give rewards and thanks to those who helped you or that that did so in previous weeks. Also note and summarise problems and difficulties and detail what you are

    going to do and what you require your consultants to do to address such important issues.

    in the same following month. You receive the difference on his group, which is 8%on his Accounting Volume in the

    following month.

    All consultants, marked in organge, are your direct downline (First Level), you receive on their Accounting Volume in

    the following month the Business Bonus of 22% (or the difference between their qualification and yours).

    BREAKAWAY (BA)

    This is the consultant who achieves whith his/her group 8,000 points in one or two consecutive months. The

    consultant then qualifies to ‘breakaway’ from their original sponsor in the following month.

    As from the following month the sponsor receives the Royalty Bonus Level 1 provided the monthly Personal Volume

    is reached.

    For the following 3 months, the Breakaway Consultant will receive the highest Business Bonus percentage on his/her

    MONEY MANAGEMENT

    Being in business for the first time can be a positive and rewarding experience. By following the guidelines outlined

    in this manual, your business will in time begin to generate significant income for you; from the very beginning we

    strongly advise and recommend that careful financial controls be put in place and followed – these should include

    the following:

    • If in doubt you must seek the services of a financial advisor/ consultant • Make sure that your expenditure does not exceed your income • Make money before you spend it • Build your business from your ‘contact list’. It has cost you nothing to set up and will

    generate the highest profit. If you continue to add to your ‘list’ and continue to ask for

    referrals, you will never need to spend money on other methods of building your

    contacts (e.g. advertising or buying mailing lists)

    • Avoid lavish expenditure on entertainment until you can afford them

    For example

    The Light Therapy UK delivery system is fast and efficient and so there is no need to hold stocks – save for those

    business tools such as brochures, leaflets and booklets.

    No need to give extended credit to your customers – products are ordered and paid for before they are delivered

    Combine meetings and share the costs with other consultants – it generates more enthusiasm and has other great

    benefits.

    A basic but very important rule is to keep your household expenditure separate from your business expenses for

    accountancy purposes. Keep a simple book-keeping system or seek professional advice if necessary.

    If you are VAT registered, again seek professional advice as to how to incorporate this in your book-keeping system

    Procedures

    How to Order You may order by e-mail , phone or internet. Please ensure that whatever method you choose to

    place your order all of the following information is supplied at the time.

    • You ID number • Delivery address – must be to the credit card registered address • Content of each order – must include the product code • Method of payment – if you are paying by credit card: card number, expiry date and issue number and

    security code. The card must be registered to you under your address.

    There are several rates of delivery charges depending on the delivery time: please advise Hani as the figures for the

    light therapy systems.

    Important:

    Only one method of ordering should be used per order. For example, having telephoned your order, there will be no

    need to email it too, as this will be treated as a separate order and you will be charged accordingly.

    Order Release we are unable to release products for dispatch until we receive some form of guaranteed

    payment

    The order will be released after payment and will be sent to the registered address on our database. Be sure to

    inform Customer Support in good time if you change your name, address or telephone number to ensure that all

    your orders are correctly processed. This should be done in writing.

    Order Forms when submitting orders, ever if you are phoning your orders through, we recommend that

    you fully and clearly complete the official order form. By completing the form fully you will have all the required

    information to ensure that the person processing your order has all the details necessary. This will provide you and

    Forms and Customer Receipts

    Order form: it is important to use the order forms if you are e-mailing your order or to use as a record

    prior to calling the office to place your order. For full instruction on how to use the order forms – refer to page 31

    Return form: all returns must be accompanied by a returns form – refer to page 32

    Agreement form: all agreement forms will be sent to you pre-signed by Light Therapy UK. When recruiting and

    asking new consultants to sign the agreement form, you must ensure that they are fully aware of the regulation and

    that they have read the terms and conditions on the back of the agreement form. Once they sing the agreement,

    you need to send the white copy to Light Therapy UK, keep the pink copy for your records and leave the yellow copy

    with the new consultant – refer to page 33

    Customer receipt: Customer receipts are essential for you as an independent business owner. The customer

    receipts are a legal contract between you and your customer and must be completed correctly – refer to page 34

    Method of Payments • By credit/debit cards (MasterCard or Visa or debit card)

    By bank transfer (Please note that goods will not be dispatched until the bank draft is cleared into our bank account).

    Please allow at 5 working days for clearance.

    When paying for an order with a credit card, the caller must be the owner of the credit card used.

    Products will not be dispatched until authorisation from the credit card company has been given

    If payment for an order has not been authorised after two days or place the order, then the order will be cancelled.

    Note:

    if payment is not authorised, Light Therapy UK will endeavour to contact the consultant concerned but cannot be

    held responsible for any refusal made by the credit card company.

    Products can only be dispatched within 48 hours if payment has been authorised.

    Delivery Queries on receipt of the parcel, and before accepting it from the courier company, check whether it

    has been damaged or tampered with in any way. If the parcel has been damaged or tampered with, sign the receipt

    but also write ‘Under reserve’ and ask the delivery person to complete a statement confirming the damage. If the

    parcel is badly damaged, and it is obvious a theft has occurred, you should refuse delivery. You should in this care

    write ‘Delivery refused’ on the form.

    In all instances, please report the situation to our Consultant Support, who will arrange for the missing items to be

    replaced.

    Qualifying orders All orders are entered within the calendar month they are received. To qualify in a particular

    month for a level, bonuses or prizes, your order must be received by Light Therapy UK no later than 72 hours prior to

    close of business on the lst working day of that month.

    If your order is a qualifying one and an item is out of stock, if you wish we could replace it with a similarly priced item

    to enable you to still reach your new level. Please ensure you clearly mark the order form in the box provided to

    indicate whether or not you wish the original item ordered to be exchanged under our stock replacement procedure.

    General Rules and Regulations

    In order to become a consultant you must:

    - Be sponsored by an existing consultant - Be at least 18 years old and be able to enter into an Agreement - Complete and sign a Consultant Agreement Form and return the original to Light Therapy UK who will

    confirm acceptance within 14 days of receipt of the Agreement Form.

    - Note

    Light Therapy UK reserves all rights to amend prices according to products without prior notice.

    The Consultant Agreement Form

    Before signing the Consultant Agreement form you should:

    - Make sure that you have carefully read the conditions on the reverse of the Agreement Form - Ask your sponsor to explain anything you have not fully understood.. - If you wish, take advice from a specialist, such as a legal advisor before signing the agreement - Do not be misled by claims of high earnings can be easily achieved without any effort or work - All businesses carry some rick. Large stocks are not necessary to run your business, although you should

    always have a range of current literature resources

    Note

    - When a consultant signs the Consultant Agreement Form, he/she agrees to abide by the conditions stated on that Agreement Form.

    - The terms and conditions expand upon the conditions on the Consultant Agreement Form and incorporate the Codes of the Direct Selling Association. These General Rules apply to all consultants who have signed a

    Consultant Agreement Form.

    Retailing

    - Our products are sold exclusively to private individuals XXXXXXXX - The consultant must always present and market the products and the business opportunity in a professional

    and ethical way.

    - In order to safeguard the corporate and brand image of the Bioptron Light Therapy Systems the consultant may not sell the products in street markets or car boot sales.

    - Consultants cannot sell their own stock to another consultant - The retailing of Zepter products on the internet is strictly prohibited XXXXXX

    Introductions

    - The consultants must identify themselves clearly and state that they are Independent Consultants. - The consultant must never lead the client to believe that they are acting on behalf or in the name of Light

    Therapy UK

    - The consultants ‘business stationary’ should always show their own name, address and telephone number and state: Mr/Mrs X, Independent Consultant

    - Light Therapy UK reserves the right at its absolute discretion to reject any application form would be consultants

    - Only one agreement per person/couple will be accepted and commission will be payable to the person whose name is on the Agreement Form. Breach of this condition shall give Light Therapy UK the right to

    terminate the agreement immediately; resulting in cancellation of any further commissions to which he/she

    may be otherwise have been entitled.

    - If a new consultant completes more than one Agreement Form, the first form received will be that accepted by Light Therapy UK

    - The agreement is made with an individual and can only be made with a Company under the Terms and Conditions as set out in the Agreement Form.

    - A potential prospect or guest at a meeting is considered the contact of the consultant who contracted/invited him/her and is therefore not eligible to be sponsored by any other consultant until 14

    days have elapsed.

    - It is not permitted to operate as a consultant with Light Therapy UK if you yourself are working or are a distributor for a direct competitor

    - Existing Consultant: Consultants can terminate their agreement at any time, with immediate effect; the only condition being that Light Therapy UK is notified of the termination by recorded delivery letter.

    - In an instance where a consultant registers non bona fide consultant, either directly above or below his position in their network, Light Therapy UK would deem that action to be fraudently ‘stacking’ and would

    take steps to terminate the consultants agreement

    - A consultant has the right leave his/her Network Marketing business with Light Therapy UK - - to an heir - If a consultant dies without leaving a will, Light Therapy UK will consider the agreement terminated. Any

    commission due to the consultant at the time of his/her death will form part of his/her estate.

    - If two people join Light Therapy UK and are already married, they must register as consultants under one ID number

    - If a couple separates, it is their responsibility to advice Light Therapy UK how they wish to continue their future business as consultants.

    - If two people who are registered un two separate ID number with Light Therapy UK subsequently marry; they will remain under two separate ID numbers and keep their individual downlines

    Changing Status

    - The consultant shall not sell, transfer, assign in any other manner (including any change in a partnership operation a company business) alienate this agreement or any of its rights or obligations hereunder without

    first obtaining Light Therapy UK’s written consent, the giving of which is at the total discretion of Light

    Therapy UK.

    - After 3 consecutive months of inactivity all mailing from Light Therapy UK (i.e. brochure and related including newsletters) will be discontinued. After 6 months of inactivity, the agreement form will be

    terminated.

    - No change in Sponsor is allowed. Once an agreement has been signed, recognition is permanent unless: 1. There is a serious and proven case of misconduct 2. Proven lack of support by the sponsor towards his/her downline 3. The sponsor is inactive for a period of six months. Active in the case of sponsor means monthly points as

    well as providing support for the downline.

    The final decision shall remain at the absolute discretion of Light Therapy UK

    TERMINATION OF AGREEMENT

    Existing Consultants

    Consultants can terminate their Agreement at any time and with immediate effect, the only condition being that

    Light Therapy UK is notified of the termination by recorded delivery letter.

    New Consultants

    Once a new consultant has signed the Agreement Form, he/she has a period of 14 days from the date of

    signature to withdraw the application. The consultant can claim a full refund of literature and brochures

    excluding postage.

    Consultants who terminate their Agreement may not rejoin Light Therapy UK until a period of 6 months has

    elapsed from the date of termination.

    Should consultants wish to terminate their Agreement with Light Therapy UK, they must do so in writing.

    Disposal of You Consultancy

    - The sale of any right or interest in a consultants business is permitted only with the prior written consent of Light Therapy UK, which it may give at its absolute discretion. The consultant must first offer the business for

    sale to the immediate active Upline sponsor, and in the event of them declining it, they must then offer it to

    the first immediate active downline and so on. A consultant cannot offer his/her consultancy to another

    consultant’s downline. Light Therapy UK must approve all conditions of the sale, except the price, and Light

    Therapy UK reserves the right to disallow any arrangement with which it is not in total agreement.

    - Light Therapy UK reserves the right to terminate at any time, and with immediate effect, by notice in writing, the Agreement of a consultant who has, in the opinion of Light Therapy UK, violated the General Rules and

    Regulations of the Agreement Form and brought the Marketing Plan or the reputation of Light Therapy UK or

    any of its products and services into disrepute.

    - If a consultant agreement is not terminated for any reason, then the downline of that consultant will not be passed on to the next active upline.

    Light Therapy UK reserves the right to deduct any money owed to Light Therapy UK by the consultant, from any

    commission that may be due.

    Professional / Legal Codes

    1. The consultant shall obtain all the necessary consents. Licences and approvals to enable him/her to conduct his/her business and he/shall comply with the provisions of all statues and by-laws in force from

    time to time in the location in which he/she operates.

    2. The consultant cannot use the network for the benefits of another company. For example selling other company’s products or services through his/her network of Light Therapy UK consultants is prohibited.

    3. It is prohibited for consultants to obtain payment for training or any other service given by the consultants. He/she can however with the prior agreement of the consultants, ask for a contribution to

    the cost of room hire, meals and travel incurred in conducting the training.

    4. Consultants shall not sell to other consultant’s non-company products or in any way promote to such consultants opportunities in marketing programmes of other businesses or companies.

    5. The consultant shall not make any misrepresentations of Light Therapy UK, its products, its compensation plan, income potential or any other matter.

    6. The consultant acknowledges the exclusive rights of the Tuttoluxo Ltd and Zepter and Light Therapy UK to all copyrights, trademarks (applied for or granted) and other intellectual property rights in connection

    7. The consultant must not do anything that may prejudice Light Therapy UK’s rights in any manner including registration of similar names or copying the businesses manuals or literature.

    8. It is forbidden for a consultant to engage in directly or indirectly in an activity or sale of any other goods which are in the same product categories as TUTTOLUXO, ZEPTER or LIGHT THERAPY UK

    9. The consultant shall not under any circumstances advertise on the internet using images of the Tuttoluxo or Zepter Product(s) or the Zepter Logo(s) or any registered Brand Names nor shall the

    consultant announce unofficial recommended retail prices.

    Refunds

    In the case of termination after the initial 14 day period following the signing of the agreement form has expired,

    the company will refund the stock returned subject to the following conditions:

    - Goods must be returned within 14 days of the termination of the agreement, postage being paid by the consultant

    - Returned goods must be in perfect condition and in their original packaging. Items not suitable for resale will not be refunded.

    - A returns form listing the correct stock code numbers of all items and their order number must accompany returned goods. Items not correctly listed will not be refunded.

    - Consultants will be refunded the full price paid by them (including VAT) for goods purchased within 30 days before the termination of the agreement.

    - Consultants will be refunded 90% of the price paid by them (including VAT) for goods purchased more than 30 days but within six months before the termination of the agreement. (refer to product

    guarantee chapter.)

    - No refund is applicable on products purchased before six months of the termination of the contract or any opened products. No refund is made for any product that has expired.

    - Refund payment for goods will be made within a period of approximately 30 days of their receipt at Light Therapy UK’s premises or as soon as possible thereafter.

    On termination of your agreement, for whatever reasons, you shall be entitled to retain any commission made

    under the Business Opportunity. This does not apply to commission in respects of products returned to Light

    Therapy UK for which you have received a refund. Light Therapy UK will claim this commission within 120 days

    of when the commission was paid and will be refunded to Light Therapy UK by the consultant.

    Refund Policy

    If any customer of the consultant wishes to return products for any reason within 14 days of receipt, then

    consultant shall refund the full purchase price to the customer, and forward the rejected product accompanied

    by a completed returns form, together with a copy of the sale receipt and the original order details to Light

    Therapy UK for product replacement or credit, indicating the reason for the customers dissatisfaction.

    If any consultant wishes to return products that are either incorrect or damaged in shipment, they must do so

    within 14 days or receipt, returning the product accompanied by a completed returns form, along with details of

    the original order form. An incorrect product will be replaced with a correct product; a damaged product will be

    replaced with an undamaged one.

    Returned goods must be in perfect condition and, in their original packaging. Items not suitable for resale will be

    refunded.

    All returned goods must be accompanied by a completed Returns Form. This must include your ID number,

    order number and the correct stock code numbers of all items. Any items that are not suitable for resale will not

    be refunded.

    Please note:

    - Exchanged products will not affect your Business Volume point - Any returns processed where goods are credited will lower your Business Volume points. - Any returns processed and credited to your downline will lower your Group Volume and Group points.

    This is particularly important when attempting to qualify for any promotions and competitions.

    - Please ensure you are fully acquainted with our systems and talk to your sponsor for advice. - Consultants are responsible for the cost of returning the products back to Light Therapy UK as their own

    risk.

    Further Regulations

    If any of the above conditions are rendered invalid now or in the future, the effectiveness of the remaining

    conditions will be unchanged.

    The foregoing terms and conditions may change from time to time. The consultant must ensure that he/she is

    always up to date.

    The laws of England and Wales govern the agreement between the Consultant and Light Therapy UK.

    Public Relations

    In order to publicise the business brands, the business opportunity and the Zepter products, Light Therapy UK

    undertakes corporate communications and public relations with all sections of the media. This important

    investment is of mutual benefit to both consultants and to Zepter and Tutolluxo Ltd.

    Consultants may NOT make appearances on behalf of Tuttoluxo or Zepter International and Light Therapy UK nor

    may they represent these companies and businesses in any public media – magazine, radio, television or newspaper

    without the expressed written permission of the companies and business. Likewise consultants are not permitted to

    produce press releases, photographs or films concerning the companies or business or its products without written

    permission.

    Company Advertising and Promotional Guidelines

    Promotional Materials

    Light Therapy UK provides you will all the necessary materials to present the product and Business Opportunity; only

    official Zepter International, Tuttoluxo and Light Therapy UK literature may be used to represent the product. Under

    no circumstances can the consultant present the product in any literature or packaging other than the standard

    materials s featured in the promotional products leaflet or websites and related when printed or announced in

    newsletters be these online as well as printed.

    Business cards and stationary will enhance your business profile. It is strongly recommended that a uniform

    corporate identity is used for your business cards, featuring the key elements as stated above.

    Advertising

    You should be aware that advertising is costly and you should ensure that you are obtaining good value for money.

    Before deciding where to advertise, for retailing, training or sponsoring purposes, it is important that you take note

    of the rules of advertising (put in place links for further information and other related resopsurce on the websites.)

    If you wish to be listed in your regional telephone directory or Yellow Pages, you can do so under the letter ‘I’ using

    the heading ‘Independent Consultant’, followed by your name and telephone number. However, you may not

    answer your business telephone saying ‘Tuttoluxo’ ‘Zepter’ or ‘Light Therapy UK’ or in any other way give the

    impression that the caller is dealing directly with these businesses. You must state your name then followed by

    Independent Consultant’.

    Note: It is strictly forbidden to use peak rate telephone numbers for any aspect of the Consultants business.

    Rules of Advertising

    1. Trademark and Copyright: No consultant may use the company name or business name or logo or any trade names, trademarks or service marks which are or shall from time to time become the property TUTTOLUXO

    or ZEPTER INTERNATIONAL or LIGHT THERAPY UK without the prior written consent of the companies and

    business mentioned here.

    2. All printed material and video recordings as well as other publications are protected by copyright, whether registered or unregistered, and are considered proprietary to Tuttoluxo, Zepter and Light Therapy UK.

    Consultants or other persons may not reproduce them in whole or part without the prior written permission

    of the companies and business mentioned here.

    3. Consultant advertising: If you wish to promote our products or our Business Opportunity, you are authorised to do so only through classified ads or mail-outs. In this case, you must state your name and contact number

    and state that you are an Independent Distributor or Independent Consultant. We strongly recommend that

    you use the copy and layout for your advertisements as shown on page 41. The words Independent

    Consultant should be prominent in your advertisement and must be no less than half the size of the typeface

    used for the Company’s names.

    4. All such advertising is your sole responsibility you should pay special attention to ensure that no false or misleading claims are made in your advertisements. Any such claims are punishable by law. You cannot, for

    example, make any promises of illusory earnings, imply a ‘Get Rich Quick’ scheme, or extol an illegal method

    of selling. Moreover, the way in which the advertisement is written should not imply that it has been

    written by, or on behalf of the Companies and Business mentioned here.

    5. Reproduction of the Company’s marketing materials or photographs is strictly prohibited, without the express written permission of the Companies and Business mentioned herein.

    Important note

    For further information regarding the company’s advertising and promotional guidelines, permission to contact the

    media about any form of editorial, please get in touch with the management of Tuttoluxo Ltd. The company

    reserves the right to refuse publication of any advertising, editorial or promotional material in any media and to

    terminate the agreement of any consultant who does not adhere to the terms and conditions.

    Glossary of Terms

    Accounting Volume (AV) The accounting volume is the catalogue prices,

    less VAT, less the personal discount

    Active Consultant (General) A consultant who reaches a PBV (Personal

    Business Volume) equal to or greater than 100

    points

    Active Consultant (Group Bonus Active) A consultant who reaches a PBV (Personal

    Business Volume) equal to or greater than 100

    points And who with her/his group reaches more

    than 500 points over two consecutive months

    retrospectively.

    Active Consultant (Royalty Bonus) A consultant whose monthly PBV is equal to or

    greater than 100 points per month and with a

    breakaway downline

    Base Country The country in which the consultant lives

    Business Bonus The commission paid on personal and group

    accounting volume according to the group and

    personal qualifications achieved.

    Business Volume The pints that have been achieved both

    personally and by the group.

    Breakaway A consultant who has reached a GBC( Group

    Business Volume) equal to or greater than 8,000

    points over one or two consecutive months

    retrospectively.

    Commission Statement A monthly printout showing all commissions paid

    Consultant Any individual who has signed the Agreement

    Form, received and accepted by Light Therapy

    UK.

    Consultant Agreement Form An agreement signed by both the consultant and

    Light Therapy UK

    Downline The consultants who are under another

    consultant

    Effective Month The month in which you become eligible to

    receive applicable discounts, bonuses and

    royalties. The effective month is the month

    immediately following the qualifying period.

    Group Bonus Commission Retail Bonus is the percentage difference

    between the qualification level of one consultant

    and his/her direct downline. The bonus is based

    on the value of the downline consultant’s orders

    less VAT, less discount. As long as you are active

    (Refer to the Group Retail Bonus of the

    Marketing and Business Plan and the Active

    Terminology).

    Group Business Volume (GBV) Total retail value at catalogue prices divided by

    the appropriate exchange rate noted in the

    Marketing Plan, inclusive of refunds. This does

    not include breakaways.

    Net Invoice Value This is the recommended retail price, less VAT,

    less discount and excluding freight.

    Personal Group Your Personal Group consists of all consultants

    personally sponsored by you and all those

    sponsored by them through any number of

    levels.

    Persona Discount (PD) This is the discount that is applicable to each

    consultant and is set at 25% on the net catalogue

    price. It is the difference between the

    recommended retail price in the catalogue and

    the amount a consultant pays for products.

    Personal Turnover (PT) This is the personal sales of a consultant. In the

    compensation plan this is shown in points after

    conversion.

    Points Points are used to calculate qualifications and

    are based on the catalogue price converted to

    points.

    Qualifications This is the level of percentage a consultant reach

    to earn commissions on own accounting volume

    of his/her downline accounting volume.

    Qualifying Period (Two month retrospectively) The period in which you qualify for advancement

    to a higher commission level. This higher

    commission level will be effective the month

    after the qualifying period.

    Royalty Bonus A bonus payment received by an active

    consultant (refer to Active Royalty Bonus

    Terminology) on his/her breakaway downline.

    Sponsor This is the person who originally introduced you

    to the business opportunity.

    Stock code The codes given to identify each item of the

    products

    Starter kit The initial start kit is given when registering with

    us and contains printed materials, receipt pads,

    agreement forms and the business manual. In

    addition the Starter Kit will contain informational
