“It’s my land, why can’t I do what I want with it?”This question is often asked by clients who consultus after purchasing a piece of property only to findout that their proposed use is not permitted under thelocal zoning code. Or, even worse, that it is prohibitedby a private restrictive covenant. Unfortunately – andfar too often – this realization is made after title hasalready been transferred, leaving the client with property they are unable to use as intended. NewYork Law follows the principle of “caveat emptor”which is Latin for “let the buyer beware.” This meansthat a seller cannot be held liable for failing to disclose information about a property to a buyer.Thus, it is the purchaser’s responsibility to conduct athorough zoning due diligence review to ensure thatthe property will be suitable for its intended purpose.Performing the proper due diligence is equally important to the development of a large commercialproperty as it is to a purchaser of a residential prop-erty, as all possible uses depend on the current localzoning regulations. Failure to adhere to the zoningregulations can result in the issuance of summonses,imposition of fines and even in some cases, injunc-tive relief to cease operation of a business or to haltconstruction. For these reasons, the most successfulreal estate investors and developers undertake athorough zoning due diligence review before closingon any property. While each property is different andthe due diligence necessary for a full zoning analysisvaries from property to property, there are three critical areas that any purchaser of real estate shouldinvestigate before taking title to property.

Know Your Zoning DistrictThe first step is to determine the zoning district thatthe property is located within. The zoning district willdetermine whether the property can be used for com-mercial, industrial, business, or residential purposesand will indicate the specific uses permitted in thatdistrict. It will also set forth dimensional limitations onthe size of the building improvements for that district.All of this information will allow a purchaser to deter-

mine if the land is appropriate for his or her intendeduse. This information can be obtained from the localmunicipality’s building department.

Review the Building Department FileWe often hear from clients interested in purchasingproperty that they were told by the seller that theiruse of the property is a legally pre-existing use andtherefore it can be continued. If a purchaser intendsto continue that use after purchasing the property,proof that the use is in fact legally nonconformingshould be obtained. The mere fact that a predecessorused the land for a particular use for many years, andthat use is no longer permitted, does not establish alegally non-conforming use. It must be demonstratedthat the use of the property was legal under the zon-ing ordinance at the time it was commenced. Addi-tionally, because land use approvals “run with theland” knowing whether there was a prior special usepermit, variance, change of zone or other land useapproval granted is critical to determining whetheryour proposed use is truly legally non-conforming.

Order a Title SearchA title search will provide a comprehensive examina-tion of all documents recorded against a property. Athorough review of the deed, recorded restrictivecovenants, easements, and other encumbrances willdetermine if there are additional limitations on thepossible use or development of a property beyondthe local zoning regulations. There are many instances where a particular use of a property complies with the relevant zoning code, but it is otherwise restricted by a private covenant placedagainst the property. A purchaser must comply withthe local zoning code and any previously recordeddeed restrictions or covenants. While the purchase ofreal estate can be a complicated process, conductingthe proper zoning due diligence prior to making asubstantial investment can save significant time andmoney. Having a zoning attorney perform the properdue diligence will ensure that your next real estate in-vestment will be a wise and profitable investment.

Bereavement Leave Billwaiting to go to the Governor:In the waning hours of the 2018 NYS Legislative Session the NYS Legislature passed legislation which adds “bereavement” to the Paid Family Leave Act of 2016. S8380-A/A10639-A is currently waiting to be sent to the Governor. This legislation states“Family Leave” shall mean any leave taken by an employee from work for the “purposesof bereavement due to the death of a family member.” If the bill is signed by GovernorCuomo, and it is fully expected that he will, despite the objections of the business com-munity, it will not go into effect until January 1, 2020. LIGRA will continue to closely mon-itor the status of this legislation and keep members informed of any new regulationspromulgated if, and when, it is approved.
