THE LITIGATION GROUP

Antitrust and Unfair Competition

Warner offers a full range of services to companies facing antitrust and trade regulation matters. We have extensive experience advising clients on antitrust compliance issues and representing them in civil and criminal antitrust and unfair competition litigation.

The best way to avoid antitrust and unfair competition charges is through careful planning. We regularly advise clients on the antitrust implications of proposed trans-actions, marketing and business plans, and patent and technology licenses. We also work closely with clients to develop practical and effective antitrust compliance programs.

Appellate

Warner has a long and successful history of preserving favorable trial court results and overturning unfavorable ones. Our Appellate Practice Group uses skills and knowledge developed in federal and state appellate courts throughout the country, including clerkship experiences in the United States Courts of Appeals for the Fourth, Sixth, Seventh, Eighth, Ninth and D.C. Circuits.

Our appellate attorneys are regularly retained by cli-ents to challenge or defend results obtained by other attorneys, as well as by clients who wish to participate in appellate proceedings as amicus curiae.

Banking, Financial Institutions and Creditors’ Rights

We frequently represent banks and financial institu-tions in litigation and bring our experience in both litigation and financial services law to these cases. We have represented large and small financial institutions in defense of consumer class actions, Justice Depart-ment investigations and litigation, multimillion dollar lender liability claims, and other important cases.

Our group also includes attorneys who specialize in commercial loan enforcement, contested bankruptcy proceedings and negotiable instrument litigation. We frequently represent brokerage firms and investment managers in both regulatory proceedings and civil cases involving securities fraud complaints, customer

complaints and regulatory issues. In addition, our at-torneys have experience dealing with customer and employee fraud and embezzlement.

Class Action Defense

Our class action defense team, which consists of at-torneys specializing in securities, antitrust, insurance, financial services and product liability, has never lost a class action, consistently defeating class certification efforts and/or securing outright dismissal of cases through innovative and cost-effective techniques.

The practice is centered in Michigan, but it handles class actions throughout the country.

Commercial and Business Contracts

We handle all types of litigation arising from commer-cial transactions and business contracts. These include breach of contract cases, purchase or sale transactions, enforcement of contractual covenants, uniform com-mercial code disputes, breach of warranty claims, pay-ment disputes and trade practice claims.

We have successfully prosecuted and defended against such claims in state and federal courts and in arbitration proceedings, involving a wide range of business agree-ments, products, equipment transactions and services. Clients include leading firms in the manufacturing, distribution, processing, wholesaling, retailing and service industries.

Construction

We represent owners, design professionals, contractors, subcontractors and suppliers in a full array of litigation and arbitration proceedings involving construction projects and completed improvements. These proceed-ings range from contractual disputes to tort claims and include such matters as contractual disputes regarding contractor performance and payment, professional malpractice claims involving alleged design errors and third-party tort claims for personal injury or property damage.

Our trial attorneys working in the construction field are familiar not only with the rules of procedure governing such cases but also with the contractual arrangements and relationships that are typically used on more sig-nificant construction projects. We also have attorneys who serve as construction industry arbitrators with the American Arbitration Association.

Criminal Defense

We regularly represent businesses and individuals who are the subject of governmental investigations and prosecutions in criminal matters. We place special em-phasis on cases of alleged business crimes, often called “white collar crimes,” including alleged violations of the securities laws, antitrust laws, environmental laws and the state and federal tax laws.

We represent businesses and individuals in both grand jury proceedings and criminal prosecutions in state and federal court.

Divorce and Family Law

Warner represents clients in all aspects of family law, customizing our approach to the client’s specific circumstances. We provide services in the areas of pre-marital and post-marital agreements, separation agreements, annulment, divorce, custody and parenting time, spousal and child support, property division, and post-judgment financial and custody matters.

We counsel clients on unique methods to settle disputes in an effort to minimize the emotional difficulty often encountered in connection with these types of cases, while at the same time zealously advocating for and protecting our client’s interests. Whenever possible, we strive to resolve issues by agreement; however, we are experienced litigators who are able to effectively try those cases that cannot be settled.

Employee Benefits

We believe successful employee benefits litigation lawyers rarely see the courtroom. But when litigation seems unavoidable, we have the experience to achieve an advantageous outcome.

Members of our Employee Benefits Litigation Group strive to help employers avoid the litigation process as a whole. To achieve that, members of Warner’s EB litigation team work with employers to establish appropriate claims procedures and appeals processes before problems arise. When a troublesome claim does arise, our attorneys can help you evaluate the claim and possible resolutions.

Our attorneys are well versed in employee benefits disputes, including claims for benefits under ERISA

plans, ESOP matters, third party administration dis-putes, professional negligence, breach of fiduciary duty claims, and termination of retiree benefits.

Environmental

We represent major manufacturing, chemical and other industrial companies in the defense of environmental claims brought by both state and federal regulators. We also have been involved in numerous private cost-recovery actions.

We have an extensive administrative and judicial en-forcement practice and have negotiated administrative settlements for many clients in a number of different industries spanning all current environmental issues. We also have developed extensive expertise in dealing with environmental claims in bankruptcy, in represent-ing corporations and individuals charged with environ-mental crimes, and in both pursuing and responding to claims against insurance companies and other private parties to recover environmental cleanup costs.

Toxic tort or chemical exposure cases frequently follow environmental enforcement actions. Our attorneys have extensive experience in toxic tort litigation involving claims of personal injury and property damage. We have represented chemical companies and manufacturers in cases of accidental contamination of animal food, chemical spills and groundwater contamination. As defense counsel in toxic tort litigation, we frequently deal with the critical, evolving issues of medical and technical causation.

Our environmental litigators are actively involved in Superfund negotiation and litigation for site cleanup throughout the country. We also represent clients in state “Mini Superfund” matters throughout the Midwest and in other regions. Our attorneys are very familiar with the issues and those people most active in Superfund cases because we have provided lead representation and participate in steering committees at these sites.

Insurance

Our attorneys are involved in a variety of insurance issues including insurance company liquidation pro-ceedings, insurance litigation, coverage cases and the construction and interpretation of liability insurance policies. Attorneys in this group also handle disputes with insurance carriers.

Our attorneys also advise clients on how to reduce liability exposure. We have particular expertise in advising clients on methods that can be used to avoid product liability claims.

Intellectual Property

We handle litigation on behalf of both patent own-ers who are enforcing patent rights against infringers and in defending parties against allegations of patent infringement. We also represent clients in trademark and unfair competition litigation.

Often, there are matters in dispute between parties before the Patent and Trademark Office. In those cases, we have been called upon to handle matters such as patent interference and protest proceedings, as well as trademark opposition and cancellation proceedings. We also have broad experience in copyright litigation and trade secret litigation.

Labor and Employment

We represent clients in state and federal courts and before administrative agencies such as the Michigan Department of Civil Rights, the National Labor Rela-tions Board and the Equal Employment Opportunity Commission.

Our labor and employment litigation attorneys handle wrongful discharge, discrimination, harassment and various other types of employment litigation, includ-ing compliance issues related to EEO, ADA, FMLA, OSHA and MiOSHA, FLSA, WARN and other laws. We also have litigation specialists in the areas of ERISA, non-compete agreements and the protection of trade secrets.

Probate

Warner has broad experience in handling a variety of probate litigation matters throughout Michigan. We regularly represent clients in litigation concerning the validity and construction of wills and trust agree-ments, involving legal theories of fraud, duress, undue influence, mistake and mental incapacity. We also regularly represent clients in litigation related to the administration of property held in trust, involving is-sues such as fiduciary self-dealing, investment decisions including portfolio composition, retention and sale of specific assets and distributions to beneficiaries. Our probate litigators are experienced in handling these

types of matters at both the trial court and appellate court levels.

Product Liability

We have broad experience in representing national companies in lawsuits alleging defects in pharmaceu-ticals, consumer goods, motor vehicles, construction and road equipment, and a host of other products. We have served as both state and national trial counsel for corporations involved in product liability cases. We have also counseled clients on consumer product regulatory issues, representing them before the U.S. Consumer Product Safety Commission as well as regulatory authorities in Canada.

Our attorneys also handle matters involving the Vehicle Safety Act and the representation of clients before the National Highway Traffic Safety Administration.

Real Property

Our attorneys represent clients at both the trial and appellate levels in state and federal courts, and our experience extends to disputes involving nearly every area of real property law. With more than 140 years of collective experience, we have a breadth and depth of expertise and practice knowledge that is exceptional.

Securities

We regularly counsel and defend broker-dealers, their registered representatives and other members of the se-curities industry on the complete spectrum of securities litigation. We serve numerous publicly traded compa-nies; national, regional and local brokerage firms; and their officers, directors and registered representatives. We also regularly work with insurance carriers.

Our assistance to clients includes successfully resolving individual and class action claims and regulatory en-forcement actions asserted under the Federal Exchange Acts of 1933 and 1934, state securities laws, common law and self-regulatory organization rules. Members of our group have served as federal and state government securities regulators and have participated on federal and state securities advisory committees and boards. We also provide proactive advice on important issues such as hiring and firing registered representatives, creating and navigating non-compete agreements, obtaining or defeating temporary restraining orders and compliance procedures that help reduce the risk of potential litigation.
