MEMORANDUM OF AGREEMENT BETWEEN THE TEXAS NATURAL RESOURCE CONSERVATION COMMISSION AND THE UNITED STATES ENVIRONMENTAL PROTECTION AGENCY I REGION 6 I. To the extent possible, EPA and the TNRCC seek to simplify the revitalization of industrial and commercial properties by addressing the existing regulatory impediments to the financing, transfer and appropriate use of these properties. Both agencies will work in a cooperative and coordinated effort to ensure that successful implementation of this endeavor is accomplished and pledge to employ their authorities and their resources in mutually complementary, non-duplicative methods.

I. Purpose

The Texas Natural Resource Conservation Commission (TNRCC)and Region 6 of the United states Environmental ProtectionAgency (EPA), enter into this Memorandum of Agreement (MOA),for the purposes of supporting the TNRCC Voluntary CleanupProgram (VCP) and defining the roles and responsibilities ofEPA and TNRCC with respect to activities conducted under theauthority of the TNRCC VCP.

II. Eliqibility for VCP

III. Background

EPA and the TNRCC believe the revitalization of contaminatedproperties, or properties perceived to be contaminated(often called "Brownfields"), will provide a significantbenefit to the environment and economies of the localcommunities of the state of Texas. To the extent possible,EPA and the TNRCC seek to simplify the revitalization ofindustrial and commercial properties by addressing theexisting regulatory impediments to the financing, transferand appropriate use of these properties. Both agencies willwork in a cooperative and coordinated effort to ensure thatsuccessful implementation of this endeavor is accomplishedand pledge to employ their authorities and their resourcesin mutually complementary, non-duplicative methods.

EPA and the TNRCC seek to protect human health and theenvironment by encouraging the voluntary investigation andcleanup of properties in Texas by implementing the followingstrategic goals:

1. Promoting appropriate investigations and cleanups bygroups/individuals participating in the VCP.

2. Developing partnerships between EPA, the TNRCC, otherstate and local governmental agencies and externalstakeholders in Texas, including representatives fromcitizen/community groups and the private sector.

3. Providing necessary information to property owners,prospective purchasers, lenders, public and privatedevelopers, citizens, municipalities, counties andelected officials to allow for informed decision-making.

4. Providing public involvement activities to ensure theaffected public is informed of response actions relatedto the VCP. Activities conducted by VCP applicants toinform the affected public may include notices in localnewspapers, block advertisements, letters to individualhouseholds and businesses or other personal contactsregarding the contamination. The TNRCC will makeavailable for inspection and copying all reports on itsposition regarding voluntary cleanup sites. The TNRCCwill respond to all public inquiries and commentsregarding voluntary cleanup activities in a timelymanner.

5. Promoting mitigation of exposure to contaminated mediacost-effectively, consistent with projected future usesat the sites and applicable federal and state law.

6. Promoting response action objectives when approvingmitigation measures for the sites.

To accomplish these goals, EPA will help and support theTNRCC in further developing and expanding the use of theVCP. EPA recognizes the VCP as instrumental in developingand implementing successful strategies to help promotevoluntary investigation, cleanup and revitalization ofBrownfields properties. The TNRCC will assist and supportefforts to promote and implement the EPA Brownfieldsinitiatives. The TNRCC and EPA recognize each other as keypartners in the ongoing success of the VCP. TNRCC alsorecognizes the role of EPA in addressing the uncertainty offinancing, transferring and developing Brownfields sites byquantifying the risks of federal liability.

ImplementationIV.

TNRCC and EPA should work in a coordinated effort to ensurethere is no duplication of effort at the sites, and thatsite cleanups continue in a timely fashion. TNRCC willnotify EPA when sites are being addressed under the VCP.While a RCRA site is being addressed under the VCP, TNRCCwill code that site in the Resource Conservation RecoveryInformation System (RCRIS) to reflect that site's status.While a comprehensive Environmental Response, compensationand Liability Act (CERCLA) site is being addressed under theVCP, EPA will code that site in Comprehensive EnvironmentalResponse Compensation Liability Information System (CERCLIS)to reflect that site's status.

In the unlikely event that a RCRA facility which is beingconsidered for the VCP is also listed on the EPA Region 6Corrective Action Prioritization System (R6CAPS) as a mediumor high priority facility, the facility will not be excludedfrom consideration for federal investigation or remedialaction. Attachment A to this document is a listing of highand medium priority facilities currently ranked on theR6CAPS. Facilities are ranked as high or medium priority onR6CAPS as a result of the size and complexity of thefac1lity's operations and/or environmental issues.Facilities will be added periodically to the R6CAPS afterconsultation with the TNRCC. Consideration for addingfacilities to R6CAPS will be based upon the size andcomplexity of the facility's operations and/or environmentalissues. High and medium priority RCRA facilities thatcomplete response actions at a facility or portions of afacility and receive a certificate of completion under theVCP, may request that they be reevaluated under R6CAPS.This reevaluation may result in removal from high or mediumpriority categories.

Once any necessary response action at all involved portionsof a site is complete, EPA will archive from CERCLIS thosesites remediated under the authority of the VCP and forwhich TNRCC has issued a certificate of Completion. At aminimum, TNRCC and EPA should discuss the status ot sitesmonthly.

While a site with an ongoing investigation or remediationremains in compliance with the terms of a VCP agreement, orwhen a site investigation or remediation has been completedaccording to the practices and procedures of the VCP and theTNRCC has issued a certificate of Completion for the siteupon a review and approval of the Response Action CompletionReport or other final report, or the TNRCC has issued acertificate of Completion for part of the site, EPA will not

plan or anticipate any federal action under CERCLA, 42U.S.C. § 9601, ~ ~., or RCRA, 42 U.S.C. § 6901 ~ ~.,for that part of the site, unless it is determined that thesite poses a threat to human health or the environment, animminent and substantial endangerment or emergencysituation, and as a result, Federal response actions arewarranted.

In addition, in accordance with Section IV of this MOA, EPAand TNRCC will suspend further action or take no action atsites being investigated or remediated under the VCP. EPAmay resume or initiate response actions at such sites onlyif: (a) the VCP applicant fails or refuses to complete thenecessary cleanup, and TNRCC is unable to ensure completionof response actions at those sites; or (b) an emergencysituation arises that would require Federal intervention.

In all cases, the EPA decision not to take federal responseaction for sites implementing investigation and cleanupunder the VCP will be based strictly on the informationknown by EPA and TNRCC at the time of the TNRCCdetermination concerning the site.

If, following the issuance of the certificate of Completionby the TNRCC, conditions at the site, previously unknown toTNRCC and EPA, indicate that the response action undertakenpursuant to the VCP is not protective of human health andthe environment, TNRCC and EPA reserve the right to takenecessary response action to protect human health and theenvironment.

TNRCC will continue to demonstrate that its VCP has adequateresources to ensure that voluntary response actions areconducted in an appropriate and timely manner, and thatmeaningful outreach efforts are available to affectedinterest-holders. TNRCC shall continue to make available tocurrent and prospective owners, lenders, and affectedinterest-holders, both technical assistance and streamlinedprocedures to ensure adequate involvement throughnotification and expeditious voluntary response actions.

EPA will continue to work with TNRCC to remove any concernsabout federal activity under CERCLA and RCRA so as toencourage the financing, transfer, and appropriatedevelopment and reuse of properties in Texas. EPA and TNRCCwill provide technical assistance to local and stategovernmental agencies in order to facilitate therevitalization of contaminated or potentially contaminatedproperties in Texas.

EPA may provide, in its sole discretion, and afterconsultation with the TNRCC, resources to local and stategovernmental agencies in order to support Brownfieldsinitiatives in Texas.

Protectivenessv.The VCP shall ensure that voluntary response actions areprotective of human health and the environment. Upon theassessment of a site, the VCP should determine whether thesite poses a threat to human health and the environment, andwhether mitigation of the potential exposure of human andecological receptors to contaminated media is warranted,consistent with applicable Federal and state law.Protective contaminant concentrations in a media will bedetermined by the VCP, consistent with projected future usesat the site.

Mitigation of exposure to contaminated media shall beconducted cost-effectively, consistent with projected futureuses at the site, and consistent with applicable Federal andstate law. Mitigation measures may include one or more ofthe following: (1) Treatment of contaminated media toacceptable exposure levels; (2) Containment of contaminatedmedia to acceptable exposure levels; (3) Transport to off-site treatment; or (4) Restricted access to and/or use ofthe site through institutional controls.

VI. Reporting

On a monthly basis the TNRCC will report to EPA on thefollowing:

1. Number, names and types of sites participatinq in theVCP and the status of those sites;

2. Number, names and types of sites applying for orentering the VCP the previous month;

3. Sites having received Certificates of completion fromthe TNRCC of full or partial completions in theprevious month; and

4. Notifications of any VCP non-completions or defaults.

VII. Modification

EPA and TNRCC may modify this MOA from time to time tosimplify and/or define the procedures contained herein. EPAand TNRCC shall keep the other informed of any relevantproposed modifications to its statutory or regulatoryauthority, forms, procedures, or priorities. This MOA shallbe revised, as necessary, by the adoption of suchmodifications. The MOA should be reviewed on an annualbasis by EPA and TNRCC staff to determine if revisions, arenecessary. A modification must be in writing and signed bythe signatories or their designees to become effective.

VIII. Reservations of rights

EPA and TNRCC reserve any and all rights or authority thatthey respectively have, including but not limited to, legal,equitable, or administrative rights. This specificallyincludes EPA and TNRCC's authority to conduct, direct,oversee, and/or require environmental response in connectionwith any facility or site which participates in the VCP.Notwithstanding any other provision of this MOA, nothingherein affects or limits EPA or TNRCC's authority or abilityto take any enforcement action authorized by law.
