GENERAL CONDITIONS OF SALE1. FINANCIAL TERMS & CONDITIONS

1. In these Conditions of Sale: “ The Supplier” means Debbie-Lee Patterson, in her personal capacity, “The Customer” means any person or organisation to whom products are sold by the supplier, “products” means any goods supplied by the supplier, “Trade Price” means the price at which the products are to be sold by the supplier to the customer, excluding delivery costs. All postal and courier services will be payable by the customer.

2. It is recorded that the only basis upon which the supplier will do business with the customer, is, notwithstanding in the customer’s order or other documentation or discussion to the contrary, the terms and conditions contained herein which shall constitute the sole terms of the agreement the supplier and the customer. If telephone orders are placed by the customer, the supplier requires such orders to be confirmed in writing by the customer, prior to the acceptance thereof by the supplier. The resulting contract shall be deemed to be subject to the same terms and conditions.

3. The supplier reserves the right to alter the trade price without prior notification. The supplier reserves the right to make part deliveries.

4. Full payment for orders shall be effected by EFT bank transfer prior to the delivery of products by the supplier to the customer. Proof of payment required to the fax number or email.

5. Upon delivery of the products by courier or postages, the customer shall be obliged to inspect all products and shall endorse the delivery note as to any missing or damaged products. No claims for missing or damaged products shall be valid unless the customer notifies the supplier in writing within three (3) business days of delivery of the products of the claim in question. The customer shall bear the onus of proving that any of the products are missing or damaged.

6. The supplier reserves the right to a levy handling fee on the products returned to and accepted by the supplier. This clause shall not be used to imply that the supplier shall be obliged to accept the return of any products.

7. The customer shall not be entitled to cede or assign any rights and/or obligations which it may have in terms of this agreement to any third party. The customer shall be liable for all costs incurred by the supplier in the recovery of any amounts or the enforcement of any rights, including collection charges and costs of any attorney and own client scale whether incurred prior to, or during the institution of legal proceedings, or if judgement has been granted, in connection with the satisfaction or enforcement of such judgement.

8. The order shall be signed by the customer or his duly authorized agent in his absence whose signature and acceptance shall be subject to the same terms and conditions as that of the customer and shall be binding on the customer as fully and as in the same manner as if the customer had signed personally.

2. RESERVATION OF OWNERSHIP IN GOODS DELIVERED

Ownership of the products shall not pass to the customer until the contract price in the respect of the products in question has been paid in full. Notwithstanding that the ownership in the products shall not pass to the customer until payment of the entire contract price in respect of the products in question has been effected, the products shall be at the risk of the customer (who will be responsible for all loss or damage hereto howsoever arising) upon dispatch thereof from the premises of the supplier.

3. RETAIL IMAGE AND STOCK REQUIREMENTSThe customer undertakes not to sell the products to any person other than bonafide customers in the ordinary and regular course of business at the specified address on the order form.
