TENDER FOR :- Laying of 11 KV Underground Power cable by Horizontal boring machine for railway track crossing for 11 KV Lahavit Feeder under GFSS-I Scheme.

1) MSEDCL has taken every care to make the documents complete; it will be the responsibility of the tenderer to check that tender documents handed over to him are complete in all respect.

2) In case of any clarification, the tenderer is requested to contact immediately and in any case at least one hours before due date & time of submission of the tender documents.

3) In case no reference is received from the tenderer, it will be presumed by the MSEDCL that the tender documents received by the tenderer are complete in all respect. The tenderer shall not raise any complaint/dispute subsequently.

4) In case the due date of the tender submission and opening happens to be a holiday, the next working day will be considered as due date.

5) The tenderer has an option to send his tender either by post or by a messenger. However the tender must be received by MSEDCL. on or before the due time on appointed date. In case any tender is received after due time and date the same will be rejected. Postal delay or any other delay will not be considered.

6) The tender documents are not transferable.

7) A tenderer can submit only one tender. In case multiple tenders are submitted, all such tenders will be rejected.

8) In case there is conflict between the instruction given above & the relevant terms & conditions given elsewhere in the tender specification the above instructions shall govern.

9) The tenderers are requested to write their confirmation where asked for. Silence on any part will be taken granted in favour of the Company.

10) The tender shall be submitted in two-envelope system as under. In absence of proper documents duly attested in Envelope No. 1, the Envelope No. 2 shall not be opened

CONDITIONS OF TENDER AND SUPPLY1. Scope of Work

The Executing Agency, (also referred to as “The Employer”) invites sealed bids from eligible bidders for Laying of 11 KV underground power cable by Horizontal boring machine for railway track crossing for 11 KV Lahavit Feeder under GFSS-I Scheme.

1.2 The successful bidder will have to complete the works on within 1 (One) months from awarding of the contract.

1.3 The successful bidder has to start the work at site/sites covered under the Sub division/Division as per activity schedules.

2) One Bid per Bidder

Each bidder shall submit only one bid.

3) Site Visit

3.1 Information about works given in bidding documents is purely tentative one and may change during actual execution as per site requirements. The bidder is advised to visit and examine the sites of Works and their surroundings and obtain for himself, at his own risk & cost, all information that may be necessary for preparing the bid and entering into a contract for the Works. The costs of visiting the Sites shall be at the bidder’s own expense. The sites selected may vary due to the encumbrance at present installation. The changes/variations of any of proposed sites would not confer right for the extra additional claims.

3.2 The Employer will not entertain any claim at any stage from the bidder on the plea of having him self not acquainted sufficiently to the site conditions.

4) Clarification of Bidding Documents

4.1 A prospective bidder requiring any clarification of the bidding documents may notify the Employer in writing or by cable (hereinafter, “cable” includes telex and Tele-Fax) at the Employer’s address indicated in the Invitation for Bid.

4.2 The Employer will respond to any such request for clarification, which he receives up-to 10 days prior to the deadline for submission of this. Copies of the Employer’s response will be forwarded to all tenderer of the bidding documents including a description of the enquiry but without identifying its source.

4.3 Request for clarification or any delay in complying with such request by the Employer, shall not in any way affect the obligation on the part of the bidder to send the complete bid by the deadline indicated.

4.4 Immediately upon purchase of the bidding document, the prospective bidder shall inform the Employer the details as given below to facilitate the process of clarification.

5) Amendment of Bidding Documents

5.1 Before the deadline for submission of bids, the Employer may modify the bidding documents by issuing addenda.

5.2 Any addendum thus issued shall form part of the bidding documents and shall be communicated in writing or by cable to all purchasers of the bidding documents. Prospective bidders shall acknowledge receipt of each addendum by cable to the Employer.

5.3 To give prospective bidders reasonable time in which to take an addendum into account in preparing their bids, the Employer may extend the deadline for submission of bids by a maximum period of 15 days.

6) Bid Prices

6.1 The bidder shall fill in the rate for all the activities (as per description in the schedule, drawings, and specifications) in the Schedules. However fees paid towards inspection of the Electrical Inspector & fees paid towards clearances from other Govt /Semi Govt departments/Municipalities etc will be reimbursed on submission of receipt for such payment made.

6.2 Items not indicated in the schedule but are required as part of equipment / work shall also be deemed to have been covered by the rates and prices in the activity schedule.

6.3 The Bid price shall include all taxes and duties, inclusive of Corporate tax, Income Tax, Service tax, VAT, all the prevailing taxes, Excise duty, other fees, cesses, deposits etc. whatsoever, and the Employer shall not be liable for payment for any such taxes and duties as may be applicable as per Indian Law. All statutory duties (including excise or customs), taxes and other levies payable by the Contractor under the Contract, or for any other cause, shall be indicated equipment / material wise separately in details in the Bid submitted by the bidder. The bid price shall include the cost of charges for obtaining any permit or license. No form pertaining to sale tax, VAT will be issued.

6.4 Statutory deductions will be made as par prevailing applicable rules.

6.5 100% payment towards newly introduced taxes, duties and statutory variations, subsequent to the date of submission of the bid, by the Central or the State Govt. shall be reimbursed to the contractor only against due documentary proof.

6.6 However, in case of reduction/abolition of any taxes, duties, levies, cess etc. by the Central or the State Govt. during the currency of contract, the benefit of the same shall be passed on to the employer.

6.7 Activity wise price quoted by the bidder /total activity wise average price quoted will be considered for rate comparison. Discount offered, if any shall be prominently indicated in the price bid.

6.8 As regards Indian Income Tax, surcharge on Income Tax and any other Corporate Tax, the Employer shall not bear any tax liability whatsoever irrespective of the mode of contracting. The bidder shall be liable and responsible for payment of such taxes, if attracted under the provisions of Indian law. However IT deductions at source as per Income Tax rules will be made.

6.9 TDS towards all the applicable taxes shall be deducted, from the payment of contract value as per the rate applicable.

6.10 Relevant provisions under Indian laws / Acts for P.F., Labour Contract, and any other Law/ Act as may be applicable to the works under this contract will be applicable though not mentioned specifically in above list.

6.11 The Bid price quoted by the Bidder shall be firm and not subject to price variation during the subsitance of the contract on account of cost escalation, changes in taxes etc by appropriate authority.

6.12 The contract is to be treated as a non-divisible contract, which includes all applicable taxes, duties, etc as indicated above and no concessional forms such as ‘E’, ‘C’ etc. will be issued to the contractor.

6.13 Tenderers are prohibited from making any additions or alteration in the description of articles mentioned in the Schedule. They should either write rate for articles described in the Schedule or writes ‘RATE NOT QUOTED’ against each item if they wish to quote for any similar item. They may do so by adding such items at the end of the Schedule.

6.14 All tenders must be submitted on this form and must be clearly and legibly filled in. Quotation and remarks must be either in ink or typewritten. Tenderers are requested to sign the form of tender and schedule of rates and if not signed the tender shall be rejected.

6.15 If M.S.E.D.C.L. (Previous M.S.E.B.)’S STANDARD TERMS & CONDITIONS are not acceptable, they should specify deviation in the body of the tender on the separate sheet.

6.16 The tenderer must initial all corrections whatsoever made in the tender

7) VALIDITY OF TENDER: All tender offers opened for acceptance by the Company, must be valid for a period of 120 days from the date of opening the tenders and the tenderer shall be bound to do the work on such acceptance. All quotations submitted against this tender shall be deemed to comply with this condition.

8) EARNEST MONEY DEPOSIT: a) The Earnest Money Deposit payable to the Board/company shall be paid by the due date in the office. The E.M.D. may be paid in cash during working hours or may be paid by Demand Draft drawn in favor of Maharashtra State Electricity Dist.Co.Ltd. & payable at Nashik of

any Natinalised / Scheduled Bank and or attached with the documents in envelope no.1. A reference to the tender No. shall be invariably given in each case &

Receipt Number should be mentioned in your tender. No interest will be allowed on the above Deposit. The necessary concessions to bonafied S.S.I. Units will be given as per prevailing Govt. rules. E.M.D. will not normally be retained by the Board/Company for more than 6 months from the date of opening of tender.

9) Earnest money Deposit will be liable for forfeiture (i) if the offer is withdrawn within validity period of offer. (ii) if the tenderer fails to deposit the security deposit after placement of order. (iii) if the successful tenderer refused to sign complete contract documents and agreement to execute the contract work.

10) Bid Opening

10.1 The Employer will open the Envelope-I of the bids, including its modifications made pursuant to Clause 21, in the presence of the bidder’s representatives who choose to attend at the time of opening. The bidder’s representatives who are present shall sign a register evidencing their attendance.

10.2 The bidders’ name, bid modifications and withdrawals, the presence or absence of EMD, and other details as the Employer may consider appropriate, will be announced by the Employer at the time of opening of Envelope-I.

10.3 The Employer will examine the document under Envelope-I of the bid in accordance with the requirements with the bid document. If any of the documents under Envelope-I is found to be not complying with the requirement of the bid document, the bid will be considered as non-responsive & Envelope-II of the corresponding bid will not be opened for further evaluation.

10.4 The responsive bidders of the Envelope-I shall be notified by the Employer to attend the opening of the Envelope-II of the bids.

10.5 Employer will announce the bid price, any discount, bid modifications and withdrawals and such other details, as the Employer may consider appropriate, at the time of opening of envelope of the bids.

11.0 Process to be Confidential

Information relating to the examination, clarification, evaluation and comparison of bid and recommendations for the award of a contract shall not be disclosed to bidders or any other persons not officially concerned with such process until the award to the successful bidder has been announced. Any effort by a bidder to influence the Employer’s processing of bids or award decisions shall result in the rejection of his bid.

12.0 Correction of Errors

12.1 Bids determined to be substantially responsive will be checked by the Employer for any arithmetic errors. The Employer will correct errors as follows: where there is a discrepancy between the amounts in figures and in words, the amount whichever is lower will govern.

12.2 The amount stated in the Form of Bid will be adjusted by the Employer in accordance with the above procedure for the correction of errors and shall be considered as binding upon the bidder. If the bidder does not accept the corrected amount of bid, his bid shall be rejected and the EMD will be forfeited in accordance with Sub-clause 15.6 (b).

13.0 Award Criteria

Subject to Clause 14, the Employer will award the Contract to the bidder whose bid has been determined to be substantially responsive to the bidding documents and who has offered the Lowest Evaluated Bid Price,

provided that such bidder has been determined a) to be eligible in accordance with provisions of Clause 2, and (b) qualified in accordance with provisions of Clause 3.

14.0 Employer’s right to accept or reject, any or All Bid(s).

14.1 Notwithstanding Clause 13, the Employer reserves the right to accept or reject any or all bid(s), and to cancel the bidding process and reject all bids, at any time prior to award of Contract, without thereby incurring any liability to the affected bidder or bidders or any obligation to inform the affected bidder or bidders on the grounds for the Employer’s action.

14.2 The Employer does not bind himself to accept the lowest or any bid, neither will any reason be assigned for the rejection or part of bid. It is also not binding on the Employer to disclose any analysis report on bids.

15) ADDRESSING TENDERS: Tenders must be submitted in envelopes, which must be properly sealed by the tenderer with their office seals and must be super scribed with the following: (a) Tender No. (b) Due date of tender (c) E.M.D. details.

16) EARNEST MONEY OF UNSUCCESFUL TENDERS: Earnest money deposit by unsuccessful Tenders will be returned as soon as possible after the tender has been settled upon. The tenderers are requested to return the original money receipt for the Earnest Money to this office.

17) DISREGARD OF TENDER CONDITIONS: The Company reserves to itself the right to reject any tender that does not confirm to any of the above conditions.

18) SECURITY DEPOSIT: Every tenderer whose tender is accepted either in whole or in part must submit security deposit money within 7 days from the receipt of work order towards security for the due & proper fulfillment of his contract by Demand Draft payable to the Maharashtra State Electricity Distribution Company Ltd. or Bank Guarantee from a Nationalised / Scheduled bank in the form approved by the Company. In the event of the tenderer failing to deposit such security, within the stipulated period, the Company shall have full discretion to cancel the acceptance communicated to the said tenderer. The Security Deposit will be returned after completion of the work. No interest will be allowed on this deposit.

19) S.T. REGISTERATION: The tenderer must quote their S.T. registration no.otherwise purchase tax will be deducted from their bills, if the contract is awarded.

20) DUE DATE OF TENDER: All tender received up to the due date and time will be opened as far as possible on the specified date and time in the presence of the tenderers or their authorised representatives who chooses to remain present at that time.

21) GUARANTEE : The Contractor Shall guarantee that the equipments/materials will be new and in

accordance with the contract documents and will be free from defects in material and workmanship for a period of 1 years from the date of final acceptance of the works by the employer. Any defects developed due to defective materials and / or workmanship during testing and commissioning of the equipments or during the guarantee period of 1 years from the date of final acceptance of works by the employer shall be rectified or

made good by the Contractor at his own cost. The contractor’s liability shall be limited to repair/replacement of any defective part in the equipment of his own manufacture or those of his sub Contractor and arising from faulty design, materials and / or workmanship. All costs for the repair and / or replacement of defective parts such as dismantling, re-erection, supply, transportation, etc shall be to the account of contractor.

21.1 No repairs or replacement shall normally be carried out by the Engineer when the plant is under supervision of Contractor’s supervisor. In the event of an emergency, where, in the judgement of Engineer, delay would cause serious loss or damage, repairs or adjustment may be made by the Engineer or a third party chosen by the Engineer without advance notice to the contractor and the cost of such work shall be paid by the contractor. In the event of such action taken by the Engineer, the Contractor will be notified promptly and he shall assist wherever possible in making the necessary corrections. This shall not relieve the Contractor’s liability under the terms and conditions of the contractor.

21.2 If it becomes necessary for the Contractor to replace or renew any defective portion of the plant under this clause, the provision of this clause shall apply to the portion of the plant so replaced or renewed until the expiry of 1 years from the date of such replacement or renewal.

21.3 The acceptance of the works by the Engineer shall in no way relieve the Contractor of his obligation under this clause.

21.4 If at any time during the guarantee period, it shall appear to the Engineer that any work has been executed with unsound, imperfect or unskillful workmanship or with materials of inferior quality or that any materials or articles provided by him for the execution of the work unsound or of a quality inferior to that contracted for or are otherwise not in accordance with the contract, it shall be lawful for the Engineer, notwithstanding the fact that the work or materials or articles complained of may have been inadvertently passed, certified and paid for the Contractor shall be found forthwith to rectify, to remove and reconstruct the work so specified in whole or in part, as the case may require, if so required to remove the materials or articles so specified and provided other proper and suitable materials or articles at his own charge and cost.

21.5 In the event of Contractor failing to remove the defect within time specified by the Engineer, the Employer may proceed to undertake the removal of such defect at the Contractor’s Cost and Risk, without prejudice to any other rights and recover the same from performance bank guarantee / other dues.

21.6 The Contractor shall promptly provide adequate staff at sites during guarantee period to attend to defects, if any.

22) INCOME TAX CLEARANCE: No tender will be considered unless it is accompanied by income tax clearance certificate issued by competent authority and solvency certificate in favour of tenderer from the Collector of the District where the resides or from the bankers to the extent of Rs. 50,000-.

23) QUANTITY VARIATION.The employer reserves the right to vary the quantity of items or group of items ordered, as may be necessary during the execution of contract without change in unit price or other terms and conditions. In case unit prices are not available the prices for the item added or deleted shall be mutually agreed upon. The contract shall be suitably amended to take care of this variation.

24) Force Majeure24.1 Force Majeure is herein defined as any cause which is beyond the control of the

Contractor or MSEDCL as the case may be, which they could not foreseen or with a reasonable amount of diligence could not have foreseen and which substantially affects the performance of the contract shall only be considered as force Majeure conditions which includes the following:

Natural Calamity including but not limited to flood, drought, earthquake, epidemics, volcanic activities, typhoon or cyclone, hurricane, Lightning and storms.

Provided the party effected by force Majeure shall within 15 ( fifteen) days from the occurrence of such cause notify the other party in writing of such cause with sufficient documentary proof.

24.2 The Contractor or the MSEDCL shall not be liable for delay in performing their respective obligations resulting from any force majeure cause as referred to and/or defined above, the date of completion shall be extended by a reasonable time even though such cause may occur after the Contractors performance of his obligations has been delayed for other causes.

24.3 In case of damage or destruction of any property or equipment belonging to the Contractor due to ‘ Force Majeure’ clause, the employer shall not be liable for the same

25) DEDUCTIONS: Any amount or amounts becoming due on account of damages or compensation for default or breach of contract by the tenderer in addition to the deduction from the security deposit. The said amount may be retained from any payments due to the tenderer and the board/Company shall have the amount/ amounts as may be retained from any payments due to tenderer from the board/company under particular contract or may be deducted by the board/company from amount/ amounts due or being due by him to the repairer under the same or any other contract. All tenderers disputes or difference arising under out of or in connection with the contract so concluded shall be subject to the exclusive jurisdiction of Nashik Courts.

26) FAILUER TO EXECUTE ORDER: In case of failure on the part of tenderer to cope up with the work within specified period, the same will be got executed through some other agency even at higher rates and the difference in amount if any will be recovered from the repairer.

27) MISCELLANEOUS: I) No modification of any kind such as rebates etc. in the tender value will be accepted after due date and time of receipt of tender. No deviation from specifications will be allowed. The Company will however, be free to negotiate any particular item with any tender, through a committee duly authorised in that behalf.

SPECIAL CONDITION OF CONTRACT FOR Laying of 11 KV underground power cable by Horizontal boring machine for railway track crossing for 11 KV Lahavit Feeder under GFSS-I Scheme.

1. After completion of works Laying of 11 KV underground power cable by Horizontal boring machine for railway track crossing for 11 KV Lahavit Feeder under GFSS-I Scheme, the measurement of the works shall be jointly carried out by authorised representative of Company and the contractor/ his representative. If fails to join, the Company’s representative at the time of measurement will be taken with the help of any person and the contractor shall have to accept these measurement.

2. 100% payment will be made by this office within reasonable time and as per availability of funds after satisfactory work completion and receipt of bill in triplicate duly recorded in MB and certified by undersigned and copy of receipt of credited old clamps to sub-divisional stores along with MB.

3. If any special extra item is required and not covered in the contract, the contractor shall get approval from The Supedtg. Engineer, Urban Circle, Nashik before carrying out the works.

4. The Material to be utilised and supplied by the contractor should be got approved by the undersigned before utilisation. If the material used is not as per approved sample, same will be replaced by the contractor at his cost and risk.

5. The decision of the Superintending Engineer, Urban Circle, Nashik about the interpretation of any item and actual scope of work covered in any items shall be final.

6. The parts should be of original genuine or reputed make of best quality and workmanship. It is presumed the tenderer has got qualified and experienced staff to carry out the repair work, which shall be confirmative with relevant Indian standard specifications and a clear certificate to that effect should be furnished on completion of work.

7. All the components / parts used shall confirm to the relevant I.S.S. and shall be of standard / documentary evidence of purchase and use of spare parts shall be produced if asked for.

8. Laisoning for permission from Railway Department is to be carried out by Succesful tenderer.
