Enclosed please find an original and seventeen (17) copies (five three-hole punched)of proposed changes to Potomac Electric Power Company's (Pepeo) Rate Schedule "R" -Residential Service, Rate Schedule "GS" - General Service, and General Terms and

Conditions, Section 2.f. GENERAL PROVISIONS FOR ELECTRIC SERVICE - CompanyConnection Facilities.

The proposed change to Schedules "R" and "GS" is to the Opt-Out fee section toreflect the deletion of non-time-of-use ERT (encoder receiver transmitter) or AMR (Automaticmeter reading) meter and replace with a solid-state meter not equipped with communicationsdevice. Pepeo requests this change from an ERT meter or AMR meter to a solid-state meternot equipped with communications device to better align with the desires of opt-out customersnot to have any active communication devices in the meter. Currently, Pepeo has just over1,200 opt-out customers.

AVAILABILITY

Available for Distribution Service and Standard Offer Service when modified by Rider "SOS" in theMaryland portion of the Company's service area for low voltage electric service where the use is primarilyfor residential purposes and for farm operations where the electricity for both farm and residentialpurposes is delivered through the same meter.

Not available for residential premises in which five (5) or more rooms are for hire.

Not available for seasonal loads metered separately from lighting and other usage in the same occupancy.

Not available for temporary, auxiliary or emergency service.

CHARACTER OF SERVICE

The service supplied under this schedule normally will be alternating current, sixty hertz, single phase,three wire, 120/240 volts, or three wire, 120/208 volts.

Billing Credit - A monthly billing credit in the amount of $0.61 will be applied to the bill of eachcustomer receiving a consolidated bill from an alternative supplier for services provided both byPepco and by the alternative supplier.

* Opt-Out Fees - Customers who choose to decline the installation of an AMI meter areconsidered to be Opting-Out and will incur a One Time Enrollment Fee payable in three monthlyinstallments as well as an Ongoing Monthly Fee. A customer who requests to Opt-Out of receivinga smart meter shall be moved to a non-time-of-use schedule and shall receive a non-time-of-use

solid-state meter not equipped with communications device for no additional costs beyond thespecified Opt-Out Fees. Opt-Out Customers will receive an initial bill that includes the firstinstallment of One-Time Upfront Fee and Ongoing Monthly Fee. An Opt-Out Customer can electto discontinue the application of Opt-Out Fees at any time by electing to have a smart meterinstalled. The Fees shall be waived and removed from the Customer's bill where the Opt-OutFees first appear if the customer agrees, before the end of the subsequent billing cycle, to have asmart meter installed, provided the customer allows reasonable access for

installation of the smart meter. For customers who elect to have a smart meter installed after the

initial billing cycle in which Opt-Out Fees are billed, the charges shall continue to be billed and

shall cease upon the earlier of the installation of a smart meter or within 30 days of receivingcustomer notification, provided the customer allows reasonable access for installation of the smartmeter. Charges begin the later of the first full billing cycle following July 1, 2014 or following thefirst full billing cycle after the AMI installation date in that customer's community.

A Customer who is non-responsive to Pepco's attempts to install a smart meter, as detailed inOrder No. 86727, shall also be responsible for these Fees. However, in the instance where acustomer is non-responsive to Pepco's attempts to install a smart meter, as detailed in Order No.86727, opt-out charges for those customers will be waived if the customer contacts Pepco toschedule a smart meter installation within 30 days after the charges first appear on the bill.

The applicable fees for enrolling in smart meter Opt-Out will be shown as separate line items onthe customer's bill.

AVAILABILITY

Available for Distribution Service and Standard Offer Service when modified by Rider "SOS" in theMaryland portion of the Company's service area, except for customers whose maximum thirty (30) minutedemand equals or exceeds 25 kW during one (1) or more months within twelve (12) billing months orwhose monthly energy consumption exceeds 6,000 kilowatt-hours in two (2) consecutive winter billingmonths (November through May, inclusive), or whose monthly energy consumption exceeds 7,500kilowatt-hours for a single summer billing month. Customers who exceed the above limits will betransferred to Schedule "MGT LV II", "MGT 3A II "MGT LV III", "MGT 3A III", "GT LV", "GT 3A", or "GT

3B" in accordance with the availability provisions therein. Rate schedule changes will occur annually andbecome effective with the billing month of June.

Available for low voltage electric service at sixty hertz.

Not available for railway propulsion service.

Not available for secondary temporary service or supplementary loads metered separately from lightingand other usage in the same occupancy.

installation of the smart meter. For customers who elect to have a smart meter installed after the

Initial billing cycle in which Opt-Out Fees are billed, the charges shall continue to be billed andshall cease upon the earlier of the installation of a smart meter or within 30 days of receivingcustomer notification, provided the customer allows reasonable access for installation of the smartmeter. Charges begin the later of the first full billing cycle following July 1, 2014 or following thefirst full billing cycle after the AMI installation date in that customer's community.

A Customer who is non-responsive to Pepco's attempts to install a smart meter, as detailed inOrder No. 86727, shall also be responsible for these Fees. Under no circumstances shall the Customer electrically interconnect theCompany's facilities with any equipment energized from another source ofelectricity without express permission from the Company in writing to do so.

The Customer and the owner agree to protect from damage the meters,wires and all other equipment placed on the premises and belonging to theCompany, as a condition of their installation to provide electric service, andfurther agree that no one who is not an agent of the Company, or othenwiselawfully entitled, will be permitted to inspect, remove or tamper with saidmeters, wires and equipment. If tampering with or damage to theCompany's equipment on the premises is evident, the Customer may beliable for the cost of repairs and may be required to provide protectiveequipment satisfactory to the Company to prevent access by unauthorizedpersons. In addition, if the Customer has opted out of a smart meter - theCompany may deem the Customer as being ineligible for the Opt-Outservices and replace the Customer's meter with a smart meter.

Where two or more Customers occupy a property, it is the responsibilityof each Customer to accept delivery of (and to pay for) all electricitydelivered to the Customer's meter connection even though a portion ofthe electricity fails to reach the Customer due to the private wiringsystems on the property. While the Company cannot compel the ownerto repair such wiring and will not terminate service to the property (unlessthe condition is determined to be hazardous, in which case the Companymay terminate service to the property), remedy may be available to theCustomer through the Customer's lease, local codes, or landlord-tenantagency. The Company will assist any Customer attempting to identifysuch a private wiring problem through appropriate billing analysis, and atCustomer request will review with the owner of the property any wiringproblem discovered or suspected. The Company furthermore reservesthe right to warn other Customers or Applicants for service at thatlocation that a wiring problem exists or is suspected, and, whereappropriate, to inform local authorities and the Commission of thecircumstances on its own initiative.

Where the owner prevents a Customer from protecting from damage theCompany's meter, wires and other equipment on the premises whichsupply the Customer,or prevents the Customer from receiving overseparate wiring all the electricity delivered to the Customer's designatedmeter connection, the Customer should report the circumstances to theCompany. The Company will take reasonable steps to avoid terminationof the Customer's service for conditions beyond the Customer's control,including but not limited to reasonable efforts to contact the owner of theproperty.

Under no circumstances shall the Customer electrically interconnect theCompany's facilities with any equipment energized from another source ofelectricity without express permission from the Company in writing to do so.

The Customer and the owner agree to protect from damage the meters,wires and all other equipment placed on the premises and belonging to theCompany, as a condition of their installation to provide electric service, andfurther agree that no one who is not an agent of the Company, or otherwiselawfully entitled, will be permitted to inspect, remove or tamper with saidmeters, wires and equipment, if tampering with or damage to theCompany's equipment on the premises is evident, the Customer may beliable for the cost of repairs and may be required to provide protectiveequipment satisfactory to the Company to prevent access by unauthorizedpersons. In addition, if the Customer has opted out of a smart meter - theCompany may deem the Customer as being ineligible for the Opt-Out

services and replace the Customer's meter with an AMI metera smart

meter.

Where two or more Customers occupy a property, it is the responsibilityof each Customer to accept delivery of (and to pay for) all electricitydelivered to the Customer's meter connection even though a portion ofthe electricity fails to reach the Customer due to the private wiringsystems on the property. While the Company cannot compel the ownerto repair such wiring and will not terminate service to the property (unlessthe condition is determined to be hazardous, in which case the Companymay terminate service to the property), remedy may be available to theCustomer through the Customer's lease, local codes, or landlord-tenantagency. The Company will assist any Customer attempting to identifysuch a private wiring problem through appropriate billing analysis, and atCustomer request will review with the owner of the property any wiringproblem discovered or suspected. The Company furthermore reservesthe right to warn other Customers or Applicants for service at thatlocation that a wiring problem exists or is suspected, and, whereappropriate, to inform local authorities and the Commission of thecircumstances on its own initiative.

Where the owner prevents a Customer from protecting from damage theCompany's meter, wires and other equipment on the premises whichsupply the Customer,or prevents the Customer from receiving overseparate wiring all the electricity delivered to the Customer's designatedmeter connection, the Customer should report the circumstances to theCompany. The Company will take reasonable steps to avoid terminationof the Customer's service for conditions beyond the Customer's control,including but not limited to reasonable efforts to contact the owner of theproperty.
