Enclosed are copy of Baldwin Proposal No . 729 - 8- 118 covering the Mikado Type Locomotive and letter dated Lufkin , Texas October 25th showing changes in t he specifica tions .
Messrs . Goble and Green representing The Baldwin Locomotive Works and Mr . vv . D. Jenkins representing Ame rican Locomotive Company were here Thursday and Friday and after taking into consideration all changes , additions and eliminations the final figures developed by Baldwin totaled $39 , 415 . 00 . The Ame rican Locomotive Company $41 , 568. 00, The Lima Locomotive Company bid $43 , 500 . 00 without taking into co nsideration any of the s pecialties . We placed the order with Baldwin on basis of $39 . 000 . 00 flat , 25% cash and balance in 36 equal monthly notes , bearing i nt erest at the rate of 6%.
Me ssrs. Green and Goble have agreed to explain t o the Works that t his locomotive is badly needed and that ina smuch as wyou will. be inconvenienced to some extent by havtg to wait for the new engine whereas the second hand engine a t Atlanta was available for immediate delivery the Baldwin people should make every effort to deliver t hi s locomotive in s hortest possible time .

We hereby propose and agree to construct for the

Shipment will be made as nearly as may be, after receipt of all information necessary for us to proceed with work, delays by strikes, fires, or other
unforeseen contingencies excepted.
We guarantee the locomotive to be built as specified, and we will replace parts which may fail
within one year because of workmanship or defective material if furnished by us, provided defects
are brought to our attention for verification when first discovered. We do not guarantee quality
of materials or parts specified or furnished by purchaser. All important parts will be made to gauges,
accurately interchangeable among any number of locomotives of the same class. Power brakes, headlights, and other special applian~es, as called for in accompanying speci
fication, are included in price unless the contrary is stated. We assume no responsibility for royalties
for patented appliances other than those specified by ourselves.

Upon such delivery a formal lease upon our usual form shall be executed and acknowledged for
record in accordance with the laws of the several States. Such delivery, however, to be a mere bailment and to vest no right in lessee to retain possession, until the forrnallease shall be executed and delivered.
When shipment is made on wheels, our attendant will accompany the engine No charge
will be made for services of attendant, except for his transportation to point of delivery, and return
to the Works, which cost will be added to and considered part of the freight charges. On arrival at
destination, our engineer will, whenever practicable, take charge of putting the locomotive in
working order, and will run same one or more trips on trial, all necessary assistance and supplies
being furnished by the lessee. On delivery, and after such trial, if made, our engineer will turn over
the locomotive to the lessee and take his receipt therefor. This proposal is submitted for acceptance at this time. All provisions of this proposal super
sede purchaser's drawings and specifications when used, unless specifically waived by us.
A written acceptance of this proposal will constitute a sufficient contract.
All orders are subject to acceptance or rejection at Philadelphia.

e are entering your order lor one MIKADO type locomotive in accordance with our Specifications No. 29 D 136 Class 12 34 1/4 E with the following exceptions:
Driving tires to be 3" thick. 450 flexible st~bolts. Polished steel (not planished steel) jacket. Bird-Archer blower valve. Coale safety valves. Eliminate water column. Ohio injectors. Chambers front end throttle as manufactured by Bradford Corp. Edna 5-feed mechanical lubricator, lubrication to include top guides. Bronze bearings on cro8sheads. Alligator guides and crossheads. One 11" pump instead of one 8-1/2" cross compound pump. Lateral moti~n driving boxes on front axle. Front cylinder heads cast iron. Grease cups, (not Alernite) on valve motion. Double Annealed steel driving axles. Tender trucks same as on locomotive 10-32 D 1299. Tender water capacity 6000 gallons, oil capacities 2500 gallons,
copper bearing tank steel and tender end sills of bar steel • . Combination link and pin and MCB couplers, Link and Pin 25itl above top
of rail and M C B 3~t above rails. Valves to be set with 3/32" lead. Smokestack to be 15" I. D. at smallest section. All tires to be of hardest grade steel. Apply Superheater. All ti.es to be held by shrinkage and shoulder, and matched properly. Front and back truck frames to be Cast steel. Marker brackets to be applied on both engine and t ender. Headlights on front of locomotive and top of cab. Tires on tender wheels to be held by shrinkage and shoulder only. Tdnder nust be kept low and coping to be omitted. BLII three chime 6" brass whistle. Graham lhi te sanders. All rods to be finished allover and polished. Links to be same as shown on Georgia Southern Negative 10310. Pedestals ~st be long enough to take care of rough track. All springs mnst be heavy enough to operate over rough track, those applied to locomotive #18 Const. #55382 were too light. Adjustable cab seat on engineers side of cab. Crosshead pins to be fastened with pins instead of nuts.

from date of this contract, less two-thirds of the rent that may have been previously paid for the use of
said Locomotive, shall, notwithstanding anything herein contained become immediately due and payable,
and shall be paid by the Lessees to the Lessor; and in case said Locomotive, shall be returned to, or be
reclaimed by the Lessor under the provisions of this contract, in a damaged condition, the amount of any
damage so done, shall be paid by the Lessees to the Lessor; which said damage shall be conclusively
determined, without right of appeal, by the written finding of all, or a majority of, three arbitrators,
residing in the City of Philadelphia, to be appointed one by each of the parties of the first and second
part, and the third by the two first chosen. If, within five days after notice to the party of the second
part to name an arbitrator, one be not named to it, the party of the first part may forthwith name the
three, who shall act with like effect as if they had been mutually chosen.
It is further agreed, that the Lessees will not use, nor allow the said Locomotive to be used, other
than as is herein permitted, nor remove, nor allow the same to be removed from the railroad whereon the
same may so lawfully be used, without the written consent of the Lessor first had and obtained. The
marks on both sides of said Locomotive and tender, "The Baldwin Locomotive Works, Lessor and
Owner," shall be permitted to remain at all times legible and distinct.
It is further agreed, that the Lessees shall, at or before the delivery of said Locomotive to them,
effect insurance or insurances on the said Locomotive at such an amount (not being greater than the value
above agreed upon) as Lessor may from time to time require; the policies issued therefor to be made payable
to Lessor or Lessees as their interest shall appear and to be deposited with Lessor until payment in full of all
moneys due hereunder to Lessor, when they shall be delivered to Lessees. If Lessees shall, within thirty days
after the receipt of request therefor from Lessor, fail to effect such insurance or insurances, or to deliver to
Lessor such policies, the Lessor may, if it shall so elect, effect such insurance or insurances in its own name for
a like amount. In such event, the Lessees shall before being entitled to demand the delivery of any bill of
sa le to them under the option hereinafter given them , reimburse said Lessor for any such outlays, with
interest.
It is further agreed, that the Lessees shall pay any State or National taxes that may be levied on
this contract; also that said Lessees shall reimburse the Lessor for any expenses incurred by said Lessor
In stamping and in recording this contract as provided by law.

It is further agreed that time shall be of the essence of this contract. and shall not be relievable against .in equity or at law.
It is further agreed, that if, at any time, the Lessees shall make any default in performance of any of their undertakings herein entered into, or shall fail to pay said rent as it matures, or having paid said rent, shall fail within the time limited above, to purchase and pay for said Locomotive. then said Les or may, at its option, without demand first made, repossess itself of said Locomotive, and hold the same discharged from any further liability hereunder, and from Lessees' option to purchase, and shall be entitled to hold and retain all rent theretofore paid to it, and to recover forthwith from the Lessees, rent at the rate aforesaid, up to the time of such repossession, together with damages, to be ascertained by arbitration as above, in case of injury to said Locomotive, and with damages in addition. for breach of agreement; which last damages shall be ascertained and liquidated by charging the Lessees with rent as above, from date of such repossession to the end of this term, as if the same was then actually due and payable, and by allowing them a credit, less expenses, of two-thirds of the actual value at that time of the Locomotive thus repossessed.
After the Lessees shall have faithfully performed all the stipulations of this contract, in manner and form as is herein provided, without default, and shall have reimbursed all outlays, as aforesaid, for Insurance: then it is agreed, that the Lessees may, at their option, at any time within one month after the time of maturity as above of the last instalment of rent, purchase said Locomotive at the price of One Dollar, and upon the payment of said sum to it, the Lessor shall thereupon, by bill of sale, convey said Locomotive to oa id Lessees.
Nothing herein contained, and no action hereunder, shall divest the Title of the Lessor' to said Locomotive, until the rents above enumerated and the purchase-money, with .insurance premiums above named, hall have been fully paid by said Lessees. and until a bill of sale therefor shall have been delivered. Until after such payment and delivery, the said Locomotive shall remain the property of the Lessor. and no right whatever thereto shall pass to the Lessees, excepting that of using the same in strict compliance with the terms of this contract.
It is agreed that the Lessor may vest in an assignee or assignees all the t;ight!l and privileges hereby reserved to it.
