Pepco Energy Services, Inc. (PES) is the energy performance contractor. Q-2. What is the breakdown of the scope of the project… what portion is lighting, HVAC, water - savings, solar? A-2. 1. An excerpt from the EPC Phase II proposal with each energy conservation measure (ECM) as a percentage of the overall savings; and 2. The attached Equipment Schedules 1(a) and 1(b).

Q-5. Please provide a schedule of the savings coming from the project over the requested terms along with a list of the various ECM’s which make up the total project? A-5. PES has guaranteed that the MAA will realize a total annual savings of $2,055,251 per

year for fifteen years. They will provide the MAA with a renewable one year Energy Savings Bond as a guarantee of the energy savings.

Q-6. Please confirm that interest on the lease will not be subject to the Alternative Minimum Tax (AMT). A-6 The lease will not be subject to AMT. Q-7. What is the break out of the $17,485,889.98 between BWI Airport and Martin State

Airport? A-7. The majority of the work is at BWI, with only lighting and control upgrades being done

at Martin State Airport. The project location is identified in the attached Equipment Schedules 1(a) and 1(b).

Q-8. Please clarify the break out between the $4,968,771.96 that is listed as a Tax exempt

governmental obligation and the $12,514,118.02 that is listed as a Tax exempt Airport Exempt Facility Obligation.

a. Are both of these an obligation of the state? b. If not please provide financial statements of those underlying entities. c. If so are these payable out of the state’s general fund or some other fund? d. If not, please explain the relationship of the actual entity that is obligated to make

the payments. e. If there are multiple entities obligated to make the payments please explain how

this would be handled on a single schedule. f. Would there be any sort of intergovernmental agreements between the multiple

entities that would reference how much of the total financed amount is an obligation of each respective entity.

A-8. The entire financing is an obligation of the State of Maryland. The equipment is broken

out into two separate schedules because two separate tax opinions will be required, one for tax-exempt governmental obligations and one for tax-exempt airport exempt facility obligations. The single lease payments covering both equipment schedules will be made from the annual utility appropriations to the MAA that are included in the Transportation Trust Fund. The State Treasurer’s Office (STO) will enter into the lease-financing agreement on behalf of the MAA. The STO is authorized to and does sweep the lease payment funds from the MAA’s utility account at the beginning of each fiscal year. The STO then makes the single lease payments covering both equipment schedules when due.

Q-9. The IFB indicates that the EP Contractor would be required to provide a bond or other assurance to guarantee the EP Contractor’s projected energy savings. Would this be pledged to the lessor in the event that the energy savings were not sufficient to make the debt service payments?

A-9. No. The bond or other assurance is pledged to MAA. Regardless of the savings

guarantee, the State will budget the amounts necessary to make the lease payments in the energy budgets for the MAA.

Q-10. We are assuming there is no prepayment provision as in prior energy bids since the financing is non-callable, is this correct?

A-10. Yes. Optional prepayment of the Energy Performance Contract Lease is NOT permitted. See Sections 3.02 (12) and 3.05 of the IFB.

Q-11. The RFP and the Master Lease Agreement indicate that there will be two separate leasing schedules but one combined payment schedule. Will you please confirm that this is the correct interpretation? A-11. Yes, that is correct. See Answer 8 above.
