    UNIVERSITY RESEARCH AGREEMENT

    THIS AGREEMENT

    BETWEEN:

    (hereinafter referred t as Bombardier )

    -and-

    MeGiU UNIVERSITY located at 8 5 Sberbrooke Street West Montreal, QC

    Canada, H3A 2T5

    (hereinafter referred to as the .. University )

    WHEREAS University wishes to pursue a research program in the area of Multi-disciplinaryComputational Fluid Dynamics, as more particularly described herein, and train students in thearea of Multi-disciplinary Computational Fluid Dynamics; and

    WHEREAS University is prepared to employ au additional person to occupy a faculty position inMulti-disciplinary Computational Fluid Dynamics, and t provide research facilities for work insuch area; and

    WHEREAS University has acquired the right to use. and to sublicense certain software programsin the area of Multi-disciplinary Computational Fluid Dynamics which will form the basis of hesoftware to be developed during the research program; and

    WHEREAS University requires technical support and knowledge from Bombardier in order toperform such research program, as more particularly described herein; and

    WHEREAS Bombardier and University have agreed to jointly pursue such reseatch program. asparnctllarly described and to perform their obligations relating thereto in

    1.2 latellectual Property, means all rights to patentable inventions, copyrightablematerial, technical information such as software. models, prototypes. specifications,patterns, drawmgs. genetic materials and other proprietary information.

    L Foregrouad Iatelledllal Property, means Intellectual Property that isgenerated authored. or created within the scope of the Re:search Programdefined in Article and which does not include Background Information.

    1.4 Ueensed Software, means the technology and software which University has acquiredor licensed in the field of Multi-disciplinary Computational Fluid Dynamics and includesany enhancements amendments, changes or additions made as of July l, 2001 (theEffeetlve Daten) as detailed in Schedule B.

    l S 'b jec t Code meana computer program code assembled or compiled in magnetic orelectronic binary form which is usable by machines but not readable by humans withoutsteps such as reverse assembly, compiling or reverse engineering.

    1.6 Results meana any and all means of methods processes, know-bow, proprietaryinformation, trade secrets technology, designs, digital codes (including Source Code, asdefined hereinafter), software inventions. innovations and developed aspart of the Research Program whether or not protected or protectable by IntellectualProperty Rights. Results include Foreground Intellectual Property, but excludeBackground Information.

    1.7 Source Code means a computer program code written in programming languages, in aform intelligible to trained, human programmers and capable of being translated inObject Code for operation on computer equipment through assembly or computing.

    2.0 Research Progra m

    2.1 The University agrees to perform its share of the research program. as set forth in theproposal submitted by the University to tile Natural Sciences and Engineering ResearchCouncil a copy of which is attached hereto and marked as Schedule A(hereinafter Ute ''Research Program ).

    4.0 Proprietary laform adon

    Results

    4.1 All information in any form. and whether of a tecbaical, financial, busmeas or othernature, acquired by one party from the other, in connection with the Research Program. isthe proprietary information of the disclosing party, provided that:

    if the information is m written form. it is marked as Confidential or ProprietaryInformation ; andif the information is not in written form, a written statement is produced, either at thetime or disclosure or within thirty (30) days thereafter, which states that the saidinformation is confidential and proprietary.

    4.2 Article 4.1 shall not restrict the disclosure or use of mformation that a} is in the public

    dornam through no fault of he receiving party, (b) was known to the receiving party priorto the disclosure thereo( as evidenced by its written record, or (c) was obtained from athird party having a bona fide right to disclose such information, (d) is disclosed underoperation of law provided that the receiving party has notified in writmg the disclosingparty prior to such disclosure and cooperate with the disclosing party in the event thedisclosing party elects to contest by legal action in order to avoid such disclosure.

    4.3 Proprietary information received by one party from the other shall be used solely forpurposes of performiag the Research Program, and shall be retained m confidence for aperiod of ten {10) years following the date of disclosure, using the same degree of carethat each party uses to protect its own proprietary information of a similar nature.

    4 4 Upon expiry or termination of this Agreement, all proprietary information, including anycopies thereof, shall be returned to the disclosing party.

    4.5 The University will not use the name of Bombardier, nor any employee of Bombardier,includmg trademarks, in any publicity without the prior written approval of Bombardier.Bombardier will not use the name of University, nor of any member.ofUniversity's staff,in any publicity without the prior written approval of an authorized representative ofUniversity.

    6.2 All Bacqrowtd Information and Results are provided on an as is basis with norepresentations. wmanties or conditions express or implied. with respect therein.Without limiting the foregoing. neither party makes any representations, WllTinties orconditions that the Results BacJcarowd Information. or any Intellectual Propertydeveloped does not infiinae upon any ri bts of others. All implied warranties ofmerchantability and fitness for a particular purpose are expressly disclaimed andexcluded.

    6.3 University maJcea no warranties, express or implied or statutory, with respect to theResults. University does not wmant that the Licensed Software and the Results are errorfree or that they will meet Bombardier's requirements. All implied warranties ofmerchantability and fitness for a particular purpose are expressly disclaimed andexcluded.

    6.4 University specifically does not make any warranties or representations, express orimplied, concerning or not whether the exercise of the rights licensed under thisAgreement will result in the infringement of any rights or patents or copyrights held bythird parties.

    6.5 Either party shan indemnify and hold the other hannless against all coats, suits or claimson account of injuries (including death) to its employees or persons participating in theResearch Program or damage to property caused by such employees or persons when atthe other party s premises during the performance of his Agreement

    6.6 Subject to the above paragraphs of this Article 6, either party shall be responsible to thirdparties for losses or damages arising from or relating to the perfonnance of its share ofthe ReSearchProgram during the term of his Agreement.

    6.7 Each party shall cany worknwl.'s compensation or employer's liability insurance withrespect to its own personnel.

    6.8 Neither party shall in any circumstances be liable to the other party in respect of anyindirect, special or consequential damage or loss of revenue or profit resultirig from theperformance by either party of its share of he Research Program under this Agreement orarising in connection with this Agreement

    7.0 Geaeral

    7.1 Any notice or otb:r written communication given hereunder sbaU be effectively given i fsent by mail. courier. facsimile or other means of electronic communication to theattention of the parties as follows:

    7.2 This Agreement is made with the as rm independent contractor. TheUniversity and its personnel are not the employees, aacnts or representatives o fBombardier, and neither the University nor its personnel bave any authority to bind or toIWUll'le rmy liability on behalf of Bombardier.

    7.3 This Agreement. including the attached schedules, comprises the entire agreementbetween the parties with respect to the subject matter hereof, and supersedes rmy prioragreement. understanding or communication, written or oral, made by or between them.In the event of rmy conflict between this Agreement rmd the provisions of the attachedschedules, the former shall

    amendment or modification to this Agreement sball be effective and binding ifmade in writing rmd signed by the duly authorized representatives of both parties.

    7 S This Agreement may not be assigned, in whole or in part, by either party without theprior written consent of the other party. This Agreement sball be binding upon therespective successors rmd permitted assigns of each party.

    7.6 Neither party to this Agreement sball be liable to the other for any failure or delay inperformance caused by circumstances beyond its reasonable control, including but notlimited to, acts of God. fire, labor difficulties or governmental action.

    7.7 Articles 4 (Proprietary Information), (Intellectual Property/Publication) rmd 6(Warranty/Liability/Indemnity), shall survive the termination of this Agreement for anyreason in addition to those articles surviving by operation of law.

    7.8 Both parties will use all reasonable effort to resolve any disputes arising under thisAgreement. In the event tbat the parties cannot resolve such disputes, it shall be referredto the management of both parties. In the event that the management of both partiescannot resolve such disputes, it sball then be referred to the senior management of bothparties. In the event tbat senior management of both parties cannot resolve such disputes,both parties agree to resolve such disputes in accordance with the provisions of Book Vof the Quebec Code of Civil Procedure (Article 94 and followin ). The parties sballattempt to appoint jointly one impartial expert arbitrator. f the parties cannot agreewithin thirty (30) days on the choice of an arbitrator, each party sball appoint. at its own
