Article I – Name
The name of the corporation shall be the Outdoor Power Equipment and Engine Service Associ-ation, Inc. (hereafter referred to as “the Association”). The Association represents the consoli-dation of the Engine Service Association, Inc. (ESA) and the Outdoor Power EquipmentDistributors Association (OPEDA).
Article II – Offices
The principle office of the corporation shall be at such place as the Board of Directors may fromtime to time determine or the business of the Association may require.
Article III – Purpose
The purposes of the Association are to foster, promote, improve, further and enhance – throughits membership – lawful high standards of efficiency and cooperation among the manufacturers,wholesaler and retailers in providing, distributing, and marketing those goods and services re-lated to the outdoor power equipment industry. In general, to do all such lawful acts and thingsto formulate, determine and coordinate policies of mutual and national importance and concernfor the industry.
To do any other act or thing incidental to or connected with the foregoing purposes or in ad-vancement thereof, but not for the pecuniary profit or financial gain of its members, directorsor officers.
As used in these bylaws, “outdoor power equipment” shall include OEM parts for engines usedon such equipment.
Article IV – Membership
1. Membership Eligibility
A. Regular Membership – Regular membership in the Association shall be open to any Dis-tributor of outdoor power equipment, OEM equipment parts or engines who meets the mini-mum eligibility requirements adopted by the Board of Directors.
B. Associate Membership – Associate membership in the Association shall be open to anymanufacturer of outdoor power equipment or any firm or corporation regularly engaged insupplying products to regular members for resale by the regular members who meet the mini-mum eligibility requirements adopted by the Board of Directors.
Associate members shall have the privilege, by Board approval, of the floor at the open ses-sions of the Association. They shall be extended the facilities of the Executive Director’s of-fice, in the promotion of matters of mutual interest. Associate membership shall be withoutprivilege to vote.
C. Affiliate Membership – Affiliate membership in the Association shall be open to any indi-vidual, firm or corporation regularly engaged in providing services to the retail and/or whole-sale segments of the outdoor power equipment industry who meets the minimum eligibilityrequirements adopted by the Board of Directors.
Affiliate members shall have the privilege, by Board approval, of the floor at the open sessionsof the Association. They shall be extended the facilities of the Executive Director’s office, inthe promotion of matters of mutual interest. Affiliate membership shall be without privilegeto hold office or vote.

2. Membership Procedure
A. Application – Applications for membership shall be made in writing and addressed to theAssociation and shall state the name, place and nature of business of the applicant includingits qualifications for membership. Further the applicants will agree to pay dues in accor-dance with the schedule as approved by the Board of Directors. Upon application, a companyqualified in accordance with Article IV, paragraphs 1A, 1B or 1C shall be approved for mem-bership by the Board of Directors and shall become a member of the Association upon sub-scribing to the bylaws of the Association. If an applicant is rejected by the Board of Directors,the applicants shall be furnished a copy of the Membership Eligibility Requirements and beadvised in writing of such rejection and the reasons therefore and shall be given the opportu-nity to provide additional information to the Board of Directors.
B. Resignations – Resignations from membership shall be presented in writing to the Associa-tion at least 30 days prior to the expiration of the current membership term and shall not beaccepted until all dues and other obligations to the Association shall be liquidated in full.Upon termination of membership, all rights, privileges and interests in and to the Associa-tion shall cease.
C. Expulsion – Any member may be expelled from the Association for good cause. Good causefor suspension or termination of membership shall be the failure to pay dues within 90 daysof the date of invoice, gross violation of the bylaws and any rule or practice properly adoptedby the Association, or failure to meet the eligibility requirements of the Association. Such sus-pension or expulsion shall be by a two-thirds vote of the Board of Directors; provided that astatement of the charges shall be sent to the member at least 15 days before final action istaken thereon. This statement shall be accompanied by a notice of the time and place of themeeting of the Board of Directors at which the charges shall be considered and the membershall have the opportunity to appear in person or by his representative and present any de-fense to such charges before action is taken thereon.
D. Membership Non-assignable – Membership shall reside in the name of the company andnot in an individual. A membership may not be transferred by assignment or otherwise.
3. Membership Meetings
The Association shall conduct at least one membership meeting per year. Membership meet-ings, annual or otherwise, of the Association shall be held at a time and place as set by theBoard of Directors. The Secretary shall cause to be sent to every member, in good standing,advance notice stating the time and place of such meeting. A notice may be sent by mail, fax,private delivery service or electronic mail. Except as otherwise required by law or these bylaws,members entitled to vote who are present at any membership meeting shall constitute a quo-rum and shall be necessary to conduct the business of the Association.
4. Action Without A Meeting
Whenever the members, Board of Directors, the Executive Committee or any committee of theAssociation are required or permitted to take any action by vote, such action may be taken byballot, returned by the person entitled to vote thereon. The vote necessary to take the specifiedaction shall be affirmative ballots returned by a majority of the members of the Board of Direc-tors, the Executive Committee or any member of the Association by its established date of re-turn. A ballot may be submitted by mail, fax, private delivery service or electronic mail.
5. Proxies
Every member entitled to vote at a meeting of the members or to express consent or dissentwithout a meeting may authorize another person or persons to act for the member by proxy.Every proxy shall be revocable for any meeting or action at the pleasure of the member execut-ing it.
6. Membership Dues
For the purpose of equitably dividing the cost of conducting the affairs of the Association amongthe members thereof, dues to defray such cost shall be determined by the Board of Directorsand shall be assessed in an equitable manner including payable dates as directed by the Boardbe assessed in an equitable manner including payable dates as directed by the Board.

Article V – Directors
1. Management of the Association
The Association shall be managed by a Board of Directors elected by the Membership. A direc-tor may hold office as an officer of the Association concurrently with his or her directorshipterm.
2. Election
The Board of Directors shall consist of at least nine (9) members of regular members companiesin good standing, to be elected at each annual meeting of members for terms of up to threeyears each. No director who has served a full three-year elected term to the Board of Directorsshall be eligible for reelection to the Board until he or she has remained off the Board of Direc-tors for a period of one full year.
Two (2) members of an associate or affiliate member company in good standing shall also serveas a Director, with all the rights and responsibilities of a Director, for a term of two (2) years.The Officers, including the Immediate Past President, shall also serve as Directors.
3. Directorship Vacancies
Directorships resulting from vacancies occurring in the Board of Directors for any reason maybe filled for the unexpired term by a vote of the majority of the Board of Directors then in of-fice, although less than a quorum exists.
4. Quorum of Directors
A majority of the Board of Directors shall constitute a quorum for the transaction of business orfor any specified item of business.
5. Action of the Board
Except as provided in Article V, paragraph 3, the vote of a majority of the Directors present atthe time of the vote, if a quorum is present at such time, shall be the act of the Board of Direc-tors. Each Director present shall have one vote. The Board of Directors may also act without ameeting as authorized in Article IV, Section 4 of the bylaws.
6. Notice of Meetings of the Board
Regular or called meetings of the Board of Directors may be held at such time and place as itshall from time to time determine. Special meeting of the Board of Directors shall be held uponten days of notice to each Director. Meeting notices may be sent by mail, fax, private deliveryservice or electronic mail.
7. Chairman
At all meetings of the Board of Directors, the President, or in the President’s absence, a Chair-man chosen by the Board of Directors shall preside.
8. Appointment of Committees
The Board of Directors may create such committees, with powers and responsibilities as it maydeem appropriate, and the President shall have the power, with the approval of the Board of Di-rectors, to make appointments to such committees.
9. Executive Committee
The elected officers of the Association and the Immediate Past President shall constitute theExecutive Committee which shall have and may exercise, when the Board of Directors is not insession, the powers of the Board of Directors in the management of the Association.
Article VI – Officers
1. Officers, Election, Term
The Board of Directors shall elect a President, one or more Vice Presidents, a Secretary and a

Treasurer and such other officers as it may determine, who shall have such duties, powers, andfunctions as hereinafter provided. The offices of Secretary and Treasurer may be held by oneperson. Each officer shall hold office for one year or until a successor is elected.
2. Resignation
In the event of death, resignation or the inability to act as an Officer, the Board of Directors inits discretion shall elect a successor to fill the unexpired term. Any two or more offices may beheld by the same person, except the offices of President and Secretary.
3. President
The President shall be the chief executive officer of the Association and shall preside at allmeetings of the members and of the Board of Directors. The President shall have the generalsupervision of the management of the affairs of the Association and shall see that all orders andresolutions of the Board of Directors are carried into effect.
4. Vice President
During the absence or disability of the President, the Vice President shall have all the powersand functions of the President. The Vice President shall perform such duties as the Board of Di-rectors shall prescribe.
5. Treasurer
The Treasurer and/or Treasurer’s designate shall have responsibility of all the funds and secu-rities of the Association, and shall deposit said funds in the name of the Association in suchbank or trust company as the Board of Directors may elect; the Treasurer and/or designateshall, when duly authorized by the Board of Directors, sign and execute all contracts in thename of the Association. The Treasurer and/or designate shall at all reasonable times exhibitfinancial books and accounts to any Director or member of the Association upon application atthe office of the Association during ordinary business hours. At the end of each fiscal year, a re-view of the accounts of the Association will be conducted by a certified public accountant ap-pointed by the Board of Directors and shall present such report to the Board of Directors.
6. Secretary
The Secretary or a designate shall keep the minutes of the meetings of the Board of Directorsand of the members. The Secretary or a designate shall have charge of such books and papersas the Board of Directors may direct; shall attend to such correspondence as may be assigned tohim or her, and perform all duties incidental to such office. The Secretary or a designate shallkeep membership rolls containing the names, alphabetically arranged and addresses of allmembers and the date when each became a member.
7. Executive Director
The Board of Directors may employ an Association Management Company and/or Executive Di-rector at a mutually agreed upon management fee or salary for the performance of the adminis-trative functions of the Association. The Executive Director, by authority of the Board ofDirectors, may be delegated certain other responsibilities of the Treasurer and Secretary.
8. Sureties and Bonds
If required by the Board of Directors, an Officer or agent of the Association shall execute to theAssociation a bond in such sum and with such sureties as the Board of Directors may directconditioned upon the faithful performance of his or her duties to the Association and includingresponsibility for negligence and for the accounting for all property, funds, or securities of theAssociation which may come into his or her hands.
Article VII – Fiscal Year
The fiscal year of the Association shall begin on October 1st.

Article VIII – Amendments
The bylaws may be amended, repealed, or new bylaws adopted, at any regular or special meet-ing by a vote of two-thirds of the members present and voting, or by the Board of Directors at ameeting by a vote of two-thirds of the directors present and voting, or by the Board of Directorsacting without a meeting as authorized in Article IV, Section 4 of the bylaws by a vote of two-thirds of the directors voting.
Article IX – Indemnification and Insurance
Section A. The Association shall indemnify any person who was or is a party or is threatened tobe made a party to any threatened, pending, or completed action, suit, or proceeding,whether civil, criminal, administrative or investigative by reason of the fact that he or she isor was a representative of the Association, or is or was serving at the request of the Associa-tion as a representative of another corporation, partnership, joint venture, trust or other en-terprise, against expenses (including attorney’s fees), judgments, fines and amounts paid insettlement actually or reasonably incurred by him or her in connection with such action, suitor proceeding if the person acted in good faith and in a manner he or she reasonably believedto be in, or not opposed to, the best interest of the Association, and, with respect to anycriminal action or proceeding, had no reasonable cause to believe his or her conduct was un-lawful. The termination of any action, suit, or proceeding by judgment, order, settlement,conviction or upon plea of nolo contendere or its equivalent, shall not of itself create a pre-sumption that the person did not act in good faith and in a manner which he or she reason-ably believed to be in, or not opposed to, the best interest of the Association, and, withrespect to any criminal action or proceeding, had reasonable cause to believe that his or herconduct was unlawful.
Section B. Notwithstanding any contrary provision of the Articles of Incorporation or these by-laws, to the extent that a representative of the Association has been successful on the meritsor otherwise in defense of any action, suit or proceeding referred to in Section A above or indefense of any claim, issue or matter therein, the representative shall be indemnified againstexpense (including attorney’s fees) actually and reasonably incurred by the representative inconnection therewith.
Section C. Unless ordered by a court, any indemnification under Section A above shall be madeby the Association only as authorized in the specific case upon a determination that indem-nification of the representative is proper in the circumstances because he or she has met theapplicable standard of conduct set forth in such Section. Such determination shall be made:
(1) By the Board of Directors by a majority vote of a quorum consisting of directors whoare not parties to such action, suit or proceeding.
(2) If such quorum is not obtainable, or, even if obtainable, a majority vote of a quorum ofall of the directors or of disinterested directors (as the case may be) so directs, by inde-pendent counsel in a written opinion or;
(3) By the members.
Section D. Expenses incurred in defending a civil or criminal action, suit or proceeding, maybepaid by the Association in advance of the final disposition of such action, suit or proceedingin the discretion of the Board of Directors in any specific case upon receipt of an undertak-ing by or on behalf of the representative to repay such amount unless it shall ultimately bedetermined that the representative is entitled to be indemnified by the Association.
Section E. The Association shall also indemnify any person against any expenses, including at-torney’s fees, actually and reasonably incurred by him or her in enforcing successfully anyright to indemnification under this Article.
Any person who shall serve as a director, officer, employee or agent of the Association, or is orwas serving at the request of the Association as a director, officer, employee or agent of an-other corporation, partnership, joint venture, trust or other enterprise, shall be deemed to do

so with knowledge of an in reliance upon the rights of indemnification provided in thisArticle.
Section F. The Indemnification provided in the Article shall not be deemed exclusive of anyother rights to which a person seeking indemnification may be entitled under any agree-ment, vote of members or disinterested directors or otherwise, both as to action in his or herofficial capacity and as to action in another capacity while holding such office, and shall con-tinue as to a person who has ceased to be a representative and shall inure to the benefits ofthe heirs and personal representative of such persons.
Section G. Any indemnification under this Article by the Association shall not apply to ex-penses or liability incurred by such individuals which are covered by insurance.
Section H. The Association shall have purchase and maintain insurance on behalf of any per-son who is or was a director, officer, volunteer, employee or agent of the Association, or is orwas serving at the request of the Association as a director, officer, volunteer, employee oragent of another corporation, partnership, joint venture, trust or other enterprise againstany liability asserted against the person and incurred by him or her in any such capacity, orarising out of his or her status as such, whether or not the Association would have the powerto indemnify him or her against such liability.
Article X – Dissolution
The Association may be dissolved by the affirmative vote of no less than a majority of all the As-sociation’s members entitled to vote at a meeting held after notice to the members of that pur-pose; or by the unanimous written consent of the members. In the event of dissolution orwinding up of the Association, the Association’s assets after all debts and expenses have beenpaid or provided for shall be paid over to such existing nonprofit organization or organizationsas the Board of Directors, in their sole discretion, shall determine to be operated for purposessubstantially similar to those of the Association, or, in the absence thereof, to such charitableorganization or organizations as the Board of Directors shall designate, it being understoodthat any surplus funds shall not inure to the benefit of the individual members of theAssociation.
