The name of the company ('the Association') is Scouting Ireland Services. 2. The Aim of Scouting Ireland is to encourage the Social, Physical, Intellectual, Character, Emotional and Spiritual development of young people so that they may achieve their full potential and, as responsible citizens, to improve society. 3. In furtherance of the main object but not otherwise the Association shall have power: a. to undertake any activities as will assist it in achieving its aim in encouraging the development of young people and promoting the development of young people to others; b. to purchase, take on, lease or in exchange, hire or otherwise acquire any real, leasehold or personal estate which may appear convenient; c. to construct, maintain, manage and alter any halls, campsites, buildings, equipment or installations; d. to receive donations, contributions, grants, subscriptions and bequests, to accept any gift of property, whether subject to any special bust or not, for any purpose within the main principal object; e. to enter into any contracts or establish and maintain links or other arrangements with and make submissions to any Governments, State Agencies or Authorities, supreme, municipal, local or otherwise or take such steps by personal or written appeals, public meetings or otherwise as may seem expedient for the purpose of procuring contributions to the funds or property, real or personal, of the Association that may seem conducive to the attainment of the Association's main object or any of them; f. to print and publish any newspapers, periodicals, books or leaflets and engage in any publicity for the purposes of fostering the objects of the Association; g. to promote, commence or oppose any proceedings or applications as may seem necessary directly or indirectly to advance or prejudice the interests of the Association; h. to sell, lease, mortgage or otherwise deal with all or any part of the property of the Association; i. to borrow and raise money and secure its repayment in any manner and to give guarantees for persons, companies, or other associations or bodies where such is in furtherance of the main object of the Association; j. to invest the funds of the Association in or upon such investments, securities or property as may be thought fit. k. toemploysuchpersonnelastheAssociationmaythinkdesirableornecessaryforthefurtheranceofitsmainobject;

l. toaccept,undertakeandexecuteanytrustsoranyagencybusinesswhichmayseemconducivetoitsmainobject;

m. tosubscribetoanylocalorothercharities,andtograntdonationsforanypublicpurposeortoenterintoanyarrangementforco-operationorreciprocalconcessionwithanyperson,localauthority,company,bodyorassociation,forthepurposeofadvancing,directlyorindirectly,anymainobjectoforanybusinesscarriedonorintendedtobecarriedonbytheAssociation;

n. toestablishandsupport,andtoaidintheestablishmentandsupportanyotherassociationformedtopromoteitsmainobject;

o. toamalgamatewithanycompanies,institutions,societiesorassociationshavingmainobjectwhollyorinpartsimilartothoseoftheAssociation;

p. topurchaseorotherwiseacquireandundertakealloranypartoftheproperty,assets,liabilitiesandengagementsofanybodywithwhichtheAssociationisauthorisedtoamalgamate;

q. totransferalloranypartoftheproperty,assets,liabilitiesandengagementsoftheAssociationtoanybodywithwhichtheAssociationisauthorisedtoamalgamate;

r. todevise,adopt,amendandsuspendsuchrulesandregulationsasmayberequiredfortheefficientorganizationoftheactivitiesoftheAssociationanditsmembers;

s. todoallsuchotherlawfulthingsasareincidentalorconductivetothepursuittotheattainmentofitsmainobject.

4. TheincomeandpropertyoftheCompanyshallbeappliedsolelytowardsthepromotionif

itsmainobjectsassetforthinthisMemorandumofAssociation.NoportionoftheCompany’sincomeandpropertyshallbepaidortransferreddirectlyorindirectlybywayofdividend,bonusorotherwisehowsoeverbywayofprofittomembersoftheCompany.NoDirectorshallbeappointedtoanyofficeoftheCompanypaidbysalaryorfees,orreceiveanyremunerationorotherbenefitinmoneyormoney’sworthfromtheCompany.However,nothingshallpreventanypaymentingoodfaithbythecompanyof:

a. reasonableandproperremunerationtoanymember,officerorservantofthecompany(notbeingaDirector)foranyservicesrenderedtotheCompany:

b. interestataratenotexceeding5%perannumonmoneylentbyDirectorsorothermembersoftheCompanytotheCompany:

c. reasonableandproperrentforpremisesdemisedandletbyanymemberofthecompany(includinganyDirector)tothecompany:

d. reasonableandproperoutofpocketexpensesincurredbyanyDirectorinconnectionwithattendancetoanymatteraffectingtheCompany:

e. fees,remunerationorotherbenefitinmoney’sworthtoanyCompanyofwhichaDirectormaybeamemberholdingnormorethanonehundredthpartoftheissuedcapitalofsuchCompany.

5. TheAssociationisavoluntary,uniformed,non-formaleducationalmovementforyoung

people.Itisindependent,non-political,opentoallwithoutdistinctionoforigin,race,creed,gendersexualorientationorability,inaccordancewiththepurpose,principlesandmethodconceivedbytheFounder,RobertBaden-PowellandasstatedbytheWorldOrganisationoftheScoutMovement.

6. TheAssociationachievesitsaimthroughaofprogressiveselfeducation,knownastheScoutMethod,theprincipalelementsofwhichare:

• PromiseandLaw-thecommitmenttoacodeoflivingbasedonthevaluesofthe

Scoutmovement;• PersonalProgression-aschemetosupportthedevelopmentofknowledge,skills

andattitudesinallareasandtoproviderecognitionforindividualandgroupachievements;

• LearningbyDoing-anapproachthatprioritiseslearningthroughpractice,first-handexperience,andfrombothsuccessesandmistakes;

• SmallGroupSystem–progressive,democraticandself-governinggroups,usuallyof6-8youngpeople,arethebasicorganisationalstructureofScouting;

• SymbolicFramework-providesasettingforScoutingthatstimulatestheimaginationthroughsymbols,themesandstories;

• NatureandOutdoors-thenaturalenvironmentistheprimarysettingforScoutingofferinguniqueopportunitiesforthedevelopmentoftheyoungperson;

• YoungPeopleandAdultsWorkingTogether-apartnershipmodelinwhichyoungpeoplearesupportedtobecomeincreasinglyself-governingandindependent;and

• ServiceandCommitment-recognisestheimportanceofcontributingtosocietybycaringforothersandtheworldaroundus.

7. TheprinciplesoftheAssociationareenshrinedintheScoutPromiseandtheScoutLawandtheyinclude:

• Adherencetospiritualprinciples,loyaltytothefaiththatexpressesthemandacceptanceofthedutiesresultingtherefrom.

• Loyaltytoone'scommunityinharmonywiththepromotionofpeace,understandingandco-operation.

• Responsibilityforthedevelopmentofone'sself.• Participationinthedevelopmentofsocietywithrecognitionandrespectforthe

dignityofone'sfellowbeingsandfortheintegrityofthenaturalworld.• Useofamethodofprogressiveself-education,knownastheScoutMethod,

comprisingprogrammesadaptedtothevariousagegroups.

allitsdebtsandliabilities,anypropertywhatsoever,thesameshallnotbepaidtoordistributedamongthemembersoftheCompanybutshallbegivenortransferredtosomeothercharitableinstitutionorinstitutionshavingmainobjectssimilartothemainobject(s)oftheCompanyandwhichshallprohibitthedistributionofitsortheirincomeandpropertyamongitsortheirmemberstoanextentatleastasgreatasimposedonthecompanyunderorbyvirtueofClause4hereof,suchinstitutionorinstitutionstobedeterminedbythemembersoftheCompanyatorbeforethetimeofdissolution,andifandsofaraseffectcannotbegiventosuchprovision,thentosomecharitableobject

11. Theliabilityofmembersislimited.

12. Noamendmentsofanykindshallbemadetotheprovisionsofclauses4and10ofthe

MemorandumofAssociationandnoamendmentsshallbemadetotheMemorandumandArticlesofAssociationtosuchextentthatwouldaltertheeffectofclauses4and10oftheMemorandumofAssociation,suchthattherewouldbenon-compliancewiththerequirementsofSection24(1)(a)and(b)oftheCompaniesAct1963.

13. AnnualauditedaccountsshallbekeptandmadeavailabletotheRevenueCommissionerson

request.

14. AnyamendmentstothisMemorandumofAssociationshallrequireapprovaloftwo-thirdsmajorityofthemembersoftheNationalCouncilpresentandvotingattheAnnualGeneralMeetingofScoutingIrelandoratanExtraordinaryGeneralMeetingoftheNationalCouncilofScoutingIreland.NoamendmenttothisMemorandumofAssociationshallbemadebytheNationalCouncilotherwisethanonNoticeofMotiondulygivenandacceptedbyasimplemajorityatthemeetingoftheNationalCouncilimmediatelypriortothemeetingatwhichtheMotionistobemoved.

15. NoalterationmaybemadetoClauses1,2,5,6,7,8or9inclusivewithoutthewritten

consentoftheWorldScoutCommittee.

16. EachmemberundertakestocontributetotheassetsoftheAssociationintheeventofitsbeingwoundupwhileitisamemberorwithinoneyearthereafterforthepaymentofthedebtsandliabilitiesoftheAssociationcontractedbeforeitceasestobeamember,andofthecost,chargesandexpensesofwindingupandfortheadjustmentoftherightsofthecontributoriesbetweenthemselves,suchamountasmayberequiredandnotexceeding€1.

"ConstitutionandRules"meanstheMemorandumofAssociationandtheseArticlesofAssociationoftheCompanytogether.

"Member"meansanindividualwhowishestopromotethemainobjectoftheCompany-ScoutingIrelandServicesandhasbeenregisteredasamemberinaccordancewiththeRulesbutwhoisnotentitledtovoteataGeneralMeetingoftheCompanyunlesshe/sheisalsoamemberoftheNationalCouncil.

"NationalCouncil"meansthebodycomprisingthemembersoftheCompanyforthetimebeingandfurtherdefinedherein.

"Rules"meansPartBoftheseArticlesofAssociationoftheCompany.

"ScoutingIrelandServices"meanstheAssociationasdefinedintheMemorandumofAssociationortheCompany-ScoutingIrelandServices.

PARTAAMENDMENTS

2. AnyamendmentstothisConstitutionshallrequireapprovaloftwo-thirdsmajorityofthemembersoftheNationalCouncilpresentandvotingattheAnnualGeneralMeetingofScoutingIrelandoratanExtraordinaryGeneralMeetingoftheNationalCouncilofScoutingIreland.NoamendmenttothisConstitutionshallbemadebytheNationalCouncilotherwisethanonNoticeofMotiondulygivenandacceptedbyasimplemajorityatthemeetingoftheNationalCouncilimmediatelypriortothemeetingatwhichtheMotionistobemoved.

INTERPRETATION

4. ThedetailonorclarificationofanymatterreferredtointhisConstitutionshallbecontainedintheRules.IntheeventofanyconflictbetweenthisConstitutionandtheRulesofScoutingIreland,thisConstitutionshallprevail.

THESCOUTPROMISE

5. TheNationalManagementCommitteemay,whereappropriate,allowtheuseofdifferentformsoftheScoutPromiseanddifferentformsoftheScoutLawtosuitdifferentagerangesandfaithsprovidedanysuchadaptationisinaccordancewiththepolicyoftheWorldOrganisationoftheScoutMovementandisapprovedbytheWorldScoutCommittee.

GENERAL

6. ScoutingIrelandrecognisesthesafetyandwelfareofitsmembersandleadersasaforemostpriority.

7. ScoutingIrelandshallmakethePrinciplesandProvisionsoftheUnitedNationsConvention

ontheRightsoftheChildwidelyknown,byappropriateandactivemeans,toadultsandyouthmembers.

8. ThemembersofScoutingIrelandwearauniform.

9. ThemottoofScoutingIrelandis'BiUllamh'or'BePrepared'.

10. TheemblemofScoutingIrelandshallbeusedinaccordancewiththeRules.

11. TheflagofScoutingIrelandshallbeusedinaccordancewiththeRules.

INTERNATIONAL

12. ScoutingIrelandisamemberoftheWorldOrganisationoftheScoutMovement.MEMBERSHIP&APPOINTMENTS

13. ScoutingIrelandshallhavethefollowingcategoriesofmembers:

i. Scouts;ii. Scouters;iii. HonoraryScoutersiv. Associatemembers;v. HonoraryLifemembers.

14. AnHonoraryScouterisanadultmemberwhowishestobeassociatedwiththeworkofthe

AssociationwhoisretiringfromanAppointmentorPositionandwhowillnolongerdelivertheYouthProgrammeofScoutingIrelandorholdanAppointmentorPositioninScoutingIreland.

15. AScoutisauniformedyouthmemberwhoreceivestheYouthProgrammeofScouting

Ireland.AllScoutsmakethecommitmentoftheScoutPromise.

16. AScouterisauniformedadultmemberwhodeliverstheYouthProgrammeofScouting

IrelandorwhoholdsanAppointment.AllScoutersmakethecommitmentoftheScoutPromise.

17. AnAssociatememberisanadultwhowishestobeassociatedwiththeworkofthe

Association,forexampleasasupporter,parent,representativeofasponsoringauthority,treasurer,secretaryoradviser.AnAssociatememberdoesnotwearauniformandisnotrequiredtomakethecommitmentoftheScoutPromise.

18. AnHonoraryLifeMemberisanindividualwhomtheNationalCouncilhasrecognisedas

havinggivenexceptionalsupporttotheAssociation.AnHonoraryLifememberisnotrequiredtomakethecommitmentoftheScoutPromise.

19. RegistrationofmembershipandTerminationofmembershipshallbeinaccordancewiththe

Rules

20. TheAppointmentsandPositionsinScoutingIrelandareestablishedinaccordancewiththeConstitutionandRules.WhereapersonisappointedorelectedtoanappointmentorpositionwithinScoutingIrelandtheirtermofofficeshallbedeemedtocommenceeitheronthedateofnomination,inthecaseofanappointment,orinthecaseofanelectionitshallcommenceattheendoftheAnnualGeneralMeetingatwhichapersoniselectedtotheappointmentorpositionbytheparticularbodyandshallexpireattheendoftheAnnualGeneralmeetingoftheparticularbodyeitherinthefollowingyearorthethirdyearafterelectionasapplicabletotheparticularappointmentorpositionsubjecttotheincumbentcontinuingtoholdofficeuntilhis/hersuccessorisnominatedfororelectedtooffice.

21. AnyAppointmentsorPositionsmadearesubjecttotherightofScoutingIrelandtohave

suchAppointmentscancelled,withdrawnorsuspendedasnecessary.

22. Anymemberdissatisfiedwithadecisiontocancel,withdraworsuspendhisorherAppointmentorPositionmayappealsuchcancellation,withdrawalorsuspensioninaccordancewiththeproceduressetoutintheRules.

ORGANISATION

23. ScoutingIrelandisorganisedonthefollowingbasis:

i. ScoutGroupsii. ScoutCountiesiii. ScoutProvincesiv. National

THESCOUTGROUP

24. TheScoutGroupisthelocalandprimaryleveloforganisationinScoutingIreland.

25. TheScoutGroupisregisteredinaccordancewiththeRules.TheNationalManagementCommitteemaysuspendorcanceltheregistrationofaScoutGroupwhereaScoutGroupfailstocomplywiththeConstitutionandRulesoftheAssociation.

26. TheScoutGroupconsistsofanynumberofProgrammeSectionsandisadministeredbytheScoutGroupCouncil,whosemembership;functionsandresponsibilitiesaresetoutintheRules.

27. ProgrammeSectionsoperateyouthprogramme(s)developedbyScoutingIrelandfor

appropriateageranges.SCOUTCOUNTY&PROVINCIALORGANISATION

28. AScoutCountycomprisesofanumberofScoutGroupsandissupportedbyaScoutCountyBoardandadministeredbytheScoutCountyManagementCommittee.TheNationalManagementCommitteedeterminesthegeographicalboundaryofeachScoutCounty.

29. TheScoutCountyManagementCommitteeshallconvenemeetings(includingtheAnnual

GeneralMeeting)oftheScoutCountyBoardtowhichtheScoutCountyManagementCommitteeshallreport.

30. AScoutProvincecomprisesofanumberofScoutCountiesandissupportedbytheProvincial

Management/SupportTeam.TheNationalManagementCommitteedeterminesthegeographicalboundariesoftheScoutProvince.

NATIONALORGANISATION–NATIONALCOUNCIL

31. TheNationalCouncilisthegoverningauthorityofScoutingIrelandandshallexerciseallpowersconferredonitbytheConstitution.

32. TheNationalCouncilmeetsatleastonceeachyearattheAnnualGeneralMeetingof
