Estimado Cliente:
Le presento a continuación los Estados Financieros y el Balance de nuestra empresa para 2009. Los comienzos del año fueron difíciles, pues el mundo se encontraba inmerso en una crisis financiera de proporciones, la cual ha sido catalogada por los expertos como la mayor desde la de los años ’30. En ese contexto, nuestra reacción tuvo tres grandes focos: primero, ejecutar una política de inversiones muy prudente en todas las categorías de activos que gestionamos, privilegiando la liquidez y minimizando los riesgos de contraparte. En segundo lugar, ejercimos un estricto control de gastos, pero preservando nuestra planta de colaboradores y, de hecho, reforzándola en aquellas posiciones donde se nos presentaron oportunidades. Por último, reforzamos la solvencia y liquidez de nuestro balance, lo cual fue reconocido con la obtención de una clasificación de riesgo AA-, en línea con la de las instituciones financieras más sólidas de este país.
Estas políticas nos permitieron sortear la crisis de forma eficaz y nos situamos en una posición expectante cuando se produjo la recuperación de los mercados. En definitiva, la solvencia de nuestro modelo de negocios y la diversificación alcanzada nos permitieron desarrollar un año que terminó siendo exitoso, con un alza en los ingresos consolidados de 20% y de 98% en nuestras utilidades.
Diversos hitos marcaron este año, entre los que me gustaría destacar los siguientes: el área de administración de fondos fue la que experimentó los mayores cambios, pues acordamos la fusión de LarrainVial Administradora General de Fondos y Consorio Administradora General de Fondos, esta última, propiedad de Consorcio Nacional de Seguros y Compass. La nueva entidad -en la que LarrainVial conserva el 75% de la propiedad- será la cuarta administradora de fondos mutuos del mercado, con USD 2.300 millones bajo administración y cuyos productos serán distribuidos por nuestra empresa, así como también por las fuerzas de ventas de Consorcio y Compass.

It gives me great pleasure to submit to your consideration and analysis the Financial Statements and Balance Sheet for the year 2009. The first months of the year were very hard due to a global financial crisis that has been defined by experts as the worst financial crisis since the Great Depression of the 1930s. In this context, our reaction had three main focuses: In the first place, an extremely cautious investment policy in every asset class under management, favoring liquidity and minimizing counterpart risks. In the second place, we kept expenses under strict control but keeping our staff of collaborators, and in fact we reinforced some positions whenever we had the opportunity. We also reinforced the solvency and liquidity of our balance sheet, which was rewarded with an AA- risk rating, in line with that of the soundest financial institutions in the country.
The above policies enabled us to deal with the crisis effectively and we placed ourselves in an expectant position when markets started to rebound. In short, the solvency of our business model and our diversi-fication allowed us to close the year successfully, with a 20% increase in consolidated revenues and a 98% expansion in earnings.
Several highlights marked the year 2009, among which I would like to mention the following. The fund management area experienced the greatest changes, as we agreed the merger between LarraínVial Administradora General de Fondos and Consorcio Administradora General de Fondos, the latter owned by Consorcio Nacional de Segu-ros and Compass. The new entity –in which LarrainVial holds a 75% ownership- will become the fourth largest mutual fund manager in the Chilean market, with USD 2,300 million under management. The products will be distributed by both our company and the sales force of Consorcio and Compass.

El área de Mercado de Capitales tuvo un muy buen año. Junto con consolidar su posición de liderazgo en la intermediación de acciones en los mercados chilenos, alcanzó también el primer lugar en la intermediación de bonos corporativos. La fuerte inversión en tecnología de ejecución junto al crecimiento de equipos comerciales y la mayor cobertura de nuestro Departamento de Estudios están detrás de esos éxitos.
Finanzas Corporativas logró la estructuración y colocación del primer bono de una empresa peruana en el mercado chileno, lo que la prensa denominó el primer “huaso bond”. El emisor fue el Banco de Crédito del Perú (BCP) y el monto de la operación fue de USD 107 millones. También se logró la primera apertura en bolsa del año al listar la empresa chilena Enjoy S.A., líder en el mercado local de casinos y juegos de azar.
El Departamento de Estudios logró, por tercer año consecutivo, el reconocimiento de la revista Institutional Investor, premio que supone la creciente calidad y cobertura de las publicaciones que este equipo realiza.
Activa, nuestra filial dedicada a la administración de fondos de private equity, se consolidó durante 2009 con el lanzamiento del fondo Sembrador II, dedicado a invertir en el sector agroindustrial chileno y con la creación de Minera Activa, iniciativas que posicionan a nuestra filial como una empresa líder en este segmento de la industria chilena.
Por último, quisiera destacar el buen desempeño de nuestra corredora de la Bolsa de Productos. Esta última institución, a través de la intermediación de facturas y del financiamiento de productos agrícolas, contribuye al desarrollo del mercado financiero chileno, y nuestra filial ocupa una posición de liderazgo indiscutido en la misma.
No quisiera terminar sin agradecer a los clientes de Larrain Vial S.A. por su continua confianza y apoyo. Y a nuestros colaboradores, quienes con su infatigable esfuerzo diario ayudaron al crecimiento y consolidación de nuestra empresa. Muchas gracias a todos.
The Capital Market area had a very good year. It consolidated its leading posi-tion in the intermediation of stock in Chilean markets and also ranked first in the intermediation of corporate bonds. Strong investment in execution technology combined with the expansion in our business teams and higher coverage on the part of our Research Department support such success.
The Corporate Finances area structured and sold the first bond of a Peruvian com-pany in the Chilean market, an operation the press called the first “huaso bond”. The issuer was Banco de Crédito del Perú (BCP) and the amount of the operation was USD 107 million. This area also launched the first IPO of the year when it listed Chilean company Enjoy S.A., a leading casino and hotel operator.
Our Research Department was recognized by the Institutional Investor magazine for the third consecutive year. This prize has rewarded the increasing quality and coverage of the reports released by our research team.
In 2009, Activa, our subsidiary in charge of managing private equity funds, consoli-dated with the launch of the Sembrador II fund aimed at investments in the Chilean agro-industrial sector, and the creation of Minera Activa. These initiatives position our subsidiary as a leading company in this segment of the Chilean industry.
Finally, I would like to highlight the good performance of our Corredora de Bolsa de Productos. Through the intermediation of invoices and financing of agricultural products, this institution contributes to the development of the Chilean financial market, where our subsidiary has an undisputable leadership.

1934
Fundada por los hermanos Fernando y Leonidas Larraín Vial en 1934, para la década de los 50 LarrainVial era una de las corredoras más importantes del país.
En 1989 realizó la primera apertura en bolsa de una empresa no estatal, la eléctrica Pilmaiquén y lideró la colocación de un bono de Endesa por USD 110 millones.
A comienzos de los 90 se crearon formalmente el Depar-tamento de Estudios y el área de Finanzas Corporativas, iniciándose una ola de aperturas en bolsa, entre las que se destacan Falabella, D&S y Santander Chile Holding.
2000
Se creó Global Trust, primera iniciativa del mercado nacional en la Bolsa Off -Shore.
En 2001 se creó la Administradora de Fondos de Inversión, orientada a inversionistas institucionales y se formó la pri-mera mesa de dólar formal de una empresa no bancaria. Se abrieron sucursales en Valparaíso y Concepción.
En 2002 LarrainVial estructuró sus primeros Efectos de Co-mercio. Paralelamente, se transformó en el primer Market Maker de la bolsa local.

Global Trust, the fi rst domestic market project on the Off -Shore Stock Exchange, was created. To date, LarrainVial is the undisputed invest-ment leader in that market.
Administradora de Fondos de Inversión, geared towards in-stitutional investors, was formed in 2001. The first for-mal dollar exchange desk of a non-banking company was also formed. Branches were opened that year in Valparaíso and Concepción.
In 2002, LarrainVial structured its fi rst Commercial Notes. At the same time, it became the fi rst market maker on the local stock exchange.

En 2005 se formó Gestión Global, área enfocada a los clientes de alto patrimonio. Se lanzó LVA Índices, dedicada a la construcción de índices en el mercado de Latinoamérica. Se inauguró la sucursal de Puerto Montt.
En 2006 LarrainVial comenzó sus operaciones en Colombia y en Chile se inauguró la sucursal de Valdivia.
En 2007 se abrieron sucursales en Viña del Mar y Antofagasta.
2008
LarrainVial Corredora de Bolsa termina el año como la principal corredora del país en transacciones en renta variable y bonos corporativos en la Bolsa de Comercio de Santiago. Además, se crea el área de inversiones alternativas, llamada LarrainVial Asset Management.
In 2003, the Product Sales and Trading Desk for Institutional Investors was created, which represents, sells and trades funds for acclaimed international fund administrators.
In 2004 LarrainVial arrived to Peru. In Chile, the Asset Management arm was formed; the Risk Management division was created and the new El Bosque branch was opened.
In 2005 Gestión Global, the wealth management client division, was created. That same year, LVA Índices, a company created for the construction of indexes in the Latin American market, was launched. A new branch was inaugurated in Puerto Montt. In 2006, LarrainVial began its operations in Peru and Colombia. A new branch was inaugurated in Valdivia.
In 2007 new branches in Viña del Mar and Antofagasta where opened.
2008
LarrainVial fi nished the year as the leading Broker Dealer in the country in volume traded in stocks and corporate bonds in the Santiago Stock Exchange. The alternative investments area was founded, named LarrainVial Asset Management.

Con utilidades finales por $ 17.800 millones (USD 35 millones), las distintas empresas financieras permitieron que LarrainVial terminara el año 2009 con un crecimiento de 148% respecto a los resultados de 2008.
En detalle, la Corredora de Bolsa logró terminar 2009 como la primera en transacciones en renta variable en la Bolsa de Comercio de Santiago, con un volumen de USD 19.800 millones. El liderazgo se repitió tanto en el volumen operado a terceros -con 25% del mercado- como en acciones, simultáneas y cuotas de fondos de inversión, donde sumó un 22% de participación. Este liderazgo permitió a la Corredora lograr utilidades por USD 30 millones.
Además, con una participación de mercado de 17% en lo que a transacciones de bonos corporativos en la Bolsa de Comercio de Santiago se refiere, nuestra Corredora es sin duda el principal actor del mercado local en esta materia.
Cabe destacar que LarrainVial Corredora de Bolsa mantuvo por segundo año consecutivo su clasificación de riesgo de AA- entregada por Humphrey s y Feller Rate.
With net profits of USD 35 million, our various financial companies allowed LarrainVial to finish 2009 with a 148% growth compared to 2008 results.
In detail, the Stock Brokerage was able to finish 2009 as number one in variable income transactions in the Santiago Stock Exchange, with a total volume of USD 19.8 billion. This leadership allowed the Brokerage to reach total profits of USD 30 million.
In addition, with 17% market share regarding corporate bond transactions in the Santiago Stock Exchange, our brokerage is without a doubt the main actor in this area within the local market.
It is worth pointing out that the LarrainVial Stock Brokerage maintained its AA- risk rating for the second year in a row, provided by Humphrey’s and Feller Rate.
As for the asset management arm, Administradora General de Fondos, this entity achieved profits of USD 7 million,

representing 5.6% market share with regards to total wealth administered in mutual funds. This placed it in first place in the ranking of non-banking administrators, and sixth on an industry-wide level. The number of participating parties in mutual funds grew by 92%, reaching over 100,000, while 120% growth was recorded for total wealth administered by our investment funds, reaching USD 1.9 billion.
The total volume of assets managed by the different LarrainVial companies during 2009 reached USD 12.6 billion, which translates into not only an increase of 92% compared to 2008, but an increase regarding the assets managed in 2007, before the onset of the crisis. This increase can be partially explained by the heavy 216% increase recorded for total wealth administered in international funds for institutional clients.
Among the main operations performed by LarrainVial during 2009 is the issuance of the first bond for a Peruvian company in our country, corresponding to the Banco de Credito del Peru. This issuance was for a total of USD 107 million. In addition, LarrainVial carried out the going public of the casino company Enjoy, which marked the first IPO since the financial crisis.
En cuanto a la Administradora General de Fondos, ésta alcanzó una utilidad de USD 7 millones, con una participación de mercado de 5,6% en patrimonio administrado en fondos mutuos, situándose en el primer lugar del ranking entre las administradoras no bancarias y sexta a nivel de industria. El número de partícipes en fondos mutuos creció un 92%, superando los 100.000 clientes, mientras que se registró un crecimiento de 120% en el patrimonio administrado por los fondos de inversión, alcanzando los USD 1.900 millones.
El volumen total de activos gestionados por las distintas empresas de LarrainVial durante 2009 alcanzó los USD 12.600 millones, lo que se traduce no sólo en un alza de 92% respecto a 2008, sino además en un alza respecto a los activos gestionados en 2007, previo al estallido de la crisis. Esta alza se explica, en parte, por el fuerte aumento de 216% registrado en el patrimonio administrado en fondos internacionales para clientes institucionales.
Entre las principales operaciones realizadas por LarrainVial durante 2009 figura la emisión del primer bono de una empresa peruana en nuestro país, correspondiente al Banco de Crédito del Perú, emisión que alcanzó los USD 107 millones. Además, se llevó a cabo la apertura en bolsa de la empresa de casinos Enjoy, la que marcó el hito de ser la primera apertura tras la crisis financiera.

Fundado en 1992, el Departamento de Estudios de la Corredora de Bolsa, denominado Sell Side, es uno de los centros neurálgicos de LarrainVial. Una de las principales caracte-rísticas que lo distingue es la experiencia de sus integrantes: compuesto por 14 analistas dedicados al estudio de acciones, economía y renta fija, 9 de ellos corresponden a analistas senior con un promedio de 10 años de experiencia en la industria. Lo anterior, permite contar con amplio conocimiento de los distintos sectores y una perspectiva global de análisis.
Durante 2009, el Departamento de Estudios fue nuevamente -y por tercer año consecu-tivo- distinguido por la revista Institutional Investor; esta vez, obtuvo el tercer lugar en la categoría Mejor Equipo de Estudios en Seguimiento de Activos en Chile.
Una de las áreas de trabajo en que se centraron los esfuerzos durante 2009 fue la ex-pansión de la cobertura hacia los mercados de Perú y Colombia. En la actualidad existen 15 empresas bajo cobertura, lo que equivale al 100% y 90% del Morgan Stanley Capital Index (MSCI), respectivamente, cifra que se suma a las 51 empresas con seguimiento en Chile, que en muchos casos data desde que se abrieran en bolsa.
Founded in 1992, the Stock Brokerage Research Department, called Sell Side, is one of the neurological centers of LarrainVial. One of its major distinguishing characteristics is the experience of its team members: made up of 14 analysts who are dedicated to the study of stocks, economy and fixed income, nine of them are senior analysts with an average of ten years of experience in the industry. This allows the department to count on a wide range of knowledge in different business sectors, and a global analytical perspective.
During 2009 the Research Department was yet again, for the third year in a row, distinguished by International Investor magazine, obtaining third place in the Best Research Team in Assets Monitoring in Chile category.
One of the areas in which the department focused its efforts during 2009 was the expansion of coverage into the Peruvian and Colombian markets. There are currently 15 companies covered by the department in these two markets, which is equivalent to 100% and 90% of the Morgan Stanley Capital Index (MSCI) respectively. This is in addition to the 51 companies that are monitored in Chile, which in many cases include information since these companies went public in the first place.

LarrainVial, por tercer año consecutivo, ha sido destacada entre los mejores departamentos de estudios de la región, al lograr el tercer lugar en el ranking de
la revista especializada Institutional Investor al Mejor Equipo de Analistas en Chile. Cabe señalar que es el único banco de inversión que ha recibido este premio que
no cuenta con oficinas en Nueva York.
Una de las principales variables que mide este ranking y que finalmente determina la votación de los inversionistas es el dominio del sector por parte de
los analistas.
El Departamento de Estudios cuenta con la mayor cobertura en los países de Chile, Perú y Colombia con 66 empresas, siendo 51 de éstas compañías chilenas, 9
colombianas y 6 peruanas.
LarrainVial, for the third year in a row, has been distinguished among the best research departments in the region, having achieved third place in the ranking by the specialty magazine Institutional Investor for the Best Analyst Team in Chile. It is worth pointing out that it is the only investment bank that has received this award that does not have offices in New York.

En 2009, la cobertura de los índices de LVA registró un importante crecimiento producto de la alianza comercial firmada con Dow Jones Indexes y Proveedor Integral de Precios, de México. Los índices Dow Jones LATixx, calculados por LVA, lograron al cierre de 2009 tener bajo cobertura los mercados de renta fija de Chile y México, satisfaciendo las necesidades de información sobre estos mercados para los inversionistas institucionales locales e internacionales, y sirviendo de base para la creación de cinco nuevos ETFs en México.
Además, durante el año LVA continuó mejorando su sistema de precios, que permite valorizar instrumentos de renta fija bajo estándares independientes y objetivos, generando las mejores estimaciones de precio para instrumentos de baja liquidez en el mercado chileno. Este sistema es una herramienta de gran utilidad para entidades bancarias, compañías de seguros, administradoras de fondos de pensiones, y en general toda entidad que administre carteras de renta fija, pues permite obtener un valor razonable de los activos frente a los reguladores, calcular valores cuota y hacer distintos estudios.
También durante 2009, LVA Índices continuó desarrollando consultorías para importantes entidades públicas y privadas, y desarrollando plataformas tec-nológicas a la medida para el sector financiero. Ya en 2008 se había creado el primer sistema de medición del desempeño de los fondos mutuos ajustados por riesgo, transformándose en el primer actor del mercado financiero local capaz de elaborar esta información, la que es a partir de 2009 la base para los Premios Salmón, que distingue a los fondos mutuos más rentables de cada categoría, y principal premio de la industria. El año pasado, LVA generó una nueva herramienta web específica para los administradores de fondos mutuos, la que fue adoptada por más de la mitad de las administradoras de fondos mutuos del mercado local.
In 2009, the coverage of LVA indexes registered significant growth due to the commercial alliance signed with Dow Jones Indexes and Proveedor Integral de Precios, of Mexico. The Dow Jones LATixx indexes, calculated by LVA, were able to cover the fixed income markets in both Chile and Mexico by the end of 2009, satisfying the need that both local and international institutional investors have for information on these markets, and serving as a base for the creation of five new ETF’s in Mexico.
In addition, during the year LVA continued to improve its price system, which allows to value fixed income instruments through independent and objective standards, and to generate the best price estimations for low-liquidity instruments in the Chilean market. This system is a highly useful tool for banking entities, insurance companies, pension fund administrators, and for any entity that administers fixed income portfolios in general, as it allows them to obtain a reasonable value of the assets in the eyes of regulators, to calculate quote values and to perform various studies.
Also during 2009, LVA Indexes continued to develop consulting services for important entities, both public and private, and to develop technological platforms for the financial sector. Already in 2008 the first system for the measurement of mutual fund performance adjusted for risk had been created, making LVA the first actor in the local financial market able to generate this information. In 2009 this system made up the base for the Salmon Awards, which distinguish the most profitable mutual funds in each category, and which represents the main award in the industry. Last year, LVA created a new web tool specifically for mutual fund administrators, which was adopted by more than half of the mutual fund administrators in the local market.

El año 2009 fue muy activo para el equipo de Finanzas Corporativas. Tras un 2008 marcado por la crisis económica y las restricciones de financiamiento a las empresas, en 2009 muchas compañías buscaron nuevas fuentes de financiamiento para refinanciar sus pasivos o aumentar sus niveles de endeudamiento -aprovechando la atractiva coyuntura de tasas-, haciendo de este año uno muy activo en lo que a emisión de bonos y efectos de comercio se refiere. En total, LarrainVial asesoró a las más importantes empresas de diversos sectores económicos en Chile y Perú en la colocación de un total de USD1.500 millones en bonos y efectos de comercio, entre las cuales se destaca la primera emisión de bonos en Chile de una empresa peruana, Banco de Crédito del Perú, por un total de USD 107 millones.
La primera operación del año correspondió a una emisión y colocación de bonos realizada en enero para la principal empresa de minería no metálica del país y principal productor de nutrientes vegetales de especialidad, yodo y litio del mundo, SQM (NYSE: SQM). Esta emisión fue por un monto de USD 170 millones y unos meses después se concretaría una nueva emisión y colocación de bonos, por un monto de USD 150 millones. Ambas transacciones se suman a la emisión y colocación de USD 30 millones en series de efectos de comercio.
The year 2009 was very active for the Corporate Finances team. After 2008 marked by the economic crisis and financial restrictions on companies, in 2009 many companies sought out new sources of funding in order to refinance their liabilities or increase their levels of debt –taking advantage of the attractive collection of rates-, making this year a very active one in terms of the emission of bonds and commercial documents. In total, LarrainVial consulted for the most important companies in a wide variety of economic sectors in both Chile and Peru, placing a total of USD 1.5 billion in bonds and commercial documents, among which we highlight the first emission of bonds in Chile by a Peruvian company. This company was the Banco de Credito del Peru, which placed a total of USD 107 million.
The first operation of the year corresponded to the emission and placement of bonds in January for SQM (NYSE: SQM), the largest non-metal mining company in the country, and the main producer of specialty vegetal nutrients, iodine and lithium in the world. This emission totaled an amount of USD 170 million, and a few months later a new emission and bonds placement was carried out for a total of USD150 million. Both transactions came on top of the emission and placement of USD 30 million in a series of commercial documents.

También se realizó la emisión y colocación de bonos de Falabella, una de las principales empresas de retail nacional, con presencia en Argentina, Perú y Colombia, por un monto total de USD 285 millones a 6 y 24 años de plazo al vencimiento. Esta emisión es una de las más grandes que se han realizado en el mercado local y logró una demanda equivalente a dos veces el monto ofrecido.
LarrainVial realizó también la emisión y colocación de bonos de Aguas Andinas, la principal empresa del sector sanitario en Chile y una de las mayores en América Latina, por un monto total de USD 120 millones. Esta emisión logró el spread más bajo logrado por un emisor corporativo desde el inicio de la crisis.
Otra de las operaciones llevadas a cabo fue la colocación de bonos de Transelec, la principal compañía de transmisión eléctrica de Chile de propiedad del Consorcio Brookfield, por un monto de USD 300 millones. Lo destacable de esta operación es que fue parte fundamental en el refinanciamiento de pasivos de Transelec vigentes en Estados Unidos (bonos 144A), la que además fue destacada por Euromoney con el premio Best Liability Management 2009. En diciembre, Transelec contrató a nuestra empresa para realizar la colocación de un nuevo bono por un total de USD 126 millones.
The company also performed the emission and placement of bonds for Falabella, one of the main national retail companies, also present in Argentina, Peru and Colombia, for a total amount of USD 285 million at 6 and 24 years term to maturity. This emission is one of the largest that has ever been performed in the local market, and it achieved a demand equivalent to double the amount offered.
LarrainVial also performed the emission and placement of bonds for Aguas Andinas, the largest company in the sanitary sector in Chile, and one of the largest companies of its kind in Latin America, for a total amount of USD 120 million. This emission managed the lowest spread achieved by a corporate issuer since the onset of the crisis.
Another of the operations carried out was the placement of Transelec bonds, which is the largest electrical transmission company in Chile, owned by the Brookfield Consortium, for a total amount of USD 300 million. The highlight of this operation is that it made up a fundamental part of the refinancing of Transelec’s current liabilities in the United States (144A bonds), and that it was awarded by Euromoney with the award for the Best Liability Management 2009. In December, Transelec hired our company to perform the placement of a new bond for a total of USD 126 million.

A mediados de año, se trabajó en la colocación de bonos Reg S de Oro Blanco, matriz de Pampa Calichera, principal accionista de SQM, por un monto de USD100 millones. Lo más destacable de esta operación fue que LarrainVial generó demanda por los instrumentos que le permitieron a dicha compañía mejores condiciones que las ofrecidas por bancos en moneda extranjera (USD). Otra de las empresas con las que se trabajó en la emisión y colocación de bonos fue SalfaCorp, principal empresa del sector construcción e inmobiliario en Chile con presencia en Perú y Colombia, por un monto de USD 38 millones.
En el ámbito de las asesorías, durante 2009 se trabajó en la asesoría para la adquisición y venta del control de la Corporación Santo Tomás, entidad que presta servicios de educación superior y de colegios a más de 50.000 alumnos. En un trabajo que duró más de un año, LarrainVial asesoró a los herederos del controlador en la venta del 60% de la Corporación Santo Tomás al grupo Hurtado y al fondo Linzor Capital, por un monto que superó los USD 71 millones.
En cuanto a operaciones de capital, durante la segunda mitad de 2009 LarrainVial realizó la apertura en bolsa de Enjoy, primera apertura bursátil de una empresa en el período post-crisis financiera y primera apertura en bolsa de una empresa de casinos en Latinoamérica.

Midway through the year, the company worked on the placement of Reg S de Oro Blanco bonds, which is the parent company of Pampa Calichera, the largest shareholder of SQM, for a total amount of USD 100 million. The highlight of this operation was that LarrainVial generated a demand for the instruments that allowed this company better conditions that those offered by banks in foreign currency (USD). Another of the companies with which we worked on the emission and placement of bonds was SalfaCorp, the largest company in the construction and real estate sector in Chile, also present in Peru and Colombia, for a total amount of USD 38 million.
In the area of consulting, during 2009 the company consulted for the acquisition and sale of control over the Corporacion Santo Tomas, an entity that provides higher and secondary education services to more than 50,000 students. In a job that lasted over one year, LarrainVial consulted the heirs of the controlling individual in the sale of 60% of the Corporacion Santo Tomas to the Hurtado group, and to the Linzor Capital fund, for an amount of over USD 71 million.
As for capital operations, during the second half of 2009 LarrainVial managed the entry into the stock market of Enjoy, which was the first company to go public since the post financial crisis period began in 2008, and the first casino company to go public in Latin America.

Durante octubre de 2009, LarrainVial realizó en el mercado de
capitales chileno la primera emisión de deuda por parte de una
entidad peruana: Banco de Crédito del Perú (BCP), por un monto de
USD 107 millones a 5 años plazo.
Esta colocación sin duda marcó un hito histórico en la integración
de los mercados de capitales chileno y peruano, quedando refl ejado
que el mercado chileno tiene la profundidad y sofi sticación
sufi cientes para que actores extranjeros puedan levantar fondos vía
deuda en condiciones competitivas para emisores extranjeros.
BCP es la institución más importante del sistema fi nanciero peruano
y proveedor líder de servicios fi nancieros en dicho país. En términos
de participación de mercado, el BCP registra 36,5% de los activos,
33,8% de las colocaciones y 38,4% de los depósitos en el sistema
bancario, posición de liderazgo que ha consolidado a lo largo de
sus 120 años de historia. BCP cuenta con 333 sucursales en las 25
regiones del Perú, representando la red de ofi cinas bancarias más
grande del país. Adicionalmente, el Banco cuenta con dos sucursales
en el exterior, en Panamá y Miami.

emission of debt by a Peruvian entity in the Chilean
capitals market. This operation corresponded to
Banco de Credito del Peru (BCP), and totaled an
amount of USD 107 million at 5 years term to
maturity.
Without a doubt, this placement marked a historic
landmark in the integration of the Chilean and
Peruvian capitals markets, refl ecting that the Chilean
market has the depth and sophistication necessary
for foreign actors to be able to raise funds via debt in
competitive conditions for foreign issuers.
BCP is the most important institution in the Peruvian
fi nancial system, and is a leading provider of
fi nancial services in Peru. In terms of market share,
BCP controls 36.5% of assets, 33.8% of placements,
and 38.4% of deposits in the banking system.
This represents a position of leadership that it
has consolidated all throughout its 120 years of
existence. BCP has 333 branches in the 25 regions of
Peru, representing the largest network of banking

Apertura en bolsa de Enjoy por USD 42 millones
Enjoy IPO for USD 42 million Products of Chile
Fue la primera del año. En una operación que superó las
expectativas, la apertura en bolsa de la empresa de casinos Enjoy
concretada en julio logró recaudar USD 42 millones por el 30% de
su propiedad. Esta operación fue premiada por el Diario Financiero
como la mejor operación de capital del año 2009.
La empresa, que opera seis casinos de juegos en Chile (Antofagasta,
Coquimbo, Viña del Mar, Santa Cruz, Pucón y Puerto Varas) y uno en
Mendoza, registró un total de 2.671 órdenes de compras, proceso
que culminó con un precio de colocación de $50 por acción. El
interés por la compañía fue otro factor importante, ya que el total
de las acciones demandadas superó los USD 216 millones, las
cuales provinieron principalmente de inversionistas institucionales
nacionales y extranjeros, como fondos mutuos y de inversión, fondos
extranjeros, inversionistas de alto patrimonio y retail en general.
Lo anterior demostró que, pese a la crisis, los inversionistas locales
y extranjeros sí estaban atentos a las oportunidades de inversión
atractivas que les fueran presentadas.
Los recursos de esta colocación serían destinados, principalmente, al
fortalecimiento de la posición financiera de la empresa, reduciendo
pasivos, de forma de estar en óptimas condiciones para abordar
nuevas oportunidades a futuro.
It was the first of the year. In an operation that surpassed
expectations, the IPO of the casino company Enjoy managed
to collect USD 42 million from the sale of 30% of total
ownership. Diario Financiero awarded this operation as the
Best Capital Operation of 2009.
The company, which operates six gaming casinos in Chile
(Antofagasta, Coquimbo, Viña del Mar, Santa Cruz, Pucon
and Puerto Varas) and one in Mendoza, Argentina, recorded
a total of 2,671 purchase orders, a process that culminated
in an issuing price of $50 per share. Interest in the company
was another significant factor, in that the total amount in
shares demanded was over USD 216 million, which came
mostly from national and foreign institutional investors,
such as mutual and investment funds, foreign funds, wealthy
investors, and retail investors in general. This demonstrated
that, despite the crisis, local and foreign investors were aware
of the attractive investment opportunities that they were
presented with.
The resources from this emission will be mainly utilized for
the strengthening of the company’s financial position and
reducing liabilities, in order to be in optimal conditions to take
on new opportunities in the future.

Si bien el 2009 terminó mejor de lo que se vislumbraba, se debe recordar que el inicio fue incierto. Fue así como el manejo prudente de las inversiones de nuestros clientes de banca privada, con una baja considerable del riesgo, la diversificación adecuada entre los distintos activos y la entrega de un servicio personalizado, nos permitió cerrar el año con un aumento tanto en el patrimonio administrado como en el número total de clientes.
La experiencia de los dos directores que lideran el área -con 15 y 16 años de experiencia respectivamente- junto a 6 banqueros senior con 10 años de trabajo conjunto en LarrainVial y aún más en la industria, además de un equipo de apoyo, permiten entregar un servicio personalizado en administración de cartera y asesoría financiera, además de un servicio integrado de family office que facilita la administración de fortunas familiares sin la necesidad de montar una estructura propia. De este modo, el conocimiento del cliente permite diseñar y entregar soluciones adecuadas para cada perfil, interpretando la relación riesgo-retorno, metas de inversión y plazos estimados para lograrlas.
Durante 2009 el esfuerzo continuó en identificar nuevas mejoras en el servicio. De este modo, uno de los hitos alcanzados fue la creación de la Gerencia de Inversiones, entidad que toma la responsabilidad de entregar pautas de inversión y distribución de activos entre los diferentes niveles de riesgo, distribución geográfica y clases de activos, de modo de identificar las oportunidades que mejor se adapten a las necesidades específicas de cada cliente. Liderado por el economista de Gestión Global, la Gerencia de Inversiones es integrada además por los distintos equipos de expertos de LarrainVial, como el Departamento de Estudios, permitiendo así una mayor visión y mejor discusión de las perspectivas económicas al interior de comités periódicos.
Although 2009 ended up better than expected, it is important to recall that the beginning of the year was quite uncertain. It was as such that the prudent management of our private bank clients’ investments, with a considerable decrease in the risk involved, an appropriate diversification between different assets, and the provision of a personalized service allowed us to close the year with an increase in both the total wealth administered and the total number of clients.
The experience of the directors that lead the area –with 15 and 16 years of experience respectively- together with 6 senior bankers with 10 years of experience working together at LarrainVial and even more in the industry, in addition to a support team, allow us to provide a personalized service in portfolio administration and financial assessment, as well as an integrated, family office service that facilitates the administration of family fortunes without the need to create a personal structure. In this way, the client’s knowledge allows us to design and provide adequate solutions for each individual profile, interpreting the risk-return relationship, investments goals and the estimated timelines for meeting these goals.
During 2009 the effort continued to identify new improvements in our service. In this way, one of the landmarks that we achieved was the creation of the Investments Team, an entity that takes responsibility for providing investment guidelines and distributing assets between different levels of risk, geographic locations and different kinds of assets, in such a way as to identify the opportunities that best adapt to the specific needs of each client. Led by the Gestión Global economist, this unit is also made up of the various expert teams at LarrainVial, such as the Research Department, allowing for a loftier vision and a better discussion on the economic perspectives within the periodic committees.

In addition to this, there was the creation of the Sub-management of Gestión Global Operations, which reports directly to LarrainVial operations management. This was a response to the open architecture model to which our clients have access, which makes the back office needed to consolidate all the operations performed in Chile available to our clients, be it in the local market or abroad.
After a profound review, our business model was re-launched, brought to the attention of each client through a team with responsibilities defined for each individual person. Although the figure of a banker that leads this relation remains, behind this figure there is an intra-organizational network in order to optimize the exchange of knowledge and expertise, achieve a higher degree of flexibility faced with contingencies, and to strengthen the connection between the client and LarrainVial.
First-hand information is an important part of the service that we provide, which is expressed in the continual review of key economic issues by our consultants and invitations to presentations on market projections and the different seminars that LarrainVial organizes. In addition, in 2009 the third cycle of Corporate Families was carried out, held together with the Business School from the Universidad de los Andes. This was an activity exclusive to Gestión Global clients, in which experiences with important Chilean corporate families were shared.

A lo anterior, se suma la creación de la Subgerencia de Operaciones de Gestión Global, la que reporta directamente a la Gerencia de Operaciones de LarrainVial. Lo anterior, como una respuesta al modelo de arquitectura abierta al que acceden nuestros clientes, poniendo a su disposición el back office necesario para consolidar en Chile todas las operaciones realizadas, ya sea en el mercado local como en el extranjero.
Tras una profunda revisión, se relanzó nuestro modelo de negocios, llevando la atención de cada cliente a manos de un equipo con responsabilidades definidas por persona. Si bien se mantiene la figura de un banquero que lidera la relación, existe detrás una red intra-organizacional, de modo de optimizar el intercambio de conocimientos y expertise, lograr una mayor flexibilidad frente a contingencias y fortalecer el vínculo entre el cliente y LarrainVial.
La información de primera fuente es parte importante del servicio entregado, lo cual se manifiesta en la continua revisión de temas económicos clave por parte del asesor e invitaciones a presentaciones de proyecciones de mercado y a los distintos seminarios que organiza LarrainVial. Además, en 2009 se llevó a cabo el tercer ciclo de Familias Empresarias realizado en conjunto con la Escuela de Negocios de la Universidad de los Andes, actividad exclusiva para clientes de Gestión Global, donde se compartieron experiencias con destacadas familias empresarias chilenas.

Durante 2009, la Red de Asesores Financieros vivió importantes desafíos; tras la fusión de LarrainVial Administradora General de Fondos y Consorcio Administradora General de Fondos, nuevos fondos mutuos, clientes y asesores financieros llegaron a LarrainVial.
De hecho, a nuestra Red de Asesores Financieros se incorporaron 35 personas, y un hito importante para nuestra empresa es que un 50% de ellas lo hicieron a nuestras sucursales de regiones -Antofagasta, Viña del Mar, Valparaíso, Concepción, Chillán, Valdivia, Puerto Varas y Puerto Montt-. Lo anterior fortaleció nuestra presencia a lo largo de todo Chile y, más importante aún, se registró un crecimiento de la mano de asesores con experiencia y conocimientos sobre la industria, permitiendo entregar un mejor servicio a nuestros crecientes clientes de regiones. Asimismo, los asesores que se incorporaron a LarrainVial pudieron ofrecer a los clientes provenientes de Consorcio Administradora General de Fondos la cartera completa de productos de nuestra empresa, lo que se tradujo en el acceso a una mayor diversidad de productos como fondos mutuos, acciones, instrumentos de renta fija, etc.
During 2009, The Network of Financial Advisors experienced significant challenges; after the merger between LarrainVial Administradora General de Fondos and Consorcio Administradora General de Fondos, new mutual funds, clients and financial advisors came to LarrainVial.
In fact, 35 new people were incorporated into our Network of Financial Advisors, and an important landmark for our company is represented by the fact that 50% of them did so at our regional branches –Antofagasta, Viña del Mar, Valparaiso, Concepcion, Chillan, Valdivia, Puerto Varas and Puerto Montt.

Nuestra constante búsqueda por identificar y ofrecer a nuestros clientes los productos financieros que mejor satisfacen sus necesidades, llevó a que durante 2009 se pusiera a su disposición Pershing, una plataforma internacional que permite el acceso a instrumentos financieros de todo el mundo, aumentando el espectro de identificación de oportunidades de inversión.
También durante 2009, LarrainVial trabajó en el establecimiento de alianzas con administradoras internacionales de la talla de Templeton y Deutsche, para inscribir a través de la Bolsa Off Shore fondos mutuos internacionales, con el objetivo de que sean transados en el mercado local y puedan ser adquiridos directamente por nuestros clientes.
This strengthened our presence all throughout Chile and, even more importantly, a growth in the number of experienced advisors with knowledge of the industry was recorded, allowing us to provide a better service to our growing number of clients in the regions. As such, the advisors that were incorporated into LarrainVial were able to offer clients from Consorcio Administradora General de Fondos the entire portfolio of our company’s products, which translated into access to a higher degree of diversity regarding mutual funds, stocks, fixed income instruments, etc.
Our constant search to identify and offer our clients those financial products that best satisfy their needs resulted in our making Pershing available during 2009, which is an international platform that allows for access to financial instruments from all over the world, thus increasing the spectrum for the identification of investment opportunities.
Also during 2009, LarrainVial worked on the establishment of alliances with large international asset management companies such as Templeton and DWS, in order to subscribe to international mutual funds through the Off Shore Exchange. This was in order for these funds to be traded on the local market, so that they could be acquired directly by our clients.

El año 2009 fue un gran año para el equipo de Mercado de Capitales. Tras un 2008 marcado por la crisis económica, muchas empresas debieron refinanciar sus pasivos o buscar nuevas fuentes de financiamiento, llevando a las mesas de acciones y de renta fija -local e internacional- a cerrar el 2009 como la principal corredora de bolsa del país, con transacciones por USD 19.700 millones en renta variable y USD 7.500 millones en bonos corporativos. Lo anterior se traduce en un 22% y un 17% de participación de mercado, respectivamente, consolidando así el liderazgo en el mercado financiero local.
Por lo mismo, tras la consolidación en el mercado local, uno de los desafíos que ha tomado nuestra empresa -y el equipo de Mercado de Capitales en particular- ha sido participar en mayor medida dentro del mercado latinoamericano. Creada la Mesa Regional, nuestros clientes ya no sólo acceden al mercado chileno, sino que al operar con LarrainVial ponemos a su disposición los mercados de Perú, Brasil, Colombia y México. Somos la única corredora chilena que ofrece a hedge funds, fondos de inversión, fondos de pensiones, bancas privadas, fondos mutuos y family office en cinco países a través de una sola contraparte.
Entre los servicios que ofrecemos está el conocimiento y la opinión macroeconómica local, la cobertura de research de las principales empresas de cada mercado, la capacidad de ejecución y el acceso a los mejores negocios de cada uno de estos países a los que no es posible acceder a través de índices o fondos, además de participar de venta de bloques accionarios o aperturas en bolsa en estos países.

The year 2009 was a big year for the Capital Markets team. After a 2008 marked by the economic crisis, many companies had to refinance their liabilities or seek out new sources of funding. This led to high levels of activity on stock and fixed income platforms, both local and international, with the total amount in transactions reaching USD 19.7 billion in variable income, and USD 7.5 billion in corporate bonds at the Santiago Stock Exchange. This translates into 22% and 17% market share, respectively, thus consolidating LarrainVial’s leadership in the local financial market.
For this reason, after having achieved consolidation in the local market, one of the challenges that both the company and the Capital Markets team in particular have taken on is reaching higher levels of participation within the Latin American market. After the creation of the Regional Platform, our clients now have access not only to the Chilean Market, but those that LarrainVial makes available in Peru, Brazil, Colombia and Mexico. We are the only Chilean brokerage that offers hedge funds, investment funds, pension funds, private banking, mutual funds and family offices, our services in five countries, all through only one counterpart.

Asimismo, se logró contactar al controlador de la minera peruana listada en Londres, Hochschild, para vender el 1,3% de la propiedad en USD 25 millones a inversionistas extranjeros, todo desde nuestras ofi cinas en Santiago.
En el mercado local, entre las operaciones más signifi cativas llevadas a cabo por el equipo de Mercado de Capitales fi guran ventas de bloques accionarios por un total de USD 900 millones. Las principales operaciones fueron:
• La Polar, venta de un bloque de acciones equivalente al 11% de la propiedad en noviembre por USD 120 millones.
• Ripley, ejecución y asesoría en la compra de un paquete de acciones equivalente al 4,5% de la propiedad por USD 80 millones.
• Pampa Calichera, bloque equivalente al 9% de su capital por USD 230 millones, y posteriormente un segundo bloque por USD 135 millones.
• Oro Blanco, dos transacciones de bloques por USD 200 millones y USD 75 millones.
Among our offer are the provision of knowledge and macroeconomic opinions on the local market, research coverage regarding the main companies that operate in each market, the capacity for execution and access to the best businesses in each of the countries to which we provide service, and which cannot be accessed through indexes or funds. LarrainVial also participates in the sale of blocks of stock and companies going public in all the countries in which it is operational.
As such, LarrainVial participated in the IPO of Banco Santander in Brazil, putting Chilean clients onto the list of purchase orders. Also during 2009, a group of local and foreign investors had access to the sale of a block of stocks of the Peruvian cement company Argos.
In the same way, we were able to make contact with the controlling party of the Peruvian mining company Hochschild, listed in London, for the sale of 1.3% of the property at USD25 million to foreign investors, and all from our offi ces in Santiago.
In the local market, among the most signifi cant operations carried out by the Capital Markets team is the sale of blocks of stock for a total of USD 900 million. Among the most important of these operations were:
• La Polar, sale of a block of stocks in November, equivalent to 11% of the property at USD 120 million.
• Ripley, execution and consulting for the purchase of a package of stocks equivalent to 4.5% of the property for USD80 million.
• Pampa Calichera, block equivalent to 9% of its capital for USD 230 million, and later a second block for USD 135million.

Con 75 años de existencia en el mercado financiero, la plaza local es
sin duda nuestro principal mercado. Y este 2009, por segundo año
consecutivo, LarrainVial Corredora de Bolsa fue el principal actor de
la Bolsa de Comercio de Santiago, con un 22% de participación de
mercado, lo que se traduce en un volumen transado de USD 19.700
millones. De este modo, no sólo se conservó el liderazgo logrado
en 2008, sino que además se avanzó en la participación alcanzada,
desde un 19% al actual 22%.
Nuestra mesa de acciones, compuesta por operadores de amplia

y extranjeros, institucionales y retail, no sólo la intermediación

for the second year in a row, LarrainVial Stock Brokerage
was the main actor in the Santiago Stock Exchange, with
22% market share, which translates into a total volume
traded of USD 19.7 billion. In this way, not only did we
conserve the position of leadership achieved in 2008, but
we also made progress on the total market share attained,
progressing from 19% to the current level of 22%.
Our stocks platform, made up of operators with a high
level of experience in the market, offers our local and
foreign clients, both institutional and retail, not only
the financial intermediation that they require, but the
opportunity to participate in exclusive and innovative
investment alternatives as well.
As such, the variable income platform demonstrated its
capacity to carry out complex operations for companies
once again in 2009. Such operations include the sale
of blocks of stock, capital increases and the search for
sophisticated investors.

Específicamente, el trabajo realizado en conjunto con el equipo de Finanzas Corporativas fue clave en la calidad entregada a nuestros clientes. Entre las principales estructuraciones y colocaciones de renta fi ja fi guran:
• Banco de Crédito del Perú, estructuración y colocación de bonos del primer emisor peruano en el mercado chileno, por USD 107 millones.
• Falabella, bono por USD 285 millones destinado al refi nanciamiento de pasivos. Esta operación en particular fue un “traje a la medida” tanto para la empresa como para los inversionistas, ya que por primera vez en el mercado local se colocó un bono 24/16 (siendo lo habitual 21/10), es decir, deuda a 24 años plazo con el inicio del pago de las amortizaciones al año 16.
• Transelec, colocación y estructuración de dos bonos, en agosto y diciembre, por USD 300 millones y USD 126 millones, respectivamente. Interpretando las necesidades de nuestros clientes, en esta operación, a diferencia de la mayoría de las colocaciones tipo bullet -que son a 10 o 20 años plazo-, se colocó a un plazo de 22 años, despertando un mayor interés entre las compañías de seguros en particular dado la regulación que rige a este tipo de inversionistas.
• SalfaCorp, colocación de un bono por USD 38 millones durante noviembre.
• Eurocapital, el trabajo con esta empresa de factoring consistió en una asesoría y planifi cación de sus compromisos fi nancieros, permitiéndole a la empresa colocar durante el año efectos de comercio por USD 40 millones.
• Aguas Andinas, estructuración y colocación de bonos por USD 120 millones.
• SQM, dos bonos en el mercado local por USD 170 millones y USD 150 millones respectivamente, además de varios efectos de comercio por USD 30 millones.
• D&S, colocación de efectos de comercio por USD 28 millones.
Specifi cally, the work carried out together with the Corporate Finance team was key regarding the quality service provided to our clients. Among the main structuring operations and fi xed income placements are:
• Banco de Credito del Peru, structuring and bonds placement for the fi rst ever Peruvian issuer in the Chilean market, for a total of USD 107 million.
• Falabella, bond worth USD 285 million for the refi nancing of liabilities. This operation in particular was a perfect fi t for both our company and the investors, as for the fi rst time in the local market a 24/16 bond was placed (the normal bond being 21/10). This new bond implies a 24-year term to maturity, with the fi rst redemption payment at 16 years.
• Transelec, placement and structuring of two bonds, in August and December, for USD 300 million and USD 126 million respectively. Interpreting the needs of our clients, unlike most bullet-type placements (which include 10 or 20-year term to maturity), these bonds were placed at a 22-year term to maturity, arousing a higher level of interest among insurance companies in particular, due to the regulations that govern this sort of investment.
• SalfaCorp, placement of a bond for USD 38 million during the month of November.
• Eurocapital, work with this factoring company consisted of consulting for and planning their fi nancial commitments, allowing the company to place commercial documents for USD 40 million during the year.
• Aguas Andinas, structuring and placement of bonds for USD 120 million.
• SQM, two bonds in the local market for USD 170 million and USD 150 million respectively, in addition to various commercial documents for USD 30 million.
• D&S, placement of commercial documents for USD 28 million.

• Chilquinta, recompra de bono en dólares en el mercado internacional modalidad Reg S / 144 A por USD 60 millones entre inversionistas institucionales y de alto patrimonio locales.
• TermoCandelaria, pagaré por USD 6 millones colocado entre inversionistas institucionales extranjeros.
• FPC Energía, pagaré por USD 4 millones colocado entre inversionistas extranjeros.
As far as the variable income operations carried out together with Corporate Finances, we highlight the following:
• Enjoy, forming the purchase orders and placement in the process for going public, for a total of USD 42 million in July, which is equivalent to 30% of the property. This operation was the first that included a company going public since the onset of the financial crisis in 2008.
• Southern Cross, financial consulting for Supermercados del Sur, part of the Southern Cross investment fund, for integration with the La Polar chain store.
• Itata, capital increase for USD 16 million.
Our presence in the international bonds market has been sustained over time. As such, the following operations took place in 2009:
• SQM, issuance of bonds in Dollars in the international market (Reg S modality) for USD 100 million, divided among institutional and individual wealthy investors, both local and foreign.
• SCL, repurchasing of bond in Dollars in the international market (Reg S / 144 A) for USD 50 million, divided among both local institutional investors, and wealthy individual investors.

El área de Mercado de Capitales está integrada también por la mesa de Distribución de Productos Internacionales a Institucionales (DPII). Desde aquí, se pone a disposición de nuestros clientes institucionales en Chile, Perú y Colombia distintas soluciones de inversión internacional a través de acuerdos con diversos bancos de inversión, como Pictet & Cie, Robeco Group, Deka Group, ING Group, MFS, American Century Investment Management, HSBC Holdings Plc e Invesco UK Limited.
Tras una caída considerable en el volumen de activos gestionados durante 2008, producto del estallido de la crisis, ya para 2009 se logró terminar un año con un crecimiento de 198% hasta USD 5.600 millones en este ítem. Lo anterior se explica tanto por la valorización de activos como por la entrada de nuevos flujos principalmente en renta fija internacional en categorías como deuda emergente, high yield y corporativos.
De este modo, el porcentaje de participación de mercado en lo que a administración de fondos internacionales de las AFP en Chile se refiere, se logró avanzar desde 7,9% en 2008 a 10.3% al cierre de 2009.
Otro hito importante durante 2009 fue el aumento de capital por USD 18 millones del fondo Brazil Small Cap entre clientes locales, llevando al fondo a los USD 180 millones. Asimismo, se amplió la oferta de soluciones de inversión para ofrecer a nuestros clientes , a través de nuevas alianzas, como es el caso del banco inglés Invesco, y de HSBC, ya presente en Chile pero extendido este año a Perú.
The Capital Markets area is also made up of the Distribution of International and Institutional Products platform. From this platform, different international investment solutions through agreements with a variety of investment banks, such as Pictet & Cie, Robeco Group, Deka Group, ING Group, MFS, American Century Investment Management, HSBC Holdings Plc and Invesco UK Limited, are made available to our institutional clients from Chile, Peru and Colombia.
After a considerable fall in the volume of assets managed during 2008 as a result of the onset of the crisis, in 2009 we managed to finish the year with 198% growth of up to USD 5.6 billion in this area. This can be explained by both the valuation of assets and the entry of new flows, mostly from international fixed income instruments from a variety of categories such as the emergent debt, high yield and corporate areas.
In this way, regarding the percentage of market share for the administration of international AFP funds in Chile, the company was able to advance from 7.9% in 2008 to 10.3% at the close of 2009.
Another important landmark during 2009 was the capital increase of USD18 million for the Brazil Small Cap fund for local clients, bringing the fund to USD 180 million. As such, the supply of investment solutions offered to our clients was widened through the formation of new alliances, as in the case of the English bank Invesco, and HSBC, which was already present in Chile but which also expanded into Peru this year.
In our neighboring country, LarrainVial continues its leadership regarding the foreign investments of Peruvian AFP’s, with 30% market share and total assets administered of USD 280 million.

In fact, our presence in Peru for the past 6 years has allowed us to successfully place the Pictet Funds (LUX): Latin America Local Currency Debt, among both Chilean and Peruvian investors, for a total amount of USD 80 million.
Finally, another significant landmark for 2009 was the creation of two working teams. The first is Capital Introduction, through which non-Latin American institutional investors access the products of the best managers in the region, thanks to the nexus offered by LarrainVial. The second is the team for the development of alternative investments, such as private equity or real estate funds. Through this team’s activities, several of LarrainVial’s Latin American institutional clients have access to products from outstanding investment banks that work in this area, such as Blackstone Group and OchZiff.
One of the central pillars of the work done by the Capital Markets team is permanent contact with the client, for whom we are committed to incorporate technology, intelligence, analysis, execution and flexibility into the solution of their financial needs.
Present in over five countries throughout the Americas, the business proposal of the Capital Markets area is global for the over 500 Chilean and foreign institutional investors attended to, who are offered the best execution of the different products with which LarrainVial operates. In addition, meetings and informative presentations on the different markets in which the company is active are held constantly, together with the Research Department, as are a series of seminars in Chile and abroad in which LarrainVial’s most outstanding analysts, together with those from foreign investment banks, participate together.
Another important meeting is the International Investors’ Conference, which was held for the fourth consecutive year this year, in which top executives from 55 Chilean, Peruvian and Colombian companies met face to face with 35 foreign institutional investment teams.

Con una participación de mercado de 17% en lo que a transacciones
de bonos corporativos en la Bolsa de Comercio de Santiago se
refiere, LarrainVial Corredora de Bolsa es sin duda el principal actor
del mercado local en esta materia.
Al ver las transacciones en el mercado secundario de bonos
corporativos, el logro para este equipo es aún mayor, pues hace sólo
tres años, el total transado en este mercado era de $ 5.000 millones
anuales, escenario en el cual LarrainVial lograba el lugar número
12. Al cierre de 2009, no sólo alcanzamos ser el primer actor con
un 25% de participación, sino además de un mercado que creció
hasta $ 14.000 millones que fue el volumen transado durante 2009.
De hecho, las cifras establecen que LarrainVial es responsable en un
71% del crecimiento registrado por el mercado secundario de bonos
corporativos en este período.
Lo anterior, en línea con el compromiso del área de Mercado de
Capitales y de nuestra empresa en general con ser un aporte en el
desarrollo del mercado financiero, contribuyendo a que éste logre
una mayor profundidad y liquidez.
With a market share of 17% regarding corporate bond
transactions in the Santiago Stock Exchange, the LarrainVial
Stock Brokerage is without a doubt the main actor in this area
within the local market.
In looking at transactions in the secondary corporate bonds
market this team’s achievement is even greater, as in only
three years the total traded in this market reached CLP 5 billion
annually, a scenario in which LarrainVial achieved 12th place.
As of the end of 2009, not only did we come to be the number
one actor with 25% market share, but this was achieved in a
market that grew by up to CLP 14 billion, corresponding to the
volume traded during 2009. In fact, the numbers establish that
LarrainVial is responsible for 71% of the growth recorded by the
secondary corporate bonds market during this period.
This is on line with the commitment of the Capital Markets
area and of our company in general to contribute to the
development of the financial market, making for its growth in
terms of a higher level of depth and liquidity.

LarrainVial fue corredor fundador de la Bolsa de Productos de Chile en 2005, año desde el cual ha habido un crecimiento sostenido de su volumen transado. Tras cerrar el 2006 con USD 80 millones en transacciones, a cuatro años desde su crea-ción este mercado ha logrado un crecimiento sostenido en el tiempo, alcanzando en 2009 USD 950 millones.
La estrategia de continua difusión de la Bolsa de Productos entre los potenciales clientes ha traído como consecuencia la incorporación de numerosos inversionistas, tanto personas naturales como inversionistas institucionales, que han optado por diversificar y rentabilizar sus portafolios de renta fija, incorporando a sus carteras facturas y títulos representativos de productos agropecuarios. Estos productos han tenido una fuerte penetración entre los inversionistas individuales de LarrainVial, puesto que se han constituido en uno de los instrumentos de renta fija de mayor rentabilidad del mercado de capitales.
De hecho, una importante fuente de información fueron las presentaciones de este mercado que se hicieron dentro de los seminarios regionales de LarrainVial, donde los asistentes de Antofagasta, Chillán, Concepción y Valdivia se enteraron de primera fuente de los beneficios de la Bolsa de Productos. Lo anterior permitió que nuevas empresas encontraran aquí una alternativa de financiamiento competitiva, donde los principales productos financiados fueron inventarios de granos – trigo, arroz y maíz – y facturas por cobrar de los clientes en sus distintas modalidades: físicas, electrónicas y aseguradas.
LarrainVial was the founding brokerage of our commodity exchange in 2005, and since then there has been sustained growth in the volume traded. After closing 2006 with USD 80 million in transactions, four years after its creation this market has achieved sustained growth in time, reaching USD 950 million in 2009.
The strategy of the Commodity Exchange for continuous diffusion among its potential clients has resulted in the incorporation of numerous investors, both individual and institutional, who have opted for diversifying their fixed income portfolios and making them profitable, incorporating invoices and documents representative of the agricultural industry into their portfolios. These products have come to be used by a large number of LarrainVial’s individual investors, in that they have become constituted as one of the most profitable fixed income instruments on the capitals market.
In fact, the presentations made within the context of LarrainVial’s regional seminars represented an important source of information. In these seminars, attendants from Antofagasta, Chillan, Concepcion and Valdivia found out first hand about the benefits of Stock Market Products. This allowed new companies to find a competitive source of alternative financing, in which the main products financed were grain inventories (wheat, rice and corn) and clients’ uncollected invoices in various forms: physical, electronic and insured.

Ya en 2008 LarrainVial se posicionó como líder indiscutido de
esta industria, liderazgo que se repitió en 2009, con transacciones
por USD 683 millones y una participación de 72%. De este modo,
LarrainVial, corredor fundador de la Bolsa de Productos de Chile, ha
sido un actor clave en el desarrollo de este mercado.
Del total del volumen transado por esta bolsa, un 69% corresponde a
financiamiento de facturas y un 31% a financiamiento de productos
agropecuarios; asimismo, el sector con mayor participación en este
mercado es el agroindustrial, seguido por el de alimentos y minería.

undisputed leader of this industry, leadership that was
maintained in 2009 with transactions worth USD 683
million and 72% market share. In this way LarrainVial,
founding brokerage of our local commodity exchange, has
been a key actor in the development of this market.
Of the total volume traded by this brokerage, 69%
corresponds to financing invoices, and 31% to financing

Enfocada en la administración de fondos de terceros, Larraín Vial Administradora General de Fondos S.A. cuenta -entre fondos mutuos y de inversión- con USD 2.300 millones bajo administración al cierre de 2009, lo que implica un crecimiento de 146% respecto a 2008, crecimiento que se explica, en parte, por su fusión con Consorcio S.A. Administradora General de Fondos. De este modo, al cierre de 2009, el patrimonio administrado corresponde en un 80% a fondos mutuos y un 20% a fondos de inversión.
Durante 2009, la Administradora registró un fuerte aumento en sus canales de distribución: más allá de los 500 ejecutivos que la fusión con Consorcio S.A. Administradora General de Fondos aportó, finalmente, se cerró un contrato de distribución con la división financiera de la mayor cadena de supermercados del país, D&S, que permite brindarle acceso al mercado financiero a una población que generalmente no lo tiene, permitiendo el ahorro en dos fondos mutuos creados especialmente con este fin. Esto último implicó la llegada de nuestros productos a otros 90 puntos de venta en todo Chile.
Focused on the administration of third party funds, Larraín Vial Administradora General de Fondos, our asset management arm, administered a total wealth of USD 2.3 billion, at the end of 2009. This represented a 146% increase compared to 2008, a level of growth explained in part by the merger with Consorcio S.A. Administradora General de Fondos, by the end of 2009, the total wealth administered was split between 80% mutual funds and 20% investment funds.
During 2009, the Administradora recorded a heavy increase in its channels of distribution: beyond the 500 executives provided by the merger with Consorcio S.A. Administradora General de Fondos, in the end a distribution contract was established with the financial division of the largest supermarket chain in the country, D&S. This permits LarrainVial to provide access to the financial market to segments of the population that generally to not have such access, allowing for savings in two mutual funds created especially for this purpose. This last point led to our products being distributed at 90 additional points of sale throughout Chile.

Durante 2009 la Administradora vivió uno de los hitos más
importantes desde su creación: la fusión por incorporación
de Consorcio S.A. Administradora General de Fondos a
Larraín Vial Administradora General de Fondos S.A.*, empresa
fusionada de la cual Larraín Vial controla el 75%. El resultado
de la fusión convierte a Larraín Vial Administradora General
de Fondos S.A. en el cuarto actor de la industria de fondos
mutuos, y el primero no bancario, industria que cerró 2009
con más de USD 34.200 millones en patrimonio administrado
y 466 fondos, según la Asociación de Administradoras de
Fondos Mutuos de Chile A.G.
Lo anterior, le permitió a Larraín Vial Administradora General
de Fondos S.A. alcanzar un patrimonio administrado por
más de USD 2.400 millones, y contar con 50 fondos mutuos
a disposición de sus clientes, lo que abarcan fondos de
instrumentos de deuda, balanceados, y de capitalización.
Como resultado de la integración, se incorporan a la familia
LarrainVial fondos con una estrategia de retorno total, la que
tiene por objetivo superar el rendimiento del depósito a
plazo en períodos de un año, con un nivel bajo de volatilidad.
Adicionalmente, se integran a la familia de productos
fondos que invierten en países como Colombia y México,
completando así uno de nuestros principales focos de

During 2009 the Administrator experienced one of the most
important landmarks since its creation: the merger by the
incorporation of Consorcio S.A. General Funds Administrator
into Larrain Vial General Funds Administrator S.A. (9), in which
Larrain Vial controls 75% of the merged company. The result of the
merger makes Larraín Vial General Funds Administrator into the
fourth largest actor in the mutual funds industry, and number one
as far as non-banking entities, within an industry that ended 2009
with over USD 34.2 billion in total wealth administered and 466
different funds, according to the Association of Chilean Mutual
Fund Administrators A.G.
This allowed Larrain Vial General Funds Administrator S.A. to
achieve a total wealth administered of over USD 2.4 billion, and
to have 50 mutual funds available to its clients, which cover debt
instrument funds, balanced funds and capitalizations funds.
As a result of this integration, funds with a total return strategy
have been incorporated into the LarrainVial family, the objective
of which is to surpass the returns of one-year timed deposits, with
a low level of volatility. In addition, funds that invest in countries
such as Colombia and Mexico have been integrated into our
family of products, thus completing one of our main foci of
investment and specialization: Latin America.

All this growth also implied an increase in the team, which even led to the creation of a Risk area within the company itself.
During 2009, LarrainVial achieved first place in the industry regarding the Salmon Awards*, given by the Association of Chilean Mutual Fund Administrators A.G. and the Diario Financiero to the most profitable mutual funds in 2008 in their respective categories. LarrainVial received this prestigious award for a medium and long-term national fund within the Larraín Vial Ahorro Central A Series(1) fund. Also, the Larraín Vial Alto Rendimiento A Series(2) fund obtained third place in the balanced conservative category, while the Multi Protección Dólar C Series (3) fund achieved first place in the same category.

Nuestro Fondo Mutuo Larraín Vial Multimercado logró ser el fondo
mutuo más rentable de la industria chilena durante 2009, con una
rentabilidad de 144% en pesos. Invierte en acciones brasileñas de baja
y mediana capitalización, con un horizonte objetivo de inversión de
2 años. Es un fondo dirigido a inversionistas calificados que inició sus
operaciones en abril de 2008, y al cierre de 2009 alcanzó un patrimonio
administrado de USD 5,4 millones.
Clave en el éxito ha sido el proceso de elección de las empresas en las
que invierte el fondo, el que se realiza a través del análisis fundamental
de cada una de las compañías, en base a visitas periódicas a Brasil, junto
a un profundo estudio sectorial de manera de evaluar el impacto de las
continuas transformaciones de la economía brasileña y la dinámica de
los mercados mundiales.
Comprender quiénes son los proveedores y los consumidores de cada
compañía, y cómo ésta financia su capital de trabajo y su crecimiento,
ha sido clave para lograr los resultados obtenidos y evaluar los
impactos de un shock como la crisis subprime. El equipo de inversiones
-compuesto por el gerente de inversiones para Latinoamérica, por el
senior portfolio manager de Brasil, un estratega, analista y trader- fue
capaz de ejecutar un plan de inversión menos vulnerable a la crisis y
estructurado en fundamentos.
Our Larraín Vial Multimercado Mutual Fund managed
to become the most profitable mutual fund in the
Chilean industry during 2009, with 144% profitability in
pesos. This fund invests in Brazilian stocks with low and
medium level capitalization, with an objective horizon
of 2-year investments. The fund is directed towards
qualified investors, and entered into operation in April of
2008. By the end of 2009, it had reached a total wealth
administered of USD 5.4 million.
A key to its success has been the process for choosing the
companies in which the fund invests, which is performed
through a fundamental analysis of each company. This is
complemented with periodic trips to Brazil, together with
an in-depth sector study in order to evaluate the impact
that the continuous transformations of the Brazilian
economy and the general dynamic of global markets
have on the companies.
Understanding who the providers and consumers are
for each company, and how their working capital and
growth is financed have been key to be able to achieve
the results obtained, and to evaluate the impacts of a
shock such as the sub-prime crisis. The investments team
–made up of the Latin America investments manager,
the senior portfolio manager for Brazil, a strategist, an
analyst and a trader- was able to execute an investment
plan that was less vulnerable to the crisis, and structured
on fundamental facts and information.

En lo que a fondos de inversión se refiere, LarrainVial cuenta con los fondos Larraín Vial Humboldt, cuyo objeto de inversión es la renta fija latinoamericana; el fondo Larraín Vial Beagle, que invierte en acciones chilenas de baja presencia bursátil; y el fondo Larraín Vial Magallanes II, enfocado en acciones latinoamericanas de baja presencia bursátil, principalmente de Brasil, México, Perú, Chile y Argentina. Este último obtuvo durante 2009 una rentabilidad de 153,37% (8) en dólares, posicionándose como el fondo de inversión más rentable que invierte en esta clase de activos.
Los logros y premios recibidos se deben en gran medida al equipo detrás de las inversiones. Contamos con un sólido equipo profesional compuesto por portfolio managers y analistas altamente especializados, con una vasta trayectoria y conocimiento del mercado financiero, especialmente del latinoamericano, ya que se está constantemente visitando empresas tanto en Chile como en el extranjero. De hecho, la Administradora General de Fondos cuenta con su propio departamento de estudios desde 2004, denominado Buy Side, y que tiene como objetivo estudiar y analizar inversiones para los fondos que gestiona. In fact, it has had its own research department since 2004, called Buy Side, the objective of which is to study and analyze investments for the funds that it manages. Led by a director of investments with over 16 years of experience, the Buy Side team is made up of eleven people. local en su categoría, con una rentabilidad de 54% en pesos, obtuvo el
premio Fund Pro Platinum Performance* 2009, el segundo lugar en los
Premios Salmón** 2009 entregado por Diario Financiero y la Asociación
de Fondos Mutuos y fue categorizado como Fondo 5 Estrellas por LVA
índices en la categoría accionaria nacional. Cerró 2009 con un patrimonio
administrado de USD 34 millones.
Como su nombre lo indica, tiene como objetivo entregar exposición a la
bolsa local mediante una administración activa. La rentabilidad alcanzada
fue producto del análisis exhaustivo de los fundamentos de las acciones
que conforman la cartera, mediante estudios internos y reuniones
periódicas con las empresas, realizando los ajustes necesarios según las
oportunidades de mercado.
Resulta importante destacar que las decisiones de inversión toman en

category, with 54% profitability in pesos, it obtained the Fund
Pro Platinum Performance* 2009 awards, second place in
the Salmon Awards** 2009 provided by the Diario Financiero
and the Mutual Funds Association, and it was categorized as
a 5-Star Fund by LVA Indexes in the national stocks category.
The fund closed 2009 with a total wealth administered of
USD 34 million.
As its name indicates, the objective of this fund is to
provide access to the local stock market through active
administration. The profitability attained was the result
of the exhaustive analysis of the bases for the stocks that
make up the portfolio, through internal studies and periodic
meetings with the companies, making the necessary
adjustments according to the existing market opportunities.
It is important to point out that a fundamental analysis
of the companies is taken into account when making
investment decisions, thus making for a well-studied and
carefully controlled decision making process. As such,
internal studies have allowed us to differentiate ourselves,
especially from those companies with less stock market
capitalization, which have a lower level of coverage by
market research departments.

Dentro del servicio de manejo de fondos a terceros, LarrainVial incorporó en el año 2006 el área de capital privado o private equity. Un área que invierte en negocios de más difícil acceso para los inversionistas, pues requieren de un alto grado de especialización, conocimiento financiero y una capacidad y experiencia operacional en el manejo de activos y su oportunidad. Además de que, en buena medida, estas iniciativas se caracterizan por tener un importante grado de innovación.
Bajo el nombre de Activa, en el tiempo en que lleva funcionando, se ha logrado generar fondos en distintas áreas de negocios y sectores de la economía:
• En asociación con SCL Energía, en 2008 se creó el primer fondo regional enfocado al sector de energía, denominado Americas Energy Fund I LP., cuyo objetivo de inversión son proyectos de energía en Latinoamérica. Durante 2009, el fondo firmó un contrato de suministro de gas y producción con el consorcio Camisea, de Perú, contrato tras el cual comenzará la construcción de una planta termoeléctrica de 200 megawatts.
Además, durante 2009 este fondo compró una planta de biomasa ubicada en Coronel (VIII Región), llamada FPC Energía, con una potencia instalada de 16 megawatts.
Included within the service for managing third party funds, in 2006 LarrainVial incorporated the private equity area. This is an area that invests in businesses that are more difficult for investors to access due to their high degrees of specialization, and to the fact that specific financial knowledge and operational ability and experience are necessary in order to manage their assets and take advantage of opportunities. In addition, these initiatives are characterized by involving a significant degree of innovation.
During the time that it has been operational, this area, known as Activa, has been able to generate funds in different business areas and sectors of the economy:
• In association with SCL Energia, the first regional fund focused on the energy sector was created in 2008. This fund, called Americas Energy Fund I LP., involved an investment objective that included Latin American energy projects. During 2009 the fund signed a contract for the provision and production of gas with the consortium Camisea of Peru. This contract will see the beginning of construction for a 200-megawatt thermoelectric power plant.
In addition, during 2009 the fund bought a biomass power plant located in Coronel (VIII Region), called FPC Energia, which includes an installed capacity of 16 megawatts.

Finalmente, el fondo sigue avanzando en estudios de impacto ambiental del proyecto de su central térmica a carbón de 120 megawatts, ubicada en Patache, en el norte de Chile, además de continuar el avance en otros proyectos con el objetivo de potenciar las actividades del fondo. A la fecha, este fondo cuenta con una base de capital de USD109 millones de dólares.
• Fondo de Inversión Crecimiento Forestal, con una base de capital de USD 14 millones y una línea de crédito por USD 20 millones, en dos años ha adquirido casi 4.000 hectáreas forestales entre la VI y IX Región. En este caso, los inversionistas están directamente ligados al retorno del activo forestal, que captura el crecimiento vegetativo de la masa forestal en el transcurso de los años.
• San Sebastián Inmobiliaria S.A. tiene activos por USD 18 millones en contratos de leasing habitacional, correspondiente a 650 viviendas de las que los inversionistas reciben el flujo producto de la renta generada por dichos activos.
• En el sector agrícola, Sembrador Capital de Riesgo S.A. es la administradora que opera el Fondo de Inversión Crecimiento Agrícola I, el que durante 2009 completó su cartera de inversión, controlando activos por USD 26 millones, con presencia entre la IV y IX Región del país. Así, está presente en la producción de uvas, paltas, kiwis, nueces, arándanos, clementinas y otras variedades, optimizando el cultivo según el clima y la zona.
Finally, the fund continues to make progress regarding environmental impact studies on the project related to its 120-megawatt coal-fired plant in Patache, located in the north of Chile. It is also making progress on other projects in order to strengthen the fund’s overall activities. To date, this fund has a capital base of USD 109 million dollars.
• The Forest Growth Investment Fund, with a capital base of USD 14 million and a line of credit for USD 20 million, has acquired almost 4,000 hectares of forest between the VI and the IX regions in only two years. In this case, investors are directly connected to returns on forest assets, which capture the return on vegetative growth in the forestland over the years.
• San Sebastian Inmobiliaria S.A. has assets worth USD 18 million in housing lease contracts, corresponding to 650 housing units from which investors receive a flow from the rent generated from these assets.
• In the agricultural sector, Sembrador Capital de Riesgo S.A. is the administrator that operates the Agricultural Growth Investment Fund I. During 2009 this fund completed its investment portfolio, controlling assets worth USD 26 million and operating between the IV and IX regions of the country. As such, it is active in the production of grapes, avocados, kiwis, walnuts, blueberries, Clementines and other varieties, optimizing their cultivation according to factors related to climate and geographic area.

Durante 2009 la Administradora estructuró y consiguió la aprobación de Corfo para el Fondo Agro Desarrollo con una base de capital de USD 7 millones, más una línea de crédito Corfo, denominada F3, por un máximo de USD 21 millones. Tal como su nombre lo indica, este fondo tiene como objetivo la inversión en operaciones agrícolas y agroindustriales.
Al desarrollo de las áreas ya mencionadas, en términos de sus fondos o creación de vehículos de inversión, durante 2009 se concretaron dos nuevas áreas de capital privado: minería y desarrollo de empresas.
• Minería Activa S.A. tiene por objeto el desarrollo de pertenencias mineras en etapa temprana con un tamaño inicial de USD 10 millones. En la actualidad, tiene en ejecución un plan de prospección minera en el norte de Chile para yacimientos IOCG (Iron, Oxide, Copper, Gold). Para lo anterior, cuenta con un equipo de dedicación exclusiva que cubre las áreas legales, de geología y el desarrollo del proyecto. En la práctica este vehículo de inversión se identifica con lo que mundialmente se conoce como mineras junior.
• El fondo de búsqueda y compra de compañías es administrado por Mater S.A. y corresponde a la segunda área desarrollada durante 2009. El fondo creado en sociedad con UMM Capital cuenta con la suscripción por parte de la Corfo del 40% del equity, en el marco de la línea denominada K1 y tendrá un tamaño de USD 40 millones. La Administradora también cuenta con un equipo de dedicación exclusiva que tiene por objeto la compra de empresas de servicios o del sector industrial que puedan ser potenciadas.
La estrategia de desarrollo de Activa se basa en la creación de partnership para el manejo de los negocios y vehículos legales constituidos para tales efectos. En ese contexto, en todos los ámbitos que hemos generado opciones de inversión, contamos con asociaciones con equipos profesionales de excelencia y con amplia experiencia. En la práctica, hemos potenciado el accionar en conjunto con el de nuestros asociados, generando una gran diversidad de inversiones en activos alternativos para los inversionistas.
During 2009 the administrator applied for and received the approval of Corfo for the Agro Development Fund with a capital base of USD 7million, plus a line of credit from Corfo, called F3, for a maximum of USD21 million. As its name implies, the objective of this fund is investment in agricultural and agro-industrial operations.
With regards to the development of the previously mentioned areas, in terms of their funds or the creation of investment vehicles, during 2009 two new areas of private capital were concentrated: mining and company development.
• The objective of Mineria Activa S.A. is the development of mining properties in their early stages, with an initial total wealth of USD 10 million. Currently, the company is executing a plan of mineral prospecting in the north of Chile for IOCG (Iron, Oxide, Copper, Gold) site deposits. To do this, it includes a team that is exclusively dedicated to covering legal areas, geological issues, and the development of the project as a whole. In practice, this investment vehicle is identified with what is known throughout the world as junior mining.
• The fund involving the search for and purchasing of companies is administered by Mater S.A., and corresponds to the second area of development during 2009. This fund, created in partnership with UMM Capital, includes a subscription by Corfo worth 40% of the total equity, in the framework of the K1 line of credit, which will include up to USD 40 million. The administrator also has a team that is exclusively dedicated to the purchase of service or industrial sector companies that could be strengthened.
The development strategy of Activa is based on the creation of partnerships for the management of businesses and legal vehicles constituted towards these ends. In this context, in all of the areas in which we have generated investment options, we have associations with highly skilled and experienced professional teams. In practice, we have strengthened our own activities together with those of our associates, generating a wide array of investments in alternative assets for our investors.

Esta área nació en 2008 con el objetivo de crear productos de retorno absoluto administrados por LarrainVial, es decir, fondos que en principio puedan ganar tanto con mercados al alza como a la baja, y enfocados para clientes de alto patrimonio, family offices, inversionistas institucionales chilenos y extranjeros. Conformado por tres portfolio managers que suman más de 45 años de experiencia en la industria, dos analistas y un asistente, ya cuenta con un patrimonio administrado de USD 68 millones al cierre de 2009.
El foco inicial fue Latinoamérica, dando origen en junio de 2008 al fondo LV Pacific Opportunities, que invierte en acciones latinoamericanas y protege su cartera con posiciones short de acciones y de índices. Con posiciones en empresas de Brasil, Chile, Perú, México y Colombia, cerró el año 2009 con un patrimonio administrado de USD 36 millones y logró una rentabilidad anual de 45% en dólares.
Prácticamente en conjunto, en julio de 2008, fue lanzado su segundo fondo, LV Latam Managers, con un tamaño inicial de USD 6 millones y con inversiones en fondos de retorno absoluto que a su vez invierten en distintas clases de activos en mercados emergentes. LV Latam Manager es el primer hedge fund cuyo manager está ubicado en Chile y cerró 2009 con una rentabilidad de 19% en dólares e inversiones por USD 15 millones.
Finalmente, en diciembre se lanzó el tercer fondo: LV Global Managers, cuyo objetivo de inversión son fondos de retorno absoluto no latinoamericanos, y que para su lanzamiento logró un tamaño de USD 15 millones.
This area was formed in 2008 in order to create absolute return products administrated by LarrainVial. These are funds that, in principle, can earn both from rising and falling markets, and which are designed for wealthy clients, family offices, and both Chilean and foreign institutional investors. Made up of three portfolio managers, who all together have over 45 years of experience in the industry, two analysts and one assistant, the area already manages USD 68 million as of the end of 2009.
The initial focus was on Latin America, leading to the formation of the LV Pacific Opportunities fund in June of 2008, which invests in Latin American stocks and protects its portfolio with short positions regarding stocks and indexes. With positions in companies from Brazil, Chile, Peru, Mexico and Colombia, the fund closed 2009 with total administered wealth of USD 36 million, and achieved 45% annual profitability in dollars.
The area’s second fund, LV Latam Managers, was launched at practically the same time in July of 2008, with an initial size of USD 6 million and including investments in absolute return funds. These funds invest in different kinds of assets in emerging markets. LV Latam Managers is the first hedge fund with its managers located in Chile, and closed 2009 with 19% profitability in dollars, and investments of over USD 15 million.
Finally, in December the third fund was launched: LV Global Managers, the investment target of which is made up of non-Latin American, absolute return funds. When launched, this fund achieved a total size of USD 15 million.

Creada legalmente en 2008, fue durante 2009 que LarrainVial Gestora de Inversiones operó como una de las más nuevas áreas de negocios de nuestra empresa.
Gestora de Inversiones es la administradora de una alternativa de inversión diferente para nuestros clientes de alto patrimonio, como es la inversión en instrumentos de deuda a través de fondos de inversión cerrados, de bajo nivel de riesgo, de largo plazo, de un deudor único y monitoreable, y cuyo benchmark es alcanzar una rentabilidad que supere en 500 puntos base a los depósitos a plazo bancarios. Sin duda, la primera iniciativa en Chile de este tipo.
El primero fue el FIP Proveedores Copeval, cuyo objetivo de inversión -como su nombre lo indica- es invertir en facturas de los diez proveedores más grandes de esta empresa que se dedica a la comercialización de insumos agrícolas. Con un tamaño inicial de $ 1.250 millones, al cierre de 2009 alcanzó los $ 6.000 millones y una rentabilidad anual de 12,6%.
En mayo de 2009 se creó el segundo, llamado FIP Proveedores Alvi, el que sigue la misma estructura del anterior, pero cuyo proveedor de facturas es Alvi, el negocio de supermercados mayorista de D&S-Wall Mart, principal cadena de supermercados de Chile. Este fondo cerró 2009 con un tamaño de $ 5.250 millones.
Legally created in 2008, it was during 2009 that LarrainVial Investments Manager began operating as one of the newest business areas in our company.
The Investments Manager administers an investment alternative that is offered specifically to our wealthiest clients, such as investments in instruments of debt through a closed, low-risk, long-term investment fund that covers a sole debtor and that can be easily monitored. The benchmark of this area is to reach a level of profitability of over 500 base points for timed bank deposits. This is, without a doubt, the first initiative of its kind in Chile.
The first alternative was FIP Proveedores Copeval, the investment objective of which is to invest in the invoices of the ten largest suppliers of this company that are dedicated to the commercialization of agricultural supplies. With an initial total wealth of CLP 1.25 billion, by the end of 2009 it had reached CLP 6 billion, and an annual profitability of 12.6%.
In May of 2009 the second investment alternative was created, called FIP Proveedores Alvi, for the business owned by the majority stockholder of D&S, Wallmart, which represents the largest supermarket chain in Chile. This fund closed 2009 with a total wealth of CLP 5.25 billion.

El año 2009 fue especialmente activo en lo que riesgos se refiere. Tras la crisis en 2008, la eficacia de las metodologías, la implementación de la administración de riesgos y de gobiernos corporativos fue tema de discusión a nivel mundial entre fiscalizadores, clasificadoras de riesgo y grandes empresas del sector financiero.
Bajo este escenario, LarrainVial demostró que las metodologías de administración de riesgos implementadas y sus modelos de negocio cumplieron las exigencias a las que fue sometida, permitiendo incluso la mantención de la clasificación de riesgo local de AA- otorgada a Larraín Vial SA Corredora de Bolsa por parte de Feller-Rate y Humphrey´s. Más aún, grandes empresas internacionales respaldan lo anterior al elegir a LarrainVial como contraparte regional para la ampliación de nuevos negocios.
En lo que respecta a la implementación de las metodologías de administración de riesgos en LarrainVial, podemos destacar que nuestro modelo se encuentra implementado para todas las principales líneas de negocio, y que se ha establecido como meta para 2010 incorporar las líneas de negocios más pequeñas, de modo de contar con una cobertura de gestión de riesgo corporativa. Esto ha permitido y permitirá aún más aprovechar las sinergias de personal, estructuras y equipos, cuidando y mitigando los potenciales conflictos de interés.
The year 2009 was especially active in terms of risk. After the crisis of 2008, the efficiency of methodologies, the implementation of risk administration and corporate governance were issues of global discussion between regulators, rating agencies and large companies in the financial sector.
In this scenario, LarrainVial demonstrated that the risk administration methodologies it had implemented and its business models complied with the demands to which they were submitted, even allowing for the maintenance of its local risk rating of AA-, which had been granted to Larrain Vial SA Corredora de Bolsa by Feller-Rate and Humphrey’s. In addition, large international companies backed up this rating by choosing LarrainVial as a regional partner for the widening of their new business areas.
Regarding the implementation of risk administration methodologies in LarrainVial, we highlight that our model has been implemented for all of our major lines of business, and that the incorporation of the smaller business areas that still remain outside the model has been established as a goal for 2010. In this way, there will be total coverage for the management of corporate risk. This has allowed and will continue to allow for us to take even more advantage of personnel, structural and infrastructural synergies, looking out for and mitigating potential conflicts of interest.

Cada vez de mayor importancia ha sido la función del Oficial de Cumplimiento Corporativo, cargo con el cual las áreas de compliance de diversas empresas nacionales e internacionales deben tratar y entenderse antes de hacer negocios. Esta función ve temas tan relevantes como los procesos y políticas de conocimiento del clientes (KYC), seguimiento y control de las transacciones de clientes y empleados, y estimulan la cultura de cumplimiento y prevención de lavado de activos de LarrainVial, tal como lo define la legislación vigente.
Además, durante 2009 la Contraloría Corporativa de LarrainVial ha dado continuidad a los procesos de auditorías a los crecientes y cada vez más complejos negocios en los que LarrainVial participa. Del mismo modo, alertamos situaciones de riesgo que ayudan a la gerencia a propiciar un ambiente de control adecuado a través del monitoreo constante de los riesgos . Todo lo anterior, producto de las recomendaciones internacionales orientadas a mejorar en forma permanente el ambiente de control en el cual se desenvuelve la empresa.
The function of the Corporate Compliance Official has become increasingly important. This position represents that which with the compliance areas of several national and international companies must relate and come to an understanding with before doing business. The position deals with issues as relevant as client knowledge processes and policies (KYC), monitoring and control of client and employee transactions, and stimulating the culture of compliance and the prevention of asset laundering by LarrainVial, as it is defined in the current legislation.
In addition, during 2009 the Corporate Controller of LarrainVial has been continuity in the auditing processes regarding the businesses with which LarrainVial participates, which are growing both in number and complexity. Also, we are alerted of risky situations, which helps management to provide for an environment of adequate control through the constant monitoring of the risks involved. All of this has come about as a result of the international recommendations oriented towards permanently improving the environment of control in which the company performs.

significativos, la situación financiera de Larraín Vial Administradora General de Fondos S.A. al 31 de diciembre de
2009 y 2008, y los resultados de sus operaciones y el f lujo de efectivo por los años terminados en esas fechas, de
acuerdo con principios de contabil idad generalmente aceptados en Chile y normas contables dispuestas por la
Superintendencia de Valores y Seguros.
Como se indica en Nota 25, con fecha 1 de julio de 2009 se efectuó la fusión por incorporación de Consorcio S.A.
Administradora General de Fondos en Larraín Vial Administradora General de Fondos S.A. , la cual fue aprobada
por la Superintendencia de Valores y Seguros mediante Resolución Exenta N° 0769 de fecha 11 de noviembre
