• Allow for time, through an option period, for that emerging “pod” to build out a sales channel.

• Public company triggers option into either a licensing agreement or acquisition after “pod” has met a predetermined financial or operational threshold.

MONARCH BAY CLIENT PROFILEThe company, founded and run by experienced oilfield services company managers, treats waste streams in

the North American oil and gas industry.  The market for treating frac water, production water, "brine" and oil sands water is huge and growing rapidly. Our client solves 4 critical issues - Our client solves 4 critical issues - 1) reduces net water usage, 2) meets

new stricter regulatory requirements, 3) reduces truck traffic around the facility, and 4) saves money [actually increases revenue].

 The oil industry is the low hanging fruit of the business as they have huge budgets and not enough solutions. 

 In under six months the company has gone from zero to over a $1MM in revenues. Our client works on 5 year MSAs [management service agreements] from their customers - large oil

companies.  MSAs by nature are very sticky as oil companies are slow to vet new vendors and prefer working with one

they know.  The client base so far is:Client 1 has revenues of $17B  and a market cap of $42B Client 2 is the largest company in Canada  with $38B in revenues and a market cap of $48B Client 3  has revenues of $7B  and a market cap of $14B Client 4  has revenues of $24B  and a market cap of $26B Client 5  has revenues of $23B  and a market cap of $30B
