By-Laws For The
Northwest Central District
Michigan Elks Association
PREAMBLE

This association of the Benevolent and Protective Order of Elks Lodges of the District of Michigan, Northwest, is formed
to unite all Elks in closer bonds of fraternity, to further good fellowship among Lodges, to protect and promote the interests
of this Order in the District of Michigan, Northwest; to exchange ideas beneficial to this District and the Michigan Elks
Association; to bear true allegiance to the Constitution and By-Laws of the Benevolent and Protective Order of Elks of the
United States of America, and those of the Michigan Elks Association.
ARTICLE 1 – NAME
SECTION 1 This Conference shall be known as the District Conference for Michigan Northwest of
the Michigan Elks Association.
ARTICLE II – MEMBERSHIP
SECTION 1 Every Lodge in Northwest District of the Michigan Elks Association, in good
standing with the Michigan Elks Association and the Grand Lodge of the Benevolent and
Protective Order of Elks of the United of America, shall be eligible to membership in the
Conference upon complying with its Constitution.
SECTION 2 Each member Lodge shall be entitled to representation to all meetings of the District,
whether regular or special, by its Exalted Ruler, Esteemed Leading Knight, Secretary, and Chairman of the
Board of Trustees. Additionally, each member Lodge shall be entitled to one additional delegate for each
two hundred (200) members, or major fraction thereof, as shown by its last report to the Grand Lodge. In the
absence of a delegate, an alternate delegate designated by the Exalted Ruler may act. All elected officers and
members of the Standing Committees of the State Association; all Past State Presidents, all Past District
Vice Presidents and Past District Deputy’s of Northwest District shall be considered and entitled to the
privileges of delegates to the meeting; including the right to vote.
SECTION 3 The delegates and an equal number of alternates shall be annually elected or, at the
direction of the Lodge, appointed by the Exalted Ruler at a regular meeting of each
member Lodge. They shall hold office until their successors are elected or appointed.
SECTION 4 All past Exalted Rulers of member Lodges who do not come within the above
classification, and all alternate delegates not serving in the place of delegates, shall be
entitled to all the privileges of delegates, except the right to vote.
SECTION 5 Each delegate shall be entitled to participate in and vote on all matters coming before the
meeting of the Conference.
SECTION 6 Electronic voting, (email) shall be allowed, one vote per Lodge for when a subject requires resolution which
may cause calling a Special Meeting for that vote. Procedure would be as follows:
(a) Notification and explanation approved by our Past State Presidents which must be presented to the
District Lodges within the proper time for such notification. Currently 30 days.
(b) Each Lodge then would present this notice at its next Lodge meeting for its approval/disapproval.
(c) Each Lodge would then submit its vote to the District Vice-President who would compile the vote
And notify the District the results of the ballot.
ARTICLE III – MEETINGS
SECTION 1 This District shall hold two combined meetings annually, in conjunction with the District
Deputy Grand Exalted Ruler. These meeting shall be held in the fall, and in the spring,
the dates to be determined by the District Vice President and the District Deputy
Grand Exalted Ruler.

SECTION 2 Special meetings of the District Association may be called by the District Vice President
Upon not less than 20 days’ notice in writing to member Lodges. The District Vice President
shall call a special meeting when petitioned in writing by a majority of the member Lodges.
SECTION 3 Duly accredited delegates, representing not less than two-thirds (2/3) of the Lodges in the
District shall constitute a quorum.
SECTION 4 Special meetings, if necessary, maybe held at any member Lodge designated by the District
Vice President.
SECTION 5 All meetings shall be conducted by the District Vice President and as prescribed in the
By-laws of the Michigan Elks Association.
SECTION 6 Meeting locations of the Northwest District shall be:
(a) The location of the Fall meeting shall be determined by the majority vote of the
delegates present at the District meeting held during the Spring Conference.
(b) The location of the Spring meeting shall be the home Lodge of the District Deputy Grand
Exalted Ruler, unless circumstances dictate otherwise.
(c) The location of the Ritual Clinic and the Ritual Contest shall be determined by the vote of
the delegates present at the District meeting held during the Spring Conference. The Ritual
Clinic and the Fall Meeting shall, if possible, be held at the Lodge that will host the District
Ritual Contest.
SECTION 7 An itemized list of all-regular bills and expenditures of the District will be read at each
District meeting with said bills to be accompanied by receipts.
SECTION 8 All budget overages must be presented at any regular District meeting to be voted upon
for approval prior to their payment.
ARTICLE IV- OFFICERS and DUTIES
SECTION 1 The District Vice President shall be Chairman of the Conference. At the fall meeting of
the Conference, The District Vice President shall appoint a Chaplain, Sergeant-at-Arms
and such committees as he deems necessary to arrange for and conduct the District
meetings of the Conference in accordance with Roberts Rules of Order.
SECTION 2 The delegates at the fall meeting shall nominate and elect the District Vice President,
to be placed in nomination at the annual spring meeting of the Michigan Elks
Association.
(a) To be considered for nomination to the office of District Vice President, an individual must be a
Member in good standing of a member Lodge, be a Past Exalted Ruler, have the endorsement
of their Lodge and/or PER Association and should have served as District Vice Chairman.
(b) It shall be the duty of the District Vice President to carry out the programs of the Michigan Elks
Association.
SECTION 3 The delegates at the fall meeting shall nominate and elect the District Vice-Chairman.
(a) To be considered for nomination to the office of District Vice Chairman, an individual must be a
Member in good standing of a member Lodge, be a Past Exalted Ruler and have the endorsement of
their Lodge and/or PER Association.
(b) The duties of the Vice Chairman shall be to assist the District Vice President and

preside during his absence; to prepare and distribute the official Directory of the District and to include
a copy of the then current By-Laws in the Directory. The Directory should be distributed
to the member Lodges, District Chairmen and other District and State officials not later than the
second week of July of the current Lodge Year.
1. The selection of Northwest District Chairpersons for the Michigan Elks Association shall be the
responsibility of the incoming District Vice President, i.e. District Vice Chairman. Once the list is
compiled, it is to be provided to the Past State Presidents of the district for review and approval prior
to being sent to the incoming State President, i.e. First Vice President for inclusion in his/her state
directory and the northwest district directory.
(c) In the event of death or incapacity of the District Vice President, his duties shall be assumed by the
District Vice-Chairman upon approval of the State President of the Michigan Elks Association. A new
District Vice- Chairman shall be voted on at the next regularly scheduled District meeting.
SECTION 4 The delegates at the fall meeting shall nominate and elect the District Secretary/Treasurer to serve for a
three (3) year term. No individual elected to the office of Secretary/Treasurer may serve more than two
consecutive three (3) year terms.
(a) To be considered for the office of Secretary/Treasurer, an individual must be a Member in good
standing of a member Lodge and have been a Lodge Officer for at least two (2) years or have other
experience compatible with the duties of the office.
(b) The duties of the Secretary-Treasurer shall be to keep records of all meetings of the District
Association and to keep accurate account of all monies received and expended by the District
Association, and to send a report of all such meetings to the President of the Michigan Elks
Association, the 1st Vice President, the 2
nd Vice President, the District Deputy Grand Exalted Ruler,
Past District State Presidents, the Past District Deputy, Past District Vice President, District Committee
Chairmen, and all member Lodges.
(c) The member Lodges of the Northwest District may petition the District Vice President to change the
selection process of the Secretary-Treasurer from an elected position to that of a position appointed by
the District Vice President, or vice versa, such petition to consist of not fewer than fifty (50) percent of
the member Lodges. A majority vote of the delegates then present shall prevail.
ARTICLE V – FINANCES
SECTION 1 All member Lodges shall contribute for each member on its rolls on March 31 of each
year the sum of fifty (50) cents per member. The Secretary-Treasurer shall, within 30
days after the spring meeting, notify in writing and invoice all member Lodges for the
amount of its dues for the current year, said amount to be due and payable on or before
30 days from said notification. Any Lodge, which is in arrears of District dues, will not
be permitted to participate in or contribute to any district activity.
SECTION 2 A Budget Committee, consisting of not less than three or more than five members of
this Conference, to hold office subject to the will of the District, will be elected annually
at the Spring Meeting. The first nomination and election of said committee will be for the
Chairman. The second nomination and election to said committee would be for the remaining members. The
Committee will have sole power to administrate the finances of the District and will prepare a
budget for approval by the Delegates of the Lodges at the District Fall meeting.
SECTION 3 The District Vice President, District Vice Chairman, State Trustee, and the Secretary-Treasurer shall receive
all compensation due them for expenses involved in their duties as defined in the District budget.
SECTION 4 The District will allocate a sum of money, the amount to be determined in the approved
District Budget, to the Lodge hosting the District Ritual Contest, to help defray the
expenses of said contest.

ARTICLE VI – AUDIT COMMITTEE
SECTION 1 The District Vice President shall appoint an Audit Committee to perform an audit of the District's finances
not less than every two (2) years, beginning in May 2000.
ARTICLE VII – SECOND VICE PRESIDENCY
SECTION 1 Sixty days prior to the Spring meeting, in the year in which a State Second Vice President may be endorsed
from the Northwest District, the District’s Past State Presidents shall notify the Exalted Rulers of each
District Lodge of the opportunity to nominate a qualified candidate for the office of Second Vice President
of the Michigan Elks Association.
Any Lodge or member wishing to make a nomination shall forward the name and personal
resume of such qualified candidate to the District Past State Presidents no later than the date
of the Spring meeting. The prescribed procedure is available from the Past State Presidents Association.
In addition to the qualifications as stated within the Constitution and By-Laws of the Michigan Elks
Association, nominees for the office of Second Vice President shall:
a) Receive the endorsement of his Lodge’s Past Exalted Rulers Association
b) Receive the endorsement of his Lodge at a regular Lodge meeting. Both endorsements to be
certified, in writing, by the Lodge secretary.
c) Receive the endorsement of the nominee’s District by a majority of the voting delegates at a
regular District meeting.
d) Demonstrate leadership and involvement by serving as Chairman of at least two state committees
and/or a State Commissioner, Trustee or other elective office. In addition, have successfully held
committee chairperson’s positions at both the Lodge and District level.
e) Successfully complete a term as District Vice-President or District Deputy Grand Exalted Ruler.
f) All qualifications for the office of Second Vice-President shall be submitted in writing on such
forms as provided by the committee appointed by the State Advisory Committee, 19 to 24 months
prior to the schedules date of Officer’s Installation, who shall then present their recommendation to the
full Advisory Committee for their endorsement process.
g) Applications not received within this time frame may not be accepted at the discretion of the
Advisory Committee.
SECTION 2 No Lodge or member shall propose more than one candidate for the office of Second Vice
President of the Michigan Elks Association.
SECTION 3 Nothing contained herein shall serve to prevent a member from being nominated from the
floor and receiving the endorsement of this Northwest District.
SECTION 4 Delegates to the Fall District meeting shall vote to endorse one candidate to be placed in
nomination for the office of Second Vice President of the Michigan Elks Association at the
second Spring convention of the Michigan Elks Association, following the date endorsement.
SECTION 5 A simple majority of the delegates present shall elect.
ARTICLE VIII – AMENDMENTS
SECTION 1 Proposed amendments to this Constitution shall be submitted to the member Lodges in
writing at least 30 days prior to any meeting of the District.
It shall take a two-thirds (2/3) majority of the member Lodges present to amend this Constitution.

ARTICLE IX – DISSOLUTION
SECTION 1 In the event the Northwest District of the Michigan Elks Association should ever be dissolved, the remaining
assets, after all liabilities have been paid, shall be distributed among the remaining member Lodges on a per
capita basis.
