Delivering Innovative Flexible Solutions Throughout 2010, Tokheim’s operating market remained difficult, but in different ways. China has invested heavily, CIS has started to invest again; Europe remained stable but the African business decreased. During this period nevertheless Tokheim has been able to consolidate its position: Dispenser business has performed well thanks to China and CIS generally offsetting the weakness in Africa; the win of 100 % of the Shell dispenser business in Europe is also a real success which will contribute positively over the next several years. Systems deliveries have progressed in all countries and this growth should continue. Maintenance suffered with the loss of the Esso contract in Germany and Austria and Carrefour in France under price pressure. Construction business has recovered slightly in France but has weakened in Italy and Poland. We have acquired a majority stake in ACIS Czech and Slovakia and invested in Fairbanks UK. Overall, our revenue for the first six months (May to October 2010) has increased by 9% thanks to the acquisitions, compared to the same period last year. We expect a slow end to the crisis with a slight improvement in 2011. We will continue to focus and expand our efforts on the following strategic directions: Develop and motivate People with a common culture of Excellence. Satisfy our customers through quality, innovation, security and the respect of the environment. Accelerate Growth by launching new products and services and with new acquisitions. has started to invest again; Europe remained stable but the Africanbusiness decreased.

During this period nevertheless Tokheim has been able to consolidate its position:

• Dispenser business has performed well thanks to China and CIS generally offsetting the weakness in Africa; the win of 100 % of the Shell dispenser business in Europe is also a real success which will contribute positively over the next several years.

In 2008, Total launched a tender for the project "Network 2010". The aim of the project was to ensure that the compliance of their servicestation network was inline with current regulations by the end of December 2010. The compliance focused on regulations related to theprotection of the environment (“Classified facilities for the protection ofthe environment”). More than 600 service stations have been involvedin this large project.

Total took the opportunity to broaden the scope of the project and also included the optimisation of their forecourts and the renewal of

their equipment.

Tokheim France’s Services, Construction, Works and Environment Department (DTCE: Département Travaux Construction Environnement) was successfully selected to complete 50% of this project.

Tokheim DTCE and its team of experienced engineers is now one of the largest, specialist global contractors thatcarries out on-site surveys, implementation plans, costing, management and execution of all works.

Tokheim DTCE offers turnkey solutions for the construction of service stations. It is made up of a team of 30 experts in the specialised field of construction works for service stations. The organisation includes a dedicateddesign group, a supply management team and an environmental quality section - HQE “Haute Qualité Environne-mentale”. The department works closely with the seven national “Works and Installation” offices throughout Francefor the implementation of these projects. These offices – comprising of over 80 experts in piping, installation engi-neering and electrical technicians – make it one of France’s largest and most experienced service station solution providers.

Here comes the science…The temperature co-efficient of fuel is 0.1% per 1°Cof temperature change. This means that every timethe temperature of the fuel increases/decreases by1°C it expands/contracts by 0.1%.

The mean temperature in the UK was a staggering8°C in 2010.The average annual soil temperaturein Ireland is 10.7°C.

Legislation allows you to dispense fuel at 15°C.

So, a service station in the UK would have saved a0.7% in 2010. On average in Ireland stations wouldhave save 0.43% annually in fuel volume over thelast ten years.

A small service station selling 2.5 million litres offuel per year would save 15,000 litres of fuel in theUK and 10,500 litres in Ireland.

At £1.25 a litre a service station in the UK couldpotentially save £19,250 per annum.At €1.35 a litre a service station would savemore than €14,000 per annum in Ireland.

David MacHale, Group Marketing Communications Manager, said, “This winter and the previous one have been bitterly cold and the average soil temperatureover the course of a year is dropping more and more. STA has been installed successfully in Europe for more than three years and it is now available in theUK and Ireland. In fact, the Petrol Retailers Association have been pushing for the use of this technology for more than a year now in the UK. The idea is justthe acknowledgment of some straightforward science and it is relatively simple. The Tokheim solution is cost-effective and we hope it may help retailers inwhat is a really challenging business environment today.”

The Tokheim STA solution is available today in all new dispensers or it can be retrofitted to dispensers that were manufactured after 1999.

The last two winters have seen the UK and Ireland experience some of the coldest weather conditions in decades - December 2010 was one of the coldest onrecord according to the Met Office and Met Eireann. Last year was the coldest in Britain since 1986. New statistics show that the mean temperature in theUK in 2010 was 7.96C, the twelfth coldest on record. Tokheim has now launched a new solution in the UK and Irish markets, Standard Temperature Accounting(STA), to ensure forecourts do not continue to lose out when they dispense fuel. As a general rule, the colder the ground temperature the more fuel a servicestation is losing with each sale. This is because fuel contracts in colder temperatures and it expands in warmer temperatures. In an area like the UK andIreland, with a relatively cold average temperature, STA is a product that provides a clear and transparent return on investment. STA is a fully W&M (weightsand measures) approved component that ensures fuel is dispensed at the same volume regardless of the temperature.

Tokheim, one of the world’s largest suppliers of fuel retailing solutions, is pleased to announce that the leading securitystandards council, PCI, has certified the Crypto VGA to its new, highest level. Tokheim’s innovative outdoor paymentsolution, the Crypto VGA, is now PCI PTS POI v3.0 compliant. The latest development ensures that Tokheim’s CryptoVGA terminals and their related software are approved until 2020. The new PCI certification strengthens existing requirements to increase security. It covers attended and unattended POS PIN Entry Devices alongside Encrypting PIN Padrequirements (EPP).

Kurt Dillen, Tokheim General Manager Systems & Electronics Business Unit, says, “Tokheim has continuously delivered arange of outdoor payment products that reduce our customers’ Total Cost of Ownership. Dillen sees security as one of the strategic drivers of software and hardware development. He says, “Compliance is an ongoingprocess that we see as an integral part of the design process – it is not a one-time event. Tokheim Crypto VGA has previouslybeen certified to PCI 1.3, PCI+, PCI 2.00, PCI UPT and now, the new PCI POI V3 approval provides peace of mind for our customers as our payment terminals provide security around sensitive payment card information for today and tomorrow.”

As data compromise becomes ever more sophisticated, it becomes ever more difficult for an individual merchant to stayahead of the threats. According to PCI, compromised data negatively affects consumers, merchants, and financial institutions.Just one incident can severely damage reputations and the ability to conduct business effectively, far into the future. Accountdata breaches can also lead to a catastrophic loss of sales and relationships, alongside the possibility of litigation, finesand insurance claims.

Frans Heesters, Product Marketing Manager for Tokheim Electronics who has been responsible for the product and software developments feels that the latest approval is an acknowledgement of Tokheim’s experience and expertisein the fuel-retailing marketplace. Focus on our Sales and Service DivisionSenegal

The first step in the integration process of Kimoce in Senegal has been to familiarise the team with the tool, and then improve the response times and closing ofintervention reports. During this step, we have identified and entered all data related to customers and equipment under maintenance contract in order to optimise themanagement of maintenance activities under warranty. In the second step, we automated the management of the central stock of spare parts and the invoicing of closedinterventions. In the third step, we aim to equip all our technicians with PDAs.

This powerful tool allows Cosetam to optimise the management of spare parts and get accurate and real-time reports of maintenance interventions in order to improvecustomer satisfaction.

Tokheim has thirty sales and service divisions around the globe. These direct operations have a dedicatedteam of more than 6,000 professionals. One of Tokheim’s fastest growing regions is in Africa where thequality of our dispensers, systems and services are highly regarded. One of the countries where Tokheim’ssuccess is evident is in Senegal. As in all Tokheim operations, a set of standard innovative tools and processes have been integrated within the organisation to ensure our customers receive the high levels of

service associated with Tokheim wherever they operate in the world. Cosetam, our Sales and Service Divisionin Senegal, has been going through this process of modernisation since 2009. This has led to the

implementation of more efficient tools and systems to help improve our services to customers in the area.

Kimoce, the After-Sales management software selected by Tokheim, now implemented in SenegalCosetam has been selected as the first country in Africa to implement and test this tool, before the rollout of Kimoce in all our other Sales and Service Divisions throughoutAfrica. Thierry Paluch, Director of Cosetam, and his technical team have worked closely with Eric Bonnevay, IT Director Tokheim Group, and Hervé Vogel from Kimoce tosuccessfully implement this tool.

Kimoce’s mobility solutions provide enhanced customer service and increased productivity for Tokheim’s team of technicians all over the world. It allows Tokheim tomanage information flows, perfect information within the organisation, and improve performance and responsiveness while gaining a greater understanding of ourcustomers’ needs and expectations.

Cosetam connected to the global Finance Back-OfficeCosetam is the first African Sales and Service Subsidiary to be directly connected to Finance BO. The other divisions (Cottam Tunisia, Socatam Cameroon and MatamMorocco) will follow later this year.

Ndeye Fatou Faye Salla, Chief Financial Officer of Cosetam, worked closely with Didier Sagot, Controller IAME, to complete this project.

This new approach allows the division to completely control the whole of the reporting process and thus to save time through improved processing of financial data andless errors. It also ensures that the high standards at which Tokheim operates at are replicated across the globe.

Philippe Coquerel, President of Tokheim France passed away Friday 21st of January after a yearlong battle against cancer.

With his passing, we lose a great professional but also a great and noble hearted man.

Professionally, Philippe learned the business, both production and customer service, through his fatherand uncle in EIN, the company created by his father. He then took over the business and managed theFrench activities of Tokheim, always guided by his will to provide the best possible quality to satisfy hiscustomers. His great experience and his goal to always do better has helped enormously with progressof the Tokheim Group - for this we are forever indebted.

Behind Philippe’s reserved exterior hid a huge heart. It was difficult to gain his trust but if you did, hisgenerosity had no limit. Philippe was a man of his word, his moral values, his honesty, his sense of dutyand his dedication to his family, were an example to us all. May we all endeavour to continue his projectsand respect his values in the future.

We have lost a friend, a boss, a dearly loved colleague and a great man, loved and respected by the profession and who left no one indifferent.

We express our deepest sorrow with his family for this great loss.
