Respondents.

1. INTRODUCTION

This is the latest attempt by a borrower in a residential foreclosure action to avoid the sale

of the property. The Franklin County Common Pleas Court ("Trial Court") entered a judgment

against Relator Akim M. Rahman, which he appealed to the Tenth District Court of Appeals.

Mr. Rah.man requested both the Trial Court and the Tenth District to stay the sale of his property

pendirig appeal, and Mr. Rahman was granted that stay conditioned upon him posting a bond in

accordance with Civil Rule 62 and Appellate Rule 7. Mr. Rahman refused, and appealed to this

Court, requesting a stay without a bond. This Court overruled that request and declined

jurisdiction over his appeal from the stay orders.

Rahman has now filed a complaint seeking writs of procedendo, prohibition, and quo

warranto against Wells Fargo Bank, N.A. ("Wells Fargo"), along with its trial and appellate

counsel, John B, Kopf 111, arguing that they have "utilize[ed] its efforts & persuasions for

utilizing governrnent resources, public officials for its private against that has caused fear and

emotional distresses" to Mr. Rahman. The Complaint should be dismissed because (a) the

behavior about which Mr. Rahman complains-enforcing ajudgment-is lawful; (b) Mr.

Rahman possesses an adequate remedy at law; and (c) none of the writs are otherwise

appropriate.

II. BACKGRnUNU

A. Procedural Posture.

On January 25, 2011, Wells Fargo filed a foreclosure complaint against Mr. Rahnian in

the Trial Court, captioned Wells Fay go Bank, 1V A. v. Rahrnan, Case No.11-CV-1095 (docket

attached as "Exhibit A"). On May 2, 2013, the Trial Court entered judgment against Mr.

Rahman. On May 6, 2013, Mr. Rahman filed a Notice of Appeal from the judgment to the Tenth

District Court of Appeals Case No. 13-AP-376 (docket attached as "Exhibit B"). Mr. Kopf was

counsel for Wells Fargo in both the 'I'rial Court and the Tenth District.

On May 3, 2013, Mr. Rahman filed a motion to stav in the Trial Court. Oxz May 16,

2013, Wells Fargo filed its response, objecting to the stay unless Mr. Ralinlan posted a bond.

On May 8, 2013, Mr. Rahman filed a motion to stay in the 1'enth District. On May 10,

2013, Wells Fargo filed a response to that motion, requesting that the appellate court defer ruling

until the `I'rial Court had an opportunity to decide the stay motion before it, and in any event

requesting that any stay be conditioned on Mr. Rahman posting a bond.

On June 17, 2013, the Tenth District entered an Order (copy attached as "Exhibit C")

which granted Mr. Rahman's stay motion, but conditioned the stay upon his posting a $240,000

supersedeas bond by June 24, 2013. On July 1, 2013, the Trial Cotu-t denied Mr. Rahman's stav

motion as moot.

Mr. Rahnian did not post a supersedeas bond. Instead, on June 21, 201 31, Mr. Rah.man

filed a Notice of Appeal to this Court, Case No. 2013-1008, and contemporaneously moved the

Court for a stay pending that appeal. On June 21, 2013, Mr. Rahrn:an also filed a new motion in

the Tenth District to stay proceedings pending the outcome of his appeal to this Court. On June

25, 2013, the Tenth District denied that motion.

On July 12, 2013, Wells Fargo filed a praecipe with the Clerk of Court for the Trial

Court, requesting an Order of Sale be issued to the Franklin County Sherrif-f

On July 24, 2013, this Court denied Mr. Rallman's motion to stay.

On July 25, 2013, Mr, Rahman filed another motion to stay in the Trial Cour-t and an

Emergency Motion for Stay in this Court. This Court denied the Emergency Motion for Stay on

September 4, 2013, and on October 23, 2013, declined jurisdiction over his appeal. On October

29, 2013, Mr. Rahman filed a Motion for Reconsideration that remains pending.

Briefing was complete in the Tenth District on July 29, 2013, and on September 5, 2013,

the Tenth District heard oral argument.

The property was sold at Sheriff s Sale on October 18, 2013 for $230,000.00. On

November 12, 2013, the Trial Court confirmed the sale. A copy of the Confirmation Order is

attached as "Exhibit D."

B. The CompIaint.

While not entirely clear, Mr. Rahman seems to be complaining that Wells Fargo and its

counsel (including its separate trial counsel, Jennifer Schaeffer of Lemer Sampson & Rothfuss)

have taken actions to execute on the judgment during the pendency of his appeals. Complaint, 3-

4. In addition, Mr. Rahman also complains about the appraisal of the property as well as the

scheduling of the Sheriff's Sale. Ici. In the prayer for relief, Mr. Rahman makes a variety of

requests: a determination of whether "Respondents' efforts .., have violated relevant laws,

regulations and policies in practice," a "determination of whether [Wells Fargo] breached its

mortgage contract," a finding "whether the lower court should terminate the foreclosure case or

grant a monetary compensation" and a request that the Court "grant a decision on whether

Respondents' alleged acts are violations of relevant laws & regulations ... and whether these

wrongful acts are punishable." Id., 4-5.

IIl. ARGUMENT

A. Motion to Dismiss Standard.

A motion to dismiss should be granted if "after all factual allegations of the complaint

[a]re presumed true and all reasonable infereilces [a]re made in [Relator's] favor, it appear[s]

beyond doubt that [Relator] could prove no set of facts entitling [Relator] to the requested writ of

prohibition." State exYel. Bell v. 7?feiff'eN, 131 Ohio St.3d 114, 2012-Ohio-54, 961 N.E.2d 181, f'

12; State ex rel. CNG Fin, Corlz v. -Madel, 111 Ohio St.3d 149, 2006-Ohio-5344, 855 N.E.2d

473, T 13.

While courts construe factual allegations in a complaint as true for the purposes of a

motion to dismiss, conclusory allegations are not assumed to be true. Fletcher v, Univ. Hosps. of

Cleveland, 120 Ohio St.3d 167, 2008-Ohio-5379, 897 N.E.2d 147, ^j 14, qttioting Mitchell v.

Lawson Milk Co., 40 Ohio St.3d 190, 193, 532 N.E.2d 753 (1988) ("[u]nsupported conclusions

are not taken as admitted by a[Civ.R. 12(B)(6)] motion to dismiss and are not sufficient to

withstand such a lnotiori.").

B. Wells Fargo's actions are permitted by law.

Mr. Rahman complains that Wells 1'argo's efforts to execute on its judgment during

appeal are unlawful. They are not. A prevailing party may initiate proceedings to execute on a

judg.mezzt after a notice of appeal has been filed. Hagood v. Gail, 105 Ohio App.3d 780, 785,

664 N.E,2d 1373 (11th Dist. 1995). The filing of the appeal does not deprive the trial court of

juri_sdiction to enforce a judgment. State ex t°el. State Fire Marshal v. Czirl, 87 Ohio St.3d 568,

569, 722 N.E.2d 73 (2000). To the contrary, the trial court retains jurisdiction to take any action

that would aid in the execution of the appealed judgment. State ex rel. Klein v. Claorpening, 6

Ohio St.3d 3, 4, 450 N.E.2d 1161 (1983). These principles have been applied in the foreclosure

context. Triple Flnvs. v. Pac. Fin. Servs., 11th Dist. No. 2000-1'-0090, 2001 Ohio App. I,EX1S

2484 (June 1, 2001); Shu3nay v. Ltrke Chateau, 9th Dist. App. Nos. 1013 and. 1034, 1981 Ohio

App. LEXIS 12382 (Apr. 22, 1981).

The ozily way to cease post judgment proceedings is to obtain a stay of execution.

Hagood, 105 Ohio App.3d at 785. R.C. 2505.09 governs the conditions for a stay: "An appeal

does not operate as a stay of execution until a stay of execution has been obtained pursuant to the

Rules of Appellate Procedure or in unother applicable manner, and a supersedeas bond is

executed by the appellant to the appellee." "Civ.R. 62(B) and App.R. 7 set forth the procedural

guidelines for a stay of execution of a judgment on appeal." T•iple Flnvs., 2001 Ohio App.

I:>EXIS 2484 at *10. Both Rules condition a stay of execution upon the posting of an appropriate

supersedeas bond.

11ere, the fact that Mr. Ra.hman appealed did not deprive the Trial Court of jurisdiction,

and did not stop a Sheriff's Sale from proceeding. Hagood, 105 App3d at 785. If Mr. Rahman

wanted a stay, he was required to post an adecluate'supersedeas bond. Civ.R. 62(B); App.R. 7.

The Tenth District afforded Mr. Rahrnan a stay, conditioned upon him posting a bond. June 17,

2013 Order. 1-le refused to post it, and this Court both refused to stay or accept jurisdiction over

that decision. This case does not involve unlawful conduct, just a run-of the-mill foreclosure

judgment and application of the Rules of Civil and Appellate Procedure.

C. The availabilitv of an adeciuate remedy at law piecludes the issuance of any writ.

That leaves the request in the Complaint for the equitable writs of procedendo, quo

warranto and prohibition. "Extraordinary writs like quo warranto provide extraordinary, not

alternative remedies, and they will not lie where there exists an adequate remedy in the ordinary

course of the law." State ex rel. Johsison v. Talikka, 71 Ohio St.3d 109, 110, 642 N.E.2d 353

(1994). The rights to appeal and to file a motion for stay are adequate remedies at law, and

preclude extraordinary relief through an equitable writ. State ex rel. Mason v. Burnside, 117

Ohio St.3d 1, 3, 2007-Ohio-6754, 881 N.E.2d 224, citing State ex rel. Corrigan v. GYiffin, 14

Ohio St.3d 26, 27, 470 N.E.2d 894 (1984) and State ex rel, Boardii^alk Shopping Center, Inc. v.

Court ofAppeals, 56 Ohio St.3d 33, 34-35, 564 N.E.2d 86 (1990).

I Iere, Mr. Rahman took the legal remedies afforded him: he filed both an appeal and

motions to stay execution of judgment. The fact that he was dissatisfied with the results does not

make those remedies inadequate. BttNnside, 117 Ohio St,3d at 3. The Complaint should be

dismissed.

D. Procedendo andprohibition are not appropriate against a non-g_overnmental actor.

Putting aside the facts that the conduct at issue was lawful and the availability of legal

remedies, there are additional problems with the Complaint. Mr. Rahman seeks writs of

procedendo and prohibition, but neither can be used against a private actor.

"'The wri t ofprocedendo is merely an order fiom a court of superior jurisdiction to one of

inferior jurisdiction to proceed to judgment." State ex rel. Davey v. Otiven, 133Ohio St. 96, 106,

12 N.E. 2d 144 (1937). A writ of procedendo catinot lie against a party to litigation. Yee v. Erie

County Sherff's L?ep't, 51 Ohio St.3d 43, 45, 553 N.E.2d 1354 (1990).

Similarly, a writ of prohibition will only lie against a "court or offieer"about to exercise

"judicial or quasijudicial'° power. 67 Ohio Jurisprudence 3d, Mandatnus, Procedendo, and

Prohibition, Section 171 (2009); Goldsteiyi v. Christiansen, 70 OhioSt.3d 232, 234, 638 N.E.2d

541 (1994).

I-le.re, putting aside the adequacy of the legal remedies, neither procedendo nor

prohibition are appropriate. Neither Wells Fargo nor its counsel is a court, or exercising

"judicial or quasijudicial" power. As to these writs, the Complaint fails to state a claim and

should be dismissed.

F. Quo Warranto has no application.

Finally, the Complaint seeks a writ of quo warranto. That writ may be issued against "Z

person who usurps, intrudes into, or unlawfully holds or exercises a public office, civil or

military, or a franchise, within this state, or an office in a corporation created by the authority of

this state." R.C. 2733.01. It is used to "to question the authority of claimants asserting right and

title to public offices or corporate franchises." 79 Ohio Jurisprudence 3d, Quo Warranto,

Section 1 (2013).

"I'here are no allegations in the Complaint that Wells Fargo or its cotinsel has been

asserting rights to a public office or improperly possesses the position of a corporate officer. The

Cornplaint should be dismissed.

IV. CONC.LtiSIt)N

Mr. Rahman had an adequate remedy at law to address his concerns. In any event, none

of the equitable writs are appropriate. The Complaint should be dismissed.

The Court Further finds that the plaintiff is the holder of a judgment for the full

amount of the net sale proceeds and that as the successful purchaser, plaintiff is

entitled to a credit in the amount of $222,247,66 and shall be responsible for the

payment of final court costs, property taxes and sheriff's fees, which amount shall be

paid directly to the sheriff for disbursement as follows:

First. Payable to the Clerk of this Court, the net final court costs of $960.00. (Totalcosts are $2,210.00, which amount includes $88.00 for release fees, and totaldeposits are $1250.00.)
