MEMORANDUM OF UNDERSTANDING

This M emorandum of Understanding("M emorandum") is entered into this .2'Iday of M ay2011 by and betw een Interregional D istribution GridCompany of Centre, JSC (IDGC of Centre), acorporation organized and existing under the law of theR uss ia n F ed era tio n, the Government of the BelgorodRegion and San D iego Gas & Electric Company, acorporation organized and existing under the law s ofthe Sta te of California ("SDG&E") and the Office ofthe M ayor of the C ity of San Diego, California(collectively, the "Parties" and each individually , a"Party").

PREAMBLE:Whereas, the Parties are seeking to develop

mutually beneficial cooperation as part of the smartgrid partnership program under the U .S .-RussiaB ilatera l Presidential Comm ission 's Energy W orkingGroup;

Whereas, the Parties each seek to contribute tothe implementation of the provisions of theM emorandum of Understanding dated October 14,20 10 by and between the M inistry of Energy of theRussian Federation and the D epartm ent of Energy ofthe United S tates on cooperation in the energy sector(attached to this M emorandum as Exhibit A );

Whereas, the Parties each w ish to contributeto the implementation of the goals for cooperationenunciated in the Joint Statement of the U .S.-RussiaB ilateral P residential Comm ission's Energy W orkingGroup by its co-chairs M inister of Energy SergeiShmatko and Secretary of Energy Steven Chu(attached to this M emorandum as Exhibit B);

NOW, THEREFORE, the Parties hereto agree asfollows:

ARTICLE I AIM OF MEMORANDUM OFCOOPERATION

The Parties agree that the Partnership outlined in thisM emorandum aims to leverage the expertise andknow ledge of Party in order to:

1.1 Strengthen economic development of ourregions and companies, entered into thisMemorandum

1.2 Maxim ize innovation in energy efficiency anddevelopment of Smart G rid

1.3 Qualitatively improve reliability of powersupply

1.4 Engage customers in their electric gridsmanagement and int1uence behavior change
