The purpose o f this organisation Is to provide a close relationship among women p ilo ts and to unite them in any movement that may be fo r th eir benefit or fo r that o f aviation In general.

ARTICLE I NAHE

The name o f this organization shall be The Ninety-Nines, or 99 's, this numeral representing the charter membership.

ARTICLE I IMEMBERSHIP

Section 1. (a ) The membership o f th is body sha ll be composed o f a l l i t s sections in the United States andforeign countries. An applicant shall jo in the 99 Club by entering the section in which she re­sides .

(b ) A member who has changed her residence shall present to the chairman o f the chapter organized to cover the te r r ito ry Into which she moves, or, i f no such chapter ex is ts , to the governor o f the section in to which she moves, a le t t e r o f transfer from the chairman o f the chapter from which she moves, or, i f no such chapter ex is ts , from the governor o f the section from which she moves. Said le t te r o f transfer shall be acted upon by membership committee o f the chapter Into whose te rr ito ry she moves, or, I f no such chapter ex is ts , by the membership comnittee or the section Into which she moves, and, i f approved by said membership committee, such action shall establish her as a member thereof.

Section 2. The membership o f this Club shall be divided Into the follow ing classesjClass A— -ActiveClass B InactiveClass C L ife MembersClass D Honorary

(a ) ACTIVE MEMBERS. Any woman holding a current p i lo t 's license or c e r t if ic a te o f higher than aolo grade or its equivalent In any country may on recomnendation o f the chapter membership commi­ttee , or, i f no chapter ex is ts , may on recomnendation o f the section membership comnittee become an ACTIVE member, which admits to a l l p riv ileges and duties o f the club including voting and holding o f f ic e .(b ) INACTIVE MEMBERS. Any Active Member whose c e r t if ic a te has lapsed and who has had not less than 200 hours or c e r t if ie d solo time may become an Inactive Member. Inactive Members shall pay dues but may not vote or hold o f f ic e .

Any Active Member whose c e r t if ic a te has lapsed and who has had less than 200 c e r t if ie d solo hours sha ll become an Inactive Member u n til the end o f the f is c a l year fo r which her dues have been paid. I f a t that time her c e r t if ic a te has not been reinstated, her membership in the organization w i l l terminate. She may be reinstated to ACTIVE membership, upon reinstatement o f her p i lo t 's c e r t i f i ­cate, through the regular channels o f written application fo r membership by vote o f the chapter membership comnittee, or i f no chapter ex is ts , by vote o f the section membership committee.

Any former Active Member may ly vote o f the Executive Comnittee become an Inactive Member upon loss o f c e r t if ic a te resulting from accidental in ju ries or circumstances beyond human control.(c ) LIFE MEMBERS. Any Active or Inactive Member may become a L ife Member o f the 99 Club witha l l rights and p riv ileges o f an Active Member, except to hold o f f ic e , by the payment o f one hundred dollars ($100.00) in to the National Treasury. L ife Members shall be exempt from the payment o f dues. The monies paid in by L ife Members shall be invested by the Executive Committee o f the Club and only the income therefrom sha ll be used fo r association expenses.

Any former or present Active Member who has served in the o f f ic e o f President o f the Club shall be awarded L ife Membership in the Ninety-Nines. In th is case she shall be exempt from payment o f $100.00. She may accept this L ife Membership any time she chooses.(d ) HONORARY MEMBERS. On recomnendation o f the Executive Committee outstanding women who are or have been active in aviation may be elected Honorary Members at the Annual Meeting. Honorary Mem­bers shall be exempt from dues but may not vote.(e ) MEMBERS AT LARGE. An applicant residing in a foreign country In which no Seotion has been organized may jo in the club when approved by the Executive Committee and w i l l be considered a Mem­ber at Large.

Section 3. At no time may a person become a member o f the NINEH-NINES, unless recommended by the chapter membership committee, or i f no chapter ex is ts , by the section membership committee, and unless she meets the reoulrements and agrees to the followings

Any female c it izen o f the United States or o f foreign countries shall by vote o f the chapter mem­bership committee, or, i f no chapter ex is ts , by vote o f the section membership committee, be e l i g i ­ble fo r membership in th is organization, i f she is o f good character, and i f , upon making her appli­cation she can show satis factory evidence o f the followings

(a ) That she holds a current Department o f Commerce p i lo t 's c e r t if ic a te o f Private or higher grade for heavier or ligh te r than a irc ra ft , or a corresponding c e r t if ic a te issued by the country o f which she is a c it iz en .

(b ) That she agrees to abide by the Constitution and By-Laws o f th is organization, including Section 5 o f th is A r t ic le , providing fo r the termination o f membership in the Club fo r any o f the causes set fo rth , without recourse against the 99 Club or any o f f ic e r or member thereof.

Section A. Any member who shall not have paid dues three months a fte r they are payable shall be dropped from the organization, the Secretary no tify in g such Bombers o f termination o f membership. To be rein­stated, application may be sent to the membership committee in the usual way.

Section 5. TERMINATION OF MEMBERSHIP. The Executive Committee may recommend the d isoua lifica tion o f anapplicant or dismiss a member i f they have cause to believe she is o f objectionable character or by any act has brought d iscred it to the Ninety-Nines and i f such action has been requested by a two- th irds vote o f the section or chapter in which such applicant or member resides.

Section 6. When a member is dismissed the Governor shall n o tify the chapter o f the section and the National Secretary.

ARTICLE I I I MEETINGS

Section 1. This Club sha ll meet annually at a time and place to be fixed by the Executive Coianittee. TheSecretary shall send to a l l members th ir ty days before the Annual Meeting written notices, stating the place, day, hour and object o f the meeting.

FISCAL YEARSection 2. The F isca l Year o f th is Club shall begin September f i r s t and close August 31st o f each year.

ARTICLE IV REPRESENTATION AND RIGHTS OF MEMBERS

Section 1. Each section shall be represented at the Annual National Meeting by delegates composed o f the Governor o f each section and one delegate fo r each twenty members or major fraction thereof from each chapter, providing that each chapter shall have at least one delegate. Every member may attend the Annual Meeting and take part in discussion but only delegates may vote.

Section 2. Delegates must be members in good standing.Section 3. A ll members in good standing o f Class A and C sha ll be en titled to cast one vote in person or by

mail fo r the e lection o f each o f the o f f ic e rs . Each member is represented at the Annual Business Meeting by her Section 's Governor and by delegates elected by chapters.

Section A. The Club Magazine shall be sent to members without additional charge.

ARTICLE V OFFICERS

Section 1. The e le c t iv e o ffic e rs shall consist o f a President, Vice-President, a Secretary and a Treasurer.Section 2. The o ffic e rs shall be elected by a majority vote o f the ballots received, fo r a term o f one year.

I f no one receives a majority vote fo r an o ff ic e , the delegates shall proceed to e le c t . O fficers must be members in good standing.

Section 3. No o ff ic e r shall serve more than two consecutive terms in the same o f f ic e .Section A. The Executive Committee shall be composed o f the e lec tive o ffic e rs and three additional members

from separate chapters not already represented on the Executive Committee, to be elected by the delegates in convention assembled. Even though her chapter is already represented on the ExecutiveCommittee, the outgoing president o f the Ninety-Nines may be a candidate fo r election to thiscommittee.

Section 5. The appointive o ff ic e rs shall be a Marshall and a Sentinel.Section 6. A vacancy in o ff ic e by death, resignation or any other cause, occurring between meetings o f the

national body shall be f i l l e d by the Executive Committee.

ARTICLE VI DUTIES OF OFFICERS

Section 1. The President shall preside a t a l l national meetings and meetings o f the Executive Committee;shall appoint a l l o ffic e rs and committees unless otherwise specified ; shall carry out the co llec­tiv e wishes o f the membership and be th eir spokesman on matters o f national po licy .

Section 2. The Vice-President shall ass ist the President in the performance o f her duties; and shall pre­side a t the national meetings in case o f the absence, resignation or removal from o ff ic e o f the President.

Section 3. The Secretary shall keep an accurate account o f a l l transactions o f the national meetings; writea l l communications; f i l e a l l papers and documents pertaining to Club transactions; issue a l l notices as directed by the members in convention or the President; send notices o f dues payable to everymember a t the beginning o f the f is c a l year; issue warrants to foreign sections as provided inA rtic le DC, Section 2 o f this Constitution; and perform such other duties as usually appertain to the o f f ic e .

Section A . The Treasurer shall control a ll monies due th is organization, having a rece ip t given fo r the same.She shall pay out the same only on regular warrants drawn by Headquarters and countersigned by the President. She shall, a t the annual meeting, make a financia l report o f the year's receipts and ex­penditures.

Section 5. The Executive Committee shall act as an administrative board generally assisting the President;shall have authority to act in matters o f business arising between meetings not herein delegated to any other committee; shall control the policy o f the Club magazine; arrange for the investment o f any national funds o f the organization; f i x the place and time o f the Annual Meeting; and give a report at the Annual Meeting o f a l l business transacted during the year.

Seotion 6. The Marshall shall see that the meeting room is in order; d istribute ba llo ts ; enforce order; and perform such other duties as directed by the President.

Seotion 7. The Sentinel shall have charge o f the door, which shall be secure at a l l times from Intrusion;and shall admit no person who is not duly qua lified to enter. She shall submit a l l cases o f doubt to the President fo r her decision and obey her commands.

ARTICLE V II Insignia

There shall be an o f f i c ia l Insignia fo r qua lified members and i t shall be a point o f honor for ex-members to refra in from wearing i t .

SECTIONS

Section 1. The membership in the United States shall be divided into eight units, to be known as SectionalSeotion 2.. The Sections shall be as follows: „ ,, ,, - , .

(2) Southwestern Section, composed of California, Arizona, Nevada, Utah;(3) North Central Section, composed of Minnesota, Iowa, Missouri, Illin o is , Wisconsin,

Michigan, Indiana, Ohio, Kentucky;(A) South Central Section, composed of Colorado, New Mexico, Texas, Oklahoma, Kansas,

Nebraska, Arkansas, Louisiana;(5) New England Section, composed of Maine, New Hampshire, Vermont, Massachusetts, Rhode

Island, Connecticut;(6) New York-New Jersey Section, composed of New York and New Jersey;(7) Middle Eastern Section, composed of Pennsylvania, West Virginia, Virginia, Maryland,

Delaware, District of Columbia;(8) Southeastern Section, composed of Tennessee, Mississippi, Alabama, Florida, Georgia, South

Carolina, North Carolina,Seotion 3. Sections shall be governed by a uniform Constitution which shall be adopted by the National Body

and be issued to each section by the National Secretary, Sections may draw up their own By-Laws,Section A, A Section may subdivide to form two Sections, provided that the new Section contains not less

than three chapters, and the old Section be le ft with not less than three chapters.

ARTICLE I I FOREIGN SECTIONS

Section 1, Five women pilots of any foreign country, carrying the government license thereof, may apply fora Foreign Section Charter by stating the boundaries of the proposed Section, the names of the appli­cants and by attaching affidavits certifying that they are government licensed pilots.

Section 2, Upon receipt of such application, the National Secretary shall issue a warrant authorizing theformation of a Foreign Section pending the approval of two-thirds of the delegates at the nextAnnual National Meeting.

Section 3. Upon favorable action by the National Meeting, regular charters shall be issued, duly inscribed with the names of the applicants, together with a regular Section Constitution.

ARTICLE XCOMMITTEES

Section 1. The Permanent Committees shall be the Executive Committee, the Contest Committee, the Auditing Committee, the Nominating Committee and the Transcontinental Air Race Committee.

Section 2. Temporary committees may be appointed by the President during the National Meeting or when special work is to be done, as occasion may renuire.

Section 3. No person shall serve on more than one permanent national committee.Section A. A ll Permanent Committees shall submit an annual report to the National Meeting.

ARTICLE XI DUTIES OF COMMITTEES

Section 1. The duties of the Executive Committee shall be as stated in Article VI, Section V.Section 2, The Contest Committee shall be composed of three members who shall at a l l times, work for

fa ir competition of women flyers in a l l a ir races or aviation events. This committee shall not in any way prevent individuals from promoting their own interests at any time.

Section 3. The Auditing Committee shall be composed of three members who shall examine the books of the Secretary and Treasurer and report thereon to each annual meeting.

Section A. The duties o f the Nominating Committee shall be as specified in the By-Laws.Section 5. The duties of the Transcontinental Air Race Committee shall include promoting sponsors and

trophies for the race, selecting starting and finishing points, setting the dates and formu­lating a l l necessary rules and regulations.

ARTICLE I I I AMENDMENTS

Section 1. This Constitution and By-Laws may be amended at the Annual Hational Meeting, provided that a copy of the proposed amendment shall have been submitted to a l l sections and a l l chapters of each section thirty (30) days previous to the National Meeting.

Seotion 2. Any Constitutional amendment to become effective must receive a two-thirds vote of a l l registered delegates.

B Y - L A W S OF T H E N I N E T Y - N I N E S

ARTICLE I QUORUM

Sixty percent of the registered delegates shall constitute a quorum, provided that at least four Sections are represented.

ARTICLE II REPRESENTATION BY PRCKI

Any delegate unable to attend the convention may entrust her vote to any delegate by a written proxy.

A Nominating Committee o f f iv e members shall be elected fo r the follow ing year by d irect b a llo t o f the members, from a l i s t o f e igh t members each from a d iffe ren t section, said l i s t to be submitted with the regular b a llo t by the Nominating Committee, The member receiving the largest number o f votes shall serve as Chairman.

Two months prior to the Annual Meeting this Committee shall submit TWO names fo r each o f the e lective o ffic e s to the National Secretary. Previous to th is , the Nominating Committee shall reouest each section and each chapter to submit a l i s t o f one name fo r each o f the e le c t ive o f f ic e rs , from which l is t s they shall s e lec t the names to be submitted to the Secretary.

ARTICLE IVELECTIONS

On receip t o f the l i s t o f nominees from the Nominating Committee the National Secretary shall mail to each member e lig ib le to vote 30 days prior to the Annual Meeting, a numbered ba llo t to be marked and re­turned to the Secretary. Each b a llo t shall have a space fo r the voter to write in the name o f a candidate fo r each o f f ic e . The date fo r the return o f the ba llo t shall be indicated on the b a llo t and ballots re­ceived a fte r this date shall be considered void. The ballots shall be opened and counted at the AnnualNational Meeting. The President shall appoint three te lle rs to receive and count the ba llo ts . On the com­pletion o f the ta l ly the Secretary shall announce the results and i f any candidate has received a nmjority o f a l l votes cast, the President shall declare her e lected . I f no candidates receive a majority o f a l l votes cast, the delegates shall proceed to e le c t from the two candidates receiving the highest vote.

ARTICLE V DUES

Section 1. Dues shall be $5.00 yearly, payable to the NINETI-NINES at it s National Headquarters, to bedivided as fo llow s! $4.00 to the National Treasury, and 25$ to the treasury o f the section and75$ to the treasury o f the chapter from which i t orig inates. $1.00 in it ia t io n fee is required ofnew members payable to NINEH-NINES a t it s National Headquarters.

Section 2. Incoming members when applying fo r membership on or a fte r March 1 pay one-half dues o f the to ta l year, plus in it ia tio n fee o f $1.00

ARTICLE VI SPECIAL COMMITTEES

Section 1. (a ) A Credential Committee shall be appointed by the President to pass on credentials andpresent a l i s t o f duly qua lified delegates which, when adopted, shall constitute the convention.

Previous to the National Meeting the section secretaries shall forward to the National Secretary a l i s t o f the section delegates who are en titled to s i t in the convention. The chapter secretaries shall forward to the National Secretary the names o f th eir delegates elected to s i t in the Annual Meeting.

Section 2. A Resolutions Committee o f three shall be appointed by the President. A ll resolutions must besubmitted to the convention in w riting and referred to the Resolutions Comnittee fo r recommendation.

ARTICLE V II TRANSCONTINENTAL AIR RACE COMMITTEE

Section 1. The Transcontinental Air Race Committee shall be empowered to appoint an o f f i c ia l representative at the points o f departure and a rr iva l to supervise a l l arrangements.

Section 2, No member o f the Transcontinental A ir Race Committee shall be an entrant in the Annual Trans­continental Air Race during her term o f o f f ic e .

RULES OF ORDER

Roberts* Rules o f Order shall cover a l l Parliamentary Procedure not otherwise provided fo r in this Constitution and By-Laws.

STANDARD CONSTITUTION FOR SECTIONS

OF THE NINETY-NINES

ARTICLE I NAME

The name o f th is organization shall be the __________________________________ Section o f the Ninety-Nines,Comprising (L is t s ta tes ).

ARTICLE I I OBJECT

The object o f th is organization is to further in every way the objects o f the Ninety-Nines as stated in the National Constitution, and to provide a closer relationship among it s members.

ARTICLE I I I MEMBERSHIP

There shall be three classes o f membership in the Section! Active, Inactive and L ife , as defined in A rtic le I I o f the National Constitution.

Section 1. O fficers shall be Governor, Vice-Governor, and Secretary-Treasurer.Section 2. No o ff ic e r shall serve more than two consecutive terms in the same o f f ic e .Section 3. O fficers shall be elected yearly as provided in the By-Laws.Section A. The e lec t ive o ff ic e rs o f the section shall comprise a Governor's council which shall have

authority to act in emergencies aris ing between meetings o f the section, said acts to be reported to the next regular meeting o f the section fo r approval.

Seotion 5. Candidates fo r o ff ic e shall be nominated by a committee consisting o f one member from eachchapter, appointed by the Governor. I f there are no chapters organized, the Governor shall appointa Nominating Committee o f Three members.

Section 6. The election shall be held as soon as practicable a fte r the National Annual Meeting and notla te r than October f i r s t .

ARTICLE V DUTIES OF OFFICERS

Section 1. The duties o f the Governor shall be: To carry out the c o lle c tiv e wishes o f the membership andbe their spokesman on matters o f section policy; To appoint a l l committees and f i l l o ffic es not otherwise provided fo r in the Constitution; To cooperate with the President in every possible way.

Seotion 2. The duties o f the Vice-Covemor shall be: To ass ist the Governor in the performance o f herduties; To preside at section meetings in the case o f the absence, resignation or removal from o ff ic e o f the Governor.

Section 3. The duties o f the Secretary-Treasurer shall be: To keep a correct membership record; To receiveand receipt fo r a l l money due the section from National Headquarters and other sources and keep an accurate account thereof; To pay a l l properly approved claims and b i l ls incurred in the conduct o fthe business o f the seotion, and to make at the Annual Meeting, financia l report o f the year'sreceipts and expenditures.

ARTICLE VI MEETINGS

Section 1. The Annual Meeting o f this organization sha ll be held in the f a l l a t a time and place to be desig­nated by the Governor unless so designated by the members a t the la s t previous meeting.

Seotion 2. The Governor may c a l l a special meeting at any time upon one week's notice. The majority o fchapters may demand the Governor to c a ll a special meeting a t any time. The Governor shall issue proclamation accordingly.

Section 3. At a l l meetings where business is transacted each chapter within the section may be represented by delegates, th eir number being determined pro rata according to the active membership o f the chapter as provided in the By-Laws; or a l l active section members may vote, according to which method gives the fa ir e r representation to the whole membership o f the section.

ARTICLE V II DUES

Section 1. Dues are as stated in the National Constitution.Seotion 2. New members applying fo r membership on or a fte r March 1 pay one-half dues o f the to ta l year,

plus in it ia t io n fee o f $1.

ARTICLE V III ORGANIZATION

Section 1. Each section shall govern i t s e l f , make desired assessments and in it ia te its own program, provided carrying that out does not c o n flic t with national p o lic ies as formulated in the National Constitu­tion .

Section 2. Each section may formulate i t s own By-Laws.

ARTICLE IXCHAPTER ORGANIZATIONS

Section 1. Local chapters may be formed within the sections at the desire o f the members provided not less than f iv e active members be necessary fo r the formation o f a chapter and provided that, when a chapter is to be formed by sp lit t in g a chapter already in existence, approval by a two-thirds vote o f the membership o f the o r ig in a l chapter and o f the o ffic e rs o f the section in which said chapter is located and o f the Executive Committee o f the International organization shall be re­quired to authorize such d iv ision o f an established chapter.

Section 2. O fficers o f the chapter shall be chairman, vice-chairman, secretary-treasurer. O fficers areto be elected in the same manner as section o ff ic e rs except that the nominating committee shall be appointed by the chairman.

Section 3. The time o f the chapter e lection shall be as soon as practicable a fte r the section election andnot la te r than October f i r s t .

Section A. No chapter o f f ic e r shall serve more than two consecutive terms in the same o ff ic e .Section 5. Chapter meetings are to be held monthly.Section 6. Each chapter shall govern i t s e l f and institu te its own program provided carrying that out does

ARTICLE X COMMITTEES

Section 1. A membership committee shall be appointed annually.Seotion 2. Other committees may be appointed by the Governor as the need arises.

Section . The membership committee shall consist of members from each chapter. The purpose of this committee is to secure a l l desirable licensed women pilots for membership. This committee shall investigate and recommend persons for membership.

AMENDMENTS

This Constitution may be amended as provided in Article XII of the National Constitution.
