LIST OF TRANSNET PORT TERMINALS CHARGES

GENERAL TERMS AND CONDITIONS“Transnet”shallmeanTransnetSOCLtdRegistrationNo:1990/000900/30.

“TheTerminalOperator”shallmeanTransnetPortTerminals,adivisionofTransnetSOCLimited.

Ports: Area of JurisdictionTheareawithinwhichTransnethasjurisdictionattherespectiveportsisasappearinginTheNationalPortsActNo.12of2005(“theAct”)andthePortRulesissuedintermsofSection80(2)oftheAct.

Application of ChargesThetariffssetouthereinapplyatallportsatwhichtheTerminalOperatorconductsbusinessandwhere one ormore of the services in respect ofwhich tariffs are reflected herein are available.Unlessexpresslyotherwisestatedherein,thetariffsareeffectivefrom1April2020.TheTerminalOperator reservesthe right to reviewandamendthetariffssetoutherein fromtimeto time,asand when deemed reasonably necessary, at its sole discretion. The tariffs set out herein relatespecificallyandonlytotheservicesinrespectofwhichtheyarestipulatedandadditionalchargesmaybelevied,atthethenusualratechargedinrespectthereofbytheTerminalOperator,foranyservice renderedby theTerminalOperatorwhich is not specificallymentioned in relation to anytariffstipulatedherein.ShouldtheTerminalOperator,inrenderingtheservicesinrespectofwhichanytariffisstipulatedherein,incuranyexpenditureorbeobligedtorenderanyserviceinadditiontothoseinrespectofwhichtariffsarestipulatedhereinbecauseofanydirectiveorrequirementtodosofromorbyanycompetentauthority,orshouldanycompetentauthorityimposeanycharge,levyorotherexpenseofwhatevernatureontheTerminalOperatorwhichrelatedtoorarisesfromtheprovisionoftheservicesprovidedforherein,theTerminalOperatorisentitledtorecoversuchexpenseand/orraiseadditionalcharges,overandabovethetariffprovidedforherein.

Applicable ConditionsAll business is undertaken subject to the terms and conditions contained in thisTariffBook andwhereapplicable,alltermsandconditionsincorporatedhereinbyreferenceinsection1,clause1;section2,clause1;section3,clause1;section4,clause1;andsection5,clause1.

National Ports Act No. 12 of 2005 (including the Port Rules and Harbour Master’s Written Instructions)The National Ports Act No. 12 of 2005 (“the Act”), Port Rules and Harbour Master’s WrittenInstructionsissuedintermsofSection80(2)and74(3)respectivelyoftheActshallbedeemedtoformanintegralpartofthisTariffBook.IntheeventofanyconflictarisingbetweentheinterpretationoftheAct,suchPortRulesandHarbourMaster’sWrittenInstructionsandthisTariffBookthentheAct,PortRulesandHarbourMaster’sWrittenInstructionsshallprevail.

Value Added Tax (VAT)VATatthestandardratewillbeapplicabletoalltheTerminalOperator’sservices.

Claims for Adjustment or Refund of Terminal Charges All claims related to charges raised in accordancewith theTerminalOperator’sTariffBookwill, forprescriptionpurposes,bedealtwithstrictlyintermsofthePrescriptionAct,Act68of1969.

TariffsquotedinSouthAfricanRandandareexclusiveofvalueaddedtax(VAT).

HANDLING OF CONTAINERS AT CONTAINER TERMINALS 1. GENERAL TERMS AND CONDITIONS

The services rendered by the Terminal Operator to the Customer or Container Operator are governed by this Tariff Book, read in conjunction with the Terminal Operator’s Conditions of Trade (“COT”) for Container Terminals and the COT Appendices thereto and the Standard Operating Procedures for the Container Terminals (“SOPCT”) and the SOPCT Appendices thereto (a copy of which are available on request and on the Terminal Operator’s website: www.transnet-tpt.net), Terminal Operator’s conditions of credit as well as any commercial agreement (“Terminal Operator’s Contracting Documents”) (subject to any supplements and amendments thereto), all of which are incorporated by reference herein and which constitute the entire agreement between the parties to any aspect, matter or thing referred to herein or which arises out of or relates to such matters as are referred to, and shall be the sole and exclusive memorial thereof.

Save as otherwise defined in this Tariff Book, any capitalised words or expressions not defined but contained herein shall have the meanings ascribed to them in the Terminal Operator’s Contracting Documents.

Container TerminalAnareaespeciallysetasideprimarilyforthehandlingofcontainersbyspecialisedequipmentinthe following container terminals: Durban(Pier1andPier2) Ngqura Port Elizabeth Cape Town

ContainerAny container, reefer container, controlled atmosphere container, integral reefer container,transportabletankorflatrackcontainerthatconformstotheInternationalStandardsOrganisationstandardcontainertypedesignations.ContainersnotcomplyingwiththisstandardwillbehandledatthediscretionoftheTerminalOperator. Empty ContainerAny container, reefer container, controlled atmosphere container, integral reefer container,transportable tank or flat rack container that conforms to the International StandardsOrganisationstandardcontainertypedesignationsthatisfreeofcargo(emptyincontent).Inthecaseoftransportabletankswhichhavepreviouslycontainedhazardouscargo,thesewillonlybeconsideredemptyifagas-freecertificateispresentedinrespectofsuchcontainer.

Abnormal/Out of Gauge ContainersAnycontainerinoronwhichthereiscargo,thedimensionsofwhichcargoexceedanyoftheexternaldimensionsofthecontainerinoronwhichsuchcargoiscarried,oranycontainerwhich,whetherbyreasonofdamagethereto,oritsdesign,size,massoranyotherreason,cannotbehandledbymeansofthestandardcontainerhandlingequipmentemployedbytheTerminalOperatorforthe05

Reefer ContainersAnyreefercontainers,includingreeferclip-onunits,heatedtanksandfantainers,thatmoveviathereeferareaandrequirepowerconnection.

IMDG – (International Maritime Dangerous Goods) ContainersAny cargo/residue defined as dangerous/hazardous under the IMDG (International MaritimeDangerousGoods)Codeand/orSANS(SouthAfricanNationalStandard)10228.

Transhipment ContainersAny container in respect of which both landing and shipping movements occur at the samecontainerterminal.WithoutexceptiononlythoseidentifiedastranshipmentcontainersintheICLorEDIsubmittedinrespectofsuchcontainerspriortotheirhandling,willqualifyandbechargedastranshipmentcontainers.Anysubsequentchangeinthetranshipmentstatuswillresultinthecontainerbeingtreatedasanormalimportcontainerfromthetimeoflanding,forbillingpurposes.Where either the landing or shipment takes place at any other terminal within the Port, thecontainersolandedorshippedwillnotberegardedasatranshipmentcontainer.

Container Sizes

Themaximummassreflectedisconditionalonthecontainerbeingplateratedtocarrythatmass.

High Cube ContainersTheabovedimensionsbutwithaheightof2896mm.

Direct RestowThemovementofacontainerbyacontainergantrycranefromapositiononavesseltoanotherpositioninthesamebayonthesamevessel,withoutthecontainerbeingtemporarilyplacedonthequayorelsewhereonthevessel.

Indirect RestowThe movement of a container from a position on a vessel to another position on the same vessel bymeansofacontainergantrycranewiththecontainerbeingtemporarilyplacedonthequayorelsewhereonthevesselbeforeitisfinallyplacedinthesame,orinanotherposition.

Late Arrival ContainersAcontainerthatarrivesintheterminalafterthestackintowhichitistobetakenuphasbeenclosed.TheacceptanceoflatearrivalcontainersisatthediscretionoftheTerminalOperatorandadditionalchargeswillberaisedinrespectoflatearrivalcontainers. Load ReadyWhenavesselis,inallaspects,readytocommenceloadingallcontainersintheexportstack.

Arrives The vessel reports its arrival within the boundaries of the relevant port as defined in theStandardOperatingProceduresforContainerTerminals(SOPCT).

Ro-Ro VesselAvesselwhichhascertaincargodecksaccessibleonlybymeansofarampwhichisloweredontothequaysideandoverwhichcargoisdrivenonboardoroffthevesselbymeansoftheramp.

Fully Cellular VesselAvesselwhichispurposebuiltforthetransportationofISOstandardcontainersstackedontopofeachotherinverticalguideshaftsintoandfromwhichcontainersareloadedordischarged,wherenogeneralfreightiscarried.

Non-Cellular VesselAvesselwhichisnotpurposebuilttocarryonlyISOstandardcontainersandwhichmaycarrynon-containerised cargo. Not all hatches into which containerised cargo will be loaded ordischargedonthisvesselwillhaveverticalguideshaftsalthoughtheremaybesomehatcheswhichdo.

Verified Gross MassVerifiedgrossmassof the containerweight in termsof the InternationalConventionof theSafetyofLifeatSea,enforced.

STORAGE OF CONTAINERSWithin72hoursofthedischargeofeachcontainerfromthevessel, inrespectofeach and every call of the vessel at the terminal, theCustomer or theContainerOperatorshallprovidetheTerminalOperatorwithdeliveryinstructionsinrespectofallcontainersdischargedandshall,inrespectofcontainerscontaininganycargonotclearedbytheCustomsauthoritiesprovideinstructionsfordeliveryinbondand,inrespectofcontainerscontainingallclearedcargo,shallprovidedeliveryinstructions.

TheonusremainsontheCustomerorContainerOperatortoensurethatthecontainerandcargoisreleasedbytheCustomsauthoritiesbeforedeliveryiseffected,unlessreleased in bond to a depot licensed by Customs authorities. Further, the onusremainsontheCustomerorContainerOperatortoensurethatsuchdeliveryinbondisexecutedbyaSouthAfricanRevenueServiceslicensedtransporterintermsoftheCustomsActtotransportsuchcontainerandcargoinbond.

GENERAL TERMS AND CONDITIONSThe services rendered by the Terminal Operator to the Customer are governed by this Tariff Book, read in conjunction with the Terminal Operator’s Standard Trading Terms and Conditions Standard Terms and Conditions for All Visitors to the Terminal Operator’s Ro-Ro, Breakbulk and Agricultural Terminals and the Terminal Operating Guidelines for the Ro-Ro, Breakbulk and Agricultural Terminals (a copy of which are available on request and on the Terminal Operator’s website: www.transnet-tpt.net) Terminal Operator’s conditions of credit as well as any commercial agreement (“Terminal Operator’s Contracting Documents”) (subject to any supplements and amendments thereto), all of which are incorporated by reference herein and which constitute the entire agreement between the parties to any aspect, matter or thing referred to herein or which arises out of or relates to such matters as are referred to, and shall be the sole and exclusive memorial thereof.

Save as otherwise defined in this Tariff Book, any capitalised words or expressions not defined but contained herein shall have the meanings ascribed to them in the Terminal Operator’s Contracting Documents.

7. STORAGE OF CONTAINERSWithin72hoursofthedischargeofeachcontainerfromthevessel,inrespectofeachandeverycallofthevesselattheterminal,theCustomerorContainerOperatorshallprovidetheTerminalOperatorwithdeliveryinstructionsinrespectofallcontainersdischargedandshall,inrespectofcontainerscontaininganycargonotclearedbytheCustomsauthoritiesprovideinstructionsfor delivery in bond and, in respect of containers containing all cleared cargo, shall providedeliveryinstructions.

TheonusremainsontheCustomerorContainerOperatortoensurethatthecontainerandcargois releasedbyCustomsauthoritiesbeforedelivery is effected, unless released inbond toadepotlicensedbyCustomsauthorities.Further,theonusremainsontheCustomerorContainerOperatortoensurethatsuchdeliveryinbondisexecutedbyaSouthAfricanRevenueServiceslicensedtransporterintermsoftheCustomsActtotransportsuchcontainerandcargoinbond.

Import containers which have not been customs cleared (including consignments whichhave been stopped by any Government Department) or for which cargo dues orders havenot been presented to the carrier, may be kept at the terminal until disposal instructionshave been received. The period for which such containers will be kept in a terminalwill be at the sole discretion of the Terminal Operator, and all containers remaining inthe terminal after the expiry of the free storage period, shall incur storage charges atthe applicable rate, regardless of the reason why such containers remain in the terminal.

Should the Customer or Container Operator fail to provide delivery instructions in respectof importcontainerswithin72hoursaftercompletionofdischargeofavessel, theTerminalOperator may arrange for the removal and storage of such containers, in bond, to a SouthAfrican Revenue Services licensed Container Depot (if applicable) or to any recognisedContainerDepot,andsuchremovalandstorageofsuchcontainersshallbeentirelyattheriskandexpenseoftheCustomerorContainerOperator,andtheTerminalOperatorshallincurnoliabilitywhatsoever inrespectofany lossordamagesufferedbytheCustomerorContainerOperatororanythirdpartywhichmayarisefromor inconnectionwithsuchremovaland/orstorage of such containers.

1. GENERAL TERMS AND CONDITIONSThe services rendered by the Terminal Operator to the Customer are governed by this Tariff Book, read in conjunction with the Terminal Operator’s Standard Trading Terms and Conditions and Standard Terms and Conditions for All Visitors to the Terminal Operator’s Ro-Ro, Breakbulk and Agricultural Terminals and the Terminal Operating Guidelines for the Ro-Ro, Breakbulk and Agricultural Terminals (a copy of which are available on request and on the Terminal Operator’s website www.transnet-tpt.net), Terminal Operator’s conditions of credit as well as any commercial agreement (“Terminal Operator’s Contracting Documents”) (subject to any supplements and amendments thereto), all of which are incorporated by reference herein and which constitute the entire agreement between the parties to any aspect, matter or thing referred to herein or which arises out of or relates to such matters as are referred to, and shall be the sole and exclusive memorial thereof.

Save as otherwise defined in this Tariff Book, any capitalised words or expressions not defined but contained herein shall have the meanings ascribed to them in the Terminal Operator’s Contracting Documents.

1.7 Abnormal Breakbulk CargoAnycargowhichexceedsanyoneofthefollowingmeasurements: Mass: 30tons(30000kg) Length : 12,0 metres Width: 2,5metres Height: 2,87metres TheTerminalOperatormay, in its sole discretion, refuse to handle abnormal breakbulkcargounlessarrangementssatisfactorytotheTerminalOperatorhavebeenmadefortheforwardingandcarriagethereof.ShouldtheTerminalOperatorelecttohandleabnormalbreakbulkcargoitdoessowithoutacceptingorincurringanyliabilitytoanypartyforanylossofordamagetosuchcargooranyotherpropertywhatsoever. The Tariff charged by the Terminal Operator, for handling abnormal breakbulk cargoexcludes the cost of any special equipment, including but not limited tomobile cranes,reach stackers, straddle carriers and extended trailers which may be required for thehandlingofsuchcargo.TheCustomerisliableforallcostsandexpensesassociatedwithobtainingandusingsuchequipmentincludingrigging.

1.8 Bulk CargoAhomogenouscommodityinsolidorliquidformdischarged/shippedbymeansofgrabs,skips,buckets,baskets,connectingpipesorconduitsandbyanyothertechnicalmeans,onto/fromvessels,vehicles,railtrucks,tanksorstorageareas.

1.9 VehiclesAvehicleshallmeanadevicedesignedoradaptedmainlytotravelonwheelsorcrawlertracks that is capable of being driven or towed and includes such a device which isconnectedwithadraw-bartoanothervehicle.

2.1 Miscellaneous Charges

Examplesofmiscellaneousservicesforwhichchargesmayberaisedaresetoutbelow,buttheseexamplesdonotconstituteaclosedlistandtheremaybeservicesorsituationswheremiscellaneous service charges will apply, which are not set out in the examplesbelow:

2.1.1 Additional Handling – All services over and above the normal landing, shipping,transhipping services, including additional handling charges incurred in theeventthatthemodeoftransport isamendedafterarrivalofthecarryingvessel.Additionalhandlingchargeswillberaisedpertonpermove.

2.1.2 Amending/Cancelling Orders/Adjustment Fees – In the event of an order beingamended,cancelledoradjustedinanymannerwhatsoever,theapplicableamendingorcancellationorderchargewillberaisedagainsttheCustomerinrespectofsuchamendment,cancellationoradjustmentasthecasemaybe.

2.1.3 Late Arrival of Cargo –Allcargomustbeavailableinthestackattheterminalatleast12hoursprior to the timeof shipmentof such cargo.Failure todo sowillresultinlatearrivalchargesbeingraisedinrespectofeachtonofsuchcargo.

2.1.4 Standby Charges–Standbychargeswillnotberaisedinrespectofadelayoffourhoursorless.Wherethedelayexceedsfourhours,then,irrespectiveoftheextentbywhichfourhoursisexceeded,standbychargeswillbechargedpergang,perhourfortheentireperiodofthedelayincludingthefirstfourhours.

HANDLING OF BULK CARGO AT BULK TERMINALS

1. GENERAL TERMS AND CONDITIONS The services rendered by the Terminal Operator to the Customer are governed by this Tariff

Book, read in conjunction with the Terminal Operator’s Standard Trading Terms and Conditions and the Standard Terms and Conditions for All Visitors to the Terminal Operator’s Ro-Ro, Breakbulk and Agricultural Terminals and the Terminal Operating Guidelines for the Ro-Ro, Breakbulk and Agricultural Terminals (a copy of which are available on request and on the Terminal Operator’s website www.transnet-tpt.net), Terminal Operator’s conditions of credit as well as any commercial agreement (“Terminal Operator’s Contracting Documents”) (subject to any supplements and amendments thereto), all of which are incorporated by reference herein and which constitute the entire agreement between the parties to any aspect, matter or thing referred to herein or which arises out of or relates to such matters as are referred to, and shall be the sole and exclusive memorial thereof.

2. TERMINAL HANDLING CHARGESTheterminalhandling,storageandothermiscellaneouschargesareavailableonapplication.

2.1 Miscellaneous Charges–AnyotherservicewhichisnotincludedintheGeneralTermsandConditionsmaybeavailableonrequestandissubjecttoadditionalcharges.

Examplesofmiscellaneousservicesforwhichchargesmayberaisedaresetoutbelow,

buttheseexamplesdonotconstituteaclosedlistandtheremaybeservicesorsituationswheremiscellaneousservicechargeswillapply,whicharenot set out in the examplesbelow:

2.1.1 Additional Handling – All services over and above the normal landing, shipping,

transhipping services, including additional handling charges incurred in theeventthatthemodeoftransport isamendedafterarrivalofthecarryingvessel.Additionalhandlingchargeswillberaisedpertonpermove.

2.1.2 Amending/Cancelling Orders/Adjustment Fees – In the event of an order being

amended,cancelledoradjustedinanymannerwhatsoever,theapplicableamendingorcancellationorderchargewillberaisedagainsttheCustomerinrespect of suchamendment,cancellationoradjustmentasthecasemaybe.

2.1.3 Late Arrival of Cargo –Allcargomustbeavailableinthestackattheterminalat

least12hoursprior to the timeof shipmentof such cargo.Failure todo sowillresultinlatearrivalchargesbeingraisedinrespectofeachtonofsuchcargo.

2.1.4 Standby Charges–Standbychargeswillnotberaisedinrespectofadelayoffour

hoursorless.Wherethedelayexceedsfourhours,then,irrespectiveofthe extentbywhichfourhoursisexceeded,standbychargeswillbechargedper gang, perhourfortheentireperiodofthedelayincludingthefirstfourhours.

2.1.5 Late Order Charges –AllcargomustbeSARSclearedandthelanding,shippingor

transhippingorders(togetherwithsupportingdocumentation)mustbepresentedforacceptancebytheTerminalOperatornotlaterthantheclosing time of theTerminalOperator’srevenueofficeonthedayofposting,failingwhichalateorderchargewillberaisedinrespectofeachtonofsuchcargo.

Thatsuchtranshippingoperationsdonot interferewithorcompromise efficientTerminalOperations

Cargoisnotplacedonthequayside IntheeventthatthequaysideisrequiredbytheterminalforTerminalOperations,

thentheberthmustbevacatedforsuchperiodasrequiredbytheTerminalOperatorandallcostsassociatedwithsuchmovement/swill be borne by the Customer/VesselOwner/ShippingLineand/ortheirdulyauthorisedrepresentative/s
